FOR THE PROVISION OF PROFESSIONAL SERVICES ASSOCIATED WITH PROVIDING
SPECIAL STRUCTURAL INSPECTIONS THROUGH CONSTRUCTION FOR A NOT TO
EXCEED AMOUNT OF $11,600.00:

-and ; between the CITY OF MIAMI BEACH, a Municipal Corporation existing under the laws of the
State of Florida (hereinafter referred to as City), having its principal offices at 1700 Convention
Center Drive, Miami Beach, Florida 33139, and BROWN + .BROWN ARCHITECTS, INC., a CSA
Group Company and Florida Corporation, having its offices at 61.00 Blue Lagoon Drive, Suite 300,
Miami, Florida, 33126 (hereinafter referred to as Consultant). g
RECITALS
WHEREAS,.the Scott Rakow Youth Center (SRYC) Renovation Project was initiated by the
Mayor and City Commission in 1994 and was a part of the original $15- Million Parks Bond issue;
and
WHEREAS, the original scope called for the expansion and renovation of the ice rink and
other improvements to the SRYC; and
WHEREAS, on October 17, 2005, the City retained the Consultant to develop a Schematic
Conceptual Master Plan which would evaluate code concerns (including ADA and fire safety),
validate the program and the budget, and propose a phasing plan for construction; and
WHEREAS, on May 10, 2006, the Mayor and City Comm,ission approved the issuance of
Request for Qualifications (RFQ) No. 26 -05/06 for Architectural,' Engineering, and Landscape
Architecture Services for the Planning, Design, Bid and Award, and Construction Administration
Services for the Renovation and Construction of the Scott Rakow Youth Center (hereinafter referred
to as Project); and ;
WHEREAS, on September 6, 2006, the City Commission authorized the Administration to
enter into negotiations with the Consultant as the top- ranked firm; accordingly City and Consultant
executed a professional services :agreement -for the Project, dated ,December 6, 2006 (the
Agreement); and
WHEREAS, the estimated Project construction cost is $4,290,000; and
WHEREAS, the fee negotiated with the Consultant includes the following services: A/E
design and construction administration to be completed within eighteen (18) months for a fee of
$571,140; reimbursable expenses for a fee of $25,000; boundary, topographic and underground
survey for a fee of $50,000; and geotechnical testing services for a fee of $15,000; all for a total fee
of $661,140; and
WHEREAS, the parties need to amend the Agreement to include professional services
associated with providing special structural inspections throughout the construction phase of the
Project (as requested by the Building Department during the building permitting process); and
WHEREAS, the following Amendment No. 1 to the Agreement approves the additional
services request by Consultant to provide special structural inspections throughout construction, for .
a not -to- exceed amount of $11,600.
NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises, covenants,
agreements, terms, and conditions herein 'contained, and other good and valuable consideration,
the respect and adequacy are hereby acknowledged, do agree as follows:
1: ABOVE RECITALS
The above recitals are true and correct and are incorporated as a part of this Amendment
No. 1.
2. MODIFICATIONS
The Agreement is amended to include Exhibit A -1 and Exhibit B -1, which is attached and
incorporated herein.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged.
4. RATIFICATION.
The City and Consultant ratify the terms of the Agreement, as amended by this Amendment
No. 1.

IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 1 to be executed in
their names by their duly authorized officials as of the date first set forth above.

EXHIBIT A -1
SCOPE OF SERVICES
1. SCOPE OF WORK AND SERVICES REQUIRED
Schedule A of the Agreement, entitled "Scope of Services ", is amended as follows and attached
as Exhibit A -1:
Task 4.1 — Special Structural Inspections:
- The CONSULTANT shall provide special structural inspections of the structural elements of the
Project during the plan review phase of the permitting process. Field Reports shall be provided
for each inspection that is conducted. The reports shall include notes regarding the inspector's
observations, delineation of any actions required to remediate problems, a log of when
corrections are completed, and certifications of the work performed by the Contractor at each
inspection.
2. TIME OF COMPLETION
'The duration of the services contemplated herein shall be based on the schedule provided by
the Contractor for the installation of the structural - elements of the Project. Notwithstanding the
proceeding, Consultant shall provide the services contemplated herein throughout the duration
of the construction phase of the Project. Should the Project, schedule go beyond the original
schedule and the Project is not completed as originally anticipated, the Consultant will not seek
additional compensation.
3. PAYMENT AND COMPENSATION
Payment for services performed shall be on an hourly basis at a fixed hourly rate of $100.00 per
hour subject to a not -to- exceed amount of $11,600.00. The total maximum fee proposed for the
scope of work pursuant 'to this Amendment No. 1 shall be a not -to- exceed amount of
$11,600.00. Notwithstanding the proceeding, Consultant shall provide the services
contemplated herein throughout the duration of the construction phase of the Project.
Invoicing will be monthly and based on hourly rates as referenced above.
Compensation:
• Original Agreement amount $661,140.00.
• Amendment No. 1 (Special Structural Inspections) on an hourly basis, at a fixed hourly rate
of $100.00 per hour, for a not -to- exceed amount of $11,600.00 and a Project total of
$672,740.00.
• Revised Agreement total amount: $672,740.70
