DATED APRIL 2011 FOR THE PROVISION OF PROFESSIONAL SERVICES ASSOCIATED WITH AN ADDITIONAL SERVICES FOR A FORMAL CONSULTATION UNDER SECTION 7 OF THE ENDAGERED SPECIES NOT TO, EXCEED AMOUNT OF $12 This Amendment No. 1, to the Agreement made and entered this .�' "�la of �LT® �� 2011 b � Y Y and between the CITY OF MIAMI BEACH, a Municipal Corporation existing under the laws of the State of Florida (hereinafter referred to as City), having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139, and Gannett Fleming, "Inc., a Florida Corporation, having its offices at 7300 Corporate Center Drive, Suite 701, Miami, 'Florida, 33126 (hereinafter referred to as Consultant). RECITALS WHEREAS, on. April 2011, the City entered into a Professional Services Agreement with Gannett Fleming,, Inc. (Consultant), pursuant to Request for Qualifications (RFQ) No. 48- 09/10, for the Project Development. and Environment Study for the West Avenue Bridge Project in the amount of $697,989.12; and WHEREAS, the Mayor and City Commission adopted Resolution No. 2011 -27642 on April 2011, approving' the Professional Services Agreement between the City - and Gannett Fleming, Inc. (Consultant), dated April 26, 2011 ;and WHEREAS, the conducted a sea grass survey of the area which concluded the findings of Johnson sea grass within the project area; and WHEREAS, under a proposed rule by the National Marine Fisheries- Service, Johnson sea grass is listed as a Threatened Species under the Endangered .Species Act; and WHEREAS, On September 8, 2011, the Consultant has requested additional compensation not to exceed, in the amount of $12,742 to conduct a Formal Consultation under Section 7 for the Endangered Species Act due to the findings of Johnson sea grass within the project area; and NOW, THEREFORE, the parties hereto, and. in consideration of the mutual promises covenants, agreements, terms, and conditions herein contained, and other good and valuable consideration, the respect and adequacy are hereby acknowledged,. do agree as.follows:. 1. ABOVE RECITALS The above recitals are true and correct and are incorporated as a part of this Amendment No. 1. 2. MODIFICATIONS The Agreement. is amended to include "Exhibit A ", and incorporated herein. 3. OTHER PROVISIONS All other provisions of the Agreement, as amended, are unchanged. 4. RATIFICATION. The. September 08, 2011 consultation under Section 7 of the-Endangered Species Act Scope of Work 1.0 Section'7 Consultation of the Endangered Species Act (ESA) 1.1 . Endangered - Species-Biological Assessment (ESl3A) The CONSULTANT will conduct the ESBA requirements outlined below. These requirements go beyond Part 2, Chapter 27 -of the FDOT PD &E Manual. The items listed below require additional effort required to meet guidance for Section 7 Consultation.Package (requirements in addition_ to original Scope 3.12) Summarize Consultation to Date "Consultation" under the ESA consists of discussions between the - action agency, the applicant (if any), and USFWS and NOAA Fisheries. The CONSULTANT will. summarize any consultation that has occurred thus far. Identify when consultation. was requested (if not concurrent with this,.document) and summarize all meetings, site visits and correspondence pertinent to the .decision - making process. Description of the Proposed Action The CONSULTANT will describe and specify: WHO is going to do the action and under what authority, include the name and office of the action agency and the name and address of the applicant; WHAT the project or action is; WHERE the project is; WHEN the action is going to take place, including time line and implementation schedules; .HOW the action will be accomplished, including the various activities that comprise the whole action, the methods; and the types of equipment used; WHY the action is proposed, including its purpose and need; and WHAT OTHER interrelated and interdependent actions are known. Quantify'lmpacts (acreage) The CONSULTANT will determine square footage of affected area by proposed project from existing seagrass survey. Minimization /Mitigation The CONSULTANT will include a clear description of all conservation measures and project mitigation such - as avoidance.. measures seasonal restrictions, compensation, restoration /creation (on -site and in -kind, off -site and in -kind, on -site and out -of -kind, off - site and out -of- kind), and use of mitigation or conservation banks. 1.2 NMFS Checklist The CONSULTANT will prepare the NMFS Checklist required as part of the Section 7 Consultation Package for the U.S. Army Corps of Engineers Regulatory Division Application. 1.3 Section 7 Coordination The CONSULTANT will conduct 10 meetings. (formal meetings, teleconferences and general coordination by email or phone) anticipated to be held between CMB, FDOT, GF, FHWA, NMFS, and USFWS, USACOE (if necessary) during the Section 7 process.
