AMENDMENT NO. 3
TO THE PROFESSIONAL ARCHITECTURAL
AND ENGINEERING (A/ E) SERVICES AGREEMENT
BETWEEN THE CITY OF MIAMI BEACH, FLORIDA

AND .
CH.EN AND ASSOCIATES, INC, DATED MAY 18, 2005,
IN THE NEGOTIATED NOT -TO- EXCEED AMOUNT OF $13,118, FOR THE PROVISION OF
ADDITIONAL DESIGN SERVICES FOR THE DESIGN OF THE ALTON ROAD TRIANGLE;
JEFFERSON AVENUE TWO- WAYING,;. SOUTH POINTE DRIVE LANDSCAPE REDESIGN;
AND $9,168, FOR PLANNING SERVICES, FOR A GRAND TOTAL OF $22,286; FOR THE
SOUTH POINTE - PHASE III, IV AND V RIGHT OF WAY NEIGHBORHOOD IMPROVEMENT
PROJECT,.WITHPREVIOUSLY APPROPRIATED FUNDING AVAILABLE FROM SOUTH
POINTE CAPITAL FUND 389.
This Amendment No. 3 to the Agreement made and entered this r . day of 2011, by
and between the CITY OF MIAMI BEACH, a Municipal Corporation existing under the laws of the
State of Florida (hereinafter referred to as - the City), having its principal offices at 1700 Convention
Center.Drive, Miami Beach, Florida 33139, and CHEN AND ASSOCIATES, INC., -a Florida
Corporation, having its offices at 500 W. Cypress Creek Road, Suite 410, Fort Lauderdale, Florida
33309 (hereinafter. referred to as the Consultant).
RECITALS:
WHEREAS; on May 18,- 2005, the Mayor and City Commission approved Resolution No.
2005 - 25902, authorizing. the execution of an A/E Agreement .with Chen and Associates, Inc.
(Consultant), in .a not -to- exceed amount of $2,017;009, to provide urban design; architecture;
landscape architecture, engineering and construction administration services for the South Pointe
Phase .I I1, IV, and V, Right -of -Way (ROW) Neighborhood Improvement Project pursuant to RFQ No...
08- 03/04 (the Project); .and
WHEREAS, on.August 23, 2005, the Consultant was issued the Notice to-Proceed (NTP) for
the.planning phase of. the Project; and
R . WHERIEAS, on April 11, 2006, pursuant to Resolution No. 2006- 26172, the City Commission
approved and officially adopted the Basis of -Design Report (BODR) for the Project, and the
Consultant was then given authorization to proceed with the design phase of the -Project; and
WHEREAS, on March 14, 2007, the City Commission - approved Resolution No. 2007-26477,
authorizing Amendment No. 1 to the Agreement to design bike lanes along Alton Road, from 5 th
Street to South 'Pointe Drive, and along Ocean Drive, south of 5 Street, in the amount,of $73,256;
and
WHEREAS_, on September 9, 2009, the City Commission approved No..2064
27160, authorizing Amendment'No. 2 to the for additional design services for the re-
construction of roadways and alleyways; the stormwater collection and disposal system at alleyways
and "hot spots "; and additional water main replacements, in the amount of $94,320, plus $13,000 for
reimbursables, fora total of- $1.07,320,; and
WHEREAS, in response to requests from the.community, the administration has requested
additional services ,proposal from the Consultant prepare design documents for the Alton Road
Triangle improvements, the two- waying of Jefferson Avenue; South Pointe Drive landscape
redesign; and for additional Planning Services required to obtain approval from agencies having
jurisdiction; and
WHEREAS, the overall fee being requested by the Consultant for the above stated additional
services design services is $13,118' plus $9,168, for planning services, fora total of $22 ;286; and

- WHEREAS, the Administration recommends-the approval of the attached Amendment No:3
to the Agreement, in an amount not -to- exceed $22.,286, for the additional design services for the
above stated improvements; and
WHEREAS, the following Amendment No. 3,. increases the total Agreement fee by $22,286
or a total fee of $2,219,871.
NOW THEREFORE, the parties hereto, and in consideration ' of. ,the mutual promises,
covenants, agreements, terms, and conditions herein contained and other good and valuable
consideration, the respect and adequacy are hereby acknowledged, do agree as follows:

The above recitals are true and correct and are incorporated as a- part of this Amendment:
2. MODIFICATIONS
The Agreement is amended to provide the additional services as set forth in Schedule "A =3 ",
attached hereto.
3. OTHER PROVISIONS
All other provisions of the Agreement, as amended, are unchanged.

4. ' RATIFICATION
The City and Consultant ratify the terms of the Agreement,. as per this Amendment No. 3.
IN WITNESS WHEREOF, the 'parties hereto have caused this- Amendment No.. 3 to be executed in
their names by their duly authorized officials - as of - the date first set forth above.

SCHEDULE "A -3"
SCOPE OF SERVICES
Schedule "A" entitled, "Scope of Services ", is amended as follows:
ADD the following under TASK 5 — ADDITIONAL SERVICES:
Task 5.8 = Planning Services:
Community Workshop: The intent of the Community Workshop is to provide the CONSULTANT
the opportunity to present the proposed improvements (hardscape and landscape) to the community
for the purpose of achieving general consensus with residents. It is anticipated that a total of one
(1) workshop shall be conducted. The CITY will schedule, find locations for, and notify residents of,
all such meeting. The CONSULTANT shall, prepare all materials'for presentation at the workshop.
These shall include presentation materials, (1) 24 "x36" " full size" specialty graphics which depict the
proposed improvements, resident comment cards and requisite copies of each. It is anticipated that

the CONSULTANT shall utilize a "PowerPoint" type format for its presentation, with support from
standalone graphics and handout materials. Also, the CONSULTANT shall prepare draft meeting
minutes and forward them to CITY for review and comment. The CONSULTANT shall finalize and
distribute the final minutes accordingly. Each workshop is intended to address specific design issues
as discussed in the following:
Deliverables: Prepare presentation materials (Powerpoint & 24 "x36 boards), attend and
conduct Community Workshop.
Attend up to (3) meeting with staff or community.
Rendered Plans and Elevations, 2D Photorealistic renderings, Exhibits
(explaining time line, aerial photograph boards)
Schedule: 14 Calendar Days of the issuance of the Notice to Proceed (NTP)
Task 5.9 — Alton Road Triangle Design:
. At the. request of the CITY, CONSULTANT shall prepare design plans for streetscape, landscape,
and irrigation to the Alton Road Triangle bounded by Alton 'Road to the west, Jefferson Street to the
Oast, and.1 to the north, in accordance with the basic scope of services."

At the request of the CITY, CONSULTANT shall prepare construction documents for the closure of
Jefferson Avenue at Alton Road, and two - waying of Jefferson Between Commerce Court and 1 St
Street.
Task 5.11 - South Pointe Drive & Washington Avenue Landscape Re- design
At the request of the CITY, CONSULTANT shall prepare design plans for streetscape, landscape,
and irrigation design to the medians along South Pointe Drive and along Washington Avenue in
accordance with the basic scope of services."
COMPENSATION
• Original Agreement amount $2,017,009.
• ..Amendment No. 1 (Design services for the installation of bike lanes /routes) amount
$73,256.
• Amendment No. 2 (Design services for the reconstruction of roadways and alleyways,
stormwater collection and disposal system at alleyways and drainage "hot spots ", and
additional water main replacements) amount $94,320, plus an additional amount of $13,000,
for approved reimbursables.
• Amendment No. 3 Design services for the design of the Alton Road Triangle; Jefferson
Avenue two - waying; South Pointe Drive landscape redesign; in the amount of $13,118, and
$9,168, for planning services, for a grand total of $22,286
• Revised Agreement amount $2,219,871.
