A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE
CITY OF MIAMI BEACH, FLORIDA, APPROVING AND AUTHORIZING
THE MAYOR AND CITY CLERK TO EXECUTE AN AMENDMENT TO
THE INTERLOCAL AGREEMENT BETWEEN MIAMI-DADE COUNTY,
CITY OF MIAMI BEACH, CITY OF MIAMI, VILLAGE OF BAL
HARBOUR, AND THE GREATER MIAMI CONVENTION AND VISITORS
BUREAU AND APPROVING THE EXTENSION OF THE NOTIFICATION
PERIOD REQUIRED TO TERMINATE THE INTERLOCAL AGREEMENT
TO OCTOBER 30, 1998.
WHEREAS, the City of Miami Beach is currently one of the parties to an Interlocal
Agreement ("Agreement"), dated September 30, 1993, with the Greater Miami Convention and
Visitors Bureau (Bureau) which also includes Miami-Dade County, City of Miami, and Village of
Bal Harbour; and
WHEREAS, the Agreement stands to be automatically renewed at the end of each fiscal
year (September 30, 1998), unless a participating public agency delivers written notice to terminate
the Agreement to the Bureau ninety (90) days prior to the end of the current fiscal term; and
WHEREAS, on June 17, 1998, the Mayor and City Commission approved a Letter
Agreement between the City and the Bureau, waiving the ninety (90) day notice required to
terminate the Interlocal Agreement, and giving the City of Miami Beach until September 29, 1998,
to terminate same; and
WHEREAS, the Administration has negotiated the attached Amendment to the Interlocal
Agreement ("Amendment") and is recommending the following changes:
1. Extend the notification period to October 30, 1998. (See attachment 1.)
2. The term of the Agreement will be for five (5) years, with a ninety (90) day
cancellation clause, with or without cause, prior to the end of each fiscal year during
said term.
3. The City will receive funding as follows:

WHEREAS, funding from Miami-Dade County and the Bureau totals $13,000,000 net of
new or increased charges to the City for services or goods provided by Miami-Dade County.
Commencing on October 1, 2003, the County will assume the functions of Beach Patrol and Beach
Maintenance up to the boardwalk (or the dune--where a boardwalk does not exist), the County will
continue to provide the equivalent level of service provided by the City, or better; and
WHEREAS, Miami Dade County will be submitting the proposed Amendment for approval
to the County Commission in October 1998; and
WHEREAS, the Administration recommends that the Mayor and City Commission approve
the attached Amendment to the Interlocal Agreement which includes, among other things, the
extension ofthe notification period to terminate the Agreement to October 30, 1998.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby approve and authorize the Mayor and City Clerk to execute the attached
Amendment to the Interlocal Agreement between Miami-Dade County, City of Miami Beach, City
of Miami, Village of Bal Harbour, and the Greater Miami Convention and Visitors Bureau and
approving the extension of the notification period required to terminate the Interlocal Agreement
to October 30, 1998.

THIS Al\1ENDMENT TO INTERLOCAL AGREEMENT, is made and executed as of this

the State of Florida (the County), the CITY OF MIAMI BEACH, a municipal corporation organized
and existing under the laws of the State of Florida (Miami Beach), the CITY ofMIAML a municipal
corporation organized and existing under the laws of the State of Florida (wIiami), the VILLAGE
OF BAL HARBOUR, a municipal corporation organized and existing under the laws of the State
of Florida (the Village), and GREATER MIAMI CONVENTION AND VISITORS BUREAU,
fNC., a Florida not-for-profit corporation (the Bureau).
RECIT ALS:
WHEREAS, the City of Miami Beach is a party to that certain Interlocal Agreement dated
September 30, 1993, by and between the County, Miami Beach, Miami, the Village, (collectively,
Participating Public Agencies) and the Bureau (the Interlocal Agreement): and
WHEREAS, the initial term of the Interlocal Agreement was for a period commencing on
September 30, 1993, and ending on September 30, 1994, with said Agreement to stand automatically
renewed at the end of such initial term, and each successive term thereafter, for a period of one (l)
year, unless any of the Participating Public Agencies, as set forth above, delivers to the Bureau, more
than ninety (90) days before the date as such current term expires, a written notice stating that it does
not wish to renew the Agreement, with or without cause, in which event the Agreement will
terminate as of the end of the then current fiscal year, but remain in effect among the remaining
parties; and
WHEREAS, in a Letter Agreement with the Bureau, dated June 12, 1998, attached and
incorporated herein as Exhibit A, Miami Beach and the Bureau agreed to waive the ninety (90) day
provision by which Miami Beach may terminate the Interlocal Agreement for the Fiscal Year
1997/1998, now giving Miami Beach until September 29, 1998 to terminate same; and
WHEREAS, pursuant to ongoing negotiations between Miami Beach and the Bureau, the
parties have negotiated the foregoing Amendment to Interlocal Agreement, wherein Miami Beach
agrees to renew the Interlocal Agreement, for a period of five (5) years, commencing on September
30, 1998, and ending on September 30,2003, provided Miami Beach retains the rights to terminate
the Interlocal Agreement at the end of any fiscal year during said term, with or without cause, upon
ninety (90) days notice to the Bureau; and
WHEREAS, in addition to the five (5) year renewaL and in consideration of Miami Beach's
continued participation in the lnterlocal Agreement. the Bureau or, in the alternative, the County,
shall contribute an annual grant to Miami Beach. in the amounts set forth below, with said grant
funds being unrestricted as to the manner in which Miami Beach may use same, but with Miami
Beach's use to be primarily for recurring operational expenses:

NOW THEREFORE, the parties agree to amend the InterlocaI Agreement as follows:
1. Section 2.02 on page 12 of the Interlocal Agreement entitled, "Public Funds," is amended
to include a new subsection (c) as follows:

The manner in which Miami Beach may utilize said grant funds shall be
unrestricted. but Nfiami Beach herein represents that said funds shall be used
primarily to fund recurring operational expenses in the City of Miami Beach.
In the event that the Bureau is unable to contribute said thirteen million dollar
($13.000.000) grant to Miami Beach. or any portion thereot: then the Bureau
shall cause the Countv. and the County herein covenants. to pay such amount
on behalfofthe Bureau. as ifsame were paid directly bv the Bureau to Miami
Beach as specitied herein. Transfer of the grant funds to Miami Beach shall
be accomplished in the same manner as set forth in Section 2.02(a) herein.

Section '-1- on page 1-+ of the Interlocal Agreement entitled. "Duration of this Agreement." is
amended as follows:

Except as pertaining to Miami Beach. +lhe term of this Interlocal Agreement
shall be for a period commencing on the date first written above and
terminating on the last day of the fiscal year (September 30. 1994). Except
as pertaining to Miami Beach. +lhis agreement shall stand automatically
renewed at the end of such term (and each successive term thereafter) for a
period of one year. unless a Participating Public Agency delivers to the
Bureau. more than ninety days before the date such term expires. a wTinen
notice stating that said party does not wish to renew the Agreement, with or

termination provisions of this section.
The term of this Interlocal Agreement. as to Miami Beach onlv. shall be for
a period of five (5) vears. commencing on September 30. 1998. and
terminating on September 30. 2003. Miami Beach mav terminate its
obligations under this Agreement at the end of any fiscal year during said five
(5) year term. bv delivering written notice to the Bureau. at least ninety (90)
davs before the end of such fiscal Year. stating that it does not wish to renew
the Agreement. with or without cause. in which event the Agreement will
terminate as of the then current fiscal year. but this Agreement shall remain
in effect among the remaining parties provided that any remaining
Participating Public Agencv may exercise the termination provisions of this
section as theY' pertain to said Participating Public Agencv.

3. All other terms of the Interlocal Agreement between the parties shall remain the same in full
force and effect.
IN WITNESS WHEREOF, the Participating Public Agencies have caused this instrument
to be duly executed in their name and on their behalf by their duly constituted officers, and the
Bureau has caused this instrument to be duly executed by its duly authorized corporate offices, all
as of this day of 1998.

Dear Mr. Mayor and Manager:
The purpose of this letter is to confirm our understanding mutually agreed upon
at our meeting on Friday, September 18th which included Commissioner Bruno
Barreiro, Greater Miami Convention & Visitors Bureau (GMCVB) Past Chair
Richard Fain and Acting President & CEO Bill Talbert. This understanding will be
memorialized in a written agreement to be negotiated and submitted for the
approval of the Miami-Dade County and City of Miami Beach Commissioners
respectively, and the GMCVB Executive Committee. Essentially, the County will
assume responsibility for lifeguards and beach cleanliness. The agreement shall
also deal with concessions, revenue therefrom, and City police protection.
Substantively, it was agreed that Miami-Dade County would provide $500,000 in
Fiscal Year (FY) 98/99 to support the operation of the Miami Beach Convention
Center, which should assist Miami Beach in freeing up otherwise committed
dollars for additional tourist-oriented services on Miami Beach. The GMCV8 will,
in FY 98/99, pay $900,000 in two installments of $450,000 each in accordance
with a previous bilateral agreement between the GMCV8 and the City of Miami
Beach. In FY 98/99, the GMCV8 will contribute an additional $600,000 perhaps
to further assist Miami Beach in funding the new Loews and African-American
Hotel projects.
In FY 99/2000 Miami-Dade County will assume responsibility for S 1.2 million of
the expenses related to beach expenses, the "beach" being defined as that land
from the dune line to the water's edge. This represents the first annual payment
with increasing contributions which, after four years, will ultimately lead to the
establishment of the beach as a regional park operated by Miami-Dade County.

The terms for this must be negotiated and well understood by both parties.
Further. in FY 99/2000, the GMCVB will contribute $800,000 to support the new
convention hotel projects
In FY 2000/01, Miami Dade County will contribute a total of 52,000000
(approximately 50% of the operating cost of the beach), subject to the terms in
the aforementioned agreement. There will be no further payments by the
GMCVB. In 01/02, Miami-Dade County will assume $3,000,000, and in 02/03,
Miami-Dade County will assume $4,000.000, at which time, the County will take
over the operation of the Beach as a regional park.
It was agreed that as a condition of this agreement, the City of Miami Beach
and/or its agencies would make no further financial demands nor change its
funding formula for the GMCVB for the 5-year duration of this agreement and
hopefully beyond. One of the primary reasons for County support is that Miami
Dade County, as the major contributor to the GMCVB, believes that the
marketing and promotion of the Greater Miami destination for tourism and
conventions is of vital importance to the overall economy of our community.
We wish to extend our appreciation for your support and encouragement of these
negotiations and look forward to mutually defining the more exact terms of our
agreement in the coming weeks.

THE INTERLOCAL AGREEMENT BETWEEN MIAMI-DADE COUNTY,

HARBOUR, AND THE GREATER MIAMI CONVENTION AND VISITORS
BUREAU AND APPROVING THE EXTENSION OF THE NOTIFICATION
PERIOD REQUIRED TO TERMINATE THE INTERLOCAL AGREEMENT
TO OCTOBER 30, 1998.
ADMINISTRA TION RECOMMENDATION:
Adopt the Resolution.
BACKGROUND:
The City of Miami Beach (City) is currently one of the parties to an Interlocal Agreement
("Agreement"), dated September 30, 1993, with the Greater Miami Convention and Visitors Bureau
(Bureau) which also includes Miami-Dade County, City of Miami and the Village ofBal Harbour.
The Agreement stands to be automatically renewed at the end of each fiscal year (September 30,
1998), unless a participating public agency delivers written notice to terminate the Interlocal
Agreement to the Bureau ninety (90) days prior to the end of the current term.
On June 17, 1998, the Mayor and City Commission approved a Letter Agreement between the City
and the Bureau, waiving the ninety (90) day notice required to terminate the Interlocal Agreement,
and giving the City until September 29, 1998, to terminate same.
ANAL YSIS:
The Administration has negotiated an Amendment ("Amendment") to the Interlocal Agreement with
the Bureau and Miami-Dade County and is recommending the following changes:

Dear Mr. Mayor and Manager:
The purpose of this letter is to confirm our understanding mutually agreed upon
at our meeting on Friday, September 18th which included Commissioner Bruno
Barreiro, Greater Miami Convention & Visitors Bureau (GMCVB) Past Chair
Richard Fain and Acting President & CEO Bill Talbert. This understanding will be
memorialized in a written agreement to be negotiated and submitted for the
approval of the Miami-Dade County and City of Miami Beach Commissioners
respectively, and the GMCVB Executive Committee. Essentially, the County will
aSSume responsibility for lifeguards and beach cleanliness. The agreement shall
also deal with concessions, revenue therefrom, and City police protection.
Substantively, it was agreed that Miami-Dade County would provide $500,000 in
Fiscal Year (FY) 98/99 to support the operation of the Miami Beach Convention
Center, which should assist Miami Beach in freeing up otherwise committed
dollars for additional tourist-oriented services on Miami Beach. The GMCVB will,
in FY 98/99, pay $900,000 in two installments of $450,000 each in accordance
with a previous bilateral agreement between the GMCVB and the City of Miami
Beach. In FY 98/99, the GMCVB will contribute an additional $600,000 perhaps
to further assist Miami Beach in funding the new Loews and African-American
Hotel projects.
In FY 99/2000 Miami-Dade County will assume responsibility for $1.2 million of
the expenses related to beach expenses, the "beach" being defined as that land
from the dune line to the water's edge. This represents the first annual payment
with increasing contributions which, after four years, will ultimately lead to the
establishment of the beach as a regional park operated by Miami-Dade County.

The terms for this must be negotiated and well understood by both parties.
Further, in FY 99/2000, the GMCVB will contribute $800,000 to support the new
convention hotel projects.
In FY 2000/01, Miami Dade County will contribute a total of $2,000,000
(approximately 50% of the operating cost of the beach), subject to the terms in
the aforementioned agreement. There will be no further payments by the
GMCVB. In 01/02, Miami-Dade County will assume $3,000,000, and in 02/03,
Miami-Dade County will assume $4,000,000, at which time, the County will take
over the operation of the Beach as a regional park.
It was agreed that as a condition of this agreement, the CitY of Miami Beach
andlor its agencies would make no further financial demands nor change its
funding formula for the GMCVB for the 5-year duration of this agreement and
hopefully beyond. One of the primary reasons for County support is that Miami
Dade County, as the major contributor to the GMCVB, believes that the
marketing and promotion of the Greater Miami destination for tourism and
conventions is of vital importance to the overall economy of our community.
We wish to extend our appreciation for your support and encouragement of these
negotiations and look forward to mutually defining the more exact terms of our
agreement in the coming weeks.

I called the Miami-Dade County to ask their definition of a regional
park. I spoke to Howard Gregg, Chief of the Research Division. Mr.
Gregg told me the County basically follows the definition as provided
in the National Recreation and Parks Association's Recreation, Park
and Open Space Standards and Guidelines. These guidelines are well
accepted in the Parks and Recreation field as valid. In this set of
guidelines there are two (2) distinct area defined as "Regional". The
first is Regional/Metropolitan Park and the second is Regional Park
Reserve. As the explanation of each is lengthy I will fax you the
copy for your review.
