THE CITY OF MIAMI BEACH, FLORIDA AND THE HOLOCAUST MEMORIAL COMMITTEE,
INC., DATED JANUARY 26,2000, AS ASSIGNED TO THE GREATER MIAMI JEWISH
FEDERATION ON MARCH 14, 2008.
THIS AMENDMENT NO. 1 TO THE LEASE AGREEMENT made this 201h day of July, 2010,
(the "Effective Date"), between the CITY OF MIAMI BEACH, a municipal corporation of the
State of Florida (hereinafter called "City" and /or "Lessor"), and the Holocaust Memorial
Committee, Inc., a Florida Non-Profit Corporation dated January 26, 2000, as assigned to the
Greater Miami Jewish Federation, Inc., a Florida Non-Profit Corporation on March 14, 2008
(hereinafter called "Lessee").
WITNESSETH
WHEREAS , on January 26, 2000, the Mayor and Commission adopted Resolution No.
2000-23776, approving a Lease Agreement between the City and the Holocaust Memorial
Committee, Inc. to operate and maintain the Holocaust Memorial , located at the Southeast
Corner of Meridian Avenue and Dade Boulevard , in Miami Beach, Florida (hereinafter called the
"Lease"); and
WHEREAS , the term of the Lease commenced on March 8, 2000, and expires on March
8, 2099; and
WHEREAS on January 16, 2008, pursuant to Resolution No. 2008-26732, the Mayor
and City Commission approved an assignment of the Lease to the Greater Miami, Jewish
Federation, Inc., a Florida Non-Profit Corporation (Lessee); and
WHEREAS, on July 14, 2010, at Lessee's request, the Mayor and City Commission
approved an amendment to the Lease, to grant Lessee the use of five (5) free dedicated parking
spaces subject to the terms and conditions contained below.
NOW, THEREFORE, in consideration of the premises of mutual covenants and
conditions herein contained and other good and valuable consideration, the receipt and
adequacy of which are hereby conclusively acknowledged, it is agreed by the parties hereto to
amend the Lease as follows:
1. Article 28 of the Lease, entitled "Adjacent Municipal Parking Lot," is amended to add the
following at the end of said Article: (deleted language is struck through and inserted
language is underlined);
During the Term of this Lease. the Lessee shall also be entitled to the free use of
five (5) designated parking spaces. the location of which shall be determined by
the City's Parking Director. in his/her sole and absolute discretion. and which
may also be relocated by the Director from time to time (also at his/her sole
discretion); provided such spaces remain within the "Existing Municipal Parking
Lot". Notwithstanding the preceding sentence, in the event the Lessor. at its sole
discretion. ceases to maintain the "Existing Municipal Parking Lot" as a parking
lot, then Lessor shall not be obligated to continue to provide the designated
spaces. and Lessee's right to use same shall be automatically terminated without
any further action required to be taken by Lessor. Further. Lessee shall use the
five (5) designated parking spaces solely and exclusively in conjunction with
parking related to Lessee's permitted use(s) of the Demised Premises. at set
forth in Article IV of the Lease. and for no other purposes whatsoever.
2. Except as amended hereby, the Lease Agreement remains in full force and effect and
is reconfirmed for all purposes.
IN WITNESS OF THE FOREGOING, the parties have set their hands and seals
the day and year first written above.
