Amendment No. 2 Arts for Learning/Miami, Inc. AMENDMENT NO. 2 TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND ARTS FOR LEARNING/MIAMI, INC., FOR MIAMI BEACH ARTS EDUCATION SERVICES. This Amendment No. 2 to the Professional Services Agreement, is made and entered into this I day of OC+.)o e r' , 2012, by and between the CITY OF MIAMI BEACH, FLORIDA, a municipal corporation having its principal office at 1700 Convention Center Drive, Miami Beach, Florida, 33139 (City), and ARTS FOR LEARNING/MIAMI, INC., a Florida corporation, whose address is 404 NW 26 Street, Miami, Florida, 33127 (hereinafter referred to as Consultant). RECITALS WHEREAS, on September 27, 2010, the Mayor and City Commission approved Resolution No. 2010-27503, authorizing the Mayor and City Clerk to execute a Professional Services Agreement with Consultant to provide after-school and summer camp arts education programs at various City parks, public schools, and day care centers (as determined by the City Administration) for the Fiscal Year 2010/2011, in the amount of$55,000 (the Agreement); and WHEREAS, the City has the option, at its sole discretion, to extend said Agreement for two (2) additional years, contingent upon funding availability; and WHEREAS, on September 27, 2012, the Mayor and City Commission approved the City's Fiscal Year 2012/2013 Budget, which included funding available to extend and expand arts integrations services and programming of said Agreement for a second additional one (1) year term. NOW, THEREFORE, in consideration of the mutual premises, covenants and agreements herein contained, and other good and valuable consideration, in receipt and adequacy of which are hereby acknowledged and intending to be legally bound, the City and Consultant hereby amend the Agreement as follows: 1. The City hereby exercises the second renewal term under the Agreement, which shall commence on October 1, 2012, and shall end on September 30, 2013 (the Second Renewal Term). Except as amended herein, all terms and conditions of the Agreement shall apply to the Second Renewal Term. 2. Consultant shall complete the Scope of Work (Services), attached and incorporated as Exhibit "A" hereto. Said Scope of Work shall be completed by no later than September 30, 2013. 3. Consultant shall be compensated by the City for the Services to be provided and satisfactorily performed, as set forth in Exhibit "A", during the Second Renewal Term, for a fee not to exceed fifty five thousand dollars ($55,000), inclusive of Reimbursable Expenses and any other consultants necessary to complete the scope of work described in Exhibit "A". The aforementioned fee shall be paid in accordance with Section 4 of the Agreement. - 1 - 4. Except as amended herein, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect. Scope of Work for City of Miami Beach October 1, 2012 - September 30, 2013 Organizational Overview: Founded in January 2000, Arts for Learning (A4L) is a nonprofit organization dedicated to advancing teaching and learning through the arts. A4L is a joint initiative of the Miami-Dade County Department of Cultural Affairs, Miami-Dade County Public Schools, and Young Audiences, Inc., a national nonprofit leader in arts-in-education. Arts for Learning seeks to make the arts a central component of every child's education. By instilling students with a passion for creativity, innovation and the arts, A4L hopes to nurture life-long learners. Together with its national affiliate, Young Audiences, Inc., A4L hopes to deliver services that lead to young people who: 1)Are self-aware and can express themselves effectively, 2)Are aware of the world outside their own community, 3) Are nimble and rigorous thinkers, 4) Value the arts and engage in them as an essential part of their lives, and 5)Are able to nurture these qualities in others. Each year, Arts for Learning partners with schools, preschools, and after-school programs to reach children throughout Miami-Dade County. Scope of Work: After-School/Summer Programming Arts for Learning's after-school and summer programs have demonstrated that when children participate in high-quality after-school programming, they increase their artistic abilities as well as develop self- confidence and self-esteem. For these programs, artists conduct semester-long residencies at schools, parks, and other community- based locations. Each residency or "course" is customized to complement the goals of the selected location. An after-school course is defined as a 1-hour session per week for a unique group of up to 25 students over a period of 12-16 weeks within the fall or spring semester. Arts for Learning will provide 28 after-school courses across 5 Miami Beach locations including Fienberg- Fisher K-8 Center, Biscayne Elementary School, Flamingo Park, Scott Rakow Youth Center (fall) and Scott Rakow Youth Center (new group of students in the spring) at The BASS Museum of Art, and South Pointe Elementary School. Performances A4L will provide two performances. One will likely be scheduled in the fall and one in the spring. These performances will seek to inspire students to make creative choices, connect the performance to other learning, and better understand the art form.
