The above referenced Contract between ALM Machine, Inc. (Contractor) and the City of Miami
Beach, Florida (City), dated April 15, 2013, is hereby amended by this Amendment No.l as
follows:
Contractor and City agree to the following:
1. The City is currently pending permit approval from the Florida Department of
Environmental Protection (the DEP permit is hereinafter referred to as the "Permit").
2. As such, the project contemplated under the Contract, the installation of beach access gates
(the"Project") may not commence until the Permits are approved.
3. The City agrees to temporarily return the funds submitted by the Contractor at the time of
contract execution for Performance and Payment Bonds, in the amount of ninety-eight
thousand eight hundred ninety dollars ($98,890.00), while Permit approval is pending.
4. Upon approval and issuance of the Permit, the City shall issue written notice to the
Contractor, and Contractor shall to re-submit the Payment and Performance Bonds pursuant
to Section 2.1 of the Contract, in the amount of ninety-eight thousand eight hundred ninety
dollars ($98,890.00), prior to the commencement of any work.
5. Contractor's failure to submit the aforestated Payment and Performance Bond amount to the City
within the time provided in the City's notice shall be deemed as immediate default under the
Contract, and the City may avail itself of any and all rights under the Contract, including termination
for cause thereof.
6. This document constitutes an amendment to the above numbered Contract. All provisions of that
Contract, except those which are explicitly changed above by this Amendment No. 1, shall remain in
full force and effect.

RE: ITB 015-2013TC — DESIGN AND INSTALLATION OF BEACH ACCESS GATES —
ADDENDUM 1
Dear Mr. Menendez:
On. March 13, 2013, the City executed a contract with your company, pursuant to Invitation to
Bid (ITB) No. 015-2013TC, for the design and installation of beach access gates. The scope of
the project includes the installation of the security beach access gates east of the Coastal
Construction Control Line (CCCL); however, all construction east of the CCCL is required to be
permitted by the Florida Department of Environmental Protection (FDEP). During the permitting
process, the State of Florida has expressed reservations in permitting the closure of the state-
owned beach. The City is currently pending permit approval from FDEP as to whether these
gates can be installed. As a result, this project has been placed on hold until a permit from
FDEP is secured.
I am attaching an amendment to your contract that must be executed prior to returning any
funds to you. The amendment includes the following terms:
1. The City agrees to temporarily return the funds submitted by the Contractor at the time
of contract execution for Performance and Payment Bonds, in the amount of ninety-eight
thousand eight hundred ninety dollars ($98,890.00), while Permit approval is pending.
2. Upon approval and issuance of the Permit, the City shall issue written notice to the
Contractor, and Contractor shall to re-submit the Payment and Performance Bonds
pursuant to Section 2.1 of the Contract, in the amount of ninety-eight thousand eight
hundred ninety dollars ($98,890.00), prior to the commencement of any work.
