TITLE: Installation Removal Maintenance and Storage of Holiday Decorations
CONTRACT NO.: 2013-179=SW
-EFFECTIVE DATE(S): This-Contract shall remain in effect for three-(3) years from date of
Contract execution by the Mayor and City Clerk, and may be
renewed, at the sole discretion of the City, though it's-City Manager,
for two (2) additional years, on a year-to-year basis, upon mutual
agreement between the two parties.

'ESTIMATED ANNUAL-CONTRACT AMOUNT: $230,000
A. AUTHORITY - Upon affirmative action taken by the Mayor and City Commission of the
City of Miami Beach, Florida, on October 46, 2013, for approval-to award a contract,
upon execution between the City of Miami Beach, Florida, and Contractor.
B. EFFECT - This Contract is-entered into to provide,for installation, removal maintenance
and storage of holiday decorations pursuant-to City Invitation to Bid No. .2013-179-SW
and any addenda thereto(the ITBT, and— ontrac ors bid—in response ere o (this
Contract, the ITB, and Contractor's bid in response thereto may hereinafter-collectively
be referred to as the "Contract Documents").
C. ORDERING INSTRUCTIONS - All blanket purchase orders shall be issued in
accordance with the City of Miami Beach Procurement-Division policies and procedures,
at the prices indicated, exclusive of all Federal, State and local taxes. All blanket
purchase orders shall show the City of Miami Beach Contract Number 2013-179-SW.
D. CONTRACTOR PERFORMANCE —City of Miami Beach departments shall report any
failure of Contractor's performance (or failure to perform) according to the requirements
of the Contract Documents to City of Miami Beach, John Rebar, Parks and Recreation
-Director at 305-6737000 ext. 6643.
�E. INSURANC.E CERTIFICATE(S) - The Contractor shall ,file Insurance-Certificates, as
required, which must be signed by a Registered Insurance Agent-licensed in the State of
-Florida, and approved by the City of Miami Beach Risk Manager, prior to delivery of
supplies and/or commencement of any servic-es/work by-Contractor.
F. ASSIGNMENT AND PERFORMANGE - Neither this Contract nor any interest herein s
shall be assigned, transferred, or encumbered -by-Contractor without the prior written
consent of the City. In addition, Contractor shall not subcontract delivery of supplies, or
any portion of work and/or services required by the Contract Documents without the prior
written consent-of the-City.

Certification of Contract
Contractor warrants and represents that all-persons providing/performing any supplies,
work, and/or services -required by the Contract-Documents have the knowledge and
skills, -either by training, experience, education, or a combination thereof, to adequately
and competently provide/perform same, or services-to-City's satisfaction, for the agreed
compensation.
-Contractor shall provide/perform the supplies, work, and/or services required under the
.-Contract Documents in a skillful and respectable manner. The quality of-the Contractor's
performance and all interim and-final product(s) and /or work provided to or on behalf of
City shall-be comparable to the best local and national standards,
-G. SERVICE-EX-G,ELLENC-E STANDARDS--Excellent-Customer Service is the standard of
the City �of Miami Beach. As a Contractor of the City, Contractor will be required to
conduct itself in a professional, courteous and ethical manner, and at all times adhere to
the -City's Service 'Excellence standards. Training will be provided by the City's
Organizational-Development and Training Specialist.
H.- PUBLIC:ENTITY-CRIMES - In accordance with the Public.Crimes Act, Section 287.133,
Florida Statutes, a person or affiliate who is a contractor, consultant or other provider,
who has been placed on the convicted vendor list following a conviction. for a public
entity-crime may not submit a bid on a contract to provide any goods or services to the
City, may not submit a bid on a contract with the City for the construction or repair of a
public building or public work, may not submit bids on leases of real property to the City,
may not be awarded or perform work as a .contractor, supplier, subcontractor, or
consultant under a contract with the City, and may not transact any business with the
City in excess of the threshold amount provided in Section 287.017, Florida Statutes, for
category-two..purichase-s-for a-erbd-7of-36-menthe-from-the--date-of-batTg-plazed�n pt e
convicted vendor list. Violation of this section by Contractor shall result in cancellation of i
the Contract and may result in-Contractor debarment.
I. INDEPENDENT CONTRACTOR - Contractor is an independent contractor under this
Contract. Supplies, work, and/or services, provided by Contractor pursuant to =the
Contract Documents shall be subject to the supervision of,Contractor. In providing such '
supplies, work, and/or services, neither Contractor nor its agents shall act as officers,
employees,-or agents of the City. This Contract shall not constitute or make the parties
a partnership or joint venture.
J. THIRD PARTY BENEFICIARIES - Neither -Contractor nor City intends to directly or
substantially benefit a third party by this Contract and/or the Contract Documents.
Therefore, the parties agree that there are no third party beneficiaries to this°Contract
and that no third party shall -be entitled to assert a claim against either of them based
upon this_Contract and/or the Contract-Documents.
The parties expressly acknowledge that it is -not their intent to create any rights or f
obligations in any third person or entity under this Con-tract and/or the Contract
Documents. i

K. NOTICES - Whenever,-either party desires to give notice to the other, such notice must
be in writing, sent by certified United States Mail, postage prepaid, return receipt
requested, or-by hand=delivery with a request-for a written receipt of acknowledgment of
delivery, addressed to the-party-for whom it is intended at the place last specified. The
place for giving notice shall remain the same as set-forth herein until changed in writing
in the manner provided in this section. For the present, the parties designate the

L. MATERIALITY AND WAIVER OF BREACH - City and Contractor agree that each
requirement, duty, and obligation set forth in the Contract Documents is substantial and
important to the formation of this-Contract and, therefore, is a material term hereof.
City's failure to enforce any provision of the Contract Documents shall not be deemed a
waiver of such provision or modification of this-Contract. A waiver of any breach of a
provision of this-Contract-shall not be deemed a waiver of any subsequent breach and
shall not be construed to be a modification-of the-t-erms of this Contract.
M. SEVERANCE - In the event a-portion of this-Contract and/or the Contract Documents is
found by a court of competent jurisdiction to be invalid, the remaining provisions shall
continue to--be effective unless City or-Contractor elects to terminate this-Contract. An '
election to-terminate this Contract-based upon this provision shall be made within-seven
°(7) days after the finding by the.-court becomes final.

N. APPLICABLE LAW AND VENUE -,This Contract and/or the Contract Documents shall
be enforceable in Miami-.Dade County, Florida, and if legal action is Necessary by-either
party with respect to the -enforcement of any or all of the terms or-conditions herein
exclusive venue for the enforcement of same shall lie in Miami-Dade-County, Florida.-By
entering into this Contract, Contractor and City hereby expressly waive any rights
either party may have to a trial by jury of any civil litigation related to, or arising
out of the-Contract and/or the Contract-Documents. Contractor, shall specifically
bind all subcontractors to =the provisions of this Contract and the YContract
.Documents.
O. AMENDMENTS - No modification, amendment, or alteration in the-terms or-conditions
contained herein, or in the Contract Documents, shall be effective unless-contained in a
written document prepared with the same or similar lormali#y as this Contract and
executed by the City and-Contractor.
P. This Contract shall not be effective-until all bonds and insurance(s) required under the
Contract Documents have been submitted to, and approved by, the-City's Risk Manager.
Q. The ITB and-Contractor's bid in response thereto, are attached to this Contract and are
hereby adopted by reference and incorporated herein as if fully set forth in this Contract.
Accordingly, Contractor agrees to abide by and be bound by any and all of the 4
documents incorporated by the-Contract Documents. Where there is a conflict between
any provision set forth within (i) this Contract; (ii) the ITB; and /or (iii) Contractor's bid in r
response thereto, the more stringent provision.(as enforced by the City) shall prevail.

Invitation to Bid(ITB)179-2013SW was Issued on September 6,2013,with an opening date ofSeptember
24, 2.013. A total of fifty-eight('56)bid notices were issued and six(6)bidders accessed the advertised '
solicitatlon.which resulted in the receipt of two(2)bids from the following firms:
• Christrnas'Vesigners, Inc.
• South florlda Lighting Team d/b/a Miami Christmas Lights
The ITS-required fixed total pricing for citywide locations. As indicated in Attachment A.MiamirChrlstmas
Lights submitted the lowest total price. However,the ITB required bidders to provide evidence,through
client references,that they had previously performed similar services to those specified in the scope of }
services,which Includes storage of the°City's significant investment of holiday lighting and decorations.
Miami-Christmas Lights could not provide evidence,as required by the ITB,that the firm had previously
.provided storage for customer-owned inventory. Therefore, It Is recommended that Miami Christmas
Lights be deemed non-responsive and that Christmas-Designers, Inc.be deemed1he lowast responsive
bidder-to-the ITB. Neither vendor is eligible for veteran or local preferences.
After-considering the review and recommendation of City staff, the-City Manager exercised his due
diligence and considered the specifics of this ITB-process. As a result,the City Manager recommends to
the Mayor and iCity Commission to award the contract to Christmas Deslgners, Inc. as the lowest
-msponsive bidder.

Compliance with the foregoing requirements shall not relieve the vendor of his liability and obligation
under this section or under any other section of this agreement.
The foregoing indemnity shall apply to any and all claims and suits other than-claims and suits arising
out of the gross negligence or willful misconduct of the City of Miami Beach, its officers, agents, and
employees.
The bidder will notify its insurance agent without delay-of-the existence of the Hold -Harmless
Agreement contained within this contract, and furnish a copy of the Hold Harmless Agreement to the ;
insurance agent and carder.
The bidder will obtain and maintain contractual liability 'insurance in adequate limits for the sole
purpose of protecting the City of Miami Beach under the Hold Harmless Agreement from any and all
claims arising out of this contractual operation.
The bidder will secure and maintain policies of subcontractors. All.policies shall be made available to
the City upon demand. Compliance by the contractor and all subcontractors with the foregoing
requirements as to-carrying insurance and furnishing copies of the insurance policies shall not relieve
the contractor and all subcontractors of their liabilities and obligations under any section of this
contract.Bidder shall be as fully responsible to the City for the acts and omissions of the subcontractor
and of persons-employed-by it as it is for acts and omissions of persons directly employed by it.
Insurance coverage required in these specifications shall-be in force throughout the contract term.
Should the successful bidder-fail to provide acceptable evidence of current insurance within seven
days of receipt of written notice at any time during the contract.term, the City shall have the right to ;
consider the-contract in default and proceed to terminate same.
Please note that the City of Miami Beach is self-insured.Any and all claim payments made from self-
insurance are subject to the limits and provisions of Florida'Statute 768.28, the Florida Constitution,
and any other applicable Statutes.
1.10 METHOD OF AWARD:
Staff Review/Recommendation. The lowest responsive, responsible bidder meeting all terms,
:conditions, and specifications of the ITB will be recommended for award on an item-by-item, a
combination/group of items,or a total of all items basis,whichever is in the best interest of the City. In
considering award recommendation, in addition to price, the City may, at its sole discretion,consider
any other applicable factor that may be deemed to impact the successful delivery of the goods as ,
described herein,or that,otherwise,may be in the interest of the City. Veterans and local preferences,
as detailed herein, will be applied as applicable in the tabulation of bid prices received, In the review
of bids received and consideration of award, the City reserves the right to waive nonmaterial
irregularities or technicalities in a bid received. In the event that the lowest responsive, responsible j
'bidder is unable to meet the requirements by the City,the City has the option to select the next lowest
responsive, responsible bidder. in the event that the second lowest bidder is unable to meet the
requirements of the City,the-City has the option to select the third lowest bidder.
City Manager's Review.After considering the staff recommendation for award,the City Manager shall

exercise his due diligence and recommend to the Mayor and City-Commission the-bid that the City i
Manager deems to-be in the-best interest-of the City.
City Commission Authority. The .0ty Commission shall consider the City Mana ees
recommendation(s) and, may approve or reject the City Manager's-recommendation(s). In any case, �
the Mayor and City Commission-shall select,(-and may autborize value engineering)with the bidders)

which the Mayor and Commission deem to be in the best interest of the City pursuant to the
determination of award criteria of lowest and-best bid. The City Commission may also-reject all bids
,received.The selection or approval by the City Commission -shall not constitute a binding
contract between the City and the selected or approved bidder(s). A binding contract will exist upon
-the completion as.determined by the Administration, -the City Attorney's -Office-form approving the
contract or contracts,and the Mayor and City-Clerk-or their respective designees signing the contracts)
after the selected or approved bidder(s) has (or have)done so. Onlythe executed.contract(s)will be
binding on the contracting parties.
1.10.1 Multiple Award Options. As deemed to-be in its best interest, the°City reserves the right to:
make an award by Group;by Item;make an award entirely to a single bidder,or reject all-bids received.
Bidders should carefully consider this-condition and bid accordingly
1.11 PAYMENT: Invoices for payment will be submitted upon receipt and acceptance of goods ordered via
a Purchase Order. No down or.partial down payments will be made. Invoices will be-subject to
verification and approval by the EMS Division Chief, Contract Administrator, or his/her designated
representative.
1.12 PRICES SHALL BE FIXED AND FIRM:All prices quoted in the awardee's bid submittal shall remain
firm and fixed,unless amended in.writing by the City.
1.12.1 COST ESCALATION. Prices must be held firm during the initial term of the
agreement. During the renewal term, the City may consider prices increases not to
increase the applicable Bureau of Labor Statistics (www.bis.gov)-CPI-U index or 3%,
whichever is less.The City may also consider increases based on mandated Living Wage
increases, In considering_cost escalation due to Living Wage increases,the City will only
consider_the-di e.ct�asts_relateJ_to-LMng 1Nage increases,exclusive of overhead.profit or
any other related cost.
1.13 ESCALATION/DE-ESCALATION CLAUSE:INTENTIONALLY OMMITTED.

Successful Bidders shall enclose a complete packing slip or delivery ticket with any items to be
delivered in conjunction with this bid=solicitation. The packing slip shall be attached-to the shipping
carton(s) which contain the items and shall be made available to the City's authorized
representative during delivery. 'The packing slip or delivery ticket shall include,at a minimum, the I
following information: purchase order number, date of order, a complete listing of items being
delivered with the display of the expiration date of each drug/pharmaceutical in a readable fashion;

1.25 -WORKMANSHIP AND MATERIALS: All parts installed and materials used in performance of this
contract shall be new and unused-(of current design and manufacture). Salvage materials will not
be allowed without-the express consent of the City. All materials and workmanship shall be-of
highest quality and shall conform to all applicable wilding-codes, so as to ensure safe and
functional operation. The City shall be the sole judge as to parts and workmanship.
1:26 USE OF PREMISES: The contractor shall confine his/her equipment, apparatus, the storage-of
materials,and the operation of his/her workmen to the limits indicated byelaw,ordinances,permits,
or direction of the-project manager, and shall not unreasonably-encumber the premise with his/her
materials. The contractor shall take all measures necessary to protect-his/her own materials.

1.27 DAMAGE TO PUBLIC/PRIVAT-E PROPERTY: The contractor shall carryout the work with such �
care and methods as not to result in damage to public or private property adjacent to the work.
Should any public or private property be damaged or destroyed,the contractor,at his/her-expense,
shall repair or make restoration as is practical and acceptable to -the City and/or owners of
destroyed or damaged property within a reasonable length of time. (Not to.exceed one month from
date damage was done).
1.28 WARRANTY,FITNESS FOR PURPOSE: The contractor warrants the materials supplied and the
work performed under this contract conform to warranty materials provided and work performed for j
one(1)year from date of completion.
In addition to all other warranties that may be supplied by the bidder, the bidder-shall warrant its
products and/or service against faulty labor and/or defective material for a minimum period of one i
(1) year after the date of acceptance of the labor, materials and/or equipment by the City. This
warranty requirement shall remain in force for the full one (1) year period; regardless of whether

1.29 SAFETY MEASURES: 'Contractor shall take all necessary precautions for the safety of
employees, and shall erect and properly maintain at all times all necessary safeguards for the
protection of the employees and the public. Danger signs warning against hazards created by h
his/her operation and work in progress must be posted.
All employees of the contractor shall be expected to wear safety glasses or goggles, appropriate j
clothing, and hearing protection when and wherever applicable. The contractor shall use only
equipment that is fully operational and in safe operating order. Contractor shall be especially
careful when servicing property when pedestrians and/or vehicles are in close proximity—work
shall cease until it is safe to proceed.
1.30 LICENSES AND PERMITS: Services performed for the-City will require licenses and permits in
the same manner as private air conditioning repair projects within the City. The-Contractor shall
secure,at his/her expense, all licenses and permits and shall fully-comply with all applicable laws,
regulations and codes as required by the-State of Florida,county,or local agency. j

3.1 MINIMUM REQUIREMENTS.The following minimum requirements will be considered in the review Of each

INSTALLATION/MAINTENANCE/REMOVAL/STORAGE: I
Contractor will be responsible for the installation, removal and storage of all City owned and contractor
provided decorations. The City owned-decorations,and/or rental lighting,shall be installed, maintained and
removed as noted in the following paragraphs during the season (Mid-November– early January), with i
actual dates to be specified-by the City's Representative,-for the term of the agreement. All-decorations and i
lights should-be on display and ready to illuminate by no later than November 1-5th and shall remain on
display until the first week of January, The actual "turn-on date" will be determined by the-City. During the
holiday season,-daily inspect on andmaintenance-of alydecorations to-ensure proper functio-0—g is required. i
Contractor shall have a lighting :crew trained and experienced -in maintaining and restoring the holiday
lighting systems; inspect all the-citywide holiday decorations each and every evening during the holiday
lighting season. The lighting crew shall reset, modify-and take all actions possible to ensure the City's
holiday decorations and lights are functioning as intended at the conclusion of the daily-evening inspection.
A summary of the previous evening's inspection shall be provided to the City in writing the following day,
prior to 12:00 P.M. The inspection summary shall highlight any deficiencies identified the previous evening
and specify any assistance required by the City (Public Works, Property Management) to restore the
decorations to operational status.
Additionally,the Contractor shall also have a 24-hour per day/7 day per week-Call Center with a primary and
-secondary point of contact during the holiday lighting season to which outages and other problems can be
reported. =Contractor shall respond-within-eight.j8) hours by being on-site of the designated area(s), upon
notification by the City of Miami Beach, Public Works Department, or-designated representative to have all
holiday decorations in operating order."Contractor shall ensure that all#ioliday decorations/displaystitywide ;
are functioning-by 5:00 p.m.each day during season.
The-City reserves the right to select any, all or none of areas of decorations for installation in a particular
year of the agreement. The City shall also have the option of not Installing any-decorations for a complete
-season or seasons and-continue--to -pay for the restorative maintenance, and storage of the city owned
Holiday.Decorations on an annual basis at its sole discretion. 4

experienced in maintaining and restoring the rented LED light sets-each and every evening during the
holiday lighting season. -Contractor will furnish all labor, machinery, tools,transportation means, supplies
equipment,materials,services and all incidentals necessaly'for-tile full operations of-the rental LED lights.
CITY.OWNEED INVENTORY:
In addition, the-successful contfactor shall -be responsible at a minimum, for the inspection, installation,
annual preventative/restorative maintenance,operation, removal,and storage of City's existing inventory of
holiday decorations (please-see Attachment "A" for complete list of City owned decorations, including
quantities, cubic'feet, and-service needed). Please also see, for reference only, Attachment°B": Holiday
Decoration Inventory and Installation Locations.The successful contractor shall store the decorations In an
insurable,dry clean storage facility,to be located in Miami-Dade or Broward County,acceptable to the City's
Parks and Recreation Director (City Representative) or his/her, designee, and accessible for the City to
inspect during regular business hours.

The living wage rate and health,care-benefits rate may, by-Resolution of the City Commission be indexed
annually for inflation using the -Consumer Price -Index -for all _Urban Consumers (CPI-U) Miami/Ft.
Lauderdale, issued-by the U.S.-Department of L-abor's Bureau of Labor Statistics. Notwithstanding the °
preceding, no annual index ishall-exceed three percent(3%).The City may also, by resolution,elect not to
index the living wage rate in any particular year, if it-determines it would not be fiscally sound to implement j
same(in a particular year).
Proposers'-failure to.comply with -this provision shall be-deemed a--material-breach under-this bid, under
which the City may,at its sole option, immediately deem said proposer as non-responsive,and may further 1
subject proposer to additional penalties and,fines, as provided in the Zity's Living Wage-Ordinance, as
amended. -.Further information on the Living Wage requirement is available at

11. Equal Benefits for Employees with Spouses and.Employees with Domestic Partners.When awarding
competitively-solicited-contracts valued at over$100;000 whose contractors maintain 51 or more full time ,
employees on their.payrolls-during 20 or more calendar work weeks, the .Equal Benefits for Domestic
Partners Ordinance requires certain contractors doing business with the City of Miami Beach, who are j
awarded a-contract pursuant to competitive bids, to provide "Equal Benefits" to their employees with
domestic partners,as they provide to employees with spouses.Any contract awarded pursuant to this ITB is i
subject-to the City's-Equal Benefits Ordinance(Ordinance No.2005-3494, and as-codified in Section 2-373 '
of-the City Code entitled, "Requirement-for City Contractors to-Provide-Equal Benefits for Domestic
Partners, and hereafter referred to as the "Ordinance"). The Ordinance applies to all employees of a
;Contractor who work within the City limits -of the City of Miami Beach, Florida; and the Contractor's
-employees located-in the-United-States, but outside of-the City o-Miami Beach limits, w11 arezli etl
performing work on the-contract within the City of Miami Beach.
A Contractor may institute an internal registry to allow for the provision of equal benefits to employees with
