Amendment 1 Deco Bike Bicycle Sharing Program a01ar.2 7p7� � Bbl r z AMENDMENT NO. 1 TO THE CONCESSION AGREEMENT BETWEEN THE CITY OF MIAMI BEACH AND DECO BIKE, LLC FOR THE IMPLEMENTAION, MANAGEMENT AND OPERATION OF A SELF- SERVICE BICYCLE SHARING PROGRAM PURSUANT TO REQUEST FOR-PROPOSALS (RFP) NO. 44-07/08 This Amendment N®.1 to the Agreement, is made and entered into this _i� day of Decem b�e 20131 by and between the CITY OF MIAMI BEACH, FLORIDA, a municipal corporation having its principal office at 1700 Convention Center Drive, Miami Beach, Florida, 33139 ("City"), and DECO BIKE, LLC, a Florida limited liability company whose address is 41 NE 17 Terrace, Miami, FL 33132 ("Concessionaire" or "Deco Bike"). RECITALS J WHEREAS, on July 15, 2009, Concessionaire entered into a Concession Agreement (the "Agreement') with the City in response to RPF No. 44-07/08 for the delivery and operation of a self-service bicycle rental fleet for public use to be stationed in the public right of way; and WHEREAS, the Agreement required Concessionaire to implement a program which would enable the public-to self-rent bicycles from any or a number of locations and return them to another location, on a 24 hour, 365 day a year basis; and WHEREAS, it was clear that, without intervention by the City, either through contract term modification or an additional revenue source, this program would not achieve a return of capital or modest profit to the Concessionaire, or recover the City's forgone parking revenues over the long term; and WHEREAS, on July 18, 2012, the Mayor and City Commission adopted Resolution No. 2012-27975 ("the Resolution"), accepting the recommendation of the City Manager to amend the Agreement, based upon the approved terms (as further referenced in the Term Sheet attached as Exhibit "A" to the Resolution), and authorizing the City Manager and the City Attorney's Office to negotiate and draft the following Amendment. NOW, THEREFORE, in consideration of the mutual promises, covenants and agreements herein contained, and other good and valuable consideration, in receipt and adequacy of which are hereby acknowledged and intending to be legally bound, the City and Concessionaire hereby amend the Agreement as follows: 1. The aforesaid recitals are true and correct and incorporated by reference herein. 2. Unless otherwise expressly stated herein, all capitalized terms shall have the respective meanings ascribed in the Agreement. 1 3. Subsections 1.1, 1.1.1 and 1.1.2 of the Agreement, are deleted and replaced with the following: 1.1 Following (i) the Mayor and City Commission's approval of Resolution No. 2012-27975 on July 18, 2012; and (ii) the City and Concessionaire's execution of this Amendment No. 1 to the Agreement, the initial term of the Agreement shall be extended for _ 4 an additional ten (10) years; with such term having been deemed to have commenced retroactively as of October 1, 2012, and ending on September 30, 2023. In addition to the enumerated terms and conditions of the Agreement, Concessionaire shall also be bound by the terms and conditions of this Amendment No. 1, as of the commencement date of the Term (or as of October 1, 2012). 1.1.1 The aforesaid amended contract term shall hereinafter be referred to as the "Term." 1.1.2 City and Concessionaire agree and acknowledge that the "Operational Rollout" date is deemed to have occurred on March 14, 2011. 4. Subsection 1.2 of the Agreement is deleted in its entirety.. 5. Subsection 1.3 of the Agreement is deleted and replaced with the following provision: 1.3 For purposes of this Agreement, a "Contract Year" shall be defined as that certain 365 day period commencing on October ending on September 30 of the following year. 6. Subsection 3.3.1 of the Agreement, entitled "Project Schedule/Project Implementation Launch," paragraphs 3 and 4 thereof, are amended as follows: The (Operational (`oiling 6hall he 400 hiGyGles far Phase II. Subsection 3.3.1 of the Agreement, entitled "Project Schedule/Project Implementation Launch," paragraph 7 thereof, is amended as follows: Phase 11 will be installed and R9 IateF thaR thFee (3) R;GRthS 40M the QpeFatiORal Rollout date. Phase II rollout, for up to one hundred and ten (110) Concession Areas from among those delineated in Exhibit 16.4, will be installed and implemented within ninety (90) days from the issuance by the City of the permit for each Concession Area. 8. Subsection 3.4.2 of the Agreement is deleted in its entirety and replaced with the following: 3.4.2 The Operational Ceiling shall be 500 bicycles for Phase I, and 600 bicycles for Phase Il, for a total of 1100 bicycles combined upon the implementation of both phases Citywide. 9. Subsection 4.1 of the Agreement, entitled "Percentage of Gross Sales (PG)" is deleted in its entirety and replaced with the following: 4.1 Percentage of Gross Sales. Commencing on October 1, 2012, an amount equal to 12% percent of gross sales, based on Concessionaire's -gross sales receipts up to $3,000,000, net of sales tax and merchant processing fees, shall become due and payable by Concessionaire to the City within fifteen (15) days following the end of each calendar month during each Contract Year throughout the Term. Commencing on October 1, 2012, an amount equal to fifteen percent (15%) of gross sales, based on Concessionaire's gross sales receipts greater than $3,000,000, net of sales tax and merchant fees, shall become due and payable by Concessionaire to the City within fifteen (15) days following the end of each calendar month during each Contract Year throughout the Term. Commencinq on October 1, 2012, an amount equal to twenty five percent (25%) of gross sales of Concessionaire's Bicycle Basket Sponsorship Program, shall become due and payable by Concessionaire to the City fifteen (15) days following the end of each calendar month during each Contract Year throughout the Term. 3 Commencing on October 1, 2012, Concessionaire will be permitted to place advertising up to forty (40) kiosks. The City shall receive 12% of the gross revenues on kiosk advertising. [For example, City and Concessionaire have made a reasonable assumption that it is expected that from October 1, 2012 through September 30, 2013, forty (40) kiosks will generate gross revenues of $480,000 annually to Concssionaire after deducting the City's share of $57,600 resulting in $422,400, net to Concessionaire which will be split 50/50 with the advertising company.l The term "gross sales receipts" is understood to mean "all income retained or accrued as a result of sales activity, derived by the Concessionaire under the privileges granted by this Agreement, including without limitation, Concessionaire's short-term bicycle rentals, bicycle subscription program, and membership sales, excluding amounts of any Federal, State, or City sales tax, or other tax, governmental imposition, assessment, charge or expense of any kind, collected by the Concessionaire from customers and required by law to be remitted to the taxing or other governmental authority." Any sales which result in credit card chargebacks where the customer's credit card company refuses or denies payment on transactions shall not be calculated as part of any revenues subject to revenue sharing. Concessionaire shall be exempt from sharing revenues on certain portions of its revenues derived under this Agreement. Annual revenues generated during the following Contract Years, beginning on October 1, 2012, shall be exempted from revenue sharing in the following amounts: Contract Year 2012-13: No revenue share on first $1,500,000 in revenues Contract Year 2013-14: No revenue share on first $1,250,000 in revenues Contract Year 2014-15: No revenue share on first $1,000,000 in revenues Contract Year 2015-16: No revenue share on first $750,000 in revenues Contract Year 2016-17: No revenue share on first $500,000 in revenues Contract Year 2017-18: No revenue share on first $250,000 in revenues In calculating revenue sharing payments due to the City, Concessionaire shall be permitted to reduce the annual amount subject to revenue sharing by the actual cost of credit card/merchant processing fees and sales tax each month. Concessionaire shall submit a monthly report documenting such processing fees it paid for credit card transactions and sales tax. 4 10. The following is added as Subsection 4.5 to the Agreement: 4.5 Return of Capital. Commencing on October 1, 2012, and on an annual basis thereafter, Concessionaire will be permitted a three percent (3%) profit on its initial capital investment, which, for purposes of this Agreement, is estimated at $3,715,000 ("Concessionaire's Investment"). Any net income earned in excess of three percent (3%) per Contract Year will be considered a return of capital. The three percent (3%) profit will be based on all revenues and all expenditures subject to ordinary, normal and customary charges with limited discretionary items. Any additional investment of capital by Concessionaire will be subject to the approval of the City with capital recovery terms to be negotiated. 11. The following is added as Subsection 4.6 to the Agreement: 4.6 Windfall Provision. Should Concessionaire's operations under this Agreement provide a return of Concessionaire's Capital Investment prior to September 30, 2023, the City shall receive a fifty percent (50%) share of Concessionaire's annual net income in excess of Concessionaire's three percent (3%) profit each year until the end of the Term of Agreement. This return to the City will be capped at the sum of: 1) all revenues exempted from the City share calculation including the following: a) sum of annual credit card/merchant processing fees, and b) the exempted revenues beginning on October 1, 2012 and declining at the rate of $250,000 per year through September 30, 2018: as well as 2) the revenues exempted during the first contract year of operations of, (as provided in the original Concession Agreement between the parties with an effective date of July 15, 2009): and 3) the cumulative difference, if any, between the foregone revenues of $3,000 per parking space occupied by Concessionaire's Equipment [estimated at approximately ninety (90) parking spaces], and the City's cumulative revenue share on memberships and rental fees during the Term of the Agreement. 12. Section 6 of the Agreement, entitled "`Inspection and Audit," paragraph 3 thereof, is amended as follows: aG%P 'R es. Additiei;ally, 6urh shall he- 5 aGGe mnnnied by a roper+ #em ,�;���.,+ Coe firm Commencing on September 30, 2013, Concessionaire shall submit at the end of each year Contract Year, an annual statement of gross receipts and expenditures, profits, and return of capital, in a form consistent with generally accepted accounting principles. Additionally, such statement shall be accompanied by a report from an independent CPA firm. 13. The following is added as Subsection 10.1.3 to the Agreement: For the period commencing on October 1, 2012, and ending on September 30, 2013, Concessionaire agrees to expend a minimum of $300,000 on the repair and/or replacement of bicycles. Thereafter (i.e. commencing on October 1, 2013), Concessionaire shall spend a minimum of $300,000, annually escalated by three percent (3%), for the repair and replacement of the bicycles serviced each year, based on a useful life expectancy of three (3) to four (4) years per bicycle. 14. Subsection 16.2 of the Agreement entitled "Advertising" is deleted in its entirety and replaced with the following: 16.2 Advertisements. The City shall permit Concessionaire to display limited commercial advertising material through the sale by Concessionaire of sponsorship branding or advertisements placed upon bicycle baskets in the Bicycle Basket Sponsorship Program (the "Program"). The Program shall be subject to, the requirements in Exhibit 16.2, attached hereto. Additionally, the permissible content of advertisements or sponsorship branding shall not include firearms, alcohol or tobacco products, or be of a sexually offensive nature nor promote unlawful or illegal goods, services or activities nor contain images or information that demean an individual or group of individuals on account of race, color, religion, national origin, ancestrygender, age, disability or sexual orientation. The City shall also permit Concessionaire to display limited commercial advertising material through the sale by Concessionaire of sponsorship brag or advertisements placements upon Concessionaire's bicycles rental kiosks in the Program (the "Kiosk Advertising gram"). The Kiosk Advertising Program is described in, and shall be subject to, the requirements set forth in Exhibit 16.3, attached hereto. Concessionaire shall be permitted to display all types of advertising and sponsorship content except for firearms, or tobacco products, or be of a sexually offensive nature nor promote unlawful or illegal goods, services or activities nor contain images or information that demean an individual or 6 group of individuals on account of race, color, religion, national origin, ancestry, gender, age, disability or sexual orientation. Alcohol product advertisements and sponsors shall be permitted on kiosks in the Kiosk Advertising Program. Any advertisements displayed on bicycles and kiosks shall comply with all Federal, State, Miami-Dade County, and City of Miami Beach laws, rules, regulations, ordinances, and codes, including but not limited to, those pertaining to and/or related to billboards, outdoor advertisements, and signage, as applicable. In addition, the construction, materials, content and appearance of any advertisements to be installed on the bicycle's or kiosks must be allowable and, if allowed, shall comply with such other and future requirements as Federal, State, County and City authorities may from time to time impose, including, but not limited to, public safety, zoning, building and aesthetic requirements. Concessionaire agrees not to sell or display advertisements containing non-alcoholic brands that are competitive to Coca-Cola so long as the City's Exclusive Non-Alcoholic Beverage Partnership with Coca-Cola is valid and in force. Any unauthorized advertisements on bicycles or kiosks (or on other Equipment, or within any Concession Area, or any advertisements failing to comply with any applicable Federal, State, County and City provision(s) shall and must be removed by Concessionaire, at its sole cost and expense, within forty eight (48) hours from receipt of written notice for the City anager or his/her designee. In the event such advertisements are not removed within said time period, the City may, at its sole option and discretion, terminate this Agreement for cause, without further notice to Concessionaire, and without liability to City. Concessionaire herein acknowledqes that the City reserves the right to impose such additional requirements for the installation and display of the advertisements, at any time, at its sole discretion; provided that the City_ Manager or his/her designee shall provide Concessionaire with written notice of such additional requirements and such requirements do no frustrate the purpose and intent of this Agreement. 15. Exhibit 3.2.1 of the Agreement is deleted in its entirety and the amended Exhibit is attached hereto as "Amended Exhibit 3.2.1" to this Amendment No. 1 to the Agreement. 16. New Exhibits 16.3, 16.4 and 16.5 are attached hereto to this Amendment No. 1 to the Agreement. 7 17. Except as expressly set forth in this Amendment No. 1 to the Agreement, all other terms and conditions set forth in the Agreement shall remain in full force and effect. The parties agree to the following prices and price ranges: Short-Term Bicycle Rentals: • $4.00 per half-hour to $5.00 per half-hour • $6.00 per hour to $9.00 per hour • Benefits: All short-term bicycle rentals provide the user access to any bike available in the program at any location. A member can pick up and return a bicycle to and/or from any kiosk location with docking space or inventory available. All members will enjoy the amount of time contracted for. Should a member not return their bicycle to a rack within that time, their credit card will continue to be charged in the same increments in which they chose to rent. • Acceptable form of payment: Credit Cards Membership Subscriptions: • Monthly Subscription - $9.00 per month to $25.00 per month • One Month (no subscription) - $20.00 to $35.00 • One Week - $12.00 to $20.00 • Annual Membership Subscription - $75.00 to $200.00 • Benefits: All membership subscriptions provide the user access to any bike available in the program at any location. A member can pick up and return a bicycle to and/or from any kiosk location with docking space or inventory available. All members will enjoy an unlimited amount of daily trips up to thirty (30) minutes in length each. If the 30 minute time limit is exceeded, escalating late fees will be assessed to insure prompt returns. • The following free and fees apply: Free 1" half-hour o $4.002 n half-hour and each half-hour thereafter • Acceptable forms of payment: Credit Card, Debit Card, checks and money orders. • Concessionaire may discount memberships and rentals at its discretion for marketing and promotional purposes. Any further rate changes during the term of this Agreement shall be negotiated by the City Manager and need not go before the City Commission for approval. Patrons are required to operate the bicycles at their own risk while checked out. In the event of bicycle theft while a patron has a bicycle checked out, such should be reported to the police and patrons shall be required to obtain a police report. Concessionaire 10 i may, at its sole option, choose to refund all or part of any patron's security deposit or rental fees it deems necessary on a case by case basis. 11 i EXHIBIT 16.3 KIOSK ADVERTISING FORMAT Concessionaire shall be permitted to display advertising and/or sponsor branding on approved program kiosks in using either of two (2) options as shown above. Concessionaire shall exceed the stated dimensions of either (a) 48" x 22" for Option 1, or (b) 42" x 15" for each of the two (2) panels in Option 2.
