2014-28537 Resolution RESOLUTION NO. 2014-28537 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, WAIVING, BY 5/7T" VOTE, THE COMPETITIVE BIDDING REQUIREMENTS, FINDING SUCH WAIVER TO BE IN THE BEST INTEREST OF THE CITY, AND AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT FOR THE ACQUISITION AND MAINTENANCE OF HANDHELD AND MOBILE LICENSE PLATE RECOGNITION (LPR) PARKING ENFORCEMENT SYSTEMS WITH OMNIPARK, INC., IN THE NOT TO EXCEED AMOUNT OF $269,400. WHEREAS, the Parking Department is in the process of implementing license plate readers (LPR) to enforce parking regulations, including parking fees and permits using digital scanning technology to read vehicle license plate numbers and verify whether the license plate is in compliance with parking regulations; and WHEREAS, the Parking Department will utilize both hand-held (for high traffic and congestions areas) and vehicle-mounted (other areas including residential) LPRs; and WHEREAS, to seek the necessary equipment and related services (software, maintenance, etc.), on March, 2012, the City Commission approved the issuance of Request for Proposals No. 35-11/12 for the Acquisition of a Mobile and/or Handheld License Plate Recognition (LPR) Parking Enforcement System; and WHEREAS, the aforestated Request for Proposals required proposers to submit proposals for both hand-held and vehicle mounted LPRs; however, neither of the received proposals provided both hand-held and vehicle mounted LPRs; and WHEREAS, accordingly, the Administration declared both proposals non- responsive and, on July 12, 2012, the City Commission approved the issuance of RFP No. 55-11/12 (the RFP), which provided that proposers could provide hand-held and/or vehicle-mounted LPRs; and WHEREAS, four (4) proposals were received in response to the RFP; however, only one (1) proposal, ParkTrak, Inc. ("ParkTrak"), was deemed responsive; and WHEREAS, ParkTrak's proposal only provided a solution for the hand-held LPR; and WHEREAS, on September 12, 2012, the Mayor and City Commission adopted Resolution No. 2012-27986, authorizing the Administration to negotiate a contract for the hand-held LPR with ParkTrak and, further, authorizing the Administration to negotiate for the inclusion of a vehicle-mounted solution through a third-party, as available; and WHEREAS, on November 14, 2012, the Mayor and City Commission adopted Resolution No. 2012-28057, approving an agreement with ParkTrak for both the hand- held and vehicle-mounted LPR parking enforcement system (the Agreement); and WHEREAS, under the Agreement, the deployment of the LPR system for both the handheld and mobile units has been divided into two (2) phases: Phase I for the deployment of five (5) hand-held LPR, and one (1) vehicle-mounted LPR;'and Phase II for the deployment of 25 hand-held, and two (2) vehicle-mounted units; and WHEREAS, Phase I of the Agreement has been completed, and the units have been successfully implemented; and WHEREAS, prior to the commencement of Phase II, in December, 2013, ParkTrak informed the City that, due to financial difficulties of the firm, as well as an IRS lien on all of its assets, it would cease operations and would not be able to complete implementation of Phase Il; and WHEREAS, in December, 2013, ParkTrak informed the City that, effective December 2013, OmniPark had acquired the remaining assets of ParkTrak, subject to the IRS lien; and WHEREAS, in December 2013, ParkTrak and OmniPark reached an agreement for OmniPark to purchase all of ParkTrak's assets, including contracts and intellectual property; however, the asset acquisition has been delayed by the IRS lien levied against ParkTrak and its assets, thereby precluding Parktrak's assignment of the Agreement with the City to OmniPark; and WHEREAS, in the interim, OmniPark and ParkTrak have signed a "bridge" agreement, exclusively licensing all of ParkTrak's intellectual property to OmniPark and II services and billing for existing sub-contracting OmniPark to provide a g g ParkTrak 9 customers; and WHEREAS, ParkTrak has no current ability to provide products or services under its Agreement with the City; and WHEREAS, Omnipark had been collaborating with Parktrak in the successful completion of Phase I under the Agreement; and WHEREAS, under the current circumstances, it is in the City's best interest to waive competitive bidding and execute an agreement with OmniPark with the same terms and conditions of the current Agreement with ParkTrak, for Phase II of the project as well as the ongoing maintenance and support of the entire system, in the not to exceed amount of$269,400; and WHEREAS, OmniPark has agreed to supply the City with a performance and payment bond, in the full amount of the value of the contract, as well as waive any proprietary rights to the system in the event of default or insolvency. NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA that the Mayor and City Commission waive, by 5/7th vote, the competitive bidding requirements, finding such waiver to be in the best interest of the City, and authorize the City Manager to execute an Agreement for the acquisition and maintenance of handheld and mobile License Plate Recognition (LPR) parking enforcement systems with Omnipark, Inc., in the not to exceed amount of $269,400. The deployment of the LPR system for both the Handheld and Mobile units has been divided in two (2) phases: Phase I for the deployment of five(5)hand-held LPR and one(1)vehicle-mounted LPR;and,Phase 11 for the deployment of 25 hand-held and five(5)vehicle-mounted units. Phase I is now completed and the units have been successfully implemented. Phase II was intended to include 25 hand-held and two (2) vehicle-mounted LPRs. However, prior to Phase II commencing, ParkTrak informed the City that, due to financial difficulties of the firm, it would cease operations and would not be able to complete implementation of Phase II or subsequent maintenance requirements. ParkTrak has also informed the City that, effective December 2013, OmniPark, Inc. ("OmniPark") had acquired the remaining asset of ParkTrak.Accordingly, ParkTrak has no current ability to provide products or services to any customers under the City's current agreement.Any desire the City may have to continue the LPR parking enforcement system implementation, as well as maintenance for already installed components, will need to be contracted through OmniPark. Therefore, under the current circumstances, it is in the City's best interest to execute an agreement with OmniPark with the same terms and conditions of the current agreement with ParkTrak (see attached) for Phase I I of the project as well as the ongoing maintenance and support of the entire system. RECOMMENDATION The Administration recommends that the City Commission adopt the attached Resolution authorizing the City Manager to execute an Agreement, for the acquisition and maintenance of handheld and mobile License Plate Recognition (LPR) Parking Enforcement Systems with the firm of Omnipark; and further waiving, by 5/7ths vote,the formal competitive bidding requirements,finding such waiver to be in the best interest of the City. LPRs use digital scanning technology to read vehicle license plate numbers and verify whether the license plate is in compliance with parking regulations. The Parking Department will utilize both hand-held and vehicle-mounted LPRs. The hand-held units are utilized for high traffic and congestion areas. The vehicle-mounted units are utilized in other areas, including residential. To seek the necessary equipment and related services (software, maintenance, etc.), in March, 2012, the City commission approved the release of Request for Proposals (RFP) 35-11/12. The RFP required proposers to submit proposals for both hand-held and vehicle mounted LPRs. RFP 35-11/12 resulted in two (2) proposals. However, neither of the proposals received provided both hand-held and vehicle mounted LPRs. Accordingly, the Administration declared both proposals non-responsive and on July 12, 2012, the City Commission approved the issuance of RFP 55-11/12, which stipulated that proposer may provide hand-held and/or vehicle-mounted LPRs. Four (4) proposals were received in response to RFP 55-11/12. However, only one (1) proposal received, ParkTrak, Inc. ("ParkTrak"), was deemed responsive to the minimum requirement of having successfully completed at least three (3) externally hosted LPR solution packages. ParkTrak's proposal only provided a solution for the hand-held LPR. On September 12, 2012, the Mayor and City Commission awarded RFP 55-11/12 to ParkTrak, and authorized the Administration to negotiate a contract for the hand-held LPR proposed by ParkTrak; and, further, authorized negotiations for the inclusion of a vehicle-mounted solution through a third-party as available. OmniPark was founded in 2009 as a division of Imprezzio, Inc. It was separately incorporated in October of 2013 and became a sister company to Imprezzio under their common parent 2point0 Capita. OmniPark's vision is to create a complete suite of management and operational tools for cities, campuses and companies to manage all of their parking operations. Their key resources have been working together to provide tools for the parking industry since the 1990s. As part of the 2point0 family, OmniPark has access to the resources necessary to take care of even the largest enterprise customers. Their extended team consists of over 150 employees across 5 countries in North America and Europe. OmniPark's company president, Kelly Birr, also serves on the board of 2point0 Capital. Several of OmniPark's key staff are current employees of ParkTrak; therefore, they are very familiar with the City's current Phase I implementation of the ParkTrak LPR system. Additionally, Omnipark has been collaborating with Parktrak in the successful completion of Phase I of the scope of services covered under the agreement with the City. Omnipark has successfully implemented this system in various municipalities including City of Mount Clemens, MI; City of Harrisonburg, VA; City of Wheaton, IL; and City of Bainbridge Island, WA. OmniPark has agreed to supply the City with a performance (including maintenance) and payment bond in the full amount of the value of the contract, as well as waive any proprietary rights to the system in the event of default or insolvency. Therefore, under the current circumstances, it is in the City's best interest to execute an agreement with Omnipark with the same terms and conditions of the current agreement with ParkTrak (see attached) for Phase II of the project as well as the ongoing maintenance and support of the entire system. CONCLUSION The Administration recommends that the City Commission adopt the attached Resolution authorizing the City Manager to execute an Agreement, for the acquisition and maintenance of handheld and mobile License Plate Recognition (LPR) Parking Enforcement Systems with the firm of Omnipark; and further waiving, by 5/7ths vote, the formal competitive bidding requirements, finding such waiver to be in the best interest of the City.
