AUTHORITY - Upon affirmative action taken by the Mayor and City Commission of the City of Miami Beach, Florida, on June 11, 2014, for approval to award a contract, upon execution between the City of Miami Beach, Florida, and Contractor. B. EFFECT - This Contract is entered into to provide water pipe break, cured-in place lining for sanitary sewer pipes and storm water drainage pipes, and rehabilitation of sanitary sewer manholes and storms water manholes pursuant to City Invitation to Bid No. 2013- ' 145-ITB-LR and any addenda thereto (the ITB), and Contractor's bid in response thereto (this Contract, -the ITB, and Contractor's bid in response thereto may hereinafter collectively be referred to as the "Contract Documents"). i I C. ORDERING INSTRUCTIONS - All blanket purchase orders shall be issued in i accordance with the City of Miami Beach Department of Procurement Management policies and procedures, at the prices indicated, exclusive of all Federal, State and local taxes. All blanket purchase orders shall show the City of Miami Beach Contract Number 2013-145-ITB-LR. 1 D. CONTRACTOR PERFORMANCE - City of Miami Beach departments shall report any { failure of Contractor's performance (or failure to perform) according to the requirements of the Contract Documents to City of Miami Beach, Eric Carpenter, Public Works Director at 305-673-7080. E. INSURANCE CERTIFICATE(S) - The Contractor shall file Insurance Certificates, as { required, which must be signed by a Registered Insurance Agent licensed in the State of Florida, and approved by the City of Miami Beach Risk Manager, prior to delivery of supplies and/or commencement of any services/work by Contractor. F. ASSIGNMENT AND PERFORMANCE - Neither this Contract nor any interest herein shall be assigned, transferred, or encumbered by Contractor without the prior written consent of the City. In addition, Contractor shall not subcontract delivery of supplies, or any portion of work and/or services required by the Contract Documents without the prior written consent of the City. 7. Certification of Contract K. NOTICES - Whenever either party desires to give notice to the other, such notice must be in writing, sent by certified United States Mail, postage prepaid, return receipt requested, or by hand-delivery with a request for a written receipt of acknowledgment of delivery, addressed to the party for whom it is intended at the place last specified. The place for giving notice shall remain the same as set forth herein until changed in writing in the manner provided in this section. MATERIALITY AND WAIVER OF BREACH - City and Contractor agree that each requirement, duty, and obligation set forth in the Contract Documents is substantial and important to the formation of this Contract and, therefore, is a material term hereof. City's failure to enforce any provision of the Contract Documents shall not be deemed a a waiver of such provision or modification of this Contract. A waiver of any breach of a provision of this Contract shall not be deemed a waiver of any subsequent breach and shall not be construed to be a modification of the terms of this Contract. M. SEVERANCE - In the event a portion of this Contract and/or the Contract Documents is found by a court of competent jurisdiction to be invalid, the remaining provisions shall continue to be effective unless City or Contractor elects to terminate this Contract. An election to terminate this Contract based upon this provision shall be made within seven (7) days after the finding by the court becomes final. 3 u Certification of Contract N. APPLICABLE LAW AND VENUE - This Contract and/or the Contract Documents shall be enforceable in Miami-Dade County, Florida, and if legal action is necessary by either party with respect to the enforcement of any or all of the terms or conditions herein exclusive venue for the enforcement of same shall fie in Miami-Dade County, Florida. By entering into this Contract, Contractor and City hereby expressly waive any rights either party may have to a trial by jury of any civil litigation related to, or arising out of the Contract and/or the Contract Documents. Contractor, shall specifically bind all subcontractors to the provisions of this Contract and the Contract Documents. O. AMENDMENTS - No modification, amendment, or alteration in the terms or conditions contained herein, or in the Contract Documents, shall be effective unless contained in a written document prepared with the same or similar formality as this Contract and executed by the City and Contractor. P. This Contract shall not be effective until all bonds and insurance(s) required under the Contract Documents have been submitted to, and approved by, the City's Risk Manager. Q. The ITB and Contractor's bid in response thereto, are attached to this Contract and are hereby adopted by reference and incorporated herein as if fully set forth in this Contract. The purpose of these contracts is to engage a contractor to provide all supervision, labor, materials and necessary equipment to clean or clear the sanitary sewer and storm water pipe stoppages on an ongoing basis,and on an emergency basis,as well as provide CCTV services to ascertain,the condition of the pipes in an effort to proactively assure the sanitary sewer and storm water systems are operating effectively. These contracts are used to supplement the work performed by the Public Works Department. This service was identified to be performed by external resources as a cost saving measure a few years ago and subsequently the City also opted not to replace a city owned piece of equipment which normally performs such work. The contract will be used to work on a weekly basis to clean the sanitary sewer lines in conjunction with the consent decree and perform cleaning of the storm water system to prevent street flooding. Such activities will be planned, overseen,and verified by the Public Works Operations Division and paid for at a weekly rate established in the contract. In the event there Is an emergency,there are provisions in the contract for the contractor to respond within two(2)hours,and an hourly emergency rate would apply. Also, additional Items are included in the bid, which provide for service based on the diameter of the pipes should a separate project be required beyond the routine or emergency work. On June 5, 2013, the City Commission approved the award the contracts to JCC Enterprises Labor, Inc.,the lowest bidder, as the primary vendor, A&A Drainage &Vac Services, Inc., the second lowest bidder, as the secondary vendor,and Shenandoah Construction,the third lowest bidder,as the tertiary vendor.Since that time, it has become evident that additional resources are necessary to fully address the City's needs,primarily because the awarded contractors are either small firms with limited equipment resource or are currently engaged in similar projects awarded by other counties or municipalities.As such,the City Manager is recommending that a fourth bidder to the ITB, Envirowaste Services, be awarded a contract pursuant to the ITS. Methodology and Approach EnviroWaste's main vehicle storage yard is 15 minutes away from the public works facility, and many times we have responded to City request's within a half hour after an emergency call. Our yard is located off Miami Avenue and North 22 St. During after hour emergency work calls, we do have employees who live nearby and can respond well within the two hour window. Our history with the City can speak for itself. We also have the ability to leave our truck on site in the City's yard, should the City prefer that option. We've worked with cities in the past where we supply them with a sewer truck on a monthly basis, where for all intents and purposes the truck is theirs to use. We simply show up each morning and we are directed as to what we are to clean for that day. At the end of each day we repot back to our city supervisor what was.done, then dispose of the debris at their facility. Should an emergency arise while on the City's time there is no additional charge since we are already on site and the added benefit is we can typically get on site with in a matter of minutes. The greatest benefit ends up being to your residents who end up being inconvenienced the least. What sets us apart from our competitors is that we can determine where your problems in your sewer lie, and we can also repair them. We are one of the only contractors that can do all of this in house with the same personnel. By dealing with the same project managers you are guaranteed to get the results the City absolutely needs. There isn't the need of having to go through an inspection contractor, an engineer, looking for a contractor, all while the parties in between being confused. Since we are vertically integrated, the construction side works closely with the cleaning side of the business and everything typically goes quickly and efficiently. Our biggest benefit to the City, as stated before is availability of equipment. Having the largest fleet in the state, allows you the flexibility to call in 5-10 trucks in an extreme ; emergency. If your master pump station goes down, you'll need multiple trucks, and you'll need them for days on end. Also when you have a large diameter transmission i line rupture, you'll need vacuum trucks to clean up all that debris.
