AMENDMENT NO. 1 TO THE CONTRACT
BETWEEN THE CITY OF MIAMI BEACH, FLORIDA
AND
LIMOUSINES OF SOUTH FLORIDA, INC
CONTRACT NO. ITB 2014-154-SR, DATED MAY 8, 2014
FOR THE TURNKEY TROLLEY OPERATIONS AND MAINTENANCE SERVICES
("CONTRACT")
This Amendment No. 1 (Amendment) to the Contract is made and entered into this
° day of S ®�---�g�, 2014, by and between the City of Miami Beach,, Florida
(City), and Limo ines of South Florida, Inc. (Contractor), and hereby amends the
Contract as follows:
WHEREAS, at its April 30, 2014 meeting, the City Commission approved the
award of Invitation to Bid (ITB) No. 2014-154-SR for North Beach Turnkey Trolley
Operations and Maintenance Services to Limousines of South Florida, Inc. (LSF), and
WHEREAS, on or about May 8, 2014, the City and Contractor executed the above
referenced Contract; and
WHEREAS, Section 4 of Exhibit "A" of the Contract reads as follows:
.OPTIONAL EQUIPMENT. It is the CITY's intent to have all vehicles used for
this trolley system to be equipped at some point in the future with the following
equipment, including but not limited to: Automatic Passenger Counters (APC),
Automated Voice Information Systems (AVIS ), Wi-Fi services, real time GPS
tracking services (with capabilities to provide mileage, service hours and
ridership reports, and capabilities to provide data in a format that is compatible
with Miami-Dade County's mobile application Miami Dade Bus Tracker). The
CITY at its sole discretion may have this option provided separately by the
CONTRACTOR, Miami Dade County, or may directly supply this equipment for
installation to the CONTRACTOR and the CITY will negotiate any cost impacts
with the CONTRACTOR. The CONTRACTOR shall not include the cost of the
above equipment and related maintenance fees in the hourly rate for this
Agreement; and
WHEREAS, on July 30, 2014, the Mayor and City Commission adopted
Resolution No. 2014-28708, authorizing the City to secure Optional Equipment, as well
as additional Automated Stop Announcement Equipment, with the capability of
displaying public advertisements; all for the not to exceed amount of$150,000; and
WHEREAS, the aforestated Optional Equipment and additional Automated Stop
Announcement Equipment is being provided pursuant to a subcontract to be entered into
between Contractor and TSO Mobile by Tracking Solutions Corp. in the amount of
$149,550.84 (the "Sub-contract"); the Sub-contract is attached and incorporated as
Exhibit "A-1" of this Amendment; and
WHEREAS, pursuant to Article 3, Section 1 of the Contract, the City Manager
has the authority to approve subcontractors under the Contract; and
WHEREAS, the City Manager has reviewed the attached Sub-contract and
hereby recommends approval of same; and
WHEREAS, execution of the Sub-contract between Contractor and TSO Mobile
is a condition precedent.to City's execution of this Amendment.
NOW THEREFORE, in consideration of the mutual promises and conditions
contained herein, and other good and valuable consideration, the sufficiency of which is
hereby acknowledged, the City and Contractor hereby agree as follows:
1. The above recitals are true and correct and are incorporated as part of this
Amendment No. 1.
2. Section 4 of Exhibit "A" of the Contract is amended to add the following
paragraph:
Pursuant to this Section 4, the City has opted to equip its trolley system with the
following equipment: Automatic Passenger Counters (APC), Automated Voice
Information Systems (AVIS), Wi-Fi services, real time GPS tracking services
(with capabilities to provide mileage, service hours and ridership reports, and
capabilities to provide data in a format that is compatible with Miami-Dade
County's mobile application "Miami Dade Bus Tracker"), and additional
Automated Stop Announcement Equipment with the capability of displaying
public advertisements (collectively, the "Optional Services"). The Contractor shall
provide its Optional Services by entering into a Sub-contract with TSO Mobile, in
the total amount of $149,550.84 (the Sub-contract). The City Manager hereby
approves the Sub-contract (attached as Exhibit A-1 hereto); provided that in
addition to the terms and conditions contained herein, Contractor shall be solely
responsible to the City for any and all costs incurred (whether within the warranty
period or not) due to negligence in the administration, abuse, misuse, accident,
or unauthorized alterations or repairs relating to the equipment purchased in
connection with the Optional Services.
3. Except as amended herein, all other terms and conditions of the Contract shall
remain unchanged and in full force and effect.

AGREEMENT
THiS AGREEMENT dated this day of September, 2014 by and between the TSO )Mobile by
Tracking Solutions Corp., (herein, referred to as "7'SO"); a Florida Corporation, and Limousines of
South Florida, Inc.,a Florida corporation,herein referred to as "LSF".
WHEREAS, LSF has a contract with the City of Miami Beath -to provide a full turnkey Trolley
Service which includes equipping the vehicles with the following optional equipment: Automatic
Passenger Counters(APC),Automated Voice Information Systerns(AV1S),'Wi-Fi services,real time
GPS tracking services (with capabilities to provide mileage, service hours and ridership reports,and
capabilities to provide data in a format that is compatible with Miami-Dade County's mobile
application "Miami Dade Bus Tracker") and additibnal automated stop announcement equipment,
with the capability P Y of displaying public advertisements through the contractors subcontract with
TSO;
WHEREAS,TSO has provide LSF with the attached quote dated September 4, 2014, Quote Number
SF987456121.in the amount of$149,550.84 that includes all hardware,software, installation,support
and reoccurring charges for all data packages for a five year period and has been attached to this
Agreement as:Exhibit"A";
WHEREAS, LSF has agreed to contract with TSO to provide the above described services to the
City of Miami Beach pursuant to their Agreement with the City, utilizing TSO as a sub-contractor
and incorporating the attached Solutions provided by TSO as Exhibit"B"of this agreement;
WHEREAS, LSF will pay TSO for all hardware, setup and installation for the above described
equipment in two equal payrnents, once this Agreement is executed and a bill is provided. to LSF
trom TSO for the hardwire, setup. and installation and this Agreement is approved by the City of
Miami Beach,. LSF wilI. stake the first .payment to TSO. Once installation in completed and the
hardware is installed in 60%of the vehicles for this Agreement,LSF will pay TSO the balance of the
total amount of-the bill for the hardware, setup and installation, Then LSF will submit billing to the
City of Miami for reimbursement;
WHEREAS, TSO-and LSF has agreed to the warranty terms set forth in the attachment marked as
Exhibit"C"and attached hereto;
MISCELLANEOUS
ASSIGNMENT AND PERFORMANCE: Neither this Agreement nor any interest herein shall be
assigned,transferred,or encumbered by either party and TSO shall not subcontract any portion of the
work required by this Agreement without the written consent of LSF;
QUALIIY .REPRE5ENTATIONS AND WARRANTY: TSO represents that all persons delivering
the services required by this Agreement have the knowledge and skill, either by training,experience,
education or a combination thereof, to adequately and competently perform the duties, Obligations,.
and services set forth In this Agreement and to provide and perform such services to F's
satisfaction;
NUN-WAIVER OF BREACI1: Failure by LSF to enforce any provision or•rodification of this
Agreement shall not be deemed a waiver of such provision or modification of this Agreement;
SEVERANCE: In the event this Agreement or a portion of this Agreement Is tound by a court of
competent jurisdiction to be Invalid, the remaining provisions shall continue to be effective unless
LSF or TSO elects to terminate this Agreement.
JOINT PREPARATION: Preparation of this Agreement has been a joint effort of LSF and
TSO and the resulting document shall not, solely as a matter of judicial construction, be construed
more severely against one of the parties than any other.
PRIORITY OF PROVISIONS--- if there Is a conflict or )nconsistency between any term, statement,
requirement, or provision of any exhibit attached hereto, any document or events referred to herein, or
any doCLrrnent incorporated into this Agreement by reference and a term statement, requirement, or
provision of this Agreement, the terra, statement, requirement, or provision contained in this Agreement
shalt prevail and be given effect.
APPLICABLE LAW AND VENUE: This Agreement shall be Interpreted and construed in accordance
with and governed by the laws of the State of Florida. Venue for litigation concerning this Agreement
shall be In Broward County,Florida.
AMENDMENTS:No modification,amendment,or alteration in the terms or conditions contained herein
shall be effective unless contained In a written docurent prepared with the same or similar formality as
this Agreement and executed by the LSF and TSO.
PRIOR AGREEMENIS: This document incorporates and includes all prior negotiations,
correspondence, conversation, agreements, and understandings applicable to the matters contained herein
and the parties agree that there are no commitments, agreements, or understandings contained
n ng the
subject matter of this Agreement that are not contained in this document. Accordingly, the parties agree
that no deviation from the terms Or .conditions contained herein shall be predicated upon any prior
representations or agreernopts; whether .or•al or written. It is further agreed that no modification,
amendment or alteration in the terms.or conditions contained herein shall be effective unless contained in
a written document.
AT'T'ORNEY FEES: In the event of any litigation arising out of any dispute or other matters contained
herein, then the prevailing party shall be entitled to reasonable attorneys' tees and court costs Including
those expenses Incurred through appellate review,and must be In Broward County,Florida.

Advertisement Module
Capability to provide remotely controlled Advertisement to be displayed in flat screen LED TV.
This screen would also display"next stop" information while still displaying Advertisement and
the "next stop"would be GPS triggered. From my research of both companies, it is my
understanding that TSO Mobile do not have this module integrated in one piece of equipment
but instead as a combination.of parts.
TSO has fully capabilities to provide a remotely Controlled Advertisement system that can
broadcast advertisement and information in multiple screen/TV's
TSO Multimedia Information release system is an HD multimedia.display technology that uses
screens to comprehensively show campaigns and real-time notices.The system combines
audio,videos,TV images, pictures, animation,texts, documents, websites,streaming media and.
database data into many features, and then uses network to release the finished programs to
media display terminals everywhere in real-time. The images and real-time information will be
comprehensively,and perfectly displayed in front of the needed audience at designated
locations.
TSO Multimedia information release.system is made up with four parts.
They are:server control terminal, network platform,terminal network player and display
device.
1.Server.:control terminal:
Program production, program management,program release,terminal management and
system management.
2. Network platform
.A passage for terminals to access the server's network.The system supports multiple network
platforms.They are.LAN, WAN, DDN, WI-F1; 3G,:ADSL.
3.Network multimedia player:
Plays videos,pictures,texts, websites, office files, PDF files, FLASH, weather and various
materials sent by the server terminal.
4. Display device Includes:
LCD screens/TVs(LCD), plasma TVs (PDP), micro-dis Icy TVs (DLP ,full-color LED big screens,

The-information related to the stops(Arriving at...and Leaving for...) is not a broadcasted
information, every vehicle manage different information and locations. The annunciator system
AVAS must provide an accurate information for the passenger,independently of any cellular
data communication. usually the AVA5 runs locally in a offline system that can be updated over
the air. We at`TSO can populate.the Stop information in the tv screen,but the.'following
considerations must be made: g
2-ADA compliance require characters of 2 inches tall(minimum) to show Stop information.
2-This character size will occupy a large part of the screen (wider than the regular information
scrolling bar-on the TV's(bottom)), reducing the Advertisement area.
3-The lumens that the TV has are LOWER that the provided by the LI=D board.ADA requires a
clear message and legible to the customers.
4-The 22"screen has a wide of 20"Y. resulting in a limited area to show the stop names, in
comparison to the 29"that the LED board has.
5-We always recommend a separated system to manage the Stop Annunciator and the Media
Advertisement because any fail not prejudice the other system and usually the departments in
charge of the dispatching of buses with routes and TV advertisement are different.
6-We can install the TV Display on top or below of the LED board creating a one Visual location
with both screens.

Capability to provide accurate passenger counts. In my research of the two companies for
which you provided quotes, REI uses a newer APC technology that utilizes cameras and patterns
(which would address the well-known issue of count duplication)as opposed to horizontal
beam sensors. In addition,counts and reports could be accessed in real time. On the other
hand,TSO advised that reports for APCs were just.being developed.
T50 has a strong APC solution integrated, with full report capabilities.All the information of
the APC's are transmitted on the wireless network together with the AVL/GPS data.All the
reporting is online and in real time.The online reports shows the basic information requested
by transportation agencies. A more complete offline suite is available at an extra cost with the
capability to produce NTD Annual Reporting National Transit Database,Automatic

APC Accuracy
The accuracy of our Automatic Passenger Counting Systems is considered to exceed that of a
single checker on-board a bus and comparable to that obtained by two checkers,one stationed
at each door.APC users in the transit systems that have utilized our APC system consistently
express satisfaction with the accuracy of our APC system. In the following,the overall
concurrence value represents the total number of boardings and alightings counted by the APC
system compared to the total number of boardings and alightings counted by experienced
manual checkers.The Manual-APC Deviation Range+/-1 represents the percentage of time the
manual and APC observations were within one(1)of each other. Implementation of our APC

We will need fully functional reports at the time the North Beach Trolley is launched.Reports
for on time performance, idling time, service miles between breakdowns,and entry/exit fe 'm
geofence are needed. In this area, my research showed that both companies were lacki ne
or more type of report. The City would prefer to utilize the company that has these reports fully
functional and at no additional cost to the City.
TSO Mobile has a complete report capability with more than 250 reports in its library for all its
nodules.One of our characteristics is our capability to provide the customer with feasible
solutions.TSO counts with IN HOUSE developers that can program and prepare customizable
reports based on the collection of regular data, if they are not available in our library. We will
be glad to serve MR with any report that optimize their operation at no extra cost.

This is one of the areas that really concerned me. In my experience with using both the TSO
mobile application and REI's interface with various browsers (chrome, explorer,firefox), carriers
(ATT, Tmobile and Verizon) and devices (androids and iphones), I have found that there is a
deficiency with the TSO Mobile application where there is a clear icon delay.The way the
algorithm is currently written does not allow for the quick refresh and movement of the icons,
this really concerns me as we are advertising "real time tracking"; In some occasions I have
witnessed vehicles traveling backwards in the route as opposed to moving in the direction of
the route,this questions the reliability on the eyes of the customer. I have communicated this
to TSO mobile but no changes have been noted in the interface.
The App interface has two instances the process at the server level and the strength of signal at
the customer level. We can only manage the first one.TSO is always improving the solution and
investing in get a better tool for our customers. The built out of the route for MB was
developed at a fast pace for a request in Jan 20th to be delivered in February 151,since then and
during this year we implemented a new route builder with more accuracy in the routes creation
(landmarks and way points)together with a websocket system that is replacing the
communication way between Vehicle,Server and Customer.The Websocket technology allows
the information to fly simultaneously in two directions feeding the server and the customer at
the same time, reducing the operational processes providing in result a better and more
accurate data with fluid visual effect. Our system is in constant learning mode,the
accumulation of statistical data,such as, speed, dates,season,times,segments,reinforce the
calculation of ETA's providing a real Intelligent Transportation System.
I have spoken to other municipalities about this and they seem to have the same issue.There is
a clear difference in end-product between companies in this area. can TSO provide a
comparable solution to REI (yes or no) and can it be implemented by October 2014 and would
LSF quote be within the approved budget?

The information related to the stops (Arriving at—and Leaving for..,) is not a broadcasted
information, every vehicle manage different information and locations. The annunciator syst(;m
AVAS must provide an accurate information for the passenger, independently of arty cellular
data communication. Usually the AVAS runs locally in a offline system that can be updated over
the air. We at TSO can populate the Stop information in the tv screen, but the following
considerations must be made:
1-ADA compliance require characters of 2 inches tall (minimum)to show Stop information.
2-This character size will occupy a large part of the screen (wider than the regular information
scrolling bar on the TV's(bottom)), reducing the Advertisement area.
3-The lumens that the TV has are LOWER that the provided by the LED board. ADA requires a
clear message and legible to the customers.
4-The 22"screen has a wide of 20"%resulting in a limited area to show the stop names, in
comparison to the 29"that the LED board has.
5-We always recommend a separated system to manage the Stop Annunciator and the Media
Advertisement because any fail not prejudice the other system and usually the departments in
charge of the dispatching of buses with routes and TV advertisement are different.
6-We can install the TV Display on top or below of the LED board creating a one Visual location
with both screens.
• APCs
Capability to provide accurate passenger counts. In my research of the two companies for
which you provided quotes,REI uses a newer APC technology that utilizes cameras and patterns
(which would address the well-known issue of count duplication)as opposed to horizontal
beam sensors. In addition, counts and reports could be accessed in real time. On the other
hand,TSO advised that reports for APCs were just being developed.
TSO has a strong APC solution integrated, with full report capabilities.All the information of
the APC's are transmitted on the wireless network together with the AVL/GPS data.All the
reporting is online and in real time.The online reports shows the basic information requested
by transportation agencies.A more complete offline suite is available at an extra cost with the

Tracking Solutions Corp will handle the replacement of all GPS tracking products and bear the cost for
the removal of the original equipment, the cost for the return of the damaged unit, the cost of the delivery
of the replacement unit and the cost of reinstallation. Such repairs or replacement will be made at no
charge to Customer.
IMPORTANT RETURN MATERIAL AUTHORIZATION PROCEDURE
Anyone returning goons to Tracking Solutions Corp must first obtain, complete and submit the required
return material authorization form(RMA).Tracking Solutions.Corp will not accept any shipment for which
prior authorization has not been obtained. Products which Tracking Solutions Corp determines to be
repairable will be repaired and returned,
The RMA number is valid for only 30 days from the date issued. The RMA number is valid only for items
originally listed in the request forms. The items are tested only for the problems listed in the RMA form.
"Dead on Arrival"must be reported within 72 hours of receipt.-Defacing labels on parts&components and
physical damage or re-work done to the product voids warranty. Please be sure to include all
accessories and hardware in its original condition. Products which Tracking Solutions Corp determines to
be repairable will be repaired and returned. Products which cannot be repairable will be replaced by the
nearest equivalent product available at that time as agreed upon. SIM Card Activation charges are not
refundable.A 20%restocking fee applies to units returned for credit if credit is approved. Refund is paid
in the same manner as original purchase. Refund checks will be mailed within 14 business days from the
date merchandise has been returned. Please print RMA number legibly on top of the .package.
Packages w/o RMA number will not be accepted. All'shortcomings, discrepancies, short-shipment etc,
should be brought to the notice of Tracking Solutions Corp.within a period of 5 days from the date of the
receipt;Tracking Solutions Corp.will not be responsible or liable thereafter.
CONDITIONS TO VOiD WARRANTY.
This warranty applies only to defects in parts and workmanship relating to normal use.It does not cover:
Damage caused by disaster such as fire,flood,wind, earthquake or lightning;
• Damage due to causes beyond the control of Tracking Solutions Corp such as excessive voltage,
mechanical shock or water damage;
• Damage caused by unauthorized attachment, alterations, modifications or foreign objects;
Damage caused by peripherals unless peripherals were supplied by Tracking Solutions Corp.
• Defects caused by failure to provide a suitable installation environment for the products;
• Damage caused by use of the products for purposes other than for which it was designe
Damage arising out of any other abuse, mishandling or improper application of the prod 'ts.

Tracking Solutions Corp liability for failure to repair the product under this warranty after a reasonable
number of attempts will be limited to a replacement of the product,as the exclusive remedy for breach of
warranty. Under no circumstances shall Tracking Solutions Carp be liable for any special, incidental, or
consequential damages based upon breach of warranty, breach of contract, negligence, strict liability, or
any other legal theory. Such damages include, but are not limited to, loss of profits,loss of the product or
any associated equipment, cost of capital, cost of substitute or replacement equipment, facilities or
services, down time, purchaser's time, the claims of third parties, including customers, and injury to
property. Tracking Solutions Corp neither assumes nor authorizes any other person purporting to act on
its behalf to modify or,to change this warranty, nor to assume for it any other warranty or liability
concerning this product. This disclaimer of warranties and limited warranty are governed by the laws of
Florida, USA. This warranty contains the entire warranty and shall be ill lieu of any and all other
warranties, whether expressed or implied (including all implied warranties of merchantability or fitness for
a particular purpose) and of all other obligations or liabilities on the part of Tracking Solutions Corp.
Tracking Solutions Corp commits to have the entire system completely tested on a regular basis.
However, despite frequent testing, and due to, but not limited to, criminal tampering or electrical
disruption,it is possible for products to fail to perform as expected.
OUT OF WARRANTY REPAIRS.
Tracking Solutions Corp. will at its option repair or replace out-of-warranty products which are returned to
its factory according to the following conditions:

Who pays for shipping for an out of warranty return?
Customer will be responsible for return shipping costs and insurance for out of warranty GPS Tracking
Devices and Hardware. Tracking Solutions Corp will not reimburse shipping costs.
Who pays for removal and reinstallation of out of warranty GPS Tracking devices or other hardware?
Customer is responsible for all removal and installation related charges for out of warranty GPS Tracking
Devices and hardware.
When returning an OUT OF WARRANTY product, we strongly recommend the use of a carrier that can
track packages. Customer is responsible for insuring all OUT OF WARRANTY returned item. Tracking
Solutions Corp.will not be responsible for any devices loss or damaged in shipping from Customer.
Tracking Solutions Corp does not handle Garmin related warranty issues. Customer must follow Garmin
procedures and cover costs associated with removal of the original equipment,return of the damaged
device,and reinstallation. Garmin will cover the cost of the delivery of the replacement unit.
Important Garmin Information:
Tracking Solutions Corp does not handle Garmin related warranty issues. Garmin offers 1 year 'mited N
warranty on all GPS Navigation Devices. Customer must follow Garmin procedures and Cove costs a

Labor Warranty
Tracking Solutions Corp,offers a three months labor warranty, Within the three months warranty period,
Customer will not have to worry about paying extra money for installation problems
Labor Warranty Terms and benefits:

• Tracking Solutions will be the point of contact to report problems and schedule repair visits.
• All replacement parts are included,
• All Shipping costs associated with returning the damage materials and delivering the replacement

• Installers will be dispatched to the agreed location within 36 hours during week days to quickly
correct problems and reduce downtime.
• While the repair is been performed, the installer will check the GPS device and secure all
connections.
• If the specific GPS Tracking Device is not available,a loaner unit will be provided until the
replacement arrives.Other hardware such us but not limited to TV Display, MDVR, LED
Annunciator,APC and Cameras,will be determined case by Case based on the hardware
description,model and specs.
Labor after the warranty period is invoiced at the following rates:professional labor fee is$130 per unit
AVL/GPS per visit and$75/hourly for any other hardware.
