AMENDMENT NO. 1
TO THE AGREEMENT
BETWEEN
THE CITY OF MIAMI BEACH, FLORIDA
AND
WILLIAMS LANE ARCHITECT, INC.
FOR PROFESSIONAL ARCHITECTURAL AND ENGINEERING SERVICES IN SPECIALIZED
CATEGORIES, ON AN "AS-NEEDED BASIS", FOR PROJECTS IN WHICH THE BASIC
CONSTRUCTION COST DOES NOT EXCEED $2 MILLION OR FOR STUDY ACTIVITIES
WHEN THE FEE FOR SUCH PROFESSIONAL SERVICES DOES NOT EXCEED $200,000
This Amendment to the Agreement made and entered this 22 day of October,2014(effective as of
September 17, 2014), by and between the City of Miami Beach, a Municipal Corporation existing
under the laws of the State of Florida(hereinafter referred to as CITY),having its principal offices at
1700 Convention Center Drive,Miami Beach,Florida 33139,and Williams Lane Architect,Inc.,a
Florida Corporation whose address is 407 Lincoln Road, Suite 10H, Miami Beach, FL 33139
(hereinafter referred to as CONSULTANT).
RECITALS
WHEREAS, the Mayor and City Commission adopted Resolution No. 2014-28743 on
September 17, 2014 approving and authorizing the Mayor and City Clerk to execute Amendment
No. 1 to the contracts executed pursuant to Request for Qualifications(RFQ)01-09/10 between the
City and various approved firms which perform Professional Architectural and Engineering (A&E)
Services in Specialized Categories on an "as-needed-basis", with the current term ending on
September 29, 2014; said amendment extending said contracts, on a month-to-month basis, until
such time as a RFQ process for A&E services may be completed and new contracts executed,and
providing the City with the right to terminate the contracts for convenience and without cause;and
WHEREAS,accordingly,the City and Consultant hereby wish to execute Amendment No.1
to the Agreement for Professional Architectural and Engineering (A&E) Services in Specialized
Categories on an"as-needed-basis",extending said agreement on a month-to-month basis beyond
the current term ending date of September 30, 2014; and
NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises,
covenants, agreements, terms, and conditions herein contained, and other good and valuable
consideration, the respect and adequacy are hereby acknowledged, do agree as follows:
1: ABOVE RECITALS
The above recitals are true and correct and are incorporated as part of this Amendment No.
1
2. MODIFICATIONS
The Agreement is amended extending it on a month-to-month basis, beyond the current
term ending date of September 30, 2014, until such time as an RFQ process for A&E
services may be completed and new contracts executed,and providing the City with the right
to terminate the contracts for convenience and without cause.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged.

4. RATIFICATION.
The CITY and CONSULTANT ratify the terms of the Agreement, as amended by this
Amendment No. 1.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 1 to be
executed in their names by their duly authorized officials as of the date first set forth above.

The purpose of this letter is to advise Williams Lane Architect, Inc. ("William Lane")that the City
wishes to extend the above referenced agreement on a month4o-month basis until such time as a i
new agreement Is awarded and executed. Said month-to-month extension shall be upon the same
terms and conditions,and compensation and payment provided therein. Upon award and execution
of the new agreement,the City will terminate for convenience in accordance with Article 10.3 of the
agreement Williams Lane Architect,Inc.
