Amendment No. 3 to the Agreement with Fentress Architects in the amount of $179,982 ,2ol q_a AMENDMENT NO. 3 TO THE AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND FENTRESS ARCHITECTS, DATED MAY 149 2014, FOR DESIGN CRITERIA PROFESSIONAL SERVICES FOR THE MIAMI BEACH CONVENTION CENTER RENOVATION PROJECT, IN THE AMOUNT OF $179,982. This Amendment No. 2 to the Agreement made and entered this day of December, 2014, by and between the CITY OF MIAMI BEACH, a municipa corporation existing under the laws of the State of Florida (hereinafter referred to as City), having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139, and FENTRESS ARCHITECTS, a Colorado corporation, having its offices at 421 Broadway, Denver, Colorado (hereinafter referred to as Consultant). RECITALS WHEREAS, pursuant to Request for Qualifications (RFQ) No. 2014-142ME, the Mayor and City Commission adopted Resolution No. 2014-28538 on April 9, 2014, approving and authorizing the Mayor and City Clerk to execute an Agreement with Fentress Architects for Design Criteria Professional Services for the Miami Beach Convention Center Renovation Project (the Agreement); and WHEREAS,the Agreement was executed for a lump sum amount of$10,967,200 including reimbursable expenses; and WHEREAS, on , 2014,Amendment No. 1 was executed for correction to Task 3 — Design Devel pment and Design Criteria Package Services, requiring 30% completion level for low voltage systems in lieu of 90% completion; and WHEREAS, on 2 2014, Amendment No. 2 for supplemental civil engineering services was executed in the amount of $41,079; and WHEREAS, the following Amendment No. 3 to the Agreement is for additional services to revise the quantity, sizes and configurations of the main ballroom, junior ballrooms, and meeting rooms, as outlined is Exhibit "1" attached hereto; and WHEREAS,the aforestated work as set forth in the following Amendment No. 3 is for the lump sum amount of $179,982; and Page 1 of 3 NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises, covenants, agreements, terms, and conditions herein contained, and other good and valuable consideration, the respect and adequacy are hereby acknowledged, do agree as follows: 1. ABOVE RECITALS The above recitals are true and correct and are incorporated as a part of this Amendment No. 3. 2. MODIFICATIONS The Agreement is amended as defined in Schedule "A-3", attached herein. 3. OTHER PROVISIONS. All other provisions of the Agreement, as amended, are unchanged and in full force and effect. 4. RATIFICATION. The City and Consultant ratify the terms of the Agreement, as amended by this Amendment No. 3. The attached sketches A0005, A0006 and AOOI 1 depict the extent of the revisions.The work plan for this work is outlined below: Task 1 Design Studies: Develop design diagrams and study exercises for main ballroom,junior ball rooms and meeting room layouts(eight options) including calculations and presentations/discussions. Fee-$23,398 Task 2 Architectural Development: Architectural computer modeling, floor and reflected ceiling plan preparation, floor area calculations, building code review, interior elevation revisions and design detailing consultant scope revisions. Fee-$86,391 Task 3 Documentation Completion: Interior finish plans, Door and room schedules, Consultant design coordination, interiors documentation, life safety plan revisions, ballroom assembly layouts,quality assurance check. Fee-$70,193 This additional service includes design scope for the following disciplines;architecture,interior design,fire protection, code consulting, mechanical engineering,electrical engineering, lighting design, low voltage systems,and signage. Not included in this scope are revisions to schedules,building sections, finish plans,and interior details. Revisions to other disciplines will show intent but will not be at the level of completion of the rest of the design criteria package. Fees for Task 1,2 and 3 will be a lump sum of One Hundred Seventy-Nine Thousand and Nine Hundred Eighty Two Dollars ($179,982), and paid based on percentage complete of each task. Reimbursable costs for printing, telephone, delivery and travel are included in this fee. All billings for this work will be invoiced under the heading #20140021.001 064. Based on our conversation on Tuesday, Fentress was to modify our scope of work and fee to provided reduced documentation of the meeting room revisions. I know you are all very busy but without direct from you on this proposal, we are not able to make progress on the design of the affected spaces. If we are not able proceed with this work by Monday November 24th , the delivery date of January 2nd for the Design Criteria Package will be in jeopardy. I am available at your convenience to discuss further if you wish. i
