AMENDMENT NO. 2
TO THE AGREEMENT BETWEEN
THE CITY OF MIAMI BEACH, FLORIDA
AND
FENTRESS ARCHITECTS,
DATED MAY 14, 2014,
FOR DESIGN CRITERIA PROFESSIONAL SERVICES FOR THE MIAMI BEACH
CONVENTION CENTER RENOVATION PROJECT,
IN THE AMOUNT OF $41,079.
This Amendment No. 2 to the Agreement made and entered this D day of
December, 2014, by and between the CITY OF MIAMI BEACH, a municipal corporation
existing under the laws of the State of Florida (hereinafter referred to as City), having its
principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139, and
FENTRESS ARCHITECTS, a Colorado corporation, having its offices at 421 Broadway,
Denver, Colorado (hereinafter referred to as Consultant).
RECITALS
WHEREAS, pursuant to Request for Qualifications (RFQ) No. 2014-142ME, the
Mayor,and City Commission adopted Resolution No. 2014-28538 on April 9, 2014,
approving and authorizing the Mayor and City Clerk to execute an Agreement with
Fentress Architects for Design Criteria Professional Services for the Miami Beach
Convention Center Renovation Project (the Agreement); and
WHEREAS the Agreement was executed for a lump sum amount of 10 967 200

including reimbursable expenses; and
WHEREAS, on 11/9- , 2014, Amendment No. 1 was executed for correction
to Task 3 — Design Development and Design Criteria Package Services, requiring 30%
completion level for low voltage systems in lieu of 90% completion; and
WHEREAS,the following Amendment No. 2 to the Agreement is for supplemental
civil engineering services as outlined is Exhibit "1" attached hereto, for the lump sum
amount of $41,079.
NOW, THEREFORE, the parties hereto, and in consideration of the mutual
promises, covenants, agreements, terms, and conditions herein contained, and other
good and valuable consideration, the respect and adequacy are hereby acknowledged,
do agree as follows:

1. ABOVE RECITALS
The above recitals are true and correct and are incorporated as a part of this
Amendment No. 2.
2. MODIFICATIONS
The Agreement is amended as defined in Schedule "A-2", attached herein.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged and in full
force and effect.
4. RATIFICATION.
The City and Consultant ratify the terms of the Agreement, as amended by this
Amendment No. 2.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 2
to be executed in their names by their duly authorized officials as of the date first set forth
above.

Proposal 02—Stormwater Design Revisions

Dear Mr.Morales:
The City requested supplemental civil engineering services by Fentress Architects. The City is developing
improvements of the overall drainage concept. The scope of this work is based on these understandings:
Task 1: Drainage Analysis Meetings and Coordination
The City asked that the Design Team work with the Public Works Department to define the boundaries of the overall
study. Together we propose to determine a general approach to providing stormwater management to the area
surrounding the MBCC.
As requested,the.Design Team will attend meetings and coordinate with the City of Miami Beach,other jurisdictional
agencies and with the project team/Owner,to define a study area and drainage approach.Once this task is complete,
the Design Team will be able to specifically define a design scope of services and provide an amendment to our
original contract to perform the agreed upon drainage analysis for the preferred methodology.
Task 2: Drainage Analysis 1
Perform a drainage analysis of the proposed P-Lot Park only,to determine the run-off volume generated by a 25-year,
3-day storm event. Calculate the maximum storage volume capacity of the proposed dry-retention area within the P-
Lot Park, based on West 8's preliminary grading concept for DRB, in order to evaluate whether the park site has
additional stormwater storage capacity to mitigate the City's excess storage volume requirement for the project site.
Task 3: Drainage Analysis 2
Perform a drainage analysis of the Convention Center Campus to determine the run-off volume generated by a 25-
year, 3-day storm event for the project site (excluding the P-Lot Park) as well as the additional volume required to
mitigate the deficit in this region of the City,and to evaluate the feasibility of providing stormwater storage within a
dry-retention area inside the P-Lot Park property.This evaluation is part of a regional analysis, and a deviation from
the originally anticipated design.
Task 4: Utility Relocations and Replacements
Provide additional consideration and documentation for the proposed utility relocations along Convention Center
Drive,Washington Avenue, 17'h Street, 18'h Street,and 19'h Street,that were not part of the original DCP. The utility

relocations are to follow the team's scope of work understanding as submitted to and coordinated with the City's
Public Works Department.
We will include the proposed relocations and replacements for stormwater, sanitary sewer and water utilities on the
plan set for the DCP Pricing. However, specific reports and detailed documentation required as support to the DCP
plans will be provided for the final December bid package.
Fees for the tasks above are outlined as follows:
Compensation for the above scope of work shall be a lump sum of:
Task 1:Drainage Analysis Meetings and Coordination $8,990
Task 2:Drainage Analysis 1 $4,635
Task 3:Drainage Analysis 2 $7,298
Task 4:Utility Relocations and Replacements $20,156
Total Compensation $41,079
These services will be paid lump sum based on percentage complete of each task as identified in the individual
tasks.Reimbursable costs for printing,telephone,delivery and travel are included in the above listed fee. All
billings for this work will be invoiced under the heading#20140021.001 A02.
If the foregoing correctly states your understanding,please execute in the place and manner provided below and
return to this office whereupon this letter shall become a binding agreement between us.
