QUIT-CLAIM DEED
THIS QUIT-CLAIM DEED, made as of this day of J q rt to r , 2015 (the
Effective Date), by the City of Miami Beach, Florida, a municipal corporation w ose address is
1700 Convention Center Drive, Miami Beach, Florida, 33139, first party, to Thomas G. Wenski,
Archbishop of the Diocese of Miami, a/k/a St. Patrick's Church and School, second party:
(Wherever used herein the terms first party and second party shall include singular and plural, heirs,
legal representatives, and assigns of individuals, and the successors and assigns of corporations,
wherever the context so admits or requires).
WITNESSETH, that the said first party, for and in consideration of the sum of TEN
DOLLARS and other good and valuable consideration ($10.00) in hand paid by the said second
party, the receipt whereof is hereby acknowledged, does hereby remise, release and quit-claim
unto the said second party forever, all the right, title, interest, claim and demand which the said
first party has in and to the following described property being situated in Miami-Dade County,
Florida, and legally described as follows:
See attached Exhibit "A" (the "vacated right-of-way")
TO HAVE AND TO HOLD the same together with all the tenements, hereditaments
and appurtenances thereunto belonging.
It is the intent of first party, by this instrument, to convey to second party the vacated
right-of-way described in Exhibit "A" hereto, subject to and contingent upon the terms and
conditions approving and granting first party's vacation of the right-of-way to second party, as
provided in City of Miami Beach Resolution No. 2014-28753, a certified copy of which is
attached hereto and incorporated herein as Exhibit"B".
It is expressly provided herein if second party:
1. fails to transfer to the City a perpetual utility access easement to
the City along the entire length of the vacated right-of-way identified in
Exhibit"A";
2. uses the vacated right-of-way identified in Exhibit "A" toward
floor area ratio;

3. constructs, or permits to be constructed, any building, structure, or
obstruction on or over the easement area, which easement area is also
defined as the vacated right-of-way, found at Exhibit A, in a manner
inconsistent with the terms of the City's perpetual utility access easement;
or
4. both: (a) sells, grants, conveys assigns, or otherwise transfers any
right, title, or other interest it may have to the vacated right-of-way
identified in Exhibit "A", and (b) discontinues the school (educational)
use;
then, title to the vacated right-of-way described in Exhibit "A" shall immediately revert
to first party, automatically and without further action by first party (but in confirmation
thereof second party shall promptly, upon written demand by first party, execute and
deliver to first party a Quit Claim Deed, subject to no liens or encumbrances created by,
through, or under second party), and first party shall have the right to immediately re-
possess the vacated right-of-way.

and year first above written.
