Agreement between CMB and Penn 17 LLC, Halloran Construction Corp., and Scott S. Levine, Esq &OiI27( f7 AGREEMENT FOR DISBURSEMENT OF CONSTRUCTION DEPOSIT AND RELEASE BY AND BETWEEN MIAMI BEACH REDEVELOPMENT AGENCY, THE CITY OF MIAMI BEACH, PENN 17 LLC, HALLORAN CONSTRUCTION CORP., AND SCOTT S. LEVINE, ESQ. THIS Agreement for Disbursement of Construction Deposit and .Release ("Agreement") is made and entered into this / day of ha ' fp 6-, by and between MIAMI BEACH REDEVELOPMENT AGENCY,.a Florida public body corporate and politic, organized and existing pursuant to Chapter 163, Part III, Florida Statutes, the CITY OF MIAMI BEACH, FLORIDA, a municipal corporation, (collectively referred to herein as "MBRA/CMB"), PENN 17 LLC, a Florida limited liability company (referred to herein as "PENN"), HALLORAN CONSTRUCTION CORP. ("CONTRACTOR"), and SCOTT S. LEVINE, ESQ. ("ESCROW AGENT"), and their successors and assigns (MBRA/CMB, PENN, CONTRACTOR, and LEVINE are collectively referred to herein as the "Parties" and individually as a "Party"). Based upon the mutual considerations stated below and other good and valuable consideration, the receipt of which is hereby acknowledged, the Parties agree as follows: RECITALS A. MBRA/CMB owns the real property located at 1661.Pennsylvania Avenue, Miami Beach, Florida 33139 (the "Premises"). B. PENN is the Tenant in possession of the Premises, located at the Pennsylvania Garage under the 1661 Pennsylvania Retail Lease Agreement, dated September 16, 2011, between MBRA/CMB, as landlord, and .PENN, as tenant (the "Lease"), which Premises.PENN operates as a restaurant under the name of Oolite. C. .Contractor has performed improvements to the Premises pursuant to a contract between Contractor and PENN, dated hugust 16, 2013 ("Contract"). D. CONTRACTOR has completed all the work in connection with the Premises, has paid its subcontractors and materialmen all monies owed to them in connection with the Contract and all work performed at the Premises, as follows: 1. Vitro Glass, Inc.; 2. A.R.T.Drywall South, Inc.; 3. Action Painting Services; . 4. Pedreiras, Inc.; 5. R.C. Acoustics Corporation; . 6. Mardale Specialties Direct, Inc.; 7. M.P. Firestop; 8. American Fire Sprinkler Services, Inc. 9. Hermenia Cepero, Credit Specialist Agreement for Disbursement of Construction Deposit and Release by and between Miami Beach Redevelopment Agency,the City of Miami Beach,Penn 17 LLC,Halloran Construction Corp.and Scott Levine,Esq. 10.Econ-Air, Inc. • E. The CONTRACTOR is currently owed the total sum of $50,000.00 under the • Contract and. in connection with all the work performed at the Premises, as evidenced from the Contractor's Final Affidavit and release of liens from all subcontractors and materialmen, attached hereto and incorporated herein by reference as Composite Exhibit-"1". F. ESCROW AGENT is holding the total sum of $50,000.00 ("Construction Deposit"), pursuant to subsection 5.2(n) of the Lease,. until such time as PENN substantially completed the improvements to the Premises and obtained the Certificate of Occupancy, which at this time has occurred. NOW, THEREFORE, in consideration of the mutual agreements, undertakings and representations contained in this Agreement and other good and valuable consideration,- the receipt and sufficiency of which are hereby acknowledged by the Parties, and with the intent to be legally bound, MBRA/CMB, PENN, CONTRACTOR, and ESCROW AGENT hereby agree as follows: 1. Release of Construction Deposit. The Parties hereby authorize ESCROW AGENT to release the Construction Deposit to CONTRACTOR. 2. Releases. In further consideration of the execution of this Agreement, the Parties for themselves and their respective parent companies, subsidiaries, divisions, affiliates, unit owners, insurers, officers, directors, agents, employees, subcontractors, representatives, successors and assigns (the "MBRA/CMB Releasors", "PENN Releasors", "CONTRACTOR Releasors", and "ESCROW AGENT Releasors", as the case may be), hereby mutually release and forever discharge each other from any and all manner of actions, causes of action, contracts, agreements, covenants, controversies, claims, and demands whatsoever, whether legal or equitable, known or unknown, fixed or contingent (collectively, the "Claims"), which the Parties ever had, now have or may hereafter heave, which arise out of or in any way relate to the disbursement of the Construction Deposit, subject to the conditions and exclusions set forth in this Agreement. 3. Binding Effect. This Agreement shall be binding upon the Parties, and their respective successors and assigns 4. Attorney's Fees. If any legal action, proceeding, arbitration or hearing is brought by the MBRA/CMB Releasors, the PENN Releasors, the CONTRACTOR Releasors, or the ESCROW AGENT Releasors to enforce this Agreement, then the prevailing party as between the MBRA/CMB Releasors, the PENN Releasors, the CONTRACTOR Releasors, or the ESCROW AGENT Releasors shall be entitled to recover reasonable attorney's fees and court costs incurred. 2 Agreement for Disbursement of Construction Deposit and Release by and between Miami Beach Redevelopment Agency,the City of Miami Beach,Penn 17.LLC,Halloran Construction Corp.and Scott Levine,Esq. 5. Miscellaneous. The Parties further agree as follows: a. The Parties acknowledge and agree that this Agreement is fully and adequately supported by consideration and is fair and reasonable. The Parties further acknowledge and agree that: (i) each Party has had the opportunity to consult with, and has in fact consulted with, such professionals, experts and legal counsel of its choice as such Party may have desired with respect to all matters settled and resolved herein; (ii) each Party has participated fully in the negotiation and preparation of this Agreement; and (iii). each Party has carefully • reviewed this Agreement and is entering into same freely. Accordingly this Agreement shall not be more strictly construed against any Party. b. The Parties hereto understand and agree that this Agreement will not be binding on the parties to this Agreement until such time as it has been fully executed by the parties to the Agreement. c. Each of the signatories hereto represents that he or she has authority to execute this Agreement and to bind the party on whose behalf he or she has signed. d. This Agreement shall be construed and governed in accordance with the laws of the State of Florida and the sole and exclusive venue for any lawsuit relating to this Agreement is Miami-Dade County, Florida. MBRA/CMB AND PENN HEREBY KNOWINGLY AND INTENTIONALLY WAIVE THE RIGHT TO TRIAL BY JURY IN ANY ACTION OR PROCEEDING THAT MBRA/CMB AND PENN MAY HEREINAFTER INSTITUTE AGAINST EACH OTHER WITH RESPECT TO ANY MATTER ARISING OUT OF OR RELATED TO THIS AGREEMENT. e. In construing this Agreement, the singular shall be held to include the plural, the plural shall be held to include the singular, the use of any gender shall be held to include every other and all genders, and captions and paragraph headings shall be disregarded. f. All of the exhibits attached to this'Agreement are incorporated in, and made a part of, this Agreement. . 6. Entire Agreement. This Agreement, together with any documents referenced herein, constitute the full and entire agreement and understanding between the parties with _respect to the subject matter hereof, and there are no agreements, representations or warranties except as specifically set forth herein. All prior discussions, negotiations, letters, demands and writings of any kind are fully merged into this Agreement and are to be construed to be of no further force or effect, it being the intention of the parties that this Agreement shall serve as the sole and entire expression of their agreement and understanding. This Agreement may be signed via facsimile in • one or more counterparts, each of which shall be deemed an original, and all counterparts so executed shall constitute one agreement binding on the parties, notwithstanding that all of the Parties are not signatories to the same counterpart. 7. Modification; Waiver. This Agreement may only be modified in writing signed by both Parties. No waiver or modification of the Agreement or of any covenant, condition or limitation contained herein, shall be valid unless in writing and signed by all Parties to the Agreement, or their authorized counsel. If any Party excuses or condones any breach or default by another Party of any obligation under this Agreement, this shall not be a waiver of such obligation with respect to any continuing obligation or subsequent breach or default and no such waiver shall be implied. 8. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together represent one instrument., 9. Severab v any. If provision of this Agreement is held or rendered illegal y p or unenforceable, it shall be considered separate and severable from this Agreement and the remaining provisions of this Agreement shall remain in full force and effect and bind the Parties as though the illegal or unenforceable provision had never been included in the Agreement. 10. Captions; References. The captions of this Agreement are for the purpose e only and in of convenience of referent y no way define, limit or describe the scope or intent of the Agreement or in any way affect the terms and conditions of this Agreement. All references in the Agreement to the terms "herein," "hereunder," "hereof and words of similar import shall refer to this Agreement, as distinguished from the Paragraph, Section and/or Subsection within which such term is located. 11. Third Parties. Nothing express or implied in this Agreement is intended or give any be construed to confer upo n or g Y erson or entity, other person d than the MBRA/CMB, PENN, CONTRACTOR, and ESCROW AGENT any rights or remedies under or by reason of this Agreement. 4 .
