F/K/A CHEN AND ASSOCIATES CONSULTING ENGINEERS, INC. DATED MAY 18, 2005, FOR PROFESSIONAL ARCHITECTURAL AND ENGINEERING (NE) SERVICES AGREEMENT (AGREEMENT), FOR THE RIGHT OF WAY INFRASTRUCTURE IMPROVEMENTS PROGRAM NEIGHBORHOOD 12 -SOUTH POINTE PHASES III / IV/V. n This Amendment No. 6 to the Agreement made and entered this 6 day of 1"17 , 2015, by and between the CITY OF MIAMI BEACH, a municipal corporation existing under the laws of the State of Florida (hereinafter referred to as the City), having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139, and CHEN MOORE AND ASSOCIATES, INC., a Florida corporation f/k/a Chen and Associates Consulting Engineers, Inc. (hereinafter referred to as the Consultant), having its offices at 500 W. Cypress Creek Road, Suite 410, Fort Lauderdale, Florida 33309. RECITALS: WHEREAS, on May 18, 2005, the Mayor and City Commission approved Resolution No. 2005-25902, authorizing the execution of an NE agreement with the Consultant, in a not-to-exceed amount of$2,017,009, to provide urban design, architecture, landscape architecture, engineering and construction administration services for the South Pointe Phase III, IV, and V, Right-of-Way (ROW) Neighborhood Improvement Project pursuant to RFQ No. 08-03/04 (the Project); and WHEREAS,on August 23, 2005,the Consultant was issued the Notice to Proceed(NTP)for the planning phase of the Project; and WHEREAS,on April 11, 2006, pursuant to Resolution No.2006-26172,the City Commission approved and officially adopted the Basis of Design Report (BODR) for the Project, and the Consultant was then given authorization to proceed with the design phase of the Project; and WHEREAS,on March 14,2007,the City Commission approved Resolution No.2007-26477, authorizing Amendment No. 1 to the Agreement to design bike lanes along Alton Road, from 5th Street to South Pointe Drive, and along Ocean Drive, south of 5th Street, in the amount of$73,256; and WHEREAS, on September 9, 2009, the City Commission approved Resolution No. 200q- 27160, authorizing Amendment No. 2 to the Agreement, for additional design services for the re- construction of roadways and alleyways;the stormwater collection and disposal system at alleyways and"hot spots"; and additional water main replacements, in the amount of$94,320, plus$13,000 for reimbursables, for a total of$107,320; and WHEREAS, on October 25, 2011, the Administration approved Amendment No.3 to the Agreement, in an amount not-to-exceed $22,286, for the additional design services for the Alton Road Triangle; two-waying of Jefferson Avenue; South Pointe Drive Landscape redesign; and additional Planning Services; and WHEREAS, on September 30, 2013, the Administration approved Amendment No.4 to the Agreement, in an amount not-to-exceed$24,977,for additional Construction Administration Services for the project due to the extended construction duration; and Page 1 of 7 WHEREAS, on March 4, 2014, the Administration approved Amendment No.5 to the Agreement, in the amount of $24,250, for extended Construction Administration Services for the Project , and WHEREAS,the Project contractor has exceeded the contractual Time for the project, and it will be necessary to extend the Consultants services through December 30, 2015; and WHEREAS,the overall fee being requested by the Consultant for the extended Construction Administration Services is $59,609; and WHEREAS, the Administration recommends the approval of the Amendment No.6 to the Agreement, in an amount not-to-exceed $59,609, for the additional Construction Administration Services; and WHEREAS, the following Amendment No.6, to the Agreement will not increase the total Agreement fee of $2,268,998, as the $59,609, will be reallocated from available tasks within the current Agreement as documented in Schedule B -6. NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises, covenants, agreements, terms, and conditions herein contained, and other good and valuable consideration, the respect and adequacy are hereby acknowledged, do agree as follows: 1. ABOVE RECITALS The above recitals are true and correct and are incorporated as a part of this Amendment No. 6. 2. MODIFICATIONS a. The Agreement is amended to provide the additional services as set forth in Schedule "A-6", attached hereto. b. The Agreement is amended to incorporate Schedule B-6 attached hereto. 3. OTHER PROVISIONS All other provisions of the Agreement, as amended, are unchanged. 4. RATIFICATION The City and Consultant ratify the terms of the Agreement, as per this Amendment No. 6. USITityir (5 City Attorney �Date Page3of7 SCHEDULE "A-6" SCOPE OF SERVICES Task 6.14.1 —Cross Walks Construction Administration & Closeout: The CONSULTANT shall: • visit the site to visually observe and address construction related concerns that may arise. Four(4)site visits are estimated for the construction of the cross walks to be completed by the City's Contractor. • Review Contractor of pay requests • Attendance and participation in the Punch list and Final walk through and project closeout processing Deliverables: Punch List Schedule: On-going for up to 6 months Task 6.14.2— Hardscape Construction Administration: The CONSULTANT shall: • attend up to two (2) weekly meetings with the Contractor(s), and CITY representatives for the duration of the construction • perform construction site visits (six estimated) for the construction set to be completed by the City's Contractor • Review Contractor of pay requests • Prepare of signage and pavement marking record drawing(s) to meet City of Miami Beach standards • Attendance and participation in the Punch list and Final walk through and project closeout processing Deliverables: Project Record Drawings/Certified As-Builts Schedule: On-going for up to 6 months Task 6.14.3 - Light Poles/Fixtures - Replacement Coordination: The CONSULTANT shall: • Coordination with City and Contractor regarding the replacement of light poles and additional fixtures • Attend and participate in construction site visits • Review Contractor of pay requests Task 6.14.4 - Manhole Cover and Stormwater Testing Construction Administration The CONSULTANT shall: • Attend up to two (2) meetings with the City. • perform up to six (6) construction site visits for the construction by the City's Contractor • Review Contractor of pay requests Page 4 of 7 • Walk through attendance and project closeout processing Task 6.14.5 -Topographic/Route Survey for South Pointe: The CONSULTANT shall prepare a topographic route survey for approximately 11,400 LF as noted on the attached exhibit"A". The survey shall include the following: • Location and existing grades of drainage structures, identify water meters, valves,fire hydrants, sanitary sewers, pole locations, edge of pavement, curbing, trees (not identified, but located), striping, existing signs, etc. • Invert and grate elevations for all project area storm and catch basins will be provided. • Cross section elevations will be taken at 100-foot intervals, and at all high and low points,within the project area • Right-of-Way and property lines for the project area and adjacent properties will be field verified and shown graphically • All elevations will be referenced to NAVD 88 • Control points will be set outside the project limits, in locations where they can be used by the Contractor during construction • All control points will have Northing and Easting coordinates referenced to the Florida State Plane Coordinate System, based on the North American Datum of 1983/90 • As-builts will be prepared by Longitude Surveyors at the direction of Chen Moore and Associates to meet Miami Beach standards Deliverables: Topographic Survey Schedule: within 60 days of the notice to Proceed Task 6.14.6 -South Pointe Drive Landscape Architecture Update (Alton Road to Ocean Drive) - The CONSULTANT shall: • Attend and participate in up to two meetings with the Client including a staff meeting with local residents. • Modify existing plans to incorporate existing conditions of plants, matching under cover, recent design planting modifications, utility conflicts, and widening of the median between Washington Avenue and Collins Avenue • Preparation of presentation materials (colored board) as necessary • Address comments from the Client and appropriate departments Deliverables: Revised Landscape plans Schedule: within 14 days of the concept approval Task 6.14.7— Review Contractor's (TFD) Claim: The CONSULTANT shall: Page 5 of 7 Research and review all available documents within the E-Builder online Construction Documentation system and Project records in regards to potential "Extended Costs" and "Excusable Delay" claims and provide a recommendation. COMPENSATION • Original Agreement amount$2,017,009. • Amendment No. 1 (Design services for the installation of bike lanes/routes) amount $73,256. • Amendment No. 2 (Design services for the reconstruction of roadways and alleyways, stormwater collection and disposal system at alleyways and drainage "hot spots", and additional water main replacements)amount$94,320, plus an additional amount of$13,000, for approved reimbursables. • Amendment No. 3 (Design services for improvements to 3rd Street, east of Washington Avenue, and to improve the Alton road triangle amount$13,118, plus an additional amount of$9,168, for survey and reimbursables. • Amendment No. 4 (Additional Construction Administration Services through December 2013), in the amount of$24,977. • Amendment No.5(Additional Construction Administration Services through April 2014), in the amount of$24,150. • Amendment No.6 (Additional Construction Administration Services, Design, Reimbursable Survey, and Claims Review, through December 30 2015, in the amount of$59,609, to be reallocated from within the current Tasks (see Schedule B attached) • The Agreement amount of$2,268,998 remains the same.
