Beach as described in Building Violation Notice Nos. BV 15000181 and
BV 15000182
Gentlemen:
Subject to the following terms and conditions,this firm agrees to represent the Association,
at the municipal/administrative level and as a lobbyist in relation to the City of Miami Beach,
including public hearings,if any,before the municipal boards and th City Commission, if required,
as well as in court(as described below), in connection with the above:
1. The scope of our representation will be limited to lobbying activities as to securing
the necessary municipal approvals for Riverview Villas Condominium, as built. We will use our
best efforts in this regard, including conference with City Staff, City Attorney's Office and
appearances before the City Commission. If litigation should ensue, we will represent you on the
basis set forth herein.
2. In consideration for work performed to date and agreeing to represent the Association,
the Association is to pay to this firm the sum of$10,000.00 as a retainer fee, which shall be non-
refundable. This non-refundable sum shall be deemed earned at this time, irrespective of the
outcome of these proceedings or time expended. In other words. this retainer fee is in no way

contingent upon the outcome of these proceedings. This retainer fee shall constitute our minimum
fee, irrespective of the outcome or time expended. Time expended will be billed at the following
rates: $550.00 for partners, $350.00 for associates and $95.00 for paralegals. Costs incurred in
connection with this matter will be billed separately, but a$2,500.00 cost deposit is also required
at this time. If we are successful in our efforts for you, our fee shall be no less than $20,000.00,
irrespective of time expended.
3. The Association understands and agrees that it will be responsible for all costs as they
are incurred, including but not limited to expert witness fees,filing fees, lobbyist registration fees,
exhibits (including charts), court reporter costs and the like, courier services, computer research
(legal and other)and other costs. Costs will be billed periodically. If possible,prior authorization
will be obtained from you in this regard, if any individual item of expense exceeds$1,500.00.
4. Should matters extend beyond the municipal/administrative level or to the Circuit
Court of Miami-Dade County,Florida,the District Court of Appeal of Florida,Third District,or to
the Supreme Court of Florida(instituted by any of the parties to this action),then this firm will be
willing to continue to represent the Association as set forth herein.
5. At such time as this matter is concluded by achieving all or a portion of the approvals
sought,or instructions from the Association to cease our efforts,our responsibility shall be deemed
completed.
6. In the event our representation is discontinued,the total amount owed by you shall •
be paid in full as of the date of such event and prior to the release of any documents, property or
monies. In addition, you shall notify us in writing, specifying any such reason(s) for such
termination. Prior to said release,we may retain all documents in our possession belonging to you
as a retaining lien; or property or monies in our possession as a charging lien, until we have been
fully paid. You grant to us the right to an attorneys' charging lien on all property,real, personal or
other things of value in which you may own an interest,as security for the payment of our attorneys' •
fees and costs. You authorize this firm to deduct from any recovery,by either judgment,settlement
or otherwise,the monies due us prior to the disbursement due you. In the event you fail to pay our
fees and costs and litigation is undertaken to recover the same,you shall pay all reasonable costs and
attorneys'fees incurred by us at all levels.
7. The Association acknowledges that we have made no guarantees or assurances of any
kind as to the disposition of any phase of this matter or matters for which we have been retained,and
any expressions we may have advanced to you relative to these proceedings are only our opinions.
8. Since you are an association,please designate one of your members,to function as

to communicate with as to this matter.

9. We enclose Section 4-1.5 of the Rules Regulating the Florida Bar. In calculating the
aforementioned attorneys'fees, we have taken into consideration the various factors as set forth in

Fee. Factors to be considered as guides in determining a reasonable
fee include:
(1)the time and labor required,the novelty,complexity,and
difficulty of the questions involved,and the skill requisite to perform
the legal service properly;
(2) the likelihood that the acceptance of the particular
employment will preclude other employment by the lawyer;
(3)the fee, or rate of fee,customarily charged in the locality
for legal services of a comparable or similar nature;
(4) the significance of, or amount involved in, the subject
matter of the representation, the responsibility involved in the
representation, and the results obtained;
(5) the time limitations imposed by the client or by the

I understand that no later than February 28 of each year, I must file the following form,
pursuant to Section 2-485 of the Miami Beach City Code, with the City Clerk's Office for
all active lobbying issues.
1) LOBBYIST EXPENDITURE AND COMPENSATION FORM
Failure to file these forms on a timely basis will result in my name being transmitted to
the Miami-Dade County Commission on Ethics and for code violation evaluation.
In addition, once an issue I have registered to lobby on has been resolved, or I am no
longer lobbying on that issue or for that principal, I am required to immediately notify
the City Clerk's Office of lobbyist withdrawal in writing.
Pursuant to Section 2-485 (d), the City Clerk shall notify any lobbyist(or principal) who
fails to timely file a Statement and in addition to any other penalties which may be
imposed as provided in Section 2-485.1, a fine of$50.00 a day shall be assessed for all
Statement(s) filed after the due date. The City Clerk shall notify the Miami-Dade
County Commission on Ethics and Public Trust of the failure of a lobbyist(or principal)
to file the Statement or pay the assessed fines after notification.
Any lobbyist, who fails to file the required Statement by April 30th of each year, shall be
automatically suspended from lobbying until all fines are paid, unless the fine has been
appealed to the Mi-.` i-Dade County Commission on Ethics and Public Trust.

compensation received for the foregoing issue for services rendered from July 15, 2015 (date the registration
fee was paid to CMB) through March 31, 2016, was $7,425.00.
However, the total compensation received from the inception of our representation (April 29, 2015 —date on
our contract for legal services) through March 31, 2016, was $16,390.00, which includes the portion pertaining
to the Lobbying detailed above.
