ITB 2013-168-TC FOR DUNE RESTORATON SERVICES This Amendment No. 1 (Amendment) to the Contract is entered into this IV, day of cV , 2015 (Effective Date), by and between the City of Miami Beach, Florida, a municipal corporation organized and existing under the laws of the State of Florida, having its principal place of business at 1700 Convention Center Drive, Miami Beach, Florida 33139 (City), and Superior Waterway Services, Inc., a Florida Corporation, having its principal place of business at 6701 Garden Road, Suite 1, Riviera Beach, Florida 33404 (Contractor), and hereby amends the Agreement as follows: RECITALS WHEREAS, on July 17, 2013, the Mayor and City Commission approved the award of Invitation to Bid ("ITB") No. 2013-168-TC for Dune Restoration Services; and WHEREAS, on August 19, 2013, the City and Contractor executed the Agreement with respect to the Dune Restoration Services, with services to include Middle Beach (between 23rd Street to 47th Street) and North Beach (between 64th Street to 79th Street; and WHEREAS, on April 15, 2015, the Mayor and City Commission adopted Resolution No. 2015-28985 authorizing the City to increase the scope of the services in Section 3.5 of the agreement to include additional trimmings in the Middle Beach and North Beach project areas; and WHEREAS, for the additional trimmings, Superior Waterway Services, Inc., quoted a project cost of$47,000; and WHEREAS, since the purchase order for this Contract has a remaining balance of $21,580.90, which Superior Waterway Services will not be utilizing in connection with the original scope of the Contract, the City authorized an increase of $25,491.10 to be applied toward this additional work, for a total project cost of$47,000; and WHEREAS, Amendment No. 1, will therefore increase the Contract amount from $237,389.90 to $262,809.00; and NOW THEREFORE, in consideration of the mutual promises and conditions contained herein, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the City and Contractor hereby agree to amend the Contract as follows: 1. ABOVE RECITALS. The above recitals are true and correct and are incorporated as part of this Amendment. • 2. MODIFICATIONS. The Agreement is hereby modified (deleted items struck through and inserted items underlined) as follows: A. Section 3.5 "Scope of Work" of the ITB is hereby amended to include the additional scope of work set forth (Additional Scope of Work) in the proposal attached hereto as Exhibit "A", for an additional sum of$47,000. B. The Contract price is hereby amended to reflect an increase in the amount of $25,419.10, for a new Contract amount of $262,809.00, inclusive of the Additional Scope of Work, based upon the updated Contract price breakdown, attached hereto as Exhibit"B". 3. RATIFICATION. Except as amended herein, all other terms and conditions of the Contract shall remain unchanged and in full force and effect. In the event there is a conflict between the provisions of this Amendment and the Contract, the provisions of this Amendment shall govern. IN WITNESS WHEREOF, the parties hereto have caused this Amendment to be executed by their appropriate officials, as of the date first entered above. (Contract), for the restoration of dunes in the following areas: Middle Beach (between 23rd Street to 47th Street); and North Beach (between 64th Street to 79th Street); and WHEREAS, the purpose of the Contract was to remove non-native vegetation and replace it with native vegetation, as well trim vegetation (between 24 and 36 inches in height) to provide greater vegetation stability and reduce security concerns from continued homeless and illicit activities; and WHEREAS, due to recurring security concerns, the Police Department has recommended that additional trimmings be prioritized in the Middle Beach and North Beach project areas; and WHEREAS, for the additional work, Superior Waterway Services, Inc. has quoted a project cost of$47,000.00; and WHEREAS, the purchase order for this Contract has a remaining balance of$21,580.90, which Superior Waterway Services will not be utilizing in connection with the original scope of the Contract, and which can be applied toward this additional work; and WHEREAS, the Administration recommends executing Amendment No. 1 to the Contract, for the completion of the additional scope of work relating to the dune restoration project in the Middle and North Beach areas, for the additional amount of $25,419.10, thereby increasing the total Contract cost to $262,809.00. The vegetation in these areas was trimmed between 24 and 36 inches in height to provide greater vegetation stability and reduce security concerns from continued homeless and illicit activities. The original phase of the project has been completed. However, due to recurring security concerns, the Police Department has recommended additional trimming be prioritized in the Middle Beach and North Beach project areas. For the additional work, Superior Waterway has quoted a project cost of $47,000.00. SERVICE EXCELLENCE STANDARDS — Excellent Customer Service is the standard of the City of Miami Beach. As a Contractor of the City, Contractor will be required to conduct itself in a professional, courteous and ethical manner, and at all times adhere to the City's Service Excellence standards. Training will be provided by the City's Organizational Development and Training Specialist. H. PUBLIC ENTITY CRIMES - In accordance with the Public Crimes Act, Section 287.133, Florida Statutes, a person or affiliate who is a contractor, consultant or other provider, who has been placed on the convicted vendor list following a conviction for a public entity crime may not submit a bid on a contract to provide any goods or services to the City, may not submit a bid on a contract with the City for the construction or repair of a public building or public work, may not submit bids on leases of real property to the City, may not be awarded or perform work as a contractor, supplier, subcontractor, or consultant under a contract with the City, and may not transact any business with the City in excess of the threshold amount provided in Section 287.017, Florida Statutes, for category two purchases for a period of 36 months from the date of being placed on the convicted vendor list. Violation of this section by Contractor shall result in cancellation of the Contract and may result in Contractor debarment. INDEPENDENT CONTRACTOR - Contractor is an independent contractor under this Contract. THiRD PARTY BENEFICIARIES - Neither Contractor nor City intends to directly or substantially benefit a third party by this Contract and/or the Contract Documents. MATERIALITY AND WAIVER OF BREACH - City and Contractor agree that each requirement, duty, and obligation set forth in the Contract Documents is substantial and important to the formation of this Contract and, therefore, is a material term hereof. City's failure to enforce any provision of the Contract Documents shall not be deemed a waiver of such provision or modification of this Contract. A waiver of any breach of a provision of this Contract shall not be deemed a waiver of any subsequent breach and shall not be construed to be a modification of the terms of this Contract. M. SEVERANCE - In the event a portion of this Contract and/or the Contract Documents is found by a court of competent jurisdiction to be invalid, the remaining provisions shall continue to be effective unless City or Contractor elects to terminate this Contract. An election to terminate this Contract based upon this provision shall be made within seven (7)days after the finding by the court becomes final. 3 Certification of Contract N. Native dune vegetation is crucial component of a healthy dune system because of its ability to thrive in the harsh coastal environment and to continually produce new stems and roots that trap sand. The Citywide Dune Restoration and Enhancement project will restore the health and the structural integrity of the City's coastal dune by removing non-native invasive vegetation and re-planting these areas with native species. The project will also address existing public safety and maintenance concerns by improving areas with overgrown vegetation that create favorable conditions for homeless encampments and illicit activities. For example, there are areas where Hawaiian seagrape (Scaevola taccada) has grown intertwined with seagrape (Coccoloba uvifera). In these instances, the contractor should notify the City that trimming will be necessary and, once approved by the City, should conduct the trimming under the supervision of an ISA- certified arborist. Q5. If an arborist is required then can the awarded contractor subcontract with an arborist on a consulting basis? A. Q9. Will the project representative(city)assist with contractor with any required permits? A. Where bidders are required to enter or go on to City of Miami Beach property to deliver materials or perform work or services as a result of the Bid,the bidder will assume the full duty, obligation and expense of obtaining all necessary licenses, permits,and insurance,and assure all work complies with all Applicable Laws. Per Section 3.5.8 of the ITB, the Contractor shall obtain and pay for any permits required for execution of the work, except for the Florida Department of Environmental Protection (FDEP) Coastal Construction Control Line (CCCL) field permit which will be acquired by the City. What is the performance time frame for this project? it seems you are allowing 270 clays for completion of the project plus up to 14 days between sections in between each of the 4 sections for a total of 326 days. When does the counting starts? A. The completion times provided in Section 2.2 of the ITB represent the maximum allowable time • for the construction phase of each section.The construction phase will begin when the awarded Contractor(s) receive(s) a Purchase Order (P0) from the City. In the event that a Contractor is awarded multiple sections, the Contractor must provide the City with the order in which the awarded sections will be addressed by the pre-construction meeting and will be responsible for completing the sections in that order per the requirements listed in Section 2.2 of the ITB upon receipt of P0. Q16. Will the City of Miami Beach provide names of closes landfill disposal site for Bio mass? Is there a fee associated with disposal of plant material off site? Will dumpster be allowed to collect plant material for disposal on site? Where is the closest approved disposal site? A. The Contractor will be responsible for identifying a permitted disposal facility for the removed vegetation and for paying the disposal fee associated with vegetation disposal at that facility... The City will allow a permitted dumpster to be staged in close proximity to the work site for the temporary collection of removed plant material. However, the Contractor will be responsible for permitting the dumpster through the City's Public Works Department, Sanitation Division, including, but not limited to, paying the minimum sidewalk bond or security deposit associated with this process. Q17. Under project specifications for Pioneer Zone Species: Sea Oats, (Uniola paniculata) is specified to be grown in 96 cell trays. Will the city accept larger material that is grown in 72 cell trays which will provide a much larger plant plug than a 96 cell? A. The City will accept larger cell sizes.Additionally,sea oats shall be graded before delivery so that each cell shall have no less than two individual seedlings to be accepted, Or, single plant cells will require two per hole. The responsibility for submitting bids before the stated time and date is solely the responsibility of the bidder. The City will not be responsible for delays caused by mail, courier service,or any other entity or occurrence. Facsimile, electronic, or e-mailed bids will not be accepted. 1.15 INSPECTION,ACCEPTANCE &TITLE: Inspection and acceptance will be at destination, unless otherwise provided. Title to (or risk of loss or damage to) all items shall be the responsibility of the successful bidder until acceptance by the City, unless foss or damage results from the gross negligence or willful misconduct of the City. If any equipment or supplies supplied to the City are found to be defective,or to not conform to the specifications,the City reserves the right to cancel the order upon written notice to the seller, and return the product, at the bidder's expense. 1.16 PAYMENT: Payment will be made by the City after the items have been received,inspected, and found to comply with Bid specifications,free of damage or defect,and properly invoiced: 1.17 DISPUTES: In case of any doubt or difference of opinion as to the items and/or services(as the case may be) to be furnished hereunder, the decision of the City shall be final and binding on all parties. 1.18 LEGAL REQUIREMENTS: The bidder shall be re.uired to corns( with all federal,State of Florida,Miami-Dade County,and City of Miami Beach codes, laws,ordinances,and/or rules and regulations that in any manner affect the items covered herein (collectively, Applicable Laws). Irrespective of the bidder's performance on contracts awarded to it by the City,the City may place said contracts on probationary status and implement termination procedures if the City determines that the successful bidder no longer possesses the financial support,equipment,and organization which would have been necessary during the bid evaluation period in order to comply with the demonstration of competency required under this subsection. 1.36 DETERMINATION OF AWARD:The City Commission shall award the bid to the lowest and best bidder. In determining the lowest and best bidder, in addition to price, there shall be considered the following: • The ability, capacity and skill of the bidder to perform the contract. • Whether the bidder can perform the contract within the time specified,without delay or interference. • The character, integrity, reputation, judgment, experience and efficiency of the bidder. • The quality of performance of previous contracts. • The previous and existing compliance by the bidder with Applicable Laws relating to the contract. 1.37 ASSIGNMENT:The successful bidder shall not assign,transfer,convey,sublet or otherwise dispose of the contract, including any or all of its right,title or interest therein,or his/her or its power to execute such contract, to any person, company or corporation, without the prior written consent of the City. 1.38 LAWS, PERMITS AND REGULATIONS: The bidder shall obtain and pay for all licenses, permits, and inspection fees required under the contract;and shall comply with all Applicable _Laws._.----__-_- 1.39 OPTIONAL CONTRACT USAGE: As provided in Section 287.042 (17), Florida Statutes, other State agencies may purchase from the resulting contract, provided the Department of Management Services, Division of Procurement, has certified its use to be cost effective and in the best interest of the State. Bidders have the option of selling these commodities or services certified by the Division to the other State agencies at the agencies'option. 1.40 SPOT MARKET PURCHASES: It is the intent of the City to purchase the items specifically listed in this Bid from the successful bidder. However, items that are to be a"Spot Market" Purchase may be purchased by other methods (i.e. Federal, State or local contracts). 1.41 ELIMINATION FROM CONSIDERATION: This bid shall not be awarded to any person or firm who is in arrears to the City upon any debt, taxes, or contracts which are defaulted as surety or otherwise upon any obligation to the City. 1.42 ESTIMATED QUANTITIES: Estimated quantities or estimated dollars, if provided, are for City guidance only. No guarantee is expressed or implied as to quantities or dollars that will be used during the contract period. The City is not obligated to place any order for a given ITB 268-2013TC June 25,2013 10 amount subsequent to the award of this Bid. Estimates are based upon the City's actual needs and/or usage during a previous contract period. The City may use said estimates for purposes of determining whether the low bidder meets specifications. • 1.43 COLLUSION: Where two (2) or more related parties each submit a bid or bids for any contract, such bids or bids shall be presumed to be collusive. The foregoing presumption may be rebutted by presentation of evidence as to the extent of ownership, control and management of such related parties in the preparation and submittal of such bid or bids. "Related parties" means bidders or the principals thereof which have a direct or indirect ownership interest in another bidder for the same contract, or in which a parent company or the principals thereof of one(1) bidder have a direct or indirect ownership interest in another bidder for the same contract. Bid or bids found to be collusive shall be rejected. In case of default on the part of the successful bidder, after such acceptance, the City may procure the items or services from other sources and hold the.bidder responsible for any excess cost occasioned or incurred thereby. 1.48 TIE BIDS: In accordance with Florida Statues Section 287.087,regarding identical tie bids, preference will be given to bidders certifying that they have implemented a drug free work place program. In that event, all finished or unfinished documents and other materials shall be properly delivered to the City. If the contract is terminated by the City as provided in this subsection,the City shall compensate the successful bidder in accordance with the terms of the contract for all and without cause and/or any resulting liability to the City, work and/or services actually performed by the successful bidder, and shall also compensate the bidder for its reasonable direct costs in ITB 268-2013TC June 25,2013 12 • assembling and delivering to City all documents. No compensation shall be due to the successful bidder for any profits that the successful bidder expected to earn on the balanced of the contract. Such payments shall be the total extent of the City's liability to the successful bidder upon a termination as provided for in this subsection. 1.54 INSURANCE AND INDEMNIFICATION: (See Check List for applicability to this contract) The successful bidder shall be responsible for his work and every part thereof, and for all materials,tools, appliances and property of every description, used in connection with this particular project. The bidder shall specifically and distinctly assume,and does so assume, all risks of damage or injury to property or persons used or employed on or in connection with the work and of all damage or injury to any person or property wherever located, resulting from any action or operation under the contract or in connection with the work. It is understood and agreed that at all times the bidder is acting as an independent contractor, and not as an agent or employees of the City. The successful bidder, at all times during the full term of the contract, shall comply with the following requirements: No change or cancellation in insurance shall be made without thirty(30)days written notice to the City of Miami Beach Risk Manager. All insurance policies shall be issued by companies authorized to do business under the laws of the State of Florida and these companies must have a rating of at least B+:VI or better per Best's Key Rating Guide, latest edition. Original signed certificates of insurance, evidencing such coverages and endorsements as required herein, shall be filed with and approved by the City is Risk Manager before work is started. The certificate must state Bid Number and Title. Upon expiration of the required insurance,the successful bidder must submit updated certificates of insurance fares long a • period as any work and/or services are still in progress. it is understood and agreed that all policies of insurance provided by the bidder are primary coverage to any insurance or self-insurance the City of Miami Beach possesses that may apply to a loss resulting from the work and/or services performed in this contract. All policies issued to cover the insurance requirements herein shall provide full coverage from the first dollar of exposure. No deductibles will be allowed in any policies issued on this contract unless specific safeguards have been established to assure an adequate fund for payment of deductibles by the insured and approved by the City's Risk Manager. The liability insurance coverage shall extend to and include the following contractual indemnity and hold harmless agreement: The vendor shall furnish to the Department of Procurement, City of Miami Beach, 1700 Convention Center Drive, 3rd Floor, Miami Beach, Florida 33139, Certificate(s) of Insurance which indicate that insurance coverage has been obtained which meets the requirements as outlined below: lTB 263-2013TC June 25,2013 13 A. Worker's Compensation Insurance for all employees of the vendor as required by Florida Statute 440. B. Commercial General Liability Insurance on a comprehensive basis,in an amount not less than $500,000 combined single limit per occurrence for bodily injury and property damage. City of Miami Beach must be shown as an additional insured with respect to this coverage. C. Automobile Liability Insurance covering all owned, non-owned and hired vehicles used in connection with the work, in an amount not less than $500,000 combined single limit per occurrence for bodily injury and property damage. All insurance policies required above shall be issued by companies authorized to do business under the laws of the State of Florida, with the following qualifications: The company must be rated no less than"B"as to management,and no less than "Class V" as to financial strength, by the latest edition of Best's Insurance Guide, published by A.M. Best Company, Oldwick,New Jersey,or its equivalent, subject to the approval of the City Risk Management Division. or The company must hold a valid Florida Certificate of Authority as shown in the latest"List of All Insurance Companies Authorized or Approved to Do Business in Florida" issued by the State of Florida Department of Insurance and are members of the Florida Guaranty Fund. Certificates will indicate no modification or change in insurance shall be made without thirty(30) days in advance notice to the certificate holder. CERTIFICATE HOLDER MUST READ: CITY OF MIAMI BEACH 1700 CONVENTION CENTER DRIVE 3rd FLOOR MIAMI BEACH, FL 33139 Compliance with the foregoing requirements shall not relieve the vendor of his liability and obligation under this section or under any other section of this agreement. The foregoing indemnity shall apply to any and all claims and suits other than claims and suits arising out of the gross negligence or willful misconduct of the City of Miami Beach,its officers, agents, and employees. The bidder will notify its insurance agent without delay of the existence of the Hold Harmless Agreement contained within this contract, and furnish a copy of the Hold Harmless Agreement to the insurance agent and carrier. ITB 268-2013TC June 25, 2013 14 The bidder will obtain and maintain contractual liability insurance in adequate limits for the sole purpose of protecting the City of Miami Beach under the Hold Harmless Agreement from any and all claims arising out of this contractual operation. The bidder will secure and maintain policies of subcontractors. All policies shall be made available to the City upon demand.Compliance by the contractor and all subcontractors with the foregoing requirements as to carrying insurance and furnishing copies of the insurance policies shall not relieve the contractor and all subcontractors of their liabilities and obligations under any section of this contract. Bidder shall be as fully responsible to the City for the acts and omissions of the subcontractor and of persons employed by it as it is for acts and omissions of persons directly employed by it. Whenever, as a result of the foregoing preference, the adjusted prices of two (2) or more Miami Beach-based contractors constitute the lowest bid for a ITB 268-2013TC June 25, 2013 15 competitively bid purchase, and such bids are responsive and otherwise equal with respect to quality and service, then the award shall be made to the Miami Beach-based contractor having the greatest number of its employees that are Miami Beach residents.Whenever,two or more Miami Beach-based contractors have the same number of its employees that are Miami Beach residents,then the award shall be made to the Miami Beach-based contractor who is certified by Miami-Dade County as a Minority or Women Business Enterprise. 1.59 VETERAN BUSINESS ENTERPRISES: The City shall give a preference to a responsive and responsible bidder which is a small business concern owned and controlled by a veteran(s) or which is a service-disabled veteran business enterprise, and which is within five percent(5%) of the lowest and best bidder, by providing such bidder an opportunity of providing said goods or contractual services for the lowest responsive bid amount. Aerial photographs may not be current and cannot be relied upon. TARGETED SPECIES: The Contractor shall be responsible for the physical removal of all vegetative mass, including leaves, stems, and trunks, plus all gross roots of Category I and If Invasive Exotic Pest Plants, as identified by the Florida Exotic Pest Plant Council(FLEPPC),including but not limited to Hawaiian seagrape (Scaevola taccada), Brazilian pepper (Shinus terebinthifolis), and Australian pine (Casuarina equ/setifolia). B. PLANT DISPOSAL:All removed plant mass shall be legally disposed of off-site; no shredding or chipping will be allowed. C. NATIVE SPECIES TO BE PROTECTED: The worksites include a mixture of native dune species and targeted non-native pest species. 1 he Contractor shall - take all necessary precautions to ensure that the existing native dune vegetation is not impacted during the invasive exotic removal efforts.The use of herbicides or the pruning of existing native vegetation, except as approved by the City, is prohibited. D. REMOVAL METHODS: The removal of smaller and medium sized-exotic clusters should be done by hand cutting and digging to completely remove roots. __..___.._ .._.___.__. __._._..__._Mechanized equipment_maybe_used when it is possible to gain access from the upland side without impact to the existing dune.Mechanized equipment will also be permitted on the soft sands of the beach, on the boardwalk, or on the beachwalks. Rope and post fencing and sand fencing may be temporarily removed for access, but must be restored upon completion of each section.The Contractor shall replace rope and post fencing and/or sand fencing damaged during invasive exotic removal efforts in-kind at no cost to the City. E. INVASIVE EXOTIC REMOVAL MAINTENANCE INTERVALS: The Contractor shall be responsible for maintaining cleared areas free of seedlings and resprouts for the one (1) year warranty period. Maintenance events shall be conducted at quarterly intervals throughout the warranty period to hand-remove seedlings or root sprouts. • 3.5.4 PLANTING SPECIFICATIONS A. PLANT QUALITY:The Contractor_shall provide nursery grown plants that are of Florida#1,or superior quality, pursuant to Florida Department of Agriculture and ITB 268-2013TC June 25,2013 23 Consumer Services (FDACS) Division of Plant Industry Grades and Standards (http://www.freshfromf lorida.com/pi/pubs.html). All plants shall be true to the growth habit of the species, and are to be fully rooted in the container, healthy, vigorous,well branched,and densely foliated. Plants shall be free from physical damage, or conditions that would interfere with thriving growth, and free of disease, insects, or insect eggs and larvae. The City shall inspect all plants supplied by the Contractor and may reject plants that do not meet these specifications. • • B. PLANT SIZES: Three (3) gallon strand zone species and palmettos shall be a minimum of 12 inches in height and 12 inches spread,except coastal cocoplum, which shall be a minimum of 12 inches in height and 18 inches spread. C. ANTITRANSPIRANT:Strand zone species and palmettos shall be treated after delivery and prior to installation with application of an antitranspirant at manufacturers recommended application rate. D, PLANT SPACING - PIONEER ZONE SPECIES AND DIVERSITY SPECIES: Sea oats and pioneer zone species shall be installed to cover all areas cleared of exotics at an average spacing of 18 inches on center,to within 18 inches of the perimeter of undisturbed native vegetation. Sea oats shall comprise 75 percent of the species mix with the remainder comprised of approximately two thirds grasses and one third vines. E. PLANT SPACING — STRAND ZONE SPECIES AND PALMETTOS: Cleared areas less than 100 square feet shall not be replanted. Cleared areas less than 1,000 square feet shall be planted only with pioneer zone species. Areas exceeding 1,000 square feet shall be planted with five (5) saw palmettos clustered toward the upland side in a random pattern, but no less than five (5) feet on center. An additional six(6) units of mixed strand zone species will be installed in clusters of two (2) or three (3). Larger areas will be planted in proportion to this ratio of five (5) palmettos and six (6) strand zone plants per approximate 1,000 square feet. F. PLANTING METHODS: Pioneer zone species will be installed with the top of the rootball no less than six (6) inches below finished grade. Fertilizer should be placed into the hole before the plant is introduced. Palmettos and Strand species will be installed with the top of the rootball no less than four (4) inches below finished grade. Plant shall be removed from the container by inverting the container and supporting the rootball as the container is pulled off. Pots should be cut as necessary to minimize disturbance of fragile roots. Pulling the plants out of the containers by the stems will be cause for • rejection of the plant.
