First Amendment to Fee For Service Agreement
This First Amendment to the Fee for Service Agreement is entered into by and
between EyeMed Vision Care, L.L.C. ("EyeMed") and First American Administrators
("FAA"), with their principal place of business at 4000 Luxottica Place, Mason, OH
45040 and the City of Miami Beach with its principal place of business at 1700
Convention Center Drive, 3rd Floor, Miami Beach, Florida 33139, as Employer and Plan
Administrator ("Employer").
Whereas, effective January 1, 2010, Employer EyeMed and FAA entered into a
Fee For Service Agreement;
Whereas, pursuant to Section XIII, Subsection M of the Fee For Service
Agreement the parties reserved the right to modify the Fee For Service Agreement in a
writing signed by both parties; and
Whereas, the parties now agree to amend the Fee For Service Agreement.
Now, Therefore, the parties hereto agree as follows:
I. Section 1(B), entitled "Term" is deleted in its entirety and replaced with the
following:
B. TERM
The Agreement shall commence on January 1, 2014, for a term of forty-
eight (48) months and shall automatically renew for successive twenty-
four (24) months unless (i) Employer gives written notice to EyeMed at
least ninety (90) days prior to the expiration of the initial term or any
twenty-four (24) month renewal term; (ii) EyeMed gives written notice to
Employer at least one hundred eighty (180) days prior to the expiration of
the initial term or any twenty-four (24) month renewal term; or (iii) the
Agreement is otherwise terminated in accordance with Section XII.
II. Exhibit A - Benefit Schedule shall be revised in its entirety, and attached
hereto as Exhibit "A."
III. Article X, entitled "Protection of Confidential Information," is amended to
include the following new subsection (F): Is subject to disclosure pursuant
to Florida Public Records Law, as may be amended from time to time.
IV. Article XIII, subsection 0, entitled "Notice," is amended to revise the
noticed party for employer as follows: Sonia Bridges, HR Administrator.
V. The parties agree that in all other respects the Fee For Service Agreement
shall remain unchanged and in full force and effect.

VI. This First Amendment to the Agreement may be executed in one or more
counterparts, each of which shall be deemed to be an original, but all of which together

shall constitute one and the same instrument.
