Amendment No. 2 to the Central Florida Equipment Rentals, Inc. AMENDMENT NO. 2 TO THE DESIGN/BUILD SERVICES AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA, AND CENTRAL FLORIDA EQUIPMENT RENTALS, INC., DATED FEBRUARY 5, 2014 FOR THE DESIGN/BUILD SERVICES FOR RIGHT-OF-WAY INFRASTRUCTURE IMPROVEMENT PROGRAM NO.8B— LOWER NORTH BAY ROAD PROJECT This Amendment No.2 to the Agreement made and entered this 2 day of J cz.r 2016,by and between the CITY OF MIAMI BEACH, a municipal corporation existing under thelaws of the State of Florida, having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139 (hereinafter referred to as CITY), and CENTRAL FLORIDA EQUIPMENT RENTALS, INC having its offices at 9030 NW 97th Terrace Medley,Florida,33178(hereinafter referred to as CFER). RECITALS WHEREAS,on December 11,2013,the Mayor and City Commission adopted Resolution No. 2013-28436,approving and authorizing the Mayor and City Clerk to execute an Agreement(the Agreement)with CFER for a Guaranteed Maximum Price in the amount of$8,950,040; and WHEREAS, on June 11, 2014, the City executed Amendment No.1 to CFER's Agreement, in the amount of$1,089,868, for the additional design, permitting and construction of the drainage system to meet the enhanced stormwater criteria; and WHEREAS, on July 14, 2014, Notice to Proceed No. 1 was issued to CFER to commence the design, scheduling and permitting activities on the project, and construction began on September 23, 2014; and WHEREAS, CFER has been significantly delayed as a result of slower than expected production rates due to extenuating factors, inclement weather, unseasonably high tides and soil contamination encountered south of North Michigan Avenue; and WHEREAS, at this rate of production, the Design-Builder would be paving the roads in late Summer 2016; and WHEREAS, to minimize the impact of the extended construction time frame, the City Administration has negotiated a construction acceleration plan with CFER in the amount of $1,500,000 to be paid upon completion of certain prescribed milestones as outlined in the attached Exhibit"A"; and WHEREAS,under this plan CFER would increase the number of work crews and extend the work hours to complete the water distribution,stormwater systems, roadway reconstruction and first lift of asphalt pavement by May 13, 2016; and 696 WHEREAS, CFER performed groundwater sample analyses which revealed contaminants in higher that acceptable concentrations for the planned dewatering operations;and WHEREAS,the area affected by the contaminants include,the southernmost portion of Lower North Bay Road (20th Street) north to the intersection of North Michigan Avenue and North Michigan Avenue east to 19th Street. WHEREAS,an allowance in the amount of$978,260,(see Exhibit"B")to be included as part of Amendment No. 2 would be allocated for the costs associated with the dewatering, hauling and disposal of contaminated soils and groundwater, testing and general contaminated area remediation; and WHEREAS, CFER is entitled to a Contract Time extension for inclement weather and adverse soil conditions preventing them from productively performing controlling items of work;and WHEREAS,CFER is being granted twenty-five(25)calendar days for inclement weather and special events delays and fifty-eight(58)calendar days for their inability to perform work in the contaminated areas for a total of eighty-three(83)calendar days; and WHEREAS,this time extension will revise the contractual Substantial Completion date from March 20, 2016 to June 11, 2016; and WHEREAS, pedestrian lighting improvements are not included in the current Design- Build project, and residents have requested that the Administration include these improvements; and WHEREAS,funding for street lighting upgrades in the amount of$400,000,will be added to CFER's Contract as an allowance to design and install as much of the infrastructure that this budget allows; and WHEREAS, this Amendment No. 2 is in the amount of$2,878,260; and WHEREAS, CFER releases the City of all claims it has asserted against the City for additional compensation and/or time pertaining to the Project from the date of the execution of the Agreement, through the date of this Amendment; and WHEREAS, the current contract with Central Florida Equipment Rentals, Inc, is in the amount of$10,039,908 and this Amendment No.2, in the amount of$2,878,260 will result in a total Contract amount of$12,918,168. NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises, covenants, agreements,terms,and conditions herein contained,and in other good and valuable consideration, the respect and adequacy are hereby acknowledged, do agree as follows: 1. ABOVE RECITALS, The above recitals are true and correct and are incorporated as a part of this Amendment No. 2. 2. MODIFICATIONS A. Section 8.01.01 to the Agreement is amended to refer to the new Contract Price, in the amount of$12,918,168. 2 697 i B. Item Summary/Recommendation: On December 11, 2013, the Mayor and City Commission adopted Resolution No. 2013-28436 approving and authorizing the Mayor and City Clerk to execute an Agreement with.Central Florida Equipment Rentals,Inc.(CFER)for a Guaranteed Maximum Price (GMP) in the amount of $8,950,040, for Design-Build Services for Right of Way Infrastructure Improvement Program No.8B—Lower North Bay Road. CFER has been significantly delayed as a result of slower than expected production rates installing the 10-foot deep, 42-inch diameter concrete pipes and drainage structures, numerous existing underground utilities encountered, extremely high ground water levels caused by extreme high tides,weather delays,extensive permitting time frames, coordination with other nearby right-of-way construction projects and approximately twenty-one(21)private properties currently under construction,among other issues.At this rate of production CFER would be paving the roads in late Summer 2016. In response to the community's request,and to minimize the extended impact,the City Administration has negotiated a construction acceleration plan with CFER in the amount of$1,500,000 to be paid upon completion of certain prescribed milestones. Under this plan the water distribution,stormwater systems,roadway reconstruction throughout the entire project limits up to the first lift of asphalt pavement would be completed by May 13,2016. An allowance in the amount of$978,260 would be allocated for the costs associated with the design,permitting of a specialized dewatering system and the mitigation required by the environmental agency,in order to perform work in the contaminated area. An allowance in the amount of$400,000, for design and installation of as much of the infrastructure for pedestrian lighting improvements as the budget allows will be added. (CFER) for a Guaranteed Maximum Price (GMP) in the amount of $8,950,040. The project limits consist of the North Bay Road Corridor which is bounded by 20th Street to the South, Biscayne Bay to the West, Alton Road to the east and north, including the intersecting streets within the aforementioned project limits. The scope of this Design-Build project includes the design, permitting and construction associated with earthwork,roadway,pavement reconstruction and restoration,sidewalk construction,water main and water services installation, seawall reconstruction, sanitary sewer lining, storm drainage infrastructure installation, including a pump station at 23`d Street and streetscape improvements. On June 11, 2014, the City executed Amendment No.1 to CFER's Agreement, in the amount of $1,089,868,for the additional design,permitting and construction of the drainage system to meet the enhanced stormwater criteria. On July 14,2014, Notice to Proceed No. 1 was issued to CFER to commence the design,scheduling and permitting activities on the project. On September 23,2014,construction began. On August 10, 2015, following the receipt of the required permits, construction of the stormwater drainage system began. Pursuant to Notice to Proceed No. 1, the Project is required to be Substantially Complete within 615 calendar days, or by March 20, 2016, and Final Completion attained within sixty (60) calendar days following Substantial Completion. CURRENT STATUS The lining of the sanitary sewers is complete,the watermain installation is approximately seventy-five (75)percent complete and the Stormwater Drainage System installation is approximately fifteen(15) percent complete. CFER has been significantly delayed as a result of slower than expected production rates installing the 10-foot deep,42-inch diameter concrete pipes and drainage structures, which are being installed along the center of the roadway. Other factors that have slowed production rates include,the numerous existing underground utilities encountered,extremely high ground water levels caused by extreme high tides, weather delays, extensive permitting time frames, soil contamination encountered south of North Michigan Avenue,coordination with other nearby right-of- way construction projects and approximately twenty-one (21) private properties currently under construction. The Project's proximity to Alton Road has also resulted in traffic impacts as motorists utilize Lower North Bay Road as an alternate north/south route.At this rate of production CFER would be paving the roads in late Summer 2016. ANALYSIS Construction Acceleration In order to minimize the impact of the extended construction time frame, the City Administration has negotiated a construction acceleration plan with CFER in the amount of $1,500,000 (refer to Amendment No. 2) to be paid upon completion of certain prescribed milestones as outlined in the attached Amendment No. 2 to the Agreement. Under this plan the water distribution, stormwater systems, roadway reconstruction throughout the entire project'limits up to the first lift of asphalt pavement would be completed by May 13, 2016. This would be accomplished by increasing the number of work crews,by extending working hours,and working on Saturdays. The acceleration plan includes three additional crews subcontracted by CFER from local contractors. CFER has already mobilized additional crews. Under this plan up to five crews may be working simultaneously throughout the Lower North Bay Road corridor. Contamination Remediation As part of the Design-Build Agreement,CFER was required to perform groundwater sample analyses. As such, monitoring wells were installed which revealed contaminants in higher that acceptable concentrations for the planned dewatering operations.The area affected by the contaminants include, the southernmost portion of Lower North Bay Road (20th Street) north to the intersection of North Michigan Avenue and North Michigan Avenue east to 19`h Street. Design, permitting and testing for the new dewatering system will be required in order to proceed with the installation of water main and stormwater system. Additional costs will be incurred for the discharge into the City's Sanitary Sewer system and for the hauling and disposal of the contaminated soils. An allowance in the amount of$978,260(refer to Amendment No. 2)would be allocated for the costs associated with the design, permitting of a specialized dewatering system and the mitigation required by the environmental agency, in order to perform work in the contaminated area. Time Extension Pursuant to the Design-Build Agreement,CFER is entitled to a Contract Time extension for inclement weather or adverse soil conditions preventing them from productively performing controlling items of work. In addition to rain days, CFER demobilized for the Centennial Holiday and Art Basel special events,for Tropical Storm Erika and for the King Tides.Twenty-five(25)calendar days will be granted for the above mentioned delays,and fifty-eight(58)calendar days for their inability to perform work in the contaminated areas.As part of the Amendment No.2,the City would grant CFER a total of eighty- three(83)calendar days.This time extension will revise the contractual Substantial Completion date from March 20, 2016 to June 11, 2016. The Contract Time extension is reflected in the updated baseline schedule included as part of the Amendment No. 2 Upon execution of the Amendment No. 2 to the Agreement, CFER releases the City of all claims it has asserted against the City for additional compensation and/or time pertaining to the Project from the date of the execution of the Agreement, through the date of this Amendment; and Street Lighting Pedestrian lighting improvements are not included in the current Design-Build project; however, residents have requested that the Administration include these improvements. Funding for street lighting upgrades in the amount of$400,000 is being funded by Capital Reserve Fund.This$400,000 (refer to Amendment No. 2)will be utilized as an allowance to design and install as much of the infrastructure that this budget allows. Based on similar City lighting projects, the improvements are estimated to cost close to$1.5 million for the design and construction of the system. The City would complete the lighting improvements when the additional funding is identified. Owner's Contingency At the time of the award of the Design-Build Agreement to CFER, an Owner's contingency was not included in the original funding appropriation. Therefore,a five(5)percent(of the overall construction budget)Owner's Contingency in the amount of$645,908, is being discussed for any scope changes requested by the City. The current Design-Build Agreement with CFER, is in the amount of$10,039,908.This Amendment No. 2, in the amount of$2,878,260 will result into total Contract amount of$12,918,168. 691 • City Commission Memorandum-RIGHT OF WAY INFRASTRUCTURE IMPROVEMENT PROJECT NO. 8B, LOWER NORTH BAY ROAD AMENDMENT NO 2 January 13,2016 Page 4 of 4 During the adoption of the FY 2015/16 Capital Budget, a new programmatic approach for managing bond proceeds for capital projects in the Stormwater and Water&Sewer funds was instituted. The new approach creates a system-wide master program for each fund. The overall budget control for these funds will be in the master programs. Whenever a contract is awarded for a project during the fiscal year,an administrative budget amendment will be processed to move the necessary amount of funding from the master program to the individual project budget. The necessary budget amendments will not need to be approved by Commission, but will reflect any contracts awarded by Commission for these funds. This approach will maintain maximum flexibility while facilitating the timely spending of bond funds. This Amendment No. 2 plus the five(5)percent owner's contingency in the amount of$3,524,168 is partially being funded by $848,744 from previously appropriated funding and $1,793,128 from the Stormwater Master Plan Program. The acceptance of this$1,793,128 for the Lower North Bay Road Project reduces the available of stormwater bond funds from $12,167,584 to $10,374,456. (CFER) for a Guaranteed Maximum Price in the amount of$8,950,040; and WHEREAS, the scope of this Design-Build project includes the design, permitting and construction associated with earthwork, roadway, pavement reconstruction and restoration, sidewalk re-construction, water main and water services installation, seawall construction, sanitary sewer lining, storm drainage infrastructure installation, a pump station and streetscape improvements; and WHEREAS, on June 11, 2014, the City executed Amendment No.1 to CFER's Agreement, in the amount of $1,089,868, for the additional design, permitting and construction of the drainage system to meet the City's enhanced stormwater criteria; and WHEREAS, on July 14, 2014, Notice to Proceed No. 1 was issued to CFER to commence the design, scheduling, and permitting activities on the project, and construction began on September 23, 2014; and WHEREAS, CFER has been significantly delayed as a result of slower than expected production rates due to extenuating circumstances, inclement weather, unseasonably high tides, and soil contamination encountered south of North Michigan Avenue; and WHEREAS, at this rate of production, CFER would be paving the roads in late Summer 2016; and 693 WHEREAS, to minimize the impact of the extended construction time frame, the City Administration has negotiated a construction acceleration plan with CFER in the amount of $1,500,000, to be included as part of Amendment No. 2, and paid upon completion of certain prescribed milestones; and WHEREAS, under this plan CFER would increase the number of work crews and extend the work hours to complete the water distribution, stormwater systems, roadway reconstruction and "first lift" of asphalt pavement by May 13, 2016; and WHEREAS, as part of the Agreement, CFER was required to perform groundwater sample analyses and as a result, monitoring wells were installed, testing of which revealed contaminants in higher that acceptable concentrations for the planned dewatering operations; and WHEREAS, the area affected by the contaminants include the southernmost portion of Lower North Bay Road (20th Street) north to the intersection of North Michigan Avenue and North Michigan Avenue east to 19th Street; and WHEREAS, an allowance in the amount of $978,260, is included as part of Amendment No. 2, and is allocated for the costs associated with the dewatering, hauling and disposal of contaminated soils and groundwater, testing and general contaminated area remediation; and WHEREAS, CFER is entitled to a Contract Time extension due to inclement weather or adverse soil conditions which have prevented them from productively performing material portions of the work; and WHEREAS, the Amendment purposes a twenty-five (25) calendar day extension to CFER due to inclement weather and "special events" delays, and fifty-eight (58) calendar days for their inability to perform work in the contaminated areas, for a total of eighty-three (83) calendar days; and WHEREAS, this time extension will revise the contractual Substantial Completion date from March 20, 2016 to June 11, 2016; and WHEREAS, pedestrian lighting improvements are not included in the current Design-Build project, and residents have requested that the Administration include these improvements; and WHEREAS, the improvements are estimated to cost close to $1.5 million for the design and construction of the system; and WHEREAS, funding for street lighting upgrades in the amount of $400,000, will be added to CFER's Agreement as an allowance to design and install; and as much of the infrastructure that this budget allows the City would complete the lighting improvements when the additional funding is identified WHEREAS, as part of this Amendment No. 2, CFER releases the City of all claims it has or may assert against the City for additional compensation and/or time pertaining to the Project from the date of the execution of the Agreement, through the date of this Amendment No. 2; and 694 WHEREAS, the current contract with Central Florida Equipment Rentals, Inc, is in the amount of $10,039,908, and this Amendment No. 2, in the amount of $2,878,260, will result in a total Contract amount of$12,918,168.
