Amendment No. 1 to the Agreement with The Florida Atlantic University Board of Trustees goic- n AMENDMENT NO. 1 TO THE AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND THE FLORIDA ATLANTIC UNIVERSITY BOARD OF TRUSTEES EFFECTIVE JANUARY 14, 2015 FOR THE EVALUATION OF ADVANCED TRAFFIC MANAGEMENT SYSTEMS ON SR112/41 ST STREET ("AGREEMENT") This Amendment No. 1 (Amendment) to the Agreement is made and entered into this 5 day of Ac'2'L , 2016, by and between the City of Miami Beach, Florida ("the City"), and the Florida Atlantic University Board of Trustees ("FAU"), and hereby amends the Agreement as follows: WHEREAS, on January 14, 2015, the Mayor and the City Commission adopted Resolution Number 2015-28897, approving and authorizing the Mayor and City Clerk to execute an Interlocal Agreement (Agreement) between the City and FAU for the provision of traffic simulation services along State Road 112/41 St Street to determine the feasibility of Adaptive Traffic Signal Control along this corridor, for a sum not to exceed $97,642 ("the Project"); and WHEREAS, the Agreement became effective on January 14th, 2015; and WHEREAS, the Agreement terminated on December 31st, 2015; and WHEREAS, the Agreement period may be extended and/or renewed for additional periods by the mutual written Agreement of the Parties; and WHEREAS, in order to meet the tentative schedule of the Agreement, FAU depended on data provided by third parties; and WHEREAS, data needed for the completion of the Project was not provided to FAU in a timely manner and additional time is needed for the benefit cost analysis evaluation and drafting of the final report. NOW THEREFORE, in consideration of the conditions contained herein, the City and FAU hereby agree to amend the Agreement, as follows: 1. ABOVE RECITALS. The above recitals are true and correct and are incorporated as part of this Amendment. 2. MODIFICATIONS. The Agreement is hereby modified (deleted items struck ough and inserted items underlined) as follows: a. Exhibit B is deleted in its entirety and replaced with the attached Exhibit B. b. Article I, entitled "Period of Performance", is amended as follows: This Agreement shall become effective on January 14th, 2015, and shall terminate on December 31, 2015 June 30th, 2016 ("Project Period"). The Project Period may be extended and/or renewed for additional periods by the mutual written Agreement of the Parties. Notwithstanding the Project Period, the Parties shall adhere to the specific timelines set forth in the Project Schedule attached as Exhibit B hereto. c. RATIFICATION. Except as amended herein, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event there is a conflict between the provisions of this Amendment and the Agreement, the provisions of this Amendment shall govern.
