Amendment No. 1 to the Agreement with Skidata, Inc. of c-a9 / Y? AMENDMENT NO. 1 This Amendment No. 1 (the "Amendment") to the Agreement between the City of Miami Beach and Skidata, Inc. for the Design, Construction, Installation and Maintenance of a Parking Garage Gated Revenue Control System (ITN 2014-170-SW) (the "Agreement") is made and entered into this 9 day of M 4Y 2016, by and between the CITY OF MIAMI BEACH, a municipal corporation organized and existing under the laws of the State of Florida (hereinafter referred to as the "City") and SKIDATA, INC. a Delaware corporation, authorized to do business in the state of Florida (hereinafter referred to as the "Contractor"). RECITALS WHEREAS, on September 30, 2015, the Mayor and City Commission approved Resolution No. 2015-29149 authorizing the Mayor and City Clerk to execute an Agreement, substantially, between the City and Skidata, Inc., pursuant to Invitation to Negotiate (ITN) 2014- 170-SW, for a Gated Revenue Control System for the City's parking garages, for an initial term of ten (10) years, with two (2) five (5) year options, at the City's sole discretion; and WHEREAS, the City and Contractor entered into an Agreement, dated October 15, 2015 (the "Agreement"), for the design, construction, installation, and maintenance of a parking garage gated revenue control system, pursuant to ITN 2014-170-SW; and WHEREAS, on September 30, 2015, the Mayor and City Commission of the City of Miami Beach passed and adopted Resolution No. 2015-3966 approving an increase of parking garage rates, contingent upon offering a discounted parking rate for bonafide Miami Beach residents; and WHEREAS, in order to provide the resident discounted parking rate at municipal garages it will be necessary for the Contractor to develop a software interface via the Parkmobile payment application to query and verify the user is a Miami Beach resident and apply the discounted parking rate accordingly; and WHEREAS, the cost to implement the software interface, including testing and documentation, pursuant to the attached quote provided by Contractor, shall be a one-time fee amount which will not exceed $24,000; and WHEREAS, the proposal documents included an in-lane validation system for the processing of disabled parking validations, also known as, exceptions; and WHEREAS, the City would like to expand the use of this in-lane validation solution to incorporate other validations or exceptions; and WHEREAS, the cost to implement this enhancement requested by the City to the in-lane validation system, pursuant to the attached quote provided by Contractor, shall be a one-time fee amount which will not exceed $4,975; and WHEREAS, pursuant to Section 2.5 of the Agreement, the City Manager is authorized to approve the additional of new products, which are in addition to the existing scope of the Agreement, and the parties wish to amendment the Agreement to incorporate these additional products. NOW, THEREFORE, for and in consideration of the conditions and covenants hereinafter contained and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. Exhibit "C" to the Agreement, entitled "Parking Revenue Control System (PRCS) Pricing is hereby amended to add the following new products and costs under the category "OTHER": Development of the software interface of the resident parking rate discount program at a cost not to exceed the one-time fee of$24,000 Development of the enhancement to the in-lane validation system for the processing of any fee exception transactions, including without limitation, disable parking validations, City employee validations, or any other exception at a cost not to exceed the one-time fee of$4,975 2. All other terms and conditions of the Agreement shall remain in full force and effect. In the event there is a conflict between the provisions of this Amendment and the Agreement, the provisions of this Amendment shall govern. As mentioned to the city during our design review conferences,the current interface SKIDATA utilizes for the Parkmobile application allows for only a single rate for parkers that pay with the Parkmobile Application and cannot differentiate between types of parkers.To achieve the verification of the resident and the correlated rate discount,SKIDATA can develop the software to query and verify that the parker is a resident and apply the appropriate discount for the Parkmobile payment. SKIDATA estimates our development effort will require approximately two weeks'time subsequent to receiving the modified Parkmobile API.Any Parkmobile development is separate from SKIDATA's,however,will be required to achieve the solution. Please let me know if you have any questions or need any clarification and if the City would like to move forward with these changes. Scope of work 1. Add a setup item to make the application title variable. This title would be used to replace the 'Handicap'wording on the forms and reports. I.E. 'In Lane Validation' 2. Add a setup item to define the default purge time period(I.E.60 days)and 'optionally' a folder to move the images before deleting. 3. Background purging of images and access records using the setup item 2 4. Modify setup item of the validation provider to read a list of the available validations from Parking.Logic 5. Modify setup to allow the selection of the validations to be used in the application (make a limited set) 6. Main Entry form,allow the selection of the validation to use from the list defined 7.
