IN THE AMOUNT OF$111,338 _
This Amendment No. 13 to the Agreement made and entered this If day of J 14 I , 2016, by and
between the CITY OF MIAMI BEACH, a municipal corporation existing under the Laws of the State of
Florida (hereinafter referred to as City), having its principal offices at 1700 Convention Center Drive, Miami •
Beach, Florida 33139, and FENTRESS ARCHITECTS, a Colorado corporation, having its offices at 421
Broadway, Denver, Colorado(hereinafter referred to as"Consultant"or"Architect-Engineer").
RECITALS
WHEREAS, pursuant to Request for Qualifications (RFQ) No. 2014-142ME, the Mayor and City
Commission adopted Resolution No. 2014-28538 on April 9, 2014, approving and authorizing the Mayor
and City Clerk to execute an Agreement with Fentress Architects for Design Criteria Professional Services
for the Miami Beach Convention Center Renovation Project(the"Agreement"); and
WHEREAS, the Agreement was executed for a lump sum amount of $10,967,200 including
reimbursable expenses; and
WHEREAS, on December 8, 2014, Amendment No. 1 was executed for correction to Task 3 -
Design Development and Design Criteria Package Services, requiring 30% completion level for low voltage
systems in lieu of 90%completion; and
WHEREAS, on December 8, 2014, Amendment No. 2 was executed for supplemental civil
engineering services in the amount of$41,079; and
WHEREAS, on December 8, 2014; Amendment No. 3 was executed for additional services to
revise the quantity, sizes and configurations of the main ballroom, junior ballrooms, and meeting rooms, in
the amount of$179,982; and
WHEREAS, on January 21, 2015, Amendment No. 4 was executed for a regional stormwater pump
station location analysis, and for the development of a 3D animation and custom website for the Project in
the amount of$76,605; and
WHEREAS, on February 11, 2015, the City Commission authorized Resolution No. 2015-28925,
authorizing an additional lump sum amount of $14,469,500, for the purpose of retaining Fentress to
complete all design and construction administration services for the Project; and
WHEREAS, on March 31, 2015, Amendment No. 5 was executed for the completion of design
development documents and preparation of Bid Package 1, in the amount of$2,442,400; and
WHEREAS, on May 28, 2015, Amendment No. 6 was executed for a deductive adjustment to the
Agreement in the total amount of $ $3,129,259, to delete the remaining Tasks 4, 5 and 6 of the Scope of
Services set forth in Schedule A of the Agreement, as such tasks are no longer applicable and shall be
superseded by a subsequent amendment with regard to the construction documentation and administration
services required for the Project; and
WHEREAS, on May 28, 2015, Amendment No. 7 was executed for certain Additional Services
relating to wind loading and micro-climate services, in the amount of$117,200;
WHEREAS, on May 28, 2015, Amendment No. 8 was executed to retain Fentress Architects to
serve as Architect of Record for the Project, to clarify requirements with regard to Design Development, and
to provide for completion of Construction Documents and all construction administration services required

of the Architect-Engineer for the Project, in the total amount of$15,156,359.00; and
• WHEREAS, on August 14, 2015, Amendment No. 9 was executed for the provision of
Commissioning Services, in the total amount of$302,876; and
WHEREAS, on October 27, 2015, Amendment No. 10 was executed for a parapet design analysis
and consultation services to reduce the applicable wind pressures on the curtain wall for potential
construction cost reductions, in the total amount of$15,000; and
WHEREAS, on December 4, 2015, Amendment No. 11 was executed for the preparation of event
plans background drawings to be used by event planners during construction, in the total amount of
$36,875; and
WHEREAS, on March 29, 2016, Amendment No. 12 was executed for stormwater design revisions
related to Public Works Department's pump stations design, in the total amount of$34,073;and
WHEREAS, on May 31, 2016, Amendment No. 13, was executed for design changes associated
with the removal of the smoke control system; and
WHEREAS, on June 10, 2016, Amendment No. 14, was executed for additional site visits by
members of the design team for a weekly presence through July 28, 2016, and for the implementation of
alternative designs requested by the Construction Manager, in the amount of$148,999; and
WHEREAS, this Amendment No. 15, is for design changes associated with raising 18th Street, 19th
Street and Convention Center Drive, requested by Public Works to allow the raising of Meridian Avenue
and 17th Street in the future; and
NOW. THEREFORE, the parties hereto, and in consideration of the mutual promises, covenants,
agreements, terms, and conditions herein contained, and other good and valuable consideration, the
respect and adequacy are hereby acknowledged, do agree as follows:
1. ABOVE RECITALS.
The above recitals are true and correct and are incorporated as a part of this Amendment No. 15.
2. MODIFICATIONS.
The Agreement is amended as provided in Appendix"A-15", attached herein.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged and in full force and effect.
4. RATIFICATION.
The City and Consultant ratify the terms of the Agreement, as amended by this Amendment No.
15.

Dear Mr.Morales:
This proposal is to provide revised design services along the east edge of Meridian Avenue as it abuts the P Lot at the
west boundary of the project site. This work constitutes an additional service,as revising roadway elevations adjacent
to the project boundaries is outside of the Fentress Design Team's current scope of work.
PROJECT UNDERSTANDING:
The scope of services,schedule,and fee provided below are based upon our understanding of the project.
The City of Miami Beach Public Works Department requested revisions to the project site, in order to allow a
future raising of Meridian Avenue and 17'x'Street. This instruction raises the roadway by approximately 15 inches
from the existing condition and the current design. Transitions and temporary conditions will be required on
Convention Center Drive,as well as 18th and 19th Street to meet the existing Meridian Avenue and 17th Street
grades, until such time as the City's grade-raising roadway projects are designed and constructed. The general
intent is to redesign the affected areas (Convention Center Drive, 18th Street, 19th Street and P-Lot Park) to
facilitate connectivity with the City's future roadway projects on Meridian Avenue and 17th Street, as well as
meet the City's minimum crown elevation criteria.
The following items are assumed or excluded:
• The Holocaust Memorial parking lot is to be designed by others at a future time and is not included
in this scope of services;
• Temporary conditions for sidewalk transitions,such as gravity walls,may be required. However,
any gravity wall proposed will be per the Florida Department of Transportation(FDOT)standard
design manual. Structural design is not included in this scope of services;
• It is not anticipated that improvements will be required within, or along, Meridian Avenue.
Harmonization and transitions to the existing Meridian Avenue grades will take place along 18th
and 19th Streets, but will not extend into Meridian Avenue. Plateau intersection design for the
intersections of Meridian Avenue and 18th Street, and Meridian Avenue and 19th Street, is not
included in this scope of services;
• Environmental and archaeological/historical evaluations or studies are not included this scope of
services;
• Maintenance of Traffic(MOT)Plans will be provided by others;
• This scope of work includes Civil and Landscape design services.

SCOPE OF SERVICES:
Task I —Roadway Redesign
Based on continuing coordination with team members and the City of Miami Beach Public Works Department,
the Design Team will provide those designated services necessary to modify and update the drawings and related
documents,setting forth in detail the requirements for construction of the redesigned roadway components and
landscape plans for the Project.
The Design Team will submit the necessary drawings to the City for review by the appropriate City staff.
Roadway Calculations and Drainage System:
The Design Team will also revise/update the roadway storm water management calculations, spread
calculations, hydraulic model and drainage system design as required by the roadway re-design. Drainage
structure cross sections will also be revised/updated in order to check for potential utility conflicts within the
redesigned area.
Roadway Regulatory Assistance:
The Design Team will prepare revised plans and permit applications, resubmit them to the City's
representative to request signatures and fee checks, and forward them along with other supporting
documentation to the following regulatory agencies:
• Miami-Dade County Public Works Department:
o Roadway and Traffic Improvements.
Landscape Areas Re-grading and Re-configuration:
The Design Team will coordinate the following:
• Coordinate roadway grading changes between civil and landscape disciplines;
• Redesign grading and drainage plans at affected P-lot Park perimeters to meet proposed grades;
• Update plan and construction drawings.
Task 2.0—Site Civil and Utilities Modifications
Based on continuing coordination with the City of Miami Beach Public Works Department,the Design Team will
provide those designated services necessary to modify and update the drawings and related documents, setting
forth in detail the requirements for construction of the site civil and utility components affected by the roadway
redesign for the Project.
The Design Team will submit the civil engineering permit drawings to the City for review by the Project team.
Site Civil Calculations and Drainage Report:
The Design Team will revise/update the site civil storm water management calculations, drainage system
design and the drainage report as required by the roadway re-design that impacts the site civil drainage,
primarily within the P-Lot Park.
Site Civil Regulatory Assistance:
It is anticipated that permitting comments will be received for previous submittal(s) during the redesign
effort. The Design Team will incorporate the redesign into the permit resubmittals, so the changes are
captured in the permit sets. The Design Team will update the plans and forward them along with other
supporting documentation to the following regulatory agencies:
• Miami-Dade County Department of Regulatory and Economic Resources:
o Water Main Extension;
o Sewer Main Extension;
o On-Site Paving,Grading and Drainage;
o Class 11 Drainage Permit;

• South Florida Water Management District:
o Environmental Resource Permit.
For the Roadway and Civil Tasks above,all application,review,permit and impact fees are to be paid directly by
the Owner.Permits will be applied for in conformance with the guidelines for the listed entities.
The Design Team does not guarantee the issuance of permits or approvals. If permits are issued for this project,
the conditions and expiration dates are the sole responsibility of the Owner.The Design Team is not responsible
for extending time-limited entitlements or permits.The Design Team may provide services related to permit time
extension requests and/or re-application of expired permits as an additional service.
Any changes to the plans or scope of work requested after permit drawings are submitted to the regulatory
agencies specified, will be addressed as an additional service. After comments are received from all applicable
regulatory agencies,we will upgrade the construction drawings produced in the above Tasks to contract drawings
suitable for construction. The plans will be prepared reflecting comments and/or conditions set forth by the
regulatory agencies during the regulatory process.
INFORMATION PROVIDED BY THE CITY
The City shall provide all information requested by Design Team during the project,including but not limited to
the following:

• Meridian Avenue Roadway Project Design or Schematic Plans if available;
• Holocaust Memorial Design or Schematic Plans if available;
• I7'h Street Design or Schematic Plans if available.
SCHEDULE
We will provide our services in an expeditious and orderly manner to meet the mutually agreed upon schedule
for the various elements of the project.

• Submittal to CMBPW staff for preliminary review: I week
• Schedule meeting with CMBPW to review plans: allow for 1 week
• Address comments and finalize design: 3 weeks
FEE
Fees for all services will be a lump sum amount of One Hundred Eleven Thousand Three Hundred Thirty-eight
Dollars($111,338). Reimbursable costs for printing,telephone,delivery and travel are included. Reimbursable
expenses will be billed in accordance with the existing terms and conditions of our Agreement. Billings for these
services will be invoiced under the heading#20140021.001 A 19.

AMENDMENT NUMBER 11 TO THE AGREEMENT BETWEEN THE CLIENT
AND KIMLEY-HORN AND ASSOCIATES, INC.
AMENDMENT NUMBER 11 DATED June 20, 2016 to the Agreement between Fentress
Architects ("Client") and Kimley-Horn and Associates, Inc., ("Kimley-Hom") dated May
141'2014 ("the Agreement") concerning the Miami Beach Convention Center Improvements
at 1700 Convention Center Drive in Miami Beach, Florida 33139.
The Consultant has entered into the Agreement with Client for the furnishing of professional
services for an alternate Drainage Permit Package for the Miami Beach Convention Center
Improvements,and the parties now desire to amend the Agreement.
Therefore, it is mutually agreed that the Agreement is amended to include Additional Services
to be performed by Consultant and provisions for additional compensation by the Client to the
Consultant, all as set forth in Exhibit A hereto. The parties ratify the terms and conditions of

Consultant shall perform the following Additional Services:
PROJECT UNDERSTANDING
The City of Miami Beach Public Works Department (CMBPW) issued comments on
November 3rd, 2015 for the 65%GMP plan set, requiring a minimum roadway crown elevation
of 3.70 NAVD along Convention Center Drive, 18' Street and 19th Street. Said requirement
was subsequently discussed with CMBPW staff at multiple meetings and the final directive
provided by CMBPW on January 22nd, 2016 was that the roadways must be raised to meet
the criteria provided on the comments. Furthermore, transitions and temporary conditions will
be required on Convention Center Drive as well as 18th and 19th Street to meet the existing
Meridian Avenue and 17th Street grades until the City's Raising Street roadway projects are
designed and constructed. The general intent is to redesign the affected areas(Convention
Center Drive, 18th Street, 19t Street and P-Lot Park) to facilitate connectivity with the City's
future roadway projects on Meridian Avenue and 17'h Street as well as meet the City's
minimum crown elevation criteria. In order to meet the roadway crown elevation criteria
set forth by the City of Miami Beach Public works comments, redesign of a portion of
Convention Center Drive, 19th Street and 18th Street is required.
The following is assumed:

Kim ley-Horn will submit the civil engineering drawings by Y- g' g permit drawin s to the Client for review b the
Project team, address two(2)round of reasonable comments,and resubmit the drawings.
Site Civil Calculations and Drainage Report
Kim ley-Horn will also revise/update the site civil storm water management calculations,
drainage system design and the drainage report as required by the roadway re-design that
impacts the site civil drainage, primarily within the P-Lot Park.
Site Civil Regulatory Assistance
It is anticipated that permitting comments for submittal already made or in the process of being
submitted will be received during the redesign effort. Kimley-Hom will incorporate the redesign
into the permit resubmittals for the changes to be captured in the permit sets. Kimley-Horn will
update the plans and forward them along with other supporting documentation to the following
regulatory agencies:
1. Miami-Dade County Department of Regulatory and Economic Resources
a. Water Main Extension
b. Sewer Main Extension
c. On-Site Paving,Grading and Drainage
d. Class II Drainage Permit
2. South Florida Water Management District
a. Environmental Resource Permit
For the Roadway and Civil Tasks above, all application, review, permit and impact fees are to
be paid directly by the Owner. Permits will be applied for in conformance with the guidelines
for the listed entities.
Kimley-Horn does not guarantee the issuance of permits or approvals. If permits are issued
for this project, the conditions and expiration dates are the sole responsibility of the Owner.
Kimley-Hom is not responsible for extending time-limited entitlements or permits. Kimley-Horn
may provide services related to permit time extension requests and/or re-application of
expired permits as an additional service.
Any changes to the plans or scope of work requested after permit drawings are submitted to
the regulatory agencies specified will be addressed as an additional service. After comments
are received from all applicable regulatory agencies, we will upgrade the construction
drawings produced in the above Tasks to contract drawings suitable for construction. The
plans will be prepared reflecting comments and/or conditions set forth by the regulatory
agencies during the regulatory process.

INFORMATION PROVIDED BY CLIENT
We shall be entitled to rely on the completeness and accuracy of all information provided by
the City, Client or the Client's consultants. The City shall provide all information requested by
Kimley-Hom during the project, including but not limited to the following:
- Meridian Avenue Roadway Project Design or Schematic Plans if available
- Holocaust Memorial Design or Schematic Plans if available
- 171'Street Design or Schematic Plans if available
SCHEDULE
The following durations are anticipated for the redesign effort assuming that all information
required from the City is provided along with the notice to proceed.
Preliminary Redesign Plans Modification 4 weeks
Submittal to CMBPW staff for preliminary review of plans 1 week
Meeting with CMBPW Staff to Review Plans 1/2 week
Address CMBPW Comments and Finalize Design 2 1/2 weeks
FEES AND BILLING
Kimley-Hom will perform the services in Tasks 1 and 2 for the total lump sum labor fees of
$89,012.50. All permitting, plotting, application impact, and similar project fees will be paid
directly by the Client.
Lump sum fees will be invoiced monthly based upon the overall percentage of services
performed. Direct expenses such as mileage, express delivery services and in-house
computer use is included in the lump sum labor fees. It is assumed that air travel and vehicular
trips beyond the Miami-Dade County will not be required. Payment will be due within 25 days
of your receipt of the invoice.

West 8 urban design &landscape architecture p.c. is pleased to provide you this scope for additional design
services related to the Meridian Street re-grading effort at Miami Beach Convention Center, per your request via
email March 11th, 2016.
Based on conversations with Fentress and Kimley-Horn on March 17th, 2016,West 8 assumes that the north,
west,and south edges of P-lot Park will be impacted due to the roadway re-grading efforts that Public Works
has requested.We anticipate this work to fall in sequence with the current deliverable schedule and will be
integrated into the final drawing submission for permitting.We've outlined the scope, schedule and fee for this
additional service below.
SCOPE OF WORK
This additional service request entails the following tasks:
1. Meridian Street Re-grading
a. Coordinate roadway grading changes with Kimley-Horn at Meridian, 18th and 19th Streets
