CENTER RENOVATION PROJECT,
IN THE AMOUNT OF $70,270 AA
•This Amendment No. 13 to the Agreement made and entered this day of "IV , 2016, by and
between the CITY OF MIAMI BEACH, a municipal corporation existing under the laws of the State of
Florida (hereinafter referred to as City), having its principal offices at 1700 Convention Center Drive, Miami
Beach, Florida 33139, and FENTRESS ARCHITECTS, a Colorado corporation, having its offices at 421
Broadway, Denver, Colorado (hereinafter referred to as "Consultant" or"Architect-Engineer").
RECITALS
WHEREAS, pursuant to Request for Qualifications (RFQ) No. 2014-142ME, the Mayor and City
Commission adopted Resolution No. 2014-28538 on April 9, 2014, approving and authorizing the Mayor
and City Clerk to execute an Agreement with Fentress Architects for Design Criteria Professional Services
for the Miami Beach Convention Center Renovation Project (the"Agreement"); and
• WHEREAS, the Agreement was executed for a lump sum amount of $10,967,200 including
reimbursable expenses; and
WHEREAS, on December 8, 2014, Amendment No. 1 was executed for correction to Task 3 -
Design Development and Design Criteria Package Services, requiring 30% completion level for low voltage
systems in lieu of 90% completion; and
WHEREAS, on December 8, 2014, Amendment No. 2 was executed for supplemental civil
engineering services in the amount of$41,079; and
WHEREAS, on December 8, 2014, Amendment No. 3 was executed for additional services to
revise the quantity, sizes and configurations of the main ballroom, junior ballrooms, and meeting rooms, in
the amount of$179,982; and
WHEREAS, on January 21, 2015, Amendment No. 4 was executed for a regional stormwater pump
station location analysis, and for the development of a 3D animation and custom website for the Project in
the amount of$76,605; and •
WHEREAS, on February 11, 2015, the City Commission authorized Resolution No. 2015-28925,
authorizing an additional lump sum amount of $14,469,500, for the purpose of retaining Fentress to
complete all design and construction administration services for the Project; and
. WHEREAS, on March 31, 2015, Amendment No. 5 was executed for the completion of design
development documents and preparation of Bid Package 1, in the amount of$2,442,400 (part of Resolution
No. 2015-28925); and
WHEREAS, on May 28, 2015, Amendment No. 6 was executed for a deductive adjustment to the
Agreement in the total amount of $3,129,259, to delete the remaining Tasks 4, 5 and 6 of the Scope of
Services set forth in Schedule A of the Agreement, as such tasks are no longer applicable and shall be
superseded by a subsequent amendment with regard to the construction documentation and administration
services required for the Project (part of Resolution No. 2015-28925); and
WHEREAS, on May 28, 2015, Amendment No. 7 was executed for Additional Services relating to
wind loading and micro-climate services, in the amount of$117,200;
WHEREAS, on May 28, 2015, Amendment No. 8 was executed to retain Fentress Architects to
serve as Architect of Record for the Project, to clarify requirements with regard to Design Development, and

to provide for completion of Construction Documents and all construction administration services required
of the Architect-Engineer for the Project, in the total amount of $15,156,359 (part of Resolution No. 2015-
28925); and
WHEREAS, on August 14, 2015, Amendment No. 9 was executed for the provision of
Commissioning Services, in the total amount of$302,876; and
WHEREAS, on October 27, 2015, Amendment No. 10 was executed for a parapet design analysis
and consultation services to reduce the applicable wind pressures on the curtain wall for potential
•construction cost reductions, in the total amount of$15,000; and
WHEREAS, on December 4, 2015, Amendment No. 11 was executed for the preparation of event
plans background drawings to be used by event planners during construction, in the total amount of
$36,875; and
WHEREAS, on March 29, 2016, Amendment No. 12 was executed for stormwater design revisions
related to Public Works Department's pump stations design, in the total amount of$34,073; and
WHEREAS, on May 31, 2016, Amendment No. 13 was executed for design changes associated
with the removal of the smoke control system; and
WHEREAS, on June 10, 2016, Amendment No. 14 was executed for additional site visits by
members of the design team for a weekly presence through July 28, 2016, and for the implementation of
alternative designs requested by the Construction Manager, in the amount of$148,999; and
WHEREAS, on July 18, 2016, Amendment No. 15 was executed for design changes associated
with raising 18`h Street, 19` Street and Convention Center Drive, requested by Public Works to allow the
raising of Meridian Avenue and 17th Street in the future; and
WHEREAS, this Amendment No. 16, is for the addition of a 72" storm culvert to serve as a
temporary bypass until the new culvert on 17th Street is completed by Public Works, and for the redesign of
Convention Center Drive between 17`h and 18th Streets due to the postponement of the Convention Center
Hotel Project; and
•
NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises, covenants,
agreements, terms, and conditions herein contained, and other good and valuable consideration, the
respect and adequacy are hereby acknowledged, do agree as follows:
1. ABOVE RECITALS.
The above recitals are true and correct and are incorporated as a part of this Amendment No. 16.
2. MODIFICATIONS.
The Agreement is amended as provided in Appendix"A-16", attached herein.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged and in full force and effect.
4: RATIFICATION.
The City and Consultant ratify the terms of the Agreement, as amended by this Amendment No.
16.

Dear Mr. Morales:
This proposal is to provide utility design services for the temporary box culvert at the south loading dock. This work
constitutes an additional service,as temporary conditions documentation is outside of the Design Team's current scope
of work.
SCOPE OF SERVICES:
The City has requested an alternate temporary design for a 72" reinforced concrete pipe (RCP)storm culvert to
serve as a bypass, interconnecting the existing box culvert crossing from 17`h Street to 18`h Street through the
Fillmore Theater public parking lot,to the proposed concrete box culvert running north-south along Convention
Center Drive. This work will serve as temporary storm drainage until the City can accomplish necessary utility
design and construction revisions in 17th Street.
• Task 1 Stormwater Route Analysis:
o Investigate in more detail and evaluate different routes for the temporary 72"RCP storm pipe.
It is assumed that no calculations will be required. It is expected that portions of the currently
proposed and existing utilities will need to be relocated/re-designed and coordinated with the
utility provider, Florida Power & Light (FPL). It is assumed that onsite portions will be
redesigned by the Civil Engineer,while the offsite portions will be coordinated to be redesigned
by FPL. Other utilities,such as chilled water, are assumed to be referenced and will be noted
for contractor coordination and relocation.
• Task 2 72"Storm Pipe Design:
o Based on the meeting held June 10, 2016, with the City and the CM, the team will provide
services necessary to modify and update the drawings, and related documents setting forth in
detail the requirements for construction of the design of the temporary 72"storm pipe. Design
will progress based on the selected route from Task 1. For the purposes of relocations by others,
it is understood that this line and its associated route takes precedence over all other utilities
because of its size.
• Task 3 Permit Modifications:
o On behalf of the City, the Design Team will prepare plan review and permit applications for
the selected plan location, submit to City's representative for signatures and fees, submit to
regulatory agencies for applicable permit modifications, monitor timings of reviews and
provide responses for reviewers comments for these noted agencies:

• South Florida Water Management District— Environmental Resource Permit (ERP)
Modification.
• Task 4 Additional Construction Administration:
o Civil Engineer will provide professional construction phase services for the added project
scope. These services are as stipulated in the contract Amendment 08,to include visits to site,
observation of construction, recommendations with respect to defective work, shop drawing
and substitution reviews, inspections and tests,clarification responses,substantial completion,
final notice of acceptability of the work and limitations of responsibility reviews generated for
this temporary design on associated structures and improvement.
SCHEDULE
• Design Tasks 1 and 2: Starting July 1,2016 to August 20,2016
• Design Tasks 3 and 4: : August 21 to completion of construction as scheduled by CM.
FEE
Fees for all services will be a total proposed amount of Forty-five Thousand Five Hundred Twenty-five Dollars
($45,525). Reimbursable costs for printing, telephone, delivery and travel are included in the lump sum portion
of this fee.
Reimbursable expenses will be billed in accordance with the existing terms and conditions of our Agreement.
Billings for these services will be invoiced under the heading#20140021.001,A24.
If the foregoing correctly states your understanding,please prepare a contract amendment for our execution. We are

AMENDMENT NUMBER 12 TO THE AGREEMENT BETWEEN THE CLIENT
AND KIMLEY-HORN AND ASSOCIATES, INC.
AMENDMENT NUMBER 12 DATED August 1St, 2016 to the Agreement between Fentress
Architects ("Client") and Kimley-Hom and Associates, Inc., ("Kimley-Horn") dated May 14th
2014 ("the Agreement") concerning the Miami Beach Convention Center Improvements at
1700 Convention Center Drive in Miami Beach, Florida 33139.
The Consultant has entered into the Agreement with Client for the furnishing of professional
services, and the parties now desire to amend the Agreement.
Therefore, it is mutually agreed that the Agreement is amended to include Additional Services
to be performed by Consultant and provisions for additional compensation by the Client to the
Consultant, all as set forth in Exhibit A hereto. The parties ratify the terms and conditions of
the Agreement not inconsistent with this Amendment, all of which are incorporated by

Exhibit A to Amendment Number 12
• Consultant shall perform the following Additional Services:
PROJECT UNDERSTANDING
Kimley-Hom understands that the Client needs to construct a temporary 72" reinforced
concrete pipe(RCP)storm culvert to serve as a temporary by-pass to interconnect the existing
3.5'x8.5' concrete box culvert that is crossing from 17th Street to 18th Street, through the
Fillmore Theater public parking, and interconnect it with the proposed 10'x5' concrete box
culvert along Convention Center Drive.This interconnection will serve as a temporary solution
since no work is expected to happen on 17th Street in the near future. It is understood that
the contractor needs to start the construction of the proposed 10'x5' concrete box culvert and
thus to install a structure near the intersection between 18th Street and Convention Center
Drive to commence the work. This shall be the limits of the proposed design for this
amendment.
TASK 1 —STORM WATER ROUTE ANALYSIS
Based on the project understanding, Kimley-Horn will investigate in more detail and evaluate
different routes for the temporary 72" RCP storm pipe. It is assumed that no calculations will
be required. It is expected that portions of the currently proposed and existing utilities will
need to be relocated/re-designed and coordinated with the utility provider, namely FPL. It is
assumed that onsite portions will be redesigned by KHA, while the offsite portions will be
coordinated to be redesigned by FPL. Other utilities, such as chill water, are assumed to be
referenced and will be called out for contractor coordination and relocation.
TASK 2 —72" STORM PIPE DESIGN
Based on conversations with the Client and the Contractor, during a meeting held June 10,
2016, Kimley-Hom will provide services necessary to modify and update the drawings, and
related documents setting forth in detail the requirements for construction of the design of the
temporary 72" Storm Pipe. Said design will only occur after one route is selected from task 1
of this amendment. For the purposes the relocations by others, it is understood that this line
and its associated route takes precedence over all other utilities because of its size.
TASK 3 —PERMIT MODIFICATIONS
On behalf of the City, Kimley-Hom will prepare plan review and permit applications, submit
them to the City's representative to request signatures and fee checks, and forward them
along with other supporting documentation to the following regulatory agencies for applicable
permit modifications:

Modification.
All application, review, permit and impact fees are to be paid directly by the Owner. Permits
will be applied for in conformance with the guidelines for the listed entities.
Kimley-Hom does not guarantee the issuance of permits or approvals. If permits are issued •
for this project, the conditions and expiration dates are the sole responsibility of the Owner.
Kimley-Hom is not responsible for extending time-limited entitlements or permits. Kimley-Horn
may provide services related to permit time extension requests and/or re-application of
expired permits as an additional service.
Any changes to the plans or scope of work requested by others after permit drawings are
submitted to the above regulatory agencies will be addressed as additional services. After
comments are received from all applicable regulatory agencies, we will upgrade the civil
engineering construction drawings produced in the above Tasks to contract drawings suitable
for construction. The plans will be prepared reflecting comments and/or conditions set forth
by the regulatory agencies during the regulatory process.
Kimley-Hom will address up to one (1) round of comments by the above listed agencies for
the referenced permit modifications.
TASK 4—ADDITIONAL CIVIL ENGINEERING CONSTRUCTION ADMINISTRATION
Kimley-Hom will provide professional construction phase services for the additional project
scope for the purpose of providing assistance to Client during construction. These services
are to be provided as stipulated in the original Construction Administration task (Amendment
No. 05 to the Agreement) for the additional visits to site and observation of construction,
recommendations with respect to defective work, clarifications and interpretations, change
orders, shop drawings and samples, substitutes and "or-equal", inspections and tests,
disagreements between Client and Contractor, substantial completion, final notice of
acceptability of the work, and limitations of responsibility reviews generated by the additional
scope and design for the temporary 72-inch RCP and associated structures and
improvements.
Kimley-Hom wili perform three (3) additional site visits at up to three (3) hours each for the
additional scope and design for the temporary 72-inch RCP and associated structures and
improvements.

INFORMATION PROVIDED BY CLIENT
We shall be entitled to rely on the completeness and accuracy of all information provided by
the City, Client or the Client's consultants. The City shall provide all information requested by
Kimley-Hom during the project, including but not limited to the following:
• Contractor field sketches, elevations, pictures and utility information
• Design/Existing Drawings from the City of Miami Beach
SCHEDULE
We will perform our services based on the mutually agreed upon schedule.
FEES AND BILLING
•
Kimley-Hom will perform the services in Tasks 1 to 4 for the total lump sum labor fees of
$39,825. All permitting, plotting, application impact, and similar project fees will be paid
directly by the Client.
Lump sum fees will be invoiced monthly based upon the overall percentage of services
performed. Direct expenses such as mileage, express delivery services and in-house
computer use is included in the lump sum labor fees. It is assumed that air travel and vehicular
trips beyond the Miami-Dade County will not be required. Payment will be due within 25 days
of your receipt of the invoice.

Dear Mr. Morales:
This proposal is to provide design services for a revised configuration of the roadway curbs and lane alignments on
Convention Center Drive between 17th and 18`h Streets. This work constitutes an additional service, as redesign of
previously approved conditions is outside of the Design Team's current scope of work.
SCOPE OF SERVICES:
The City has requested an alternate layout of street parking,curb and lane configurations and pavement markings
on Convention Center Drive per the attached sketch. This scope request is due to a revised timing of development
of the lot at the southwest corner of 17`h Street and this roadway.
• Task 1 Roadway Redesign:
o Develop sketch options and review with City staff for layout direction;
o Prepare revised drawings for roadway plans, sections, profiles, drainage structures, pavement
markings and signage and signalization;
o Prepare revised permit applications for City signatures and fee checks, and submit to Miami-
Dade County Public Works divisions for Signing and Pavement Markings and Traffic Signals.
EXCLUSIONS
• This proposal does not include power or low voltage support of dynamic signage. This may be evaluated
upon receipt of the City requirements for this component.
SCHEDULE
• Design Task 1: Starting July 1,2016 to August 20,2016
FEE
Fees for all services will be a total proposed amount of Twenty-four Thousand Seven Hundred Forty-five Dollars

AND KIMLEY-HORN AND ASSOCIATES, INC.
AMENDMENT NUMBER 14 DATED August 3'", 2016 to the Agreement between Fentress
Architects ("Client") and Kimley-Hom and Associates, Inc., ("Kimley-Hom") dated May
14th 2014 ("the Agreement") concerning the Miami Beach Convention Center Improvements
at 1700 Convention Center Drive in Miami Beach, Florida 33139.
The Consultant has entered into the Agreement with Client for the furnishing of professional
services for an alternate Drainage Permit Package for the Miami Beach Convention Center
Improvements,and the parties now desire to amend the Agreement.
Therefore, it is mutually agreed that the Agreement is amended to include Additional Services
to be performed by Consultant and provisions for additional compensation by the Client to the
Consultant, all as set forth in Exhibit A hereto. The parties ratify the terms and conditions of
the Agreement not inconsistent with this Amendment, all of which are incorporated by
reference.

Exhibit A to Amendment Number 14
Consultant shall perform the following Additional Services:
PROJECT UNDERSTANDING
Kimley-horn was notified by the Client on June 7"', 2016 that the future convention center hotel
site (NE corner of 17th Street and Convention Center Drive where there is an existing City surface
parking lot just west of the existing Jackie Gleason Theater and just south of the existing
Convention Center)will not be developed as previously anticipated. The planned hotel building at
the above location in conjunction with the improvements shown on the preliminary plans provided
by the City were taken into consideration for during for the current roadway design along
Convention Center Drive between 17"' Street and 18"' Street. The elimination of the hotel site
improvements prompted the City to re-evaluate the public improvements along the previously
mentioned portion of Convention Center Drive.Thus,a redesign of the roadway geometry,as well
as signing and pavement markings and signals is necessary to match existing conditions today
(maintain the existing surface parking lot).
The following is assumed:
1. Tasks under this amendment are strictly connected to Amendment Number 11 dated
June 20, 2016. Since many of the tasks overlap between the two amendments, this
amendment assumes only the additional work necessary to complete the redesign.
Thus, the raising elevation effort on Convention Center Drive approved under
Amendment Number 11 is tied to the approval of this amendment and the schedule
provided for Amendment Number 11 will commence upon obtaining a notice to
proceed on this Amendment.
2. Miami-Dade County permits through the Traffic Engineering Division will need to be
revised.
3. Environmental and archaeological/historical evaluations or studies are not included in
this scope.
4. Maintenance of Traffic(MOT) Plans will be provided by others.
5. Preparation of CSI-format contract specifications is not included in this scope of
services.
6. This scope of work is for the roadway design as illustrated on "Alternative 1"
provided to the City on July 6th, 2016 and discussed / confirmed during a conference
call with the City Transportation Department on July 29th, 2016.

Kimley-Hom will submit the civil engineering permit drawings to the Client for review by the
Project team, address two (2) round of reasonable comments, and resubmit the drawings.
Roadway Regulatory Assistance
Kimley-Hom will prepare revised plans and permit applications, to resubmit them to the City's
representative to request signatures and fee checks, and forward them along with other
supporting documentation to the following regulatory agencies:
1. Miami-Dade County Public Works Department
a. Signing and Pavement Markings Division
b. Traffic Signals Division
For the Roadway and Civil Tasks above, all application, review, permit and impact fees are to
be paid directly by the Owner. Permits will be applied for in conformance with the guidelines
for the listed entities.
Kimley-Hom does not guarantee the issuance of permits or approvals. If permits are issued
for this project, the conditions and expiration dates are the sole responsibility of the Owner.
Kimley-Hom is not responsible for extending time-limited entitlements or permits. Kimley-Horn
may provide services related to permit time extension requests and/or re-application of
expired permits as an additional service.
Any changes to the plans or scope of work requested after permit drawings are submitted to
the regulatory agencies specified will be addressed as an additional service. After comments
are received from all applicable regulatory agencies, we will upgrade the construction
drawings produced in the above Tasks to contract drawings suitable for construction. The
plans will be prepared reflecting comments and/or conditions set forth by the regulatory
agencies during the regulatory process.
SCHEDULE,
This additional scope of work will be included as part of the schedule provided for Amendment
Number 11. However, the start date of the schedule will be the notice to proceed date provided
for this amendment.
FEES AND BILLING
Kimley-Hom will perform the services in Task 1 for the total lump sum labor fees of
$18,145.00. All permitting, plotting, application impact, and similar project fees will be
paid directly by the Client.
Lump sum fees will be invoiced monthly based upon the overall percentage of services
performed. Direct expenses such as mileage, express delivery services and in-house
computer use is included in the lump sum labor fees. It is assumed that air travel and vehicular
trips beyond the Miami-Dade County will not be required. Payment will be due within 25 days
of your receipt of the invoice.
