AMENDMENT NO. 1 TO THE AGREEMENT
BETWEEN THE CITY OF MIAMI BEACH, FLORIDA
AND
EMA, INC. D/B/A EMA OF MINNESOTA, INC.
DATED 8/8/2014
FOR
PROJECT MANAGEMENT SERVICES RELATING TO THE IMPLEMENTATON OF CITY OF MIAMI
BEACH ENTERPRISE RESOURCE PLANNING ("ERP") SYSTEM PROJECT
This Amendment No. 1 (Amendment) to the Agreement is entered into as of this 2_(r) day off, 20 7
(Effective Date), by and between the City of Miami Beach, Florida, a municipal corporation organized
and existing under the laws of the State of Florida, having its principal place of business at 1700
Convention Center Drive, Miami Beach, Florida 33139 (City), and EMA, Inc., d/b/a EMA of Minnesota,
Inc., having its principal place of business at 2355 Highway 36 West, St. Paul Minnesota 55113
(Consultant), and hereby amends the Agreement as follows:
RECITALS
WHEREAS, on July 30, 2014, the Mayor and City Commission approved and authorized,
through Resolution 2014-28707, an agreement with EMA, Inc. ("EMA") to assist the Administration
with project management services relating to the implementation of the Munis Enterprise Resource
Planning (ERP) and Energov Licensing and Permitting systems, which replaced the City's aging ERP
and permitting systems; and
WHEREAS, the services of EMA, Inc. were acquired pursuant to the State of Florida term
contract number 973-561-10-1, for information technology services; and
WHEREAS, the Munis finance, budget and procurement modules, as well as the Energov
licensing and permitting modules, have been successfully implemented; and
WHEREAS, the Administration, EMA and Tyler Technologies, the provider of the Munis and
Energov systems, are currently in the process of finalizing implementation of the Munis HR and payroll
module; and
WHEREAS, the Munis HR and payroll module was originally anticipated to go -live on or about
April 1, but due unavoidable delays is now anticipated to go -live on or about May 1; and
WHEREAS, pursuant to Exhibit C of the Agreement, the total costs for project management
services to be provided by EMA in support of the project implementation had been estimated at
$1,050,00.00, prior to the extension of the go -live date from April 1 to May 1; and
WHEREAS, the project management services provided by EMA are critical to the system's
success, including assistance with the conversion of the data from the City's prior ERP and the issues
surrounding the complexities of the City's various payroll schedules; and
WHEREAS, the Administration recommends, and the City Manager concurs, with an extension
of EMA's project management services to assist project management and the data conversion
requirements through the revised go -live date, as well as to provide necessary post -go -live services as
necessary to ensure the success of the Munis HR and payroll module, in an amount not to exceed
$50,000 as noted in Exhibit A attached hereto, exclusive of travel costs;
WHEREAS, the City Attorney's Office has determined that the additional services not to
exceed $50,000.00, are within the City Manager's delegated contract authority.
NOW THEREFORE, in consideration of the mutual promises and conditions contained herein,
and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the City
and Consultant hereby agree to amend the Agreement as follows:
1. ABOVE RECITALS.
The above recitals are true and correct and are incorporated as part of this Amendment.
2. MODIFICATIONS.
(a) The total costs of the project management services to be provided by EMA, as
referenced in Exhibit C of the Agreement, Article 2, Section C2.03(A)(3)(a), shall be
increased by an amount not to exceed $50,000.00, exclusive of travel costs, as follows:
Original Agreement Amount for Project Management Services: $1,050,000.00
Additional Project Management Services per Amendment 1 to Agreement: $50,000.00
Revised Total Amended Project Management Services: $1,100,000.00
(b) Travel shall be reimbursed in accordance with the City's Travel Policy OD.20.01,
3. RATIFICATION.
Except as amended herein, all other terms and conditions of the Agreement shall remain
unchanged and in full force and effect. In the event there is a conflict between the provisions of
this Amendment and the Agreement, the provisions of this Amendment shall govern
