A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF
MIAMI BEACH, FLORIDA, APPROVING AND AUTHORIZING THE MAYOR AND
THE CITY CLERK TO EXECUTE A LANDSCAPE MAINTENANCE
MEMORANDUM OF AGREEMENT (MMOA), ATTACHED AS EXHIBIT 1,
BETWEEN THE CITY AND THE FLORIDA DEPARTMENT OF TRANSPORTATION
(FDOT), WHICH WOULD CONVEY FULL LANDSCAPE MAINTENANCE
RESPONSIBILITIES TO THE CITY, FOR THE ENHANCED LANDSCAPING ON
SOUTHBOUND AND NORTHBOUND SR-AIA (COLLINS AVENUE & INDIAN
CREEK DRIVE), BETWEEN 32ND STREET AND 35TH STREET WITHIN THE
FAENA DISTRICT; AND THE OWNERS OF 3201, 3315, 3400, 3420, 3425 AND
3500 COLLINS AVENUE AND 3301 INDIAN CREEK DRIVE (THE "PROPERTY
OWNERS"), AND HAVE ALREADY EXECUTED AN AMENDED DECLARATION
OF RESTRICTIVE COVENANTS, ATTACHED HERETO AS EXHIBIT 2, WHICH
COVENANT TRANSFERS RESPONSIBILITY TO THE ADJACENT PROPERTY
OWNER OF THE LANDSCAPING IMPROVEMENTS AND MAINTENANCE COSTS
ASSOCIATED WITH THE MMOA.
WHEREAS,the City of Miami Beach, under Historical Preservation Board (HPB) Order for
file no. 7510, required that the proposed development at 3201, 3315, 3400, 3420, 3425, and 3500
Collins Avenue and 3301 Indian Creek Drive, within the"FAENA Overlay District"certain rights-of-
way improvements to the sidewalks and landscaping along 32nd through 35th Streets between
Collins Avenue and Indian Creek Drive; and along Collins Avenue and Indian Creek Drive between
32nd Street and 35th Street; and
WHEREAS, the Florida Department of Transportation (FDOT) owns Collins Avenue and
Indian Creek Drive; and
WHEREAS,to install the improvements proposed under the HPB order along Collins Avenue
and Indian Creek Drive, FDOT policy requires that the City enter into a Landscape Maintenance
Memorandum of Agreement, which would convey maintenance responsibilities for the enhanced
features installed along the right-of-way to the City after the project is installed by the developer; and
WHEREAS, in turn, the City, in approving the enhanced right-of-way landscaping and
sidewalk features, required the City to execute a declaration of restrictive covenants to ensure
maintenance and reimbursement to the City of any costs incurred due to the installation of the
enhanced landscaping; and,
WHEREAS, the covenant was recently amended to ensure that the entire scope of the
MMOA is covered by the property owners of 3201, 3315, 3400, 3420, 3425, and 3500 Collins
Avenue and 3301 Indian Creek Drive; and
WHEREAS, in anticipation of construction, the City approved and the developer recorded
the extensive amended declaration of restriction,which would reimburse the City for the enhanced
landscaping and sidewalk features, and as such the City's execution of the Landscape Maintenance
Memorandum of Agreement, is the process by which to implement the improvements, and the
amended covenant is the City's assurance that the developer will be responsible for any costs the
City may occur should FDOT contact the City to maintain Collins Avenue or Indian Creek Drive,
between 32 and 35th Streets; and
WHEREAS,the amended covenant is consistent with the requirements of Section 98-166,of
the City Code, for the developer to maintain the sidewalks and landscaping fronting the above
referenced properties;
WHEREAS, the amended covenant also ensures that the developer provide the same
standards of maintenance for the City's rights-of-way that are being improved with the enhanced
landscaping and sidewalks, along 32 through 35th Street between Collins Avenue and Indian Creek
Drive; and
WHEREAS, the Administration recommends executing the attached Landscape
Maintenance Memorandum of Agreement with FDOT.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND THE CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA,that the Mayor and City Commission hereby authorize
the Mayor and City Clerk to execute the attached Landscape Maintenance Memorandum of
Agreement (MMOA) between the Florida Department of Transportation (FDOT) and the City,
attached as Exhibit 1, between the City and the Florida Department Of Transportation (FDOT),
which would convey full landscape maintenance responsibilities to the city, for the enhanced
landscaping on southbound and northbound SR-A1A (Collins Avenue and Indian Creek Drive),
between 32nd Street and 35th Street within the Faena Overlay District; and the owners of 3201,
3315, 3400, 3420, 3425 and 3500 Collins Avenue; and 3301 Indian Creek Drive (the "Property
Owners"), have already executed an amended declaration of restrictive covenants, attached hereto
as Exhibit 2, which covenant transfers responsibility to the adjacent property owner of the
landscaping improvements and maintenance costs associated with the MMOA.

RECOMMENDATION
The Administration recommends adopting the Resolution.
ANALYSIS
The City of Miami Beach under Historical Preservation Board file No.7510, requested that the
proposed development at 3201, 3315, 3400, 3420, 3425, and 3500 Collins Avenue and 3301
Indian Creek Drive (FAENA Development) improve the area between 32nd and 35th Streets
along Collins Avenue and Indian Creek Drive right-of-way with landscaping. The landscaping
includes decorative sidewalks and landscaping as outlined the attached exhibits. Pursuant to
this request, FDOT has approved the development's request for work within the Collins Avenue
and Indian Creek rights-of-way.
FDOT allows private development to install minimal landscaping along urban corridors as part
of a private development project as long as the municipality involved agrees to execute a
Landscape Maintenance Memorandum of Agreement (MMOA) with FDOT, accepting full

maintenance responsibility over the landscaped area. Miami Beach has executed several similar
agreements in the past where minimum landscaping was installed. Specifically, City
Commission Resolution 2012-27899 approved a similar agreement for maintenance of
landscaping, irrigation and bonded aggregate along Alton Road from 5th Street to Michigan
Avenue.
Current city ordinance requires the adjacent property owner to maintain all items to the back of
curb. In addition to adherence to approved site plans, to clarify that level of maintenance, the
City will have the property owner record a covenant regarding their responsibility to adequately
maintain these items.
The private development is nearly completed, and work in the right-of-way is expected to be
completed shortly after this agreement is approved.
CONCLUSION
The Administration recommends that the Mayor and City Commission adopt the Resolution.

& OTHER INCIDENTAL FEATURES
MAINTENANCE MEMORANDUM OF AGREEMENT
WITH THE
CITY OF MIAMI BEACH
This AGREEMENT, entered into on , 20 , by and
between the STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION, an
agency of the State of Florida, hereinafter called the DEPARTMENT,
and the CITY OF MIAMI BEACH, a municipal corporation of the State
of Florida, hereinafter called the CITY, and collectively referred
to as the PARTIES.
RECITALS:
A. The DEPARTMENT has jurisdiction over State Road (SR) AlA -
Northbound (Collins Avenue) and SR AlA - Southbound (Indian
Creek Drive) from 32nd Street to 36th Street, which is located
within the limits of the CITY; , and
B. The CITY, pursuant to Permit Number 2016 L 691 10, has drafted
design plans for beautification improvements along (SR) AlA
- Northbound (Collins Avenue) and SR AlA - Southbound (Indian
Creek Drive) , the limits of which are described in the
attached Exhibit 'A' (the PROJECT LIMITS) , which by
reference shall become a part of this AGREEMENT; and
C. The CITY will install colored sidewalks, landscape,
irrigation and other incidental features along SR-AlA
southbound and northbound within the PROJECT LIMITS, in
accordance with the design plans for Permit Number # 2016 L
691 10 (the "Project") ; and
D. The PARTIES to this AGREEMENT mutually recognize the need
for entering into an agreement designating and setting forth
the responsibilities of each party with regards to the
maintenance of the existing and .proposed colored sidewalks,
landscape, irrigation and other incidental features
installed pursuant to the Project; and

E. The CITY, by Resolution No. , dated
attached hereto as Exhibit 'B' , which by reference shall
become a part of this AGREEMENT, desires to enter into this
AGREEMENT and authorizes its officers to do so.
NOW, THEREFORE, for and in consideration of the mutual
benefits contained herein and other good and valuable
consideration, the PARTIES covenant and agree as follows:
1. RECITALS
The recitals in this AGREEMENT are true and correct, and are
incorporated herein by reference and made a part hereof.
2 . ASSIGNMENT OF MAINTENANCE RESPONSIBILITIES
The PARTIES agree that the execution of this AGREEMENT shall
constitute an assignment of all maintenance responsibilities
pertaining to the existing and proposed colored sidewalks,
landscape, irrigation and other incidental features
(collectively the "IMPROVEMENTS" ) within the PROJECT LIMITS
to the CITY upon the DEPARTMENT's issuance of the executed
Construction Agreement to the CITY.
3. CITY'S MAINTENANCE RESPONSIBILITIES
So long as the IMPROVEMENTS remain in place, the CITY shall
be responsible for the maintenance of the same. The CITY
shall maintain the IMPROVEMENTS in accordance with all
applicable DEPARTMENT guidelines, standards, and procedures,
which shall include but shall not be limited to the
Maintenance Rating Program Handbook, as may be amended from
time to time. Additionally, with respect to the landscape,
the CITY shall maintain same in accordance with the
International Society of Arboriculture standards, guidelines
and procedures, the latest edition of the "Maintenance Rating
Program" , and Index 546 of the latest DEPARTMENT Design
Standards, as may be amended from time to time. The CITY
shall further maintain the IMPROVEMENTS in accordance with
the standards set forth in the Project Plans, and in the
Project Specifications and Special Provisions. The CITY's
maintenance obligations shall include but not be limited to:

3 . 1 General Requirements:
a. Removing and disposing of litter from PROJECT LIMITS in
accordance with all applicable government rules,
regulations, policies, procedures, guidelines, and
manuals, as amended from time to time.
b. Removing and disposing of all trimmings, roots,
branches, litter, and any other debris resulting from
the activities described by 3 . 2 through 3 .4 .
c . Maintaining a service log of all maintenance operations
that sets forth the date of the maintenance activity,
the location that was maintained, and the work that was
performed.
d. Submitting Lane Closure Requests to the DEPARTMENT when
maintenance activities will require the closure of a
traffic lane in the DEPARTMENT's right-of-way. Lane
closure requests shall be submitted through the District
Six Lane Closure Information System, to the DEPARTMENT's
area Permit Manager and in accordance with the District
Six Lane Closure Policy, as may be amended from time to
time.
3 .2 Colored Sidewalks:
a. Sweep the colored sidewalk periodically to keep it free
of debris and to maintain an aesthetically pleasing
condition. A light pressure washing may be necessary
for heavy stain removal or cleaning.
b. The CITY shall conduct annual condition surveys of the
colored sidewalk for gaps, settlement, drop-offs, and
other deficiencies for the life of the colored
sidewalk.
c. Performing routine and regular inspections of the
colored sidewalk to ensure that the surface is
compliant with the American with Disabilities Act
(ADA .
d. Gaps within the colored sidewalk shall not exceed a
quarter (0 .25) of an inch.

e. Differential settlement within the colored sidewalk
shall not exceed a quarter (0 .25) of an inch in depth.
f. Undertaking the maintenance and repair (when needed)
of colored sidewalk.
g. For any routine repairs or replacement due to
noticeable color scarring or surface deterioration of
the colored sidewalk, the product authorized installer
should be contacted.
h. When remedial action is required in accordance with the
above requirements, the CITY at its own expense shall
complete all necessary repairs within thirty (30) days
of the date the deficiency is identified.
3 .3 Landscape and Irrigation:
a. Mowing, cutting and/or trimming and edging the grass
and turf within the PROJECT LIMITS .
b. Pruning all plant materials, which include trees,
shrubs and ground covers, and parts thereof., including
all material from private property encroaching into the
DEPARTMENT'S Right-of-Way.
c. All pruning and trimming will follow the Maintenance
Rating Program Handbook which specifically requires no
encroachment of trees, tree limbs or vegetation in or
over travel way (or clear zone) lower than 14 . 5 feet,
or lower than 10 feet over sidewalks.
d. Removing and properly disposing of dead, diseased or
otherwise deteriorated plants in their entirety, and
replacing those that fall below the standards set forth
in the Project Plans and in the Project Specifications,
incorporated herein by reference, and all applicable
DEPARTMENT guidelines, standards and procedures, as may
be amended from time to time. All replacement
materials shall be in accordance with the Project Plans
and the Project Specifications and Special Provisions.
e. Mulching all plant beds and tree rings.

f. Removing and disposing of all undesirable vegetation
including but not limited to weeding of plant beds and
removal of invasive exotic plant materials .
g. Watering and fertilizing all plants as needed to
maintain the plant materials in a healthy and vigorous
growing condition.
h. Paying for all water use and all costs associated
therewith.
i . Removing and disposing of litter from roadside and
median strips in accordance with all applicable
government rules, regulations, policies, procedures,
guidelines, and manuals, as amended from time to time.
j . Removing and disposing of all trimmings, roots,
branches, litter, and any other debris resulting from
the activities described by 3 .A through 3 .I.
3 .4 Other Incidental Features:
a. The CITY shall inspect, manage and perform maintenance
and repairs of all IMPROVEMENTS located within the
PROJECT LIMITS. The CITY shall further inspect the
PROJECT LIMITS to ensure that no unpermitted
IMPROVEMENTS or modifications are installed or
constructed, and that any such unpermitted IMPROVEMENTS
or modifications are immediately removed, or permitted
in accordance with the DEPARTMENT's permitting
requirements. Notwithstanding the foregoing, the CITY
shall be obligated to remove any IMPROVEMENTS or
features within the PROJECT LIMITS that may cause an
unsafe condition to the public.
b. The CITY shall be responsible for and inspect,
maintain, repair and manage or cause to be maintained
and repaired all aboveground features located within
the footprints of the PROJECT LIMITS, including but not
limited to bicycle racks, trash receptacles, commercial
elements, banners, pay phones, vending machines, flag
poles, decorative lighting, ornamental light fixtures,
benches, ash urns, trash receptacles, bicycle racks,
bus benches and shelters, ATMs, valet parking stations,
play/entertainment areas, event tents and platforms,

kiosks, tables and chairs, advertising items,
decorations, pedestrian shelters, and other features
installed within the PROJECT LIMITS from time to time,
pursuant to a duly issued permit. The CITY shall also
inspect, monitor and manage all permits and
encroachments, including aerial encroachments within
the PROJECT LIMITS.
c. The CITY shall ensure that a CLEAR PEDESTRIAN PATH is
• maintained at all time in the State Right of Way and
easements, within the PROJECT LIMITS. For purposes of
this AGREEMENT, the CLEAR PEDESTRIAN PATH is defined
as an American Disabilities Act (ADA) compliant
continuous, unobstructed way of pedestrian passage
within the PROJECT LIMITS, extending horizontally five
(5) feet . No IMPROVEMENTS, features, obstructions or
encroachments of any kind shall be permitted within the
CLEAR PEDESTRIAN PATH at any time, except as may be
required, and approved by the DEPARTMENT, pursuant to
the Paragraph hereunder.
The CITY shall submit all services logs, inspections and
surveys to the DEPARTMENT Warranty Coordinator as required
in the above maintenance responsibilities.
The DEPARTMENT may, at its sole discretion, perform periodic
inspection of the IMPROVEMENTS to ensure that the CITY is
performing its duties pursuant to this AGREEMENT. The
Department shall share with the CITY its inspection findings,
and may use those findings as the basis of its decisions
regarding maintenance deficiencies, as set forth in Section
4 of this AGREEMENT. The CITY is responsible for obtaining
copies of all applicable rules, regulations, policies,
procedures, guidelines, and manuals, and the Project
Specification and Special Provisions, as may be amended from
time to time.
4. MAINTENANCE DEFICIENCIES
If at any time it shall come to the attention of the
DEPARTMENT that the CITY's responsibilities as established
herein are not being properly accomplished pursuant to the
terms of this AGREEMENT, the DEPARTMENT may, at its option,
issue a written notice, in care of the CITY MANAGER, to
notify the CITY of the maintenance deficiencies . From the

date of receipt of the notice, the CITY shall have a period
of thirty (30) calendar days, within which to correct the
cited deficiency or deficiencies. Receipt is determined in
accordance with Section 5 of this AGREEMENT.
If said deficiencies are not corrected within this time
period, the DEPARTMENT may, at its option, proceed as '
follows:
a. Maintain the IMPROVEMENTS, or a part thereof and invoice
the CITY for expenses incurred; or
b. Terminate this AGREEMENT in accordance with Section 7,
remove any or all of the IMPROVEMENTS located within
the PROJECT LIMITS, and charge the CITY the reasonable
cost of such removal .
5 . NOTICES
All notices, requests, demands, consents, approvals, and
other communication which are required to be served or given
hereunder, shall be in writing and shall be sent by certified
U.S. mail, return receipt requested, postage prepaid,
addressed to the party to receive such notices as follows:

Notices shall be deemed to have been received by the end of
five (5) business days from the proper sending thereof unless
proof of prior actual receipt is provided.
6. REMOVAL, RELOCATION OR ADJUSTMENT OF THE IMPROVEMENTS
a. The PARTIES agree that the IMPROVEMENTS addressed by
this AGREEMENT may be removed, relocated or adjusted at
any time in the future, at the DEPARTMENT's sole
discretion. In the event that the DEPARTMENT relocates

or adjusts the IMPROVEMENTS, the CITY's maintenance
responsibilities will survive the relocation or
adjustment, as long as the materials remain within the
PROJECT LIMITS.
b. In the event that the DEPARTMENT is required to replace
the sidewalk at any time as part of maintenance
activities, a roadway project, or related construction
activities, the DEPARTMENT shall replace the same as a
concrete type sidewalk, and the CITY's maintenance
obligations under this AGREEMENT shall terminate.
However, the CITY may, with the approval of the
DEPARTMENT, upgrade the sidewalk type at its sole cost
and expense with the understanding that the CITY shall
assume all maintenance obligations for the upgraded
sidewalk, and enter into a new maintenance agreement.
7. TERMINATION
In addition to the provisions of Section 6 (b) hereunder, this
AGREEMENT is subject to termination under any one of the
following conditions:
a. By the DEPARTMENT, if the CITY fails to perform its
duties under Section 3 of this AGREEMENT, following the
thirty (30) days written notice, as specified in Section
4 of this AGREEMENT.
b. In accordance with Section 287 . 058 (1) (c) , Florida
Statutes, the DEPARTMENT shall reserve the right to
unilaterally cancel this AGREEMENT if the CITY refuses
to allow public access to any or all documents, papers,
letters, or other materials made or received by the CITY
pertinent to this AGREEMENT unless the records are
exempt from Section 24 (a) of Article I of the State
Constitution and Section 119 . 07 (1) , of the Florida
Statutes.
c. If mutually agreed to by both parties, upon thirty (30)
days written advance notice. An agreement to terminate
shall be valid only if made in writing and executed with
the same formalities as this AGREEMENT.
d. By the CITY, upon thirty (30) days advance written
notice to the DEPARTMENT.

Prior to termination of the AGREEMENT EN under this Section,
the CITY shall, at its sole cost and expense, remove all the
IMPROVEMENTS and restore the area to a standard concrete
sidewalk, in accordance with the DEPARTMENT'S guidelines,
standards, and procedures, and to the satisfaction of the
DEPARTMENT, and shall further any remaining IMPROVEMENTS,
and restore the area to the same or similar condition as
existed prior to the installment of the IMPROVEMENTS, in
accordance with the DEPARTMENT'S guidelines, standards, and
procedures, and to the satisfaction of the DEPARTMENT.
8. TERMS
a. The effective date of this AGREEMENT shall commence upon
execution by the PARTIES and shall continue so long as
the IMPROVEMENTS remain in place until termination as
set forth in Section 7 .
b. E-Verify
The CITY/Contractors or Vendors shall :
i . Utilize the U.S. Department of Homeland
Security' s E-Verify system to verify the
employment eligibility of all new employees
hired by the Vendor/Contractor during the term
of the contract; and
ii . Expressly require any subcontractors performing
work or providing services pursuant to the state
contract to likewise utilize the U.S . Department
of Homeland Security' s E-Verify system to verify
the employment eligibility of all new employees
hired by the subcontractor during the contract
term. (Executive Order Number 2011-02)
The CITY shall insert the above clause into any contract
entered into by the CITY with vendors or contractors
hired by the CITY for purposes of performing its duties
under this AGREEMENT.
c . This writing embodies the entire AGREEMENT and
understanding between the PARTIES hereto and there are
no other agreements and understanding, oral or written,
with reference to the subject matter hereof that are
not merged herein and superseded hereby.

d. This AGREEMENT shall not be transferred or assigned, in
whole or in part, without the prior written consent of
the DEPARTMENT.
e . This AGREEMENT shall be governed by and constructed in
accordance with the laws of the State of Florida. Any
provisions of this AGREEMENT found to be unlawful or
unenforceable shall be severable and shall not affect
the validity of the remaining portions of the AGREEMENT.
f . Venue for any and all actions arising out of or in
connection to the interpretation, validity, performance
or breach of this AGREEMENT shall lie exclusively in a
state court of proper jurisdiction in Leon County,
Florida.
g. A modification or waiver of any of the provisions of
this AGREEMENT shall be effective only if made in
writing and executed with the same formality as this
AGREEMENT.
i . The section headings contained in this AGREEMENT are
for reference purposes only and shall not affect the
meaning or interpretation hereof.
j . No term or provision of this AGREEMENT shall be
interpreted for or against either Party because the
Party or its legal representative drafted the provision.
k. The DEPARTMENT is a state agency, self-insured and
subject to the provisions of Section 768.28, Florida
Statutes, as may be amended from time to time. Nothing
in this AGREEMENT shall be deemed or otherwise
interpreted as waiving the DEPARTMENT's sovereign
immunity protections, or as increasing the limits of
liability as set forth in Section 768 . 28, Florida
Statutes .
9. INDEMNIFICATION
Subject to Section 768. 28, Florida Statutes, as may be
amended from time to time, the CITY shall promptly indemnify,
defend, save and hold harmless the DEPARTMENT, its officers,
agents, representatives and employees from any and all
losses, expenses, fines, fees, taxes, assessments,

penalties, costs, damages, judgments, claims, demands,
liabilities, attorneys fees, (including regulatory and
appellate fees) , and suits of any nature or kind whatsoever
caused by, arising out of, or related to the CITY's exercise
or attempted exercise of its responsibilities as set out in
this AGREEMENT, including but not limited to, any act,
action, neglect or omission by the CITY, its officers,
agents, employees or representatives in any way pertaining
to this AGREEMENT, whether direct or indirect, except that
neither the CITY nor any of its officers, agents, employees
or representatives will be liable under this provision for
damages arising out of injury or damages directly caused or
resulting from the negligence of the DEPARTMENT.
The CITY's obligation to indemnify, defend and pay for the
defense of the DEPARTMENT, or at the DEPARTMENT's option, to
participate and associate with the DEPARTMENT in the defense
and trial of any claim and any related settlement
negotiations, shall be triggered immediately upon the CITY's
receipt of the DEPARTMENT's notice of claim for
indemnification. The notice of claim for indemnification
shall be deemed received if the DEPARTMENT sends the notice
in accordance with the formal notice mailing requirements
set forth in Section 5 of this AGREEMENT. The DEPARTMENT's
failure to notify the CITY of a claim shall not release the
CITY of the above duty to defend and indemnify the
DEPARTMENT.
The CITY shall pay all costs and reasonable attorney' s fees
related to this obligation and its enforcement by the
DEPARTMENT. The indemnification provisions of this section
shall survive termination or expiration of this AGREEMENT,
but only with respect to those claims that arose from acts
or circumstances which occurred prior to termination or
expiration of this AGREEMENT.
The CITY's evaluation of liability or its inability to
evaluate liability shall not excuse the CITY's duty to defend
and indemnify the DEPARTMENT under the provisions of this
section. Only an adjudication or judgment, after the highest
appeal is exhausted, specifically finding the DEPARTMENT was
solely negligent shall excuse performance of this provision
by the CITY.

This First Amendment to the Declaration of Restrict Covenants Regarding Improvements in the
Public Right-of-Way ("Amended Declaration") is entered into this day of , 2017,

WHEREAS, the Owner has requested of the City to install the following described
improvements in the public right-of-way adjacent to the Property: surface paving materials and
landscaping(the "Improvements")substantially in accordance with the plans reviewed and approved by
the City's staff and Historic Preservation Board (HPB File No. 7510,see Exhibit "B"), entitled Paella
District Paving, prepared by Raymond Jungles Studio, and dated November, 2014 (the "Plan" see
Exhibit"C");and
WHEREAS, the Owner, through a private party agreement, has agreed to install the
Improvements in front of the property located at 3411 Indian Creek Drive (legally described in Exhibit
"D"), a property the Owner doers not own but which is owned by King David Towers, Inc., a Florida
Condominium Association, substantially in accordance with the Plan as modified and shown in Exhibit
"E";and
WHEREAS, the Owner, has applied to the Public Works Department for permission to install
the Improvements within the public right-of-way,according to the Plan;and
NOW,THEREFORE,for good and valuable consideration,the receipt and sufficiency of which
are hereby acknowledged including consideration of the approval of the right-of-way permit and/or plans
approved by the Public Works Department,the Owner voluntarily covenants and agrees that the Property
shall be subject to the following restrictions that are :intendedand shall be deemed to be covenants
running with the land and binding upon the Owners of the Property, their successors in interest and

"C"and"E" at Owner's expense,in the event the Public Works Department must
issue an underground utility or right-of-way permit for work in that area;and
c. To hereby grant to the City the right to remove,add,repair,maintain,replace
or have the. Owner remove, add, repair, maintain, replace any of the
Improvements as depicted in Exhibits "C" and "E" within the right-of-way, at
Owner's expense,in the event the City determines in its reasonable discretion that
such action is required;and
d. To add the City as additional named insured on the Certificates of Insurance
for Liability and Workmen's Compensation for a coverage in the minimum limits
as approved by the City's Risk Manager,
e. The City has the right to remove, repair, restore the area and charge the
costs of all work(direct costs plus overhead and administration charges)to the
Owner. Should Owner fail to pay for the work performed by the City will
result in a lien being placed against the Owner's property, and/or a collection
action to be filed.in Circuit Court.
3. This voluntary Declaration shall remain in full force and effect and shall be binding upon the
Owners of the Property,their successors in interest and assigns for an initial period of thirty
(30) years front the date this instrument is recorded in the public records, and shall be
automatically extended for successive periods often(10)years,unless modified,amended or
released prior to the expiration thereof.
4. This Declaration may be modified, amended or released as to any portion of the Property by
a written instrument executed by the then Owners of the fee-simple title to the land to be
affected by such modifications amendment or release providing that same has been approved
by the Public Works Director of the City, or his designee, or the successor administrative
officer with jurisdiction over the matter. Should this instrument be so modified, amended or
released the Public Works Director, or his successor, or other administrative officer with
jurisdiction over the matter, shall execute a written instrument in recordable form
effectuating and acknowledging such modification,amendment or release.
5. Invalidation of any provision of this Declaration by judgment of Court shall not affect any of
the other provisions of this Declaration,which shall remain in full force and effect.
6. This Declaration shall be recorded in the Public.Records of Miami-Dade County, Florida, at
the cost of the Owners.
7, it is understood and agreed that any official inspector of the City may have the right; upon
reasonable prior written notice to Owners, at any time during normal working hours of
entering and investigating the use of the Property,to determine whether the conditions of this
Declaration are being complied with.

8. An action to enforce the terms and conditions of this Declaration may be brought by the City

attorneys' fees, at all levels of trial and appeal. This enforcement provision shall be in
addition to any other remedies available under the law.
9. The Owners, and their successors and assigns, hereby agree to indemnify and hold harmless
the City, its officers and employees, from any and all liability that may arise by virtue of the
City permitting the installation of these items.

'Miami Beach Red' sidewalks shall be further developed in a manner which
creates a more seamless transition, in a manner to be reviewed and approved by
staff consistent with the Certificate of Appropriateness Criteria and/or the
directions from the Board.
b. Final details of all exterior surface finishes and materials, including samples, shall
be submitted, in a manner to be reviewed and approved by staff consistent with
the Certificate of Appropriateness Criteria and/or the directions from the Board.
2. The applicant shall submit a restrictive covenant agreeing to design, construct and
maintain in perpetuity, the sidewalk as proposed, including bearing all costs
associated with the design, construction and maintenance of the sidewalk, in a
manner to be reviewed and approved by the Public Works Director and City
Attorney. The covenant shall be recorded in the Public Records of Miami-Dade
County,prior to the issuance of a Building Permit.
In accordance with Section 118-537, the applicant, the owner(s) of the subject property,
the City Manager, Miami Design Preservation League, Dade Heritage Trust, or an affected
person may appeal the Board's decision on a Certificate of Appropriateness to a special
master appointed by the City Commission.
II. Variance(s)

A. A copy of all pages of the recorded Final Order shall be scanned into the plans
submitted for building permit, and shall be located immediately after the front cover page
of the permit plans.
B. The Final Order shall be recorded in the Public Records of Miami-Dade County,prior to
the issuance of a Building Permit.

C. Satisfaction of all conditions is required for the Planning Department to give its approval
on a Certificate of Occupancy; a Temporary Certificate of Occupancy or Partial
Certificate of Occupancy may also be conditionally granted Planning Departmental
approval.
D. The Final Order is not severable, and if any provision or condition hereof is held void or
unconstitutional in a final decision by a court of competent jurisdiction, the order shall be
returned to the Board for reconsideration as to whether the order meets the criteria for
approval absent the stricken provision or condition, and/or it is appropriate to modify the
remaining conditions or impose new conditions.
E. The conditions of approval herein are binding on the applicant, the property's owners,
operators, and all successors in interest and assigns.
F. Nothing in this order authorizes a violation of the City Code or other applicable law, nor
allows a relaxation of any requirement or standard set forth in the City Code.
IT IS HEREBY ORDERED, based upon the foregoing findings of fact, the evidence, information,
testimony and materials presented at the public hearing, which are part of the record for this
matter, and the staff report and analysis, which are adopted herein, including the staff
recommendations, which were adopted by the Board, that the Certificate of Appropriateness is
GRANTED for the above-referenced project subject to those certain conditions specified in
Paragraph I, 11,111 of the Findings of Fact, to which the applicant has agreed.
PROVIDED, the applicant shall build substantially in accordance with the plans approved by the
Historic Preservation Board, as determined by staff, entitled "Faena District Miami Beach" as
prepared by Jungles Landscape Architecture, dated November 2014.
When requesting a building permit, the plans submitted to the Building Department for permit
shall be consistent with the plans approved by the Board, modified in accordance with the
conditions set forth in this Order. No building permit may be issued unless and until all
conditions of approval that must be satisfied prior to permit issuance, as set forth in this Order,
have been met.
The issuance of a Certificate of Appropriateness does not relieve the applicant from obtaining all
other required Municipal, County and/or State reviews and permits, including final zoning
approval. If adequate handicapped access is not provided on the Board-approved plans, this
approval does not mean that such handicapped access is not required. When requesting a
building permit, the plans submitted to the Building Department for permit shall be consistent
with the plans approved by the Board, modified in accordance with the conditions set forth in
this Order.
If the Full Building Permit for the project is not issued within eighteen (18)months of the meeting
date at which the original Certificate of Appropriateness was granted, the Certificate of
Appropriateness will expire and become null and void. If the Full Building Permit for the project
should expire for any reason (including but not limited to construction not commencing and
continuing, with required inspections, in accordance with the applicable Building Code), the
Certificate of Appropriateness will expire and become null and void.

In accordance with Section 118-561 of the City Code, the violation of any conditions and
safeguards that are a part of this Order shall be deemed a violation of the land development
regulations of the City Code. Failure to comply with this Order shall subject the Certificate of
Appropriateness to Section 118-564, City Code, for revocation or modification of the Certificate
of Appropriateness.
