Amendment No. 1 to the Agreement with Ribbeck Engineering, Inc. AMENDMENT NO. 1 TO THE ENGINEERING DESIGN SERVICES FOR THE INDIAN CREEK DRIVE/STATE ROAD (SR) A1A, 26 STREET TO 41 STREET - FLOODING MITIGATION PROJECT (AGREEMENT NO. 16-29456) This Amendment (Change Order) No. 1, is made and entered as of this 2 , day of `rv = , 2017 by and between the CITY OF MIAMI BEACH, a municipal corporation existing under the laws of the state of Florida, having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139 (`City), and RIBBECK ENGINEERING, INC., having its principal offices at 14335 SW 120 St. #205, Miami, Florida 33186 (hereinafter referred to as Consultant). WHEREAS, on September 27, 2015, the City experienced severe tidal flooding caused by King Tides of 1.12 feet above mean high water, in the area of Indian Creek Drive, from 26th to 41St Streets, which severely impacted both pedestrian and vehicular traffic for several days; and WHEREAS, to avoid continued tidal flooding and severe flooding caused by high intensity rainfall events, the City, in conjunction with FDOT, must implement, as expeditiously as possible, infrastructure improvements which will include a new storm water drainage system, pump station, and seawall; and WHEREAS, at its March 9, 2016 meeting, the City Commission adopted Resolution No. 2016-29332, approving an agreement between the City and Florida Department of Transportation (FDOT) for the cost sharing of a construction project on Indian Creek Drive from 26th to 41st Streets, for certain infrastructure improvements that will include a new storm water drainage system pump station and seawall; improvements to the existing roadway, curbs, gutters and sidewalks, which will be elevated to meet new flood elevation requirements; and improvements to driveways, light poles, signals, signage and pavement markings, which will be replaced to match the new roadway alignment and configuration; and WHEREAS, at the June 8, 2016 meeting, the City Commission authorized the award of a Professional Service Agreement with Ribbeck Engineering, Inc., in the amount of $407,851, with a scope of services which consists of developing a Design Criteria Package (DCP) and conceptual plans for the design build construction of approximately 0.85 miles of Indian Creek Drive, with the conceptual plans and DCP to be developed in accordance with FDOT design requirements and City of Miami Beach requirements; and WHEREAS, the Administration continues to believe that the findings certified in Resolution No. 2016-29332 continue to exist, and that given the current condition of Indian Creek Drive, and the periodic flooding and closure of the road due to said flooding issues, there are extensive existing and potential future community hardships, including serious impacts to quality of life issues, to justify the necessity of beginning construction on Indian Creek Drive immediately; and WHEREAS, the conditions in the area are so drastic and will only worsen if the work is postponed in order to go through a three (3) to six (6) month competitive procurement process; and WHEREAS, in furtherance of the initiative to protect residents from tidal flooding within the City of Miami Beach, the Public Works Department is requesting an additional scope of work from Ribbeck Engineering, Inc., for the preparation of a set of interim construction plans from or 25th to 26th Street and 26th to 41st Street, including side streets along the entire Project limits of approximately 1.7 miles of roadway; the construction plans will include detailed roadway, traffic control plans and analysis, seawall plans, drainage analysis and plans, signing, pavement markings, lighting and signalization components, and related improvements, and the scope will include a design variations memorandum and reports including crash data analysis and benefit cost ratios which are required on FDOT projects, and which will adhere to FDOT design criteria as well as City of Miami Beach contract requirements; and WHEREAS, the interim construction plans are required in order to construct a 72" main trunk along Indian Creek Drive, as well as to provide drainage improvements along the aforementioned side streets, by upsizing the existing drainage lines to 24 inches, and the design of pump station structure will also be part of the interim plans; and WHEREAS, the cost proposal is in the amount of $863,171.92 for the preparation of interim construction plans, plus a contingency of ten percent (10%) ($86,317.19) that has been added, for a total amount of $949,489.11; and WHEREAS, a scope of work has been provided and is attached as Exhibit 1 to the Commission Memorandum accompanying this Resolution, along with the proposed hours of effort for the work, attached as Exhibit 2 thereto, and providing that Ribbeck Engineering and subcontractors will perform the work under the same hourly rates and percentages for overhead and profit as their contract with FDOT; and WHEREAS, due to the foregoing tidal flooding conditions and the urgent need for completion of the Project, and due to the fact that Ribbeck Engineering is already performing work on the Project, the City Manager, in assessing the totality of factors giving rise to this situation, believes there is ample support to find and certify to the City Commission that a public emergency exists and that it is in the best interest of the City to waive competitive bidding, as the City would greatly benefit from utilizing Ribbeck to avoid coordination problems and construction delays; and WHEREAS, pursuant to the City's cost sharing agreement with FDOT for the Project, FDOT has provided the City with notice of its concurrence to use of FDOT funds for its portion of the costs associated with the scope of work that Ribbeck Engineering will perform under Amendment No. 1 and, if this Resolution is adopted, the City will submit to FDOT the requisite compliance certifications to FDOT, pursuant to the Agreement's terms. WHEREAS, on April 26, 2017, in Resolution No. 2017-29839, the City Commission approved the additional scope of work, in the amounts as set forth in this Change Order No. 1. NOW THEREFORE, in consideration of the mutual promises and conditions contained herein, and other good valuable consideration, the sufficiency of which is hereby acknowledged, the City and Consultant hereby agree to amend the Agreement as follows: 1. ABOVE RECITALS. The above recitals are true and correct and are incorporated as part of this Amendment. 2. MODIFICATIONS. I. Article 1, Section 1.1 of the agreement is hereby amended to include TRACE CONSULTANTS, INC, as an approved Sub-consultant for the project, as part of the Definition for Consultant. II. Article 7, Section 7.1 of the Agreement is hereby amended as follows: 7.1 Consultant's "Lump Sum" fee for provision of the Services, including reimbursable expenses, for the original Project Scope shall continue to be $407,851, as more fully delineated in Schedule B of the agreement. The Consultant's "Lump Sum" fee for provision of the additional Scope of Services, as provided in this Amendment No. 1 shall be $ 863,171.92, for an overall amount of $1,271,022.92 collectively for the project. In addition, a contingency of ten percent (10%) of the additional cost for the additional scope for the amount of $ 86,317.19 ($863,171.92 x 10% = $ 86,317.19) has been set aside by the City for an overall contract Value of $1,357,340.11, including the set aside Contingency. However, the City's Contingency is available at the sole discretion of the Contract Administrator to cover and/or defray additional expenses relative to design and construction of the Project not included in or reasonably inferable from the scope of work, or for additional changes or adjustments to work items deemed desirable by the City to be included as part of the Contract Documents, or for additional costs expressly chargeable to the City or for which the City is responsible pursuant to the Contract Documents. The Consultant shall have no entitlement whatsoever to any amounts in the City's Contingency, and the City is under no obligation to assign any monies from the City's Contingency to the Consultant. Use of funds from City's Contingency shall be requested through the Additional Services process described in Article 5 and must be approved in writing by the Contract Administrator or City Manager prior to initiating any related work. Any unused amounts in the City's Contingency shall accrue solely to the City. Consultant shall have no entitlement what so ever to any unused Contingency amounts. III. Schedule A of the Agreement is hereby amended to include the following, as part of the scope of services (Basic Services): In addition to the Scope of Services described in Schedule A of the Agreement, the Consultant shall perform the following work, as set forth below and as delineated herein as follows: Task 1: The Scope of Services for this Supplemental work from Indian Creek Drive from 26th Street to 41st Street RFP and Conceptual Project General Task Additional hours for: • Progress and Coordination Meetings with City of Miami Beach • Coordination Meetings with Florida Department of Transportation (FDOT) • Coordination meetings with required discipline reviewers • Coordination meetings with key stakeholders. • Coordination with Geotechnical, Surveyor, Structure and Environmental Consultants providing services to the City of Miami Beach. • Plans review meetings and field review meetings. Roadway Analysis and Plans: Design Variations memorandum and reports including crash data analysis and benefit cost ratios as requested by the Department for the following Design Elements: • Border Width Design Variation • Horizontal Alignment Design Variation • Super elevation Design Variation • Spacing between VPI's Design Variation • Sight Distance at Intersections (Index 546) Design Variation • Stopping Sight Distance Design Variation • Minimum Parking Restrictions Design Variation • Bicycle Lane Width Design Variation Task 2: The Scope of Services for this work from Indian Creek Drive from 25th Street to 26st Street and Collins Avenue from 26th Street to 27th Street Interim Construction Phase Roadway Analysis and Plans: • Roadway restoration analysis and plans • Drainage Plan and Profile Sheets • Traffic Control analysis and plans • Roadway Quantity take off and summary of pay items in compliance with FDOT Basis of • Estimates • Field Reviews • Roadway analysis coordination with FDOT • Roadway coordination with Contractor. Drainage Analysis and Plans: • Design of Storm Drains including the evaluation and analysis for 22 new drainage structures within Collins Avenue from 25th Street to 26th Street. It also includes Collins Avenue at 26th Street intersection drainage improvements, as well as Collins Avenue from 25th Street to 26th Street 72 Inches trunk line construction to be built to meet interim condition and to later transition into ultimate condition working under gravity flow conditions. • Temporary Drainage Analysis including the evaluation to maintain drainage during construction as well the drainage interim phase between the newly constructed 72" trunk-line and the existing side-street drainage. • Drainage coordination with Contractor during construction and field reviews. • Drainage Map • Drainage Quantity take off and summary of drainage structures in compliance with FDOT Basis of Estimates. • Drainage calculations • Permit Set for SFWMD and DERM • Miscellaneous Drainage Details • Optional Pipe Material • Drainage Structure Sheets Utility Coordination: • Utility Coordination with UAO's Signing and Pavement Markings Analysis and Plans: • Signing and pavement markings analysis and plans for roadway restoration after drainage improvement construction as per MUTCD and FDOT criteria. Signalization Analysis and Plans: • Signalization analysis and plans for roadway restoration after drainage improvement construction as per MDCTS&S Division and FDOT requirements including pedestrian signal features restoration pull boxes, conduits, loops, etc. Task 3: The Scope of Services for this work from Indian Creek Drive from 26th Street to 41st Interim Construction Phase Roadway Analysis and Plans: • Roadway restoration analysis and plans • Drainage Plan and Profile Sheets • Traffic Control analysis and plans • Roadway Quantity take off and summary of pay items in compliance with FDOT Basis of estimates • Field Reviews • Roadway analysis coordination with FDOT • Roadway coordination with Contractor. Drainage Analysis and Plans: • Design of Strom Drains including the evaluation and analysis of 100 new drainage structures within Indian Creek Drive mainline to be build (to meet interim condition and to later transition into ultimate condition) for the new 72" trunk-line and 50 additional new drainage structures within side streets from Collins Avenue to Indian Creek Drive for the 24" pipe upsize working under gravity flow conditions. • Temporary Drainage Analysis including the evaluation to maintain drainage during construction as well the drainage interim phase between the newly constructed 72" trunk-line and the existing side-street drainage. • Drainage coordination with Contractor during construction and field reviews. • Drainage Map • Drainage Quantity take off and summary of drainage structures in compliance with FDOT Basis of Estimates. • Drainage calculations • Permit Set for SFWMD and DERM • Miscellaneous Drainage Details • Optional Pipe Material • Drainage Structure Sheets Utility Coordination: • Utility Coordination with UAO's Signing and Pavement Markings Analysis and Plans: • Signing and pavement markings analysis and plans for roadway restoration after drainage improvement construction as per MUTCD and FDOT criteria. Signalization Analysis and Plans: • Signalization analysis and plans for roadway restoration after drainage improvement construction as per MDCTS&S Division and FDOT requirements including pedestrian signal features restoration pull boxes, conduits, loops, etc. SRA1A from South of 25th Street to 26th Street & Collins Avenue Interim Construction Phase Scope of Work This Scope of Services consists of redesigning the previously designed set of plans for approximately 0.22 miles of roadway which includes 0.13miles along Collins Ave from South 25th Street to North of 26th Street, 0.09 miles along Indian Creek Drive from 26th Street to South of 27th Street, 50 feet along 25th Street and 50 feet along 26th Street. The revision was requested by the City of Miami Beach in order to reconstruct SR-A1A raising the profile along with transitioning to the aforementioned side streets and add drainage inlets along Collins Ave Northbound matching the new roadway elevation, in lieu of the roadway restoration plans included under the original set of plans. The revised set of plans includes roadway reconstruction, traffic control plans, drainage, signing & pavement markings, and signalization components. The construction plans will follow FDOT design criteria as well as City of Miami Beach contract requirements. Project General Task • None under this Supplemental. Hours will be included under a separate supplemental. Roadway Analysis and Plans: • Roadway reconstruction analysis and plans (raising profile and transitions at Collins and side streets as per FDOT criteria). • New pavement design for Collins Avenue • Revision to typical sections to include barrier wall, roadway reconstruction and greenway. • Traffic Control analysis and plans • Cross sections • Roadway quantity take off and summary of pay items in compliance with FDOT Basis of • Estimates • Roadway analysis coordination with FDOT • Harmonization at each private property, where required • Field reviews have not been included under this task. Hours will be included under a separate supplemental. Drainage Analysis and Plans: • Revision of drainage structure top and inlet elevations to match final roadway elevation. Signing and Pavement Markings Analysis and Plans: • Signing and pavement markings analysis and plans for new scope and project limits due to roadway reconstruction as per MUTCD and FDOT criteria • Signing and Pavement Markings quantity take off and summary of pay items Signalization Analysis and Plans: • Signalization analysis and plans per MDCTS&S Division and FDOT requirements including mast arms, pedestrian signals, pull boxes, conduits, loops, etc. due to the intersection plateau being raised by the roadway reconstruction. • Signalization quantity take off and summary of pay items TRACE CONSULTANTS, INC Lighting Analysis and Plans • Develop full lighting design analysis report to submit to City of Miami Beach, FDOT and Miami-Dade County • Perform voltage drop calculations • Develop lighting design following FDOT's latest criteria requirements which will divide the corridor into 16 different analysis zones with different horizontal and vertical illumination requirements • Develop proposed temporary lighting to be utilized during construction • Attend design meetings with City staff, FDOT and maintaining agency • Prepare construction plans following FDOT requirements for plans production, specifications and pay items • Quantities • Engineers Probable Construction Estimate • Provide required post design services including attending field reviews, progress meetings, reviewing shop drawings and making plan revisions BOLTON PEREZ AND ASSOCIATES SCOPE OF WORK Indian Creek Drive from 25th Street to 41st Street — Bulkhead Seawalls, Pump Structure and Temporary Steel Sheet Pile Cofferdam - Structural The work will be performed in accordance with City of Miami Beach and FDOT design requirements, and includes the following tasks: • Develop horizontal and vertical wall layout geometry based on survey cross sections depicting the location of the existing wall and baseline geometry. • Develop plan views of approximately 4500 LF of retaining walls with gravity wall returns. • Develop typical wall section of City of Miami Beach standard bulkhead wall, including provisions for drainage and utility pipe crossings depicting elevations at top of wall and existing grade at face of wall. • Design and develop final plans and details for the concrete drainage pump structure, including the temporary steel sheet pile cofferdam for construction of the pump structure. The geotechnical engineer shall provide recommendations and criteria for the foundation design. • Coordinate the work with the City of Miami Beach Engineer, Geotechnical Engineer, Drainage Engineer, Environmental Engineer, and Utility Engineer. • Develop permit drawings for South Florida Water Management District (SFWMD) and DERM. The permit drawings will be split into two packages. The first between 25th Street to 26th Street (includes both SFWMD and DERM) and the second from 26th Street to 41st Street (in two submittals, one for SFWMD and another for DERM). • Develop preliminary design of Temporary Critical Walls (TCW) for construction of the main drainage pipe running parallel to SR AIA (Indian Creek) and preliminary design of permanent steel sheet pile walls along FDOT RW. Design the wall to support the excavation required to install the proposed drainage pipe along SR AIA. Evaluate the feasibility for the use of the TCW or contractor proposed trench box based on proposed traffic control plans. • Review contractor shop drawings for the bulkhead walls and pump structure. IV. Article 2, Section 2.7, Sub-section 2.7.1 is hereby amended as follows: 2.7.1 Term: The term of this Agreement shall commence upon execution by the City and Consultant, which is shall continue to be the Effective Date referred to on page 4 one (1) hereof of the Agreement, and shall be in effect until all Services are completed or all Services authorized under Notices to Proceed are completed and accepted by the City, whichever is later. Notwithstanding the preceding Term, Consultant shall adhere to any and all timelines and/or deadlines, as set forth in the Scope of Services (if any) and in Schedule E, as amended on this amendment No. 1.
