RESOLUTION NO. 83-17400 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, AUTHORIZING THE MAYOR TO EXECUTE A PROFESSIONAL SERVICES AGREEMENT BETWEEN VINCENT E. GRIMM, JR. AND THE CITY OF MIAMI BEACH FOR PROFESSIONAL SERVICES TO THE CITY FOR CAPITAL PROJECTS. WHEREAS, the City Commission has reviewed the agreement between Vincent E. Grimm, Jr. and the City of Miami Beach; and WHEREAS, the City Administration has agreed to compensate Mr. Grimm at the rate of $2 ,500 .00 per month for eighteen (18) months effective August, 1983 through February 28 , 1985 , with the option of extending the agreement through August, 1985 to provide professional services for capital projects; and WHEREAS, the City Administration has recommended execution of the agreement, and the City Attorney has approved it as to form; NOW, THEREFORE, BE IT DULY RESOLVED BY THE CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor be authorized to execute the agreement between Vincent E. Grimm, Jr. and the City of Miami Beach for professional services to the City for Capital Projects. Grimm, Jr. and the City of Miami Beach for a period of eighteen (18) months with an effective starting date of August, 1983, and a termination date of February 28, 1985. This Agreement may be extended to August, 1985, if determined necessary by the City Manager. This agreement is for the purpose of providing professional services to the City through the City Manager for capital projects. For the purpose of this Agreement, Mr. Grimm shall be deemed to be an independent _contractor, and not an agent or employee of the CITY, and shall not attain any rights or benefits under the Civil Service or Pension Ordinance of the CITY, or any rights generally afforded classified or unclassified employees; further he shall not be deemed entitled to Florida Workmen's Compensation benefits as an employee of the CITY or accumulations of sick or annual leave. There will be no expenses paid to Mr. Grimm in addition to the monthly emolument, unless these expenses are incurred in direct relationship to this agreement for expenses and travel outside of Dade County in which case all such expenses will be fully reimbursed as approved by the City Manager. Payment will be $2,500.00 per month and will be made on the first business day of each month, for the previous month. In the event that secretarial services are necessary for the preparation of any memoranda or reports, said services will be provided at the discretion of the City Manager, but it is further understood these services will be provided at City offices. Mr. Grimm will also be available on call at the discretion of the City Manager. It is understood, however, that it is not the intention of this agreement that Mr. Grimm work a full 40-hour week and that the time he does work will be dependent on the demands of the job. It is estimated that this work will require aproximately 25 hours a month. Because of the complexity of these projects, it is agreed that there could be subsequent legal actions either by the City or other parties involved. In the event any action is taken against the City or Mr. Grimm, as related to this agreement, the City will provide full legal liability against such actions. It is agreed Mr. Grimm will be able to participate in other personal services agreements with any agency or individual which does not create any inferred conflict of interest with the City of Miami Beach. It is further agreed that this agreement may be altered, extended and amended only upon the written consent of both parties hereto. However, this agreement may be cancelled by either party with 30-days written notice. On May 17, 1983 the Commission approved the creation of two additional Assistant City Manager positions; one for Administration and Management and the second for Capital Projects. The attached Agreement and Resolution will provide for a Professional Service Contract for Vincent E. Grimm, Jr. Mr. Grimm has an unusual background which makes him a fine choice for the supervision of Capital Projects. Mr. Grimm has served City of Miami as Assistant to City Manager in the area of development of Capital Projects. He is now retired from that position and will be available to the City of Miami Beach to direct such projects as the Justice Facility, the 21st Street Community Center, the Beachfront Promenade, TOPA Redesign and other Capital Projects. Rather than accept full time employment with the City, Mr. Grimm prefers to act as a consultant to the City and as such will not accrue any of the usual employee benefits for pension, vacation, sick leave, etc. ADMINISTRATION RECOMMENDATION: The Administration recommends that the Commission enter into the attached Professional Service Agreement with Vincent E.
