Cv 0 AN ORDINANCE AUTHORIZING THE MAYOR 20 EXECUTE ON BEHALF OF THE CITY OF MIAMI BEACH, A CONTRACT WITH THE UNITED STATES GOVERNMENT, BY THE • TERMS OF whICH THE CITY AGREES TO FURNISH WATER TO SAID UNITED STATES GOVERNMENT AT THE PRICE AND UNDER THE TERMS AND CONDITIONS SET FORTH IN SAID CONTRACT; MAKING SAID CON- TRACT A PART OF SAID ORDINANCE; DECLARING THAT THIS OiDINANCE SHALL SUPERSEDE AND OVERRIDE SUCH CONDI- TIONS, PROVISIONS AND LIMITATIONS CONTAINED IN ORDINANCE NO. 256 OF THE CITY OF MIAMI BEACH AS MAY BE IN CONFLICT TERIAITH. WHEREAS, the United States Government has submitted to the City Council of Miami Beach a proposed contract , a copy of which is hereto attached, by the terms of which a reduced rate would. be charged by the City for water used by the Government in any month in excess of 47,000,000 gallons; and WHEREAS, the United States Army is now occupying many of the buildings located in the City and is being furnished water by the City for use therein; and vhEH ,AS, it is estimated that in the year 1941, at the highest point of consumption, said buildings and the occupants thereof, used approximately 47,000,000 gallons of water per month; and WHEREAS, the proposed contract will produce for the City, from the first 47,000,000 gallons consumed by the Army each month in said buildings, a sum equal to the total received from said buildings during said peak season; and WHEREAS, the City Council feels that it is its patriotic duty and to the best interest of the City of Miami Beach, to deliver water, in excess of said 47,000,000 gallons per month without profit . NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF MIAMI BEACH, FLORIDA: SECTION 1. That the Mayor of the City of Miami Beach be and he is hereby authorized and directed to execute for and on behalf of said City the contract with the United States Government , dated January 18th, 1943, a copy of which contract is hereto attached and made a part hereof. SECTION 2. That it is hereby declared to be the intention of the City Council by, and in this ordinance, to supersede and override such conditions, provisions and limitations contained in Ordinance No. 256 of the City of Miami Beach, Florida, as may be in conflict herewith.. SPECIAL CONDITIONS (Procurement of Water-No Connection Charge) 1. TERM OF SERVICE. -- Water will be furnished commencing the first meter rem ale ewer January 11, 1943 and shall continue until further notice. Notice of intention to terminate this contract shall be at the option of the United States and shall be given in writing by the Contract- ing Officer to the contractor not less than thirty (30) days in advance of the effective date of termination. 2. PROVISION FOR ENLARGED RESERVATION. -- The service to be furnished under this contract shall be used only in connection with activities within the boundaries of the project as presently located or as such boundaries may be extended in the future. 3. QUALITY OF WATER. -- The water must be clear, potable and safe for human consump- tion in accordance with standards adopted by the Treasury Department, June 20, 1925 for drinking and culinary water supplied by common carriers in Interstate Cottmerce and such re- visions as may he made therein from time to time. 4. POINT OF DELIVERY. -- A't meter locations at the various buildings and premises shove in Sxhibit "A" - Schedule of Premises. 5. PRESSURE. -- The contractor shall maintain at all times at the point or points of delivery a pressure of not less than_*unable pounds per square inch. 6.existing -- The contractor shall furnish the required amount of water through sting mains located XX in the City of Miami Beach and the water shall be measured by existing meters of standard manufacture. 7. OWNERSHIP AND MAINTENANCE OF METERS. -- The meters which are provided for measuring `' e water furnished under this contract and which are located at Premises, see Aehibit *l are the property of Cicv of Miami Bea* and will be calibrated and maintained by _the Mi of Mir illesek 8. METERING AND BILLING. -- Meters will be read monthly on the last day of each month jointly by a representative of the contractor and the Contracting Officer or his representative. The contractor shall render monthly bills or accounts to the Contracting Form OCE 429 Officer which shall contain statements of the readings of the meters at the beginning of the month, meter constants, monthly consumption, rates and allowances, if any, in detail. Bills shall he rendered on the basis of monthly consumption, the readings of the meters to be * .x.71 __ * All added and billed as one quantity. In case of error in meter readings, it is mutually agreed that the percentage of error shall apply only to the water used since the date of the meter reading of preceding.month. 9. FAILURE OF METERS TO REGISTER. -- If the meters fail to register, a daily average will be obtained from the readings taken the previous month when the meter was known to be operating correctly, and this figure used as a basis cf payment for the period while the meters are out of order and until repaired. 10. If an error of more than 2 percent is found, the read- ings and bill for the month previous and the bill for that part of the current month im- mediately preceding the test shall be corrected by the percentage of error found to exist. 11. REPAIR OF METERS. -- The contractor shall test, adjust, install, or change water meters when requested in writing in advance by the Contracting Officer, at the actual cost of labor and material plus a fixed charge of $2,4,00 provided that all the actual and necessary maintenance and repairs on the meters and pipe lines which are the property of the contractor shall be done by the contractor at his expense. 12. DEDUCTIONS. -- It is inters'1ed that continuous service will be given under this contract. Where it is necessrry for the contractor to interrupt service, arrangements shall be made with the proper military authorities in order that such interruption will least interfere with the service to the United States. CHANGE OF RATES. -- If during the life of this contract the State Commission having jurisdiction receives for file in authorized manner rates that are higher or rates that are lower than those stipulated herein for like conditions of service, the contractor hereby agrees to continue to furnish water as stipulated in this contract, and the United States hereby agrees to pay for such water at the higher or lower rates from and after the date when such rates are made effective. 18. PAYMENTS. -- For and in consideration of the faithful performance of the stipula- tion of this contract; the contractor shall be paid by the designated disbursing officer for water herein contracted for, at the rates and under the terms and conditions herein set forth: and the contractor hereby declares that said rates are not in excess of the lowest rates now available to any prospective customer under like conditions of service. ' GENERAL CONDITIONS 1. OFFICIALS NOT TO BENEFIT. -- No member of or delegate to Co:1 less or resident commissioner shall be admitted to any share or part of this contract or to any benefit that may arise therefrom, but this provision shall not be construed to extend to this contract if made with a corporation for its general benefit. 2. DISPUTES. -- Except as otherwise specifically provided in this contract, all dis- putes concerning questions of fact which may arise under this contract, and which are not disposed of by mutual agreement, shall be decided by the Contracting Officer, who shall reduce his decision to writing and mail a copy thereof to the contractor at his address shown herein. Within 30 days from said mailing the contractor may appeal in writing to the Secretary of War, whose written decision or that of his designated representative or representatives thereon shall be final and conclusive upon the parties hereto. The Secre- tary of War may, in his discretion, designate an individual, or individuals, other than the Contracting Officer, or a board as his authorized representative to determine appeals under this Article. The contractor shall be afforded an opportunity to be heard and offer evidence in support of his appeal. The president of the board, from time to time, may divide the board into divisions of one or more members and assign members thereto. A. majority of the members of the board or of a division thereof shall constitute a quorum for the transaction of the business of the board or of a division, respectively, and the decision of a majority of the members of the board or of a division shall be deemed to be the decision of the board or of a division, as the case may be. If a majority of the members of a division are unable to agree on a decision or if within 30 days after a de- cision by a division, the board or the president thereof directs that the decision of the division be reviewed by the board, the decision will be so reviewed, otherwise the deci- sion of a majority of the members of a division shall become the decision of the board. If a majority of the members of the board is unable to agree upon a decision, the president will promptly submit the appeal to the Under Secretary of War for his decision upon the record. A vacancy in the board or in any division thereof sha.; not impair the powers nor affect the duties of the board or division nor of the remaining members of the board or division, respectively. Any member of the board, or any examiner designated by the presi- dent of the board for that purpose, may hold hearings, examine witnesses, receive evidence and report the evidence to the board or to the appropriate division, if the case is pending before a division. Pending decision of a dispute hereunder the contractor shall diligently proceed with the performance of this contract. Any sum or sums allowed to the contractor under the provisions of this Article shall be paid by the United States as part of the cost of the articles or work herein contracted for and shall be deemed to be within the contemplation of this contract. 3. CONVICT LABOR. -- The contractor shall not employ any person undergoing sentence of imprisonment at hard labor. This provision shall not be construed to prevent the con- tractor or any subcontractor hereunder from obtaining any of the supplies, or any component parts or ingredients thereof, to be furnished under this contract or any of the materials or supplies to be used in connection with the performance of this contract, directly or in- directly, from any Federal, State or territorial prison or prison industry, provided such articles, materials or supplies are not produced pursuant to any contract or other arrange- ment under which prison labor is hired by or employed or used by any private person, firT1 or corporation. COVENANT AGAINST CONTINGENT FEES. -- The rceitractor i,,, =-sai.ts that he has not employed any person to solicit or secure this contract upon any agreement for a commission, percentage, brokerage, or contingent fee. Breach of this warranty shall give the Govern- ment the right to annul the contract, or, in its discretion, to deduct from the contract price or consideration the amount of such commission, percentage, brokerage, or contingent fees. This warranty shall not apply to commissions, payable by contractors upon contracts or sales secured or made through bona fide established commercial or selling agencies maintained by the contractor for the purpose of securing business. S. ANTI-DISCRIMINATION. -- (a) The contractor, in performing the work required by this contract, shall not discriminate against any worker because of race, creed, cotor or national origin. (b) The contractor agrees that the provision of paragraph (a) above will also be inserted in all of his subcontracts. For the purpose of this article, a subcontract is defined as any contract entered into by the contractor with any individual, partnership, association, corporation, estate, or trust, or other business enterprise or other legal entity, for a specific part of the work to be performed in connection with the supplies furnished under this contract; provided, however, that a contract for the furnishing of standard or commercial articles or raw material shall not be considered as a subcontract. 6. DEFINITIONS. -- Except for the original signing of this contract, and except as otherwise stated herein, the term •Contracting Officer" as used herein shall include his duly appointed successor or his authorized representative. 7. `- •• . . - - e • ' - e -THE-SIXTH SUPPLEMENTAL / NATIONAL DEFENSE APPROPRIATION ACT, 1942. -- This Article shall come into ',Fleet if the amount of this contract at any time exceeds $100,000. (a) Upon the written demand of the Secretary, at such period or perio when, in the judgment of the Secretary, the profits accruing to the Contractor unde this contract can be determined with reasonable certainty, the contract price will be renegotiated to eliminate therefrom any amount found as a result of such renegotiation to represent ex- cessive profits. The demand of the Secretary shall fix a place for renegotiation and a time for commencement thereof not later than one year after the date of completion or termination of the contract as found by the Secretary. (b) The contractor will furnish to the SecretaryJ/such statements of actual costs of production and such other financial statements, at such times and in such form and detail, as the Secretary may prescribe, and will permit such audits and inspections of its books and records as the Secretary may request. (c) The Government shall retain or a contractor shall repay to the Government, as the Secretary may direct, any amoun of the contract price found as a result of such renegotiation to represent excessive profits.
