A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE
CITY OF MIAMI BEACH, FLORIDA, AUTHORIZING THE
ADMINISTRATION TO ISSUE A REQUEST FOR PROPOSALS FOR
VALET PARKING SERVICES AT THE JACKIE GLEASON THEATER OF
THE PERFORMING ARTS, MIAMI BEACH CONVENTION CENTER, AND
OTHER CITY PROPERTY, AS REQUIRED.
WHEREAS, the City is currently providing ancillary parking services in the form of valet
parking services at the Jackie Gleason Theater of the Performing Arts, Miami Beach Convention
Center, and other City property as required; and
WHEREAS, Gold Star Parking, Inc. has provided valet parking services for the City since
October I, 1986; and
WHEREAS, the existing Valet Parking Services Concession Agreement with Gold Star
Parking, Inc. expires on September 14, 1999; and
WHEREAS, it is the intent of the City to continue providing ancillary parking services in
the form of valet parking at its facilities; and
WHEREAS, the Administration has prepared a Valet Parking Services Request for
Proposals in order to continue providing valet parking services at the Jackie Gleason Theater of the
Performing Arts, Miami Beach Convention Center, and other City property, as required.
NOW, THEREFORE, BE IT DULY RESOL VED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission herein authorize the Administration to issue a Request for Proposals for Valet Parking
Services at the Jackie Gleason Theater of the Performing Arts, Miami Beach Convention Center, and
other City property as required.

BACKGROUND:
The City of Miami Beach currently has a Concession Agreement with Gold Star Parking, Inc. for
valet parking services at the Jackie Gleason Theater of the Performing Arts, Miami Beach
Convention Center, and other City Property, as may be required. Gold Star Parking, Inc. has
provided this service since 1986. On October 1, 1986, a Concession Agreement was awarded to
Gold Star Parking, Inc. for two (2) years, with a one (1) year renewal option. On October 1, 1988,
the City renewed the Concession Agreement for the one (1) year renewal period. In 1989, a Request
for Proposals was issued in order to continue providing said services. Gold Star Parking, Inc. was
the successful proposer and they were awarded a five (5) year Valet Parking Concession Agreement
with five (5) one-year renewals at the City's option. At the June 17, 1998, City Commission
Meeting, the Mayor and Commission approved the fifth and final one (1) year option to expire on
September 14, 1999.
ANALYSIS:
The City wishes to continue providing ancillary parking services in the form of valet parking at the
aforementioned venues. If approved, the attached RFP No.60-98/99, will be issued effective May
13, 1999. Completed proposals must be submitted to the Procurement Office by June 11, 1999, at
3:00 P.M. (There is a timetable set forth on page four of the attached RFP). Subsequently, the City
Commission may then make a determination for the selection of a valet parking service, at the July
7, 1999, City Commission meeting.

CONCLUSION
The current Concessionaire has provided valet parking services at the aforementioned venues for 13
years and there are no renewals in the existing agreement. Therefore, a new Request for Proposals
and Concession Agreement are needed to provide on-going services for the Jackie Gleason Theater
ofthe Performing Arts, Miami Beach Convention Center, and other City Property. By soliciting new
proposals for valet parking services, the City will have the ability to evaluate alternative valet
parking operational plans and potentially increase its financial return. Accordingly, the City
Commission should authorize the issuance of the Request for Proposals.

SECTION I -OVERVIEW AND PROPOSAL PROCEDURES:
A. INTRODUCTIONIBACKGROUND
It is the City of Miami Beach's intent to retain the highest quality valet parking
service for the patrons of the Jackie Gleason Theater of the Performing Arts 1700
Washington Avenue, Miami Beach, Florida (tOPA"), at the Miami Beach
Convention Center, 1901 Convention Center Drive, Miami Beach, Florida

("Convention Center"), and at other sites within' the City of Miami Beach. The City
of Miami Beach ("City") has contracted valet parking services for TOP A, and for the
Convention Center since October 1, 1986, and the City wishes to continue providing
such parking services to patrons of both facilities, even when events are scheduled
simultaneously at both facilities.
The City will provide to the selected operator: (1) space for a valet parking stand,
kiosk, or booth (specifications and visuals of stand, kiosk, or booth must be
submitted) at each facility, and (2) storage space free of charge to the selected
operator for serviced vehicles at Municipal Parking Lot 5C, located on the northeast
corner of Convention Center Drive and 17th Street. The selected operator shall
control access to this lot three (3) hours prior to the start time of a scheduled event
in order to secure storage space; however, the operator may not remove from said lot
any vehicle parked prior to said 3-hour period.
i The initial term ofthe Agreement shall be for two (2) years, with three (3) one-year
options, renewable at the City's sole discretion. The effective date of the Agreement
shall be September 15, 1999.
The valet parking fee is determined by the Mayor and City Commission of the City
of Miami Beach. Curren~ly, the valet parking fee approved by the Mayor and City
Commission of the City of Miami Beach is $9.00 per vehicle.

C. PROPOSAL SUBMISSION
An original and ten (10) copies of complete proposal must be received by June 11,
1999 at 3:00 pm and will be opened on that day at that time. The original and all
copies must be submitted to the Procurement Division in a sealed envelope or
container stating on the outside the proposer's name, address, telephone number,
RFP number and title, and proposal due date.
The responsibility for submitting a response to this RFP to the Procurement Division
on or before the stated time and date will be solely and strictly that of the proposer.
The City will in no way be responsible for delays caused by the U.S. Post Office or
caused by any other entity or by any occurrence. Proposals received after the
proposal due date and time will not be accepted and will not be considered.
D. ( PRE-PROPOSAL CONFERENCE

E. CONTACT PERSON/ADDITIONAL INFORMATION/ADDENDA
Proposers are advised that from the date of release of this RFP until award of the
contract, no contact with City personnel related to this RFP is permitted. Any such
unauthorized contact may result in the disqualification of the proposer's submittal.
Requests for additional information or clarifications must be made in writing to the
Procurement Director no later than the date specified in the RFP timetable.

The City will issue replies to inquiries and any other corrections or amendments it
deems necessary in written addenda issued prior to the deadline for responding to the
RFP. Proposers should not rely on representations, statements, or explanations other
than those made in this RFP or in any addendum to this RFP. Proposers are required

proposer should verify with the Procurement Division prior to submitting a
proposal that all addenda have been received.
F. PROPOSAL GUARANTY
A Performance Security in the form of an Irrevocaple Letter of Credit or, in the
alternative, a cash deposit in the amount of Five Th~usand Dollars ($5,000.00), will
be required prior to the execution of the Agreen:.~nt resulting from this
solicitation.
G. MODIFICA TION/WITHDRA W ALS OF PROPOSALS
A proposer may submit a modified proposal to replace all or any portion of a
previously submitted proposal up until the proposal due date and time.
Modifications received after the proposal due date and time will not be considered.
Proposals shall be irrevocable until contract award unless withdrawn in writing prior
to the proposal due date or after expiration of one-hundred and fifty days calendar
days from the opening of proposals without a contract award. Letters of withdrawal
received after the proposal due date and before said expiration date and letters of
withdrawal received after contract award will not be considered.
H. RFP POSTPONEMENT/CANCELLATION/REJECTION

The City may, at its sole and absolute discretion, reject any and all, or parts of any
and all, proposals; re-advertise this RFP; postpone or cancel, at any time, this RFP
process; or waive any irregularities in this RFP or in any proposals received as a
result of this RFP.
I. COST INCURRED BY PROPOSERS
. All expenses involved with the preparation and submission of proposals to the City,
or any work performed in connection therewith, shall be the sole responsibility of the
proposer(s) and not be reimbursed by the City.
J. VENDOR APPLICATION

Prospective proposers should register with the City of Miami Beach Procurement
Division; this will facilitate their receipt of future notices of solicitations when they
are issued. All proposer(s) must register prior to award; failure to register will result
in the rejection of the proposal. Potential proposers may contact the Procurement

Registration requires that a business entity complete a vendor application and submit
an annual administrative fee of $20.00. The following documents are required:

It is the responsibility of the proposer to inform the City concerning any changes,
including new address, telephone number, services, or commodities.
K. EXCEPTIONS TO RFP
Proposers must clearly indicate any exceptions they wish to take to any of the terms
in this RFP, and outline what alternative is being offered. The City, after completing
evaluations, may accept or reject the exceptions. In cases in which exceptions are
rejected, the City may require the proposer to furnish the services or goods originally
described, or negotiate an alternative acceptable to the City.
L. SUNSHINE LAW
Proposers are hereby notified that all information submitted as part of a response to
this RFP will be available for public inspection after opening of proposals, in
f compliance with Chapter 286, Florida Statutes, known as the "Government in the
Sunshine Law". ~
M. NEGOTIATIONS
The City may award a .contract on the basis of initial offers received, without
discussion, or may require proposers to give oral presentations based on their
proposals. The City reserves the right to enter into negotiations with the selected
proposer, and if the City and the selected proposer cannot negotiate a mutually
acceptable contract, the City may terminate the negotiations and begin negotiations
with the next selected proposer. This process may continue until a contract has been
executed or all proposals have been rejected. No proposer shall have any rights in
the subject project or property or against the City arising from such negotiations.

N. PROTEST PROCEDURE
Proposers that are not selected may protest any recommendations for contract award
by sending a formal protest letter to the Procurement Director, which letter must be
received no later than 5 calendar days after award by the City Commission. The

Procurement Director will notify the protester of the cost and time necessary for a
written reply, and all costs accruing to an award challenge shall be assumed by the
protester. Any protests received after 5 calendar days from co~tract award by the
City Commission will not be considered, and the basis. or bases for saidwotest shall
be deemed to have been waived by the protester.

o. RULES; REGULATIONS; LICENSING REQUIREMENTS

Proposers are expected to be familiar with and comply with all Federal, State and
local laws, ordinances, codes, and regulations that may in any way affect the services
offered, including the Americans with Disabilities Act, Title VII of the Civil Rights
Act, the EEOC Uniform Guidelines, and all EEO regulations and guidelines.
Ignorance on the part of the proposer will in no way relieve it from responsibility for
compliance.
P. DEFAULT
Failure or refusal of a proposer to execute a contract upon award by the City
Commission, or untimely withdrawal of a proposal before such award is made and
approved, may result in forfeiture of that portion of any proposal surety required as
liquidated damages to the City; where surety is not required, such failure may result
in a claim for damages by the City and may be grounds for removing the proposer
from the City's vendor list.

Q. CONFLICT OF INTEREST
All proposers must disclose with their proposal the name(s) of any officer, director,
agent, or immediate family member (spouse, parent, sibling, child) who is also an
employee of the City of Miami Beach. Further, all proposers must disclose the name
of any City employee who owns, either directly or indirectly, an interest of ten (10%)
percent or more in the proposer or any of its affiliates.

PROPOSER'S RESPONSIBILITY

Before submitting proposal, each proposer shall make all investigations and
examinations necessary to ascertain all conditions and requirements affecting the full
performance of the contract. Ignorance of such conditions and requirements resulting
from failure to make such investigations and examinations will not relieve the
successful proposer from any obligation to comply with every detail and with all
provisions and requirements of the contract documents, or will be accepted as a basis
for any claim whatsoever for any monetary consideration on the part of the proposer.

S. RELATION OF CITY
It is the intent of the parties hereto that the successful proposer b~ legally considered
to be an independent contractor and that neither the proposer Qo(the.proposer's
employees and agents shall, under any circumstances, be considered employees or
agents of the City.

PUBLIC ENTITY CRIME (PEe)

A person or affiliate who has been placed on the convicted vendor list following a
conviction for public entity crimes may not submit a bid on a contract to provide any
goods or services to a public entity, may not submit a bid on a contract with a public
entity for the construction or repair of a public building or public work, may not
submit bids on leases of real property to public entity, may not be awarded or perform
work as a contractor, supplier, sub-contractor, or consultant under a contract with a
public entity, and may not transact business with any public entity in excess of the
threshold amount provided in Sec. 287.017, for CATEGORY TWO for a period of
36 months from the date of being placed on the convicted vendor list.
SECTION II -SCOPE OF SERVICES
The intent of this RFP is to award a valet parking Concession Agreement ("Agreement") for
the op~ration of valet parking services at TOP A, the Convention Center, and/or other City
Property, as requested by the City Manager, at the sole cost and expense of the operator.
A. AUTHORITY FOR VALET PARKING CONCESSION
The City Manager or h~s designee is fully authorized to manage and direct the
operational uses of City property. The City Charter provides for the selection of the
operator and other service providers through publicly advertised competitive bidding
procedures.
B.
AVAILABILITY OF SERVICES
"
The proposed services outlined herein shall be offered to patrons of TOP A, in
connection with scheduled entertainment events, and at the Convention Center, on
an as-needed basis, as requested by the City Manager or hislher designee. The City
Manager or designee may also request services to be provided at additional locations
on City property.

A schedule of shows at TOP A and the Convention Center is attached hereto as
Exhibit "A".
The Mayor and City Commission reserves the right to determin~ ao4 review rates
charged for valet parking services under this Agreement. The current rate charged
is $9.00 per vehicle, which includes State sales tax ~e.e Exhibit "B" attached hereto).
All proposers should base their proposals on this amount.
C. VALET PARKING EQUIPMENT

All equipment, including valet parking stand(s), kiosk(s), and/or booth(s) shall be
supplied by, and at the expense of the operator. Equipment supplied under the
Agreement shall be new, and in excellent condition prior to installation and during
operation. The height and the color of the equipment supplied shall be the same at
each location. All equipment supplied under the Agreement must be approved by the
Convention Center/Theater Operator (SMG) and the City of Miami Beach Parking
Department. Storage of said equipment is the sole responsibility of the operator.
D REFUNDS
The proposer must include in its proposal a statement describing the circumstances
and procedure whereby refunds will be provided to patrons.
E. OUALITY OF SERVICE

The operator must greet patrons and take possession of their vehicles within two (2)
minutes of arrival of each patron, and the operator must return their vehicles to the
patrons within ten minutes of each patron's request for the vehicle. The City reserves
the right to have any unsuitable employee(s) of the operator removed.
F. OPERA TIONAL PLANS
The operator must provide a Statement of Proposed Operational Plans. At a
minimum, such plan should state the intended valet parking concessions which are
contemplated, number and qualifications of personnel, including supervisors,
together with a statement of screening procedures for drivers.

Any equipment which the proposer intends to supply for the operation of the
concession should be listed and described in detail. Any parking concession stand(s),
kiosk(s), and/or booth(s) must be completely portable and must be compatible in
design, color, and workmanship with the facility for its intended use.
If the operator plans to make any capital improvements to City property or facilities

over the term of the proposed Agreement, such improvements should be described
and an estimated dollar amount to be expended stated in the Plan.
Supplemental statements should include preliminary dra\vings '..depicting the
improvements to be completed (including signage), as well as additional information
regarding the projected market viability of the q'p~rational Plan and any special
qualifications and experience which the proposer offers with regard to the proposed
services. The operator must have a written statement of procedures whereby

members of the public may receive refunds or adjustments in the event of customer
dissatisfaction.
G. START UP OF OPERATIONS
Operator must be in operation on September 15, 1999.
H. TERM OF AGREEMENT
The term of the Concession Agreement resulting from this RFP shall be for an initial
term of two (2) years and two (2) weeks, beginning on September 15, 1999 to
September 30, 2001, with an option of three (3) additional one (I) year terms, to be
approved by the City Administration, at its sole discretion. The City will give the
operator written notice of its intention to extend the Agreement not fewer than sixty
(60) days prior to the end of the initial Agreement, and the first renewal term, if
( applicable.
I NO ASSIGNMENT OF AGREEMENT: NO SUB-CONCESSIONS
AGREEMENTS
The Operator shall not, at.any time during the term of the Agreement, sublet any part
of his Agreement or assign any portion or part of it.
J.
AMOUNTS PAYABLE TO THE CITY

The Proposer shall propose a fixed monthly payment to the City for the duration of
the Agreement. Said payment shall be due to the City on the tenth (10th) of the
month for the preceding month and shall be accompanied by financial statements of
the previous month's gross receipts, including submittal of a monthly report of
activities (see Exhibit "C") shall be submitted to the Parking Director by the 15th of
each month for the preceding month. This report, at a minimum, must contain a
chronological listing of events and their locations, including the following
information; date, time, name of event, exact location(s) (Hall, TOP A, etc.), number
oftransactions (vehicles), gross receipts per event/location, and gross receipts totals.

This report shall accompany the monthly statement of gross revenues and will be
subject to audit.
It is also required that the Operator, at its own expense, pay any and all taxes or
assessments which may be levied including sales and use ta'C on payments to the City.
The City shall reconcile monthly reports and conduct ill audit of operations annually

K. LATE FEES

There will be a penalty of $100.00 or two percent (2%) of the monthly gross receipts,
whichever is greater, for late or delinquent payments (i.e., any payment received after
the tenth (10th) of the month). In addition, simple interest accruing to the City at the
highest rate allowable by law per annum, or eighteen percent (18%), whichever is
greater, shall be levied from the date when the payment is due until the date paid.
L. GROSS RECEIPTS
The term "Gross Receipts", as used herein, shall mean all monies paid or payable to
the Operator for sales made or services rendered which are related to this concession,
provided however, that any sales tax imposed by City, County, State, or Federal law
and paid by purchaser of any item sold by Operator or any other authorized service
or activity of the Operator directly payable to a taxing authority shall be excluded
f from the computation of "Gross Receipts".
M. CASH REGISTERS/COLLECTIONS
The Operator will use electronic cash registers or other point-of-sale machine able
to validate parking tick~ts in the valet parking stand, kiosk, and/or booth. The
customer cash register receipt and validated parking tickets shall be recorded on the
register individually, at the time of the payment, using a tape with a carbonized
duplicate. Such register and controls over its use, and/or any modifications to this
requirement, must have the prior written approval of the City Manager.

SHORTAGES

All cash shortages, regardless of the reason, are to be absorbed by the operator and
are not to be reported as deductions from Gross Receipts. Bad debts, returned
checks, and charges for returned checks, which are part of Gross Receipts, are also
not to be reported as deductions from Gross Receipts.

O. VALET PARKING TICKETS. BOOKS. AND RECORDS
The Operator must use sequentially prenumbered ticket books, approved by the City
Manager or designee, to be used for any and all transactions. The. .operator must
prepare true and complete records and accounts of its gross receipts of the valet
parking service in accordance with generally accepjed accounting principles during
the term of the Agreement. Such records should include, at a minimum, all
sequentially pre numbered parking ticket stubs, inc;)uding voided tickets, daily control
sheets signed by the operator's cashier indicating starting, ending, and voided ticket
number, and cash register tapes to support gross receipts. The form of all records,
reports, and operating controls will be subject to the written approval of the City's
Internal Auditor. Recommendations by the Internal Auditor for changes, additions,
or deletions in accounting practices, reporting, or controls will be complied with by
the operator when requested. The City Auditor shall have the right to audit and
examine, during the normal business hours, all books of account, reports, and
records relating to the valet parking service upon three (3) days notice. All records
relating to the Agreement must be stored and made available to the City within 48
hours of request. The City shall have the right to examine such records at any time
within one year following the expiration or termination ofthe Agreement; all records
must be maintained for that period.
P. ANNUAL REPORTS
( The operator will submit an annual CPA-certified Statement of Gross Receipts to the
City. Such Certified Statement shall include an opinion by a Certified Public
Accountant as to the accuracy of the Operator's Gross Receipts as defined by the
Agreement. The period covered by the Certified Statement shall coincide with the
operator's fiscal year and must be submitted to the City within sixty (60) days after
the end of each twelve-~onth fiscal year.

Exhibit "D", entitled "Initially Authorized Locations", lists sites where valet parking
services must be provided under this Agreement. The City Manager or his designee
may, at his discretion, approve other City sites which require valet parking services.

The operator shall maintain a neat and orderly operation at all times and shall be
solely responsible for the necessary services to properly maintain the premises being
used for valet parking services.

S. ADVERTISING AND SIGNS
All advertising, signage, and postings shall be approved by the <;:ity Manager or his
designee and must comply with the requirements of the City's PI~nn'ing and Zoning
Department, as further described in Exhibit "D" attached hereto.

Each proposer should include in its proposal a staffing pattern or plan which details
the number and qualifications of the personnel who will be employed in the
concession operation. At a minimum, the operator shall employ people to serve the
public who are neat, clean, well-groomed, and courteous. Employees must be
customer-service oriented and shall wear uniforms with name tags at all times.
Uniforms shall be pre-approved by the City Manager or his designee. All drivers
must have a valid Florida Driver's License.
An experienced manager (or managers) shall be employed by the Operator to oversee
f the concession operation, and have the authority over day-to-day operations.
Conduct of the operator's employees shall be subject to reasonable regulation by the
City Manager or his designee.

ELIGIBILITY

The operator and any persons employed by himlher shall never have been convicted
of any felony or offense involving moral turpitude. A list of employees including
the information requested in the attached questionnaire, (see Questionnaire, Item
#14), is to be submitted to the City Manager or his designee within seventy-two
hours (72) hours after the operator makes hislher selection for employment. Failure
to comply with this provision will be cause for termination of the Agreement by the
City Manager. The City reserves the right to periodically conduct Police background
checks for all employees of the Operator.

NON-DISCRIMINA TION
There shall be no discrimination based on race, sex, color, creed, sexual orientation,
or national origin in the operations referred to by the Agreement, and there shall be

premises. All facilities located on the premises shall be made available to the public,
subject to the right of the operator to establish and enforce rulesand regulations to

X. COMPLIANCE WITH CITY. COUNTY. STATE AND FEDERAL LAWS.
LICENSING AND PERMIT REQUIREMENTS

The operator shall comply with all rules and regulations, laws, ordinances, and
permitting requirements of the City of Miami Beach, Dade County, the State of
Florida, and the U.S. Government now in force or hereafter adopted, at operator's
own expense.
In particular, the operator must obtain a City of Miami Beach Occupational License
annually for the concession. City Occupational Licenses currently are issued for a
one (1) year period, expiring each September 30th.
Y. PERFORMANCE. INDEMNITY AND INSURANCE REQUIREMENTS
The operator shall post Performance Security in the form of an Irrevocable Letter of
Credit or, in the alternative, a cash deposit in the amount of Five Thousand Dollars
($5,000.00), with the City upon the execution of this Agreement. Said Performance
( Security shall be issued by a surety company authorized to do business in the State
of Florida and shall be refundable at the expiration of the Agreement, if all terms and
conditions of the Agreement have been satisfied by the Operator. The Performance
Security must be good and in effect for the duration of the Agreement. A
Performance Security which is on an annual basis is not acceptable.
The operator shall indemnify, defend, and hold harmless the City against any and all
claims, suits, actions, damages, or causes of action arising during the term of the
Agreement for any personal injury, loss oflife, or damage to property sustained in
or on the sites operator is operating on, by reason of or as a result of operator's use,
activities, and operations thereon; from and against all costs, attorney's fees,
expenses, and liabilities incurred in the defense of any such claim and the
investigation thereof.

As partial fulfillment of this requirement, the operator shall supply evidence of
insurance coverage as described on the Insurance Check List, attached hereto. The
required insurance coverage must be supplied prior to the initiation of operations.
The operator will not be granted access to the property without approved insurance
coverage.

z. QUALITY ASSURANCE
The operator's performance shall be monitored by the City Mal).ag.~r or designee.
Impromptu operational and financial audits may be conducted on site at the
discretion of the City Manager or his designee. vJ.
Letters of complaint regarding the operator' s~ performance- will be subject to
investigation by the City. The operator will be is'sued wTitten notice ofthe complaint
within five (5) days of receipt by the City, and the operator will have five (5) days
in which to respond. Three letters of complaint that have been investigated by the
City and confirmed as to their allegations, received within twelve consecutive
months, shall constitute sufficient cause for the City Manager or his designee to
terminate the Agreement.
AA. TERMINATION FOR CAUSE
If the operator fails to comply with any of the terms and conditions ofthe Agreement,
except for non-payment of rent which is separately addressed herein, and such default
is not cured within ten (l0) days after written notice is given to operator, the City
shall have the right to immediately terminate the Agreement and revoke the privilege
of the operator to come upon the City's property for purposes for which this
concession, was granted and may oust and remove all parties who may be present
f upon or occupy any part of the premises for the purpose of exercising any rights so
revoked. Continued occupancy of the facility after termination ofthe privilege shall
constitute trespass by the operator, and may be prosecuted as such. In addition, the
operator shall pay to the City one hundred dollars ($100) per day as liquidated
damages for such trespass and holding over. In addition, with regard to termination
of the Agreement, the City may pursue any and all legal remedies available to it for
such default, with the prevailing party to pay all reasonable legal fees.

TERMINA TION FOR CONVENIENCE

NOTWITHSTANDING THE PROVISIONS IN THE AGREEMENT

Proposer must respond to all minimum requirements listed below, and
provide documentation which demonstrates ability to satisfy all of the
minimum qualification requirements. Proposals which do not contain such
documentation may be deemed non-responsive.

B. MINIMUM REQUIREMENTS / QUALIFICATIONS:
1. The Proposer must have a verifiable proven record of providing valet parking
services and must have not fewer than three (3) years of experience, in the
State of Florida, providing successful valet parking services for major
convention centers, theaters of performing arts, playhouses, cultural centers,
and/or amphitheaters with the following minimum characteristics:

250,000 persons over seven consecutive days.

b. Theaters of performing arts or similar venues providing events with
attendance of2,700 per event and multiple events (up to three) per

2. The Proposer must have sufficient fina~ci~il stability to provide valet
parking services as outlined herein througpout the term of the Agreement
to withstand variable periods of demand of the facilities named herein.

3. The Proposer must demonstrate a level of expertise, technical knowledge,
and innovation to provide valet parking services, including multiple major
events, through inclement weather, and any unforeseeable circumstances.
For the City of Miami Beach to award the Concession Agreement to the best
qualified proposer, an evaluation of the qualifications of each proposer must be
completed. In addition, to completing the attached "Questionnaire, " the Proposer
submitting this form warrants that it:
(l) Can carry out all the requirements set forth in this RFP and its O\VTI
operational plans, and fulfill the associated financial commitments.
(2) Has successfully developed and operated other valet parking concessions in
the State of Florida similar to those proposed.
I (3) Has supplied the information in the attached Questionnaire and Individual or
Corporation Financial Information, as further evidence of capacity and
readiness to provide the proposed services.
SECTION IV - EVALUATION/SELECTION PROCESS: CRITERIA FOR

The Evaluation Committee shall recommend to the City Manager the proposal or
proposals acceptance of which the Evaluation Committee deeI11s to be in the best
interest of the City.
The Evaluation Committee shall base its recommendations on the following
factors:

Qualifications of Personnel/Staffing Pattern.
Evidence of financial stability.
Fixed Monthly Payment to be made to City for the Duration of the Agreement
6. After considering the recommendation(s) of the Evaluation Committee, the City
Manager shall recommend to the City Commission the proposal or proposals
acceptance of which the City Manager deems to be in the best interest of the City.
7. The City Commission shall consider the City Manager's recommendation(s) in light
of the recommendation(s) and evaluation of the Evaluation Committee and, if
appropriate, approve the City Manager's recommendation(s). The City Commission
may reject City Manager's recommendation(s) and select another proposal or
proposals. In any case, City Commission shall select the proposal or proposals
acceptance of which the City Commission deems to be in the best interest of the City.
i The City Commission may also reject all proposals.
8. Negotiations between the selected proposer and the City Manager take place to
arrive at a contract. If the City Commission has so directed, the City Manager may
proceed to negotiate a contract with a proposer other than the top-ranked proposer if
the negotiations with the ~op-ranked proposer fail to produce a mutually acceptable
contract within a reasonable period oftime.
9. A proposed contract or contracts are presented to the City Commission for approval,
modification and approval, or rejection.
10. If and when a contract or contracts acceptable to the respective parties is approved
by the City Commission, the Mayor and City Clerk sign the contract(s) after the
selected proposer(s) has (or have) done so.

Important Note:
By submitting a proposal, all proposers shall be deemed to understand and agree that
no property interest or legal right of any kind shall be created at any point during the
aforesaid evaluation/selection process until and unless a contract has been agreed to
and signed by both parties.

SECTION V -GENERAL PROVISIONS
A. ASSIGNMENT
The successful proposer shall not enter into any sub-contract, retain
consultants, or assign, transfer, convey, suglet, or otherwise dispose of this
contract, or of any or all of its right, title, or interest therein, or its power to
execute such contract to any person, fipn, or corpor-ation without prior
written consent of the City. Any unauthorized assignment shall constitute a
default by the successful proposer.
B. INDEMNIFICATION
The successful proposer shall be required to agree to indemnify and hold
harmless the City of Miami Beach and its officers, employees, and agents,
from and against any and all actions, claims, liabilities, losses and expenses,
including but not limited to attorneys' fees, for personal, economic or bodily
injury, wrongful death, loss of or damage to property, in law or in equity,
which may arise or be alleged to have arisen from the negligent acts or
omissions or other wrongful conduct of the successful proposer, its
employees, or agents in connection with the performance of service pursuant
to the resultant Contract; the successful proposer shall pay all such claims
and losses and shall pay all such costs and judgments which may issue from
any lawsuit arising from such claims and losses, and shall pay all costs
expended by the City in the defense of such claims and losses, including
appeals.
C. TERMINATION FOR DEFAULT
If through any cause within the reasonable control ofthe successful proposer,
it shall fail to fulfill in a timely manner, or otherwise violate any of the
covenants, agreements, or stipulations material to the Agreement, the City
shall thereupon have the right to terminate the services then remaining to be
performed by giving written notice to the successful proposer of such
termination which shall become effective upon receipt by the successful
proposer of the written termination notice.

In that event, the City shall compensate the successful proposer in accordance
with the Agreement for all services performed by the proposer prior to
termination, net of any costs incurred by the City as a consequence of the
default.

Notwithstanding the above, the successful proposer shall not be relieved of
liability to the City for damages sustained by the City by virtue of any breach
of the Agreement by the proposer, and the City may r~asonably withhold
payments to the successful proposer for the purposes of set 'pffuntiJ such time
as the exact amount of damages due the City from the successful proposer is
determined.

D. TERMINATION FOR CONVENIEN<;E OF CITY-
The City may, for its convenience, terminate the services then remaining to
be performed at any time without cause by giving vvTitten notice to successful
proposer of such termination, which shall become effective thirty (30) days
following receipt by proposer of such notice. In that event, all finished or
unfinished documents and other materials shall be properly delivered to the
City. If the Agreement is terminated by the City as provided in this section,
the City shall compensate the successful proposer in accordance with the
Agreement for all services actually performed by the successful proposer and
reasonable direct costs of successful proposer for assembling and delivering
to City all documents. No compensation shall be due to the successful
proposer for any profits that the successful proposer expected to earn on the
balanced of the Agreement. Such payments shall be the total extent of the
City's liability to the successful proposer upon a termination as provided for
in this section.

The Administration recommends the Mayor and City Commission authorize an increase of the valet parking
rate at the Convention Center and Theater of the Performing Arts from $7.00 per car to $9.00 per car.
BACKGROUND:
On June 15, 1994, the Mayor and City Commission approved an increase of the valet rate at the
Convention Center and Theater of the Performing Arts from $6.00 per car, to $7.00 per car. On September
IS, 1996, Gold Star Parking was awarded a one year renewal of its contract with the City as the valet
parking servi~ provider for the Convention Center and the Theater of the Performing Arts. The contractor
has requested an increase in the valet parking rate from $7.00 to S I 0.00 per car.
The City's Transportation an~ Parking Committee and the Convention Center Advisory Board has both
considered the requested increase in the valet rate and have recommended an increase to $9.00 per car, not
. $1 0.00 per car, as requested.
ANAL YSIS:
Valet rates at comparable facilities in the Tri:Co':1nty area are between $8.00 per car and $17.00 per car.
The Parking Department performed a survey of rates charged for many South Florida venues and found that
the request was both in line and reasonable.

WHEREAS, the Administration has identified the need to further amend the Ordinance,
providing for revisions to the fee schedule for the rental of public on-street/curbside parking spaces,
revisions to the violations fine schedule, and providing for an employee/valet operator code of
conduct; and
WHEREAS, the Administration has held two workshops with the Parking Department and

F. VALET PARKING PERMITS FOR USE OF PUBLICPROPERTY

v;hich who conduct their operations on public property. No valet parking shall occur on
public property without the operator securing a valet parking permit from the City's Parking
Department. A separate permit is required for each location where valet parking services are
provided. Valet parking permits shall only be issued to operators who are licensed by the
City of Miami Beach pursuant to this Chapter.
2. PERMITS
a. Requirements:

No valet parking permit shall be issued without the proof of the following:
1. Approval from the City's Risk Manager indicating that the valet
parking operation has met the following insurance requirements:
a) Commercial general liability or garage liability insurance in the amount of
$1,000,000 per occurrence and per location covering bodily injury and property
damage resulting from the valet parking operator's activities connected with the
handling of vehicles on public property. This policy must name the City, as an

b) Garage keepers legal liability insurance to provide collision and
comprehensive coverage for vehicles under control of the valet parking operation
with minimum limits of $250,000 $300.000 per location with a maximum Self-

c) All required insurance policies are to be issued by companies rated B+ VI or
better per Best's Rating Guide, latest edition and must provide the City 'With 30 days

d) Valet pfl:rking operators must submit a certificate of insurance and a certified

e) Each valet parking operator applying for a permit for use of public property
shall execute an agreement approved by the City Attorney's Office providing for the
valet pa:rking operat01' to indemnify, hold harmless and defend the City, its officers,

agents and employees against and asswne all liability for any and all claims, suits,
actions, damages, liabilities, expenditures, or causes of actions of any kind arising
from its use of the public streets or public park.ing~ spaces for the purposes
authorized in this Section and resulting or accruing from any alleged negligence, act,
omission or error of the valet parking operation, its agents or employees and/or
arising from the failure of the valet parking operation, its agents or employees to
comply with each and every requirement of this Section or with any other City or
County ordinance or State or Federal law or regulation applicable to the valet parking
operation resulting in or relating to bodily injury, loss of life or limb or damage to
property sustained by any person, firm, corporation or other business entity. The

officers, agents and employees harmless from and against all judgements, orders,
decrees, attorney's fees, costs, expenses and liabilities incurred in and about any such
claim, investigation or defense thereof, which may be entered, incurred or assessed

and expense, any legal action, claim or proceeding instituted by any person against
the City of Miami Beach, its officers, agents, and employees as a result in any claim,
suit or cause of action accruing from activities authorized by this Section, for injuries
to body, limb or property as set forth above.

articles of incorporation.

5. Identification of the location of vehicle storage space, and proof in the form
of an executed lease or rental aQreement. or notarized letter of authorization from the
owner of the prooertv. either of which shall include the number of spaces authorized
for use bv the valet operator. and term of the lease or aQ'reement for storage space
sufficient to service the establishment for which the permit will be issued. The
storage space must meet all requirements pursuant to all applicable City of Miami

b. Term and Renewal
I. The term of each permit shall be for one year.
2. Renewal shall be on an annual basis and shall only be granted after approval

The City shall cancel and revoke the permit if the valet company operator no longer
services the commercial establishment which authorized its operation at that location. This

3. RENTAL AND OPERA.TION OF MUNICIPAL PARKING SPACES :METERS

Rental of Public Spaces for Ramping
The Parking Department shall rent to the valet parking 3cf'\'icc3 operator public on-
street/curbside mctered parking spaces which shall be used only for the ramping ofvehicIes.
Ramping of vehicles shall consist of allowing customers to enter or exit a vehicle and to turn

it over to or retrieve it from valet employees. Ramping shall onlv be operated in the public
on-street/curbside spaces provided bv the Parking Department for ramping. There shall be

no storage of vehicles in the area used for rampin!? Avehicle will be considered stored if
it remains in the ramping area for more than fifteen (15) minutes. Ramping: on public

ramping. Leased spaces shall not be blocked by any type of sign, structure or other type of
object. Leased spaces shall not be cordoned offby any type of signage, rope or barrier of any
kind, except that signage provided by the City indicating the designation of the restricted
valet parking area. At its sole discretion and iudQ'ement, the Parking Department shall
provide to the valet operator a minimum of 10 feet sufficient ramping spacc in front of in a
close proximity to the estabtishment being serviced, if sufficient spaces are available. If
there is not a minim1:l.l'fi of 40 f-cct sufficient space available for rental in front of the

establishment, the Parking Department shall lease spaces as close to the establishment as
possible. Notwithstanding the above, ramping will not be allowed if the Parking Department
determines. at its sole discretion. that it would be an unsafe activity at that location.
b. Rental Fees for l\fETERS Public On-Street/Curbside Spaces
The Parking Department shall post in the offices of the Parking Department, the fee
for use of metcrcd public on-street/curbside spaces. The fee for use of rented spaces shall

defined as the hours between 6:00p.m to 6:00 a.m. use. and $10.00 per space/per dav. seven
(7) davs per week based on twentv-four (24) hour use. Fees shall be paid bi-weekly, two-
weeks in advance . commencing on the date the locations are rented to the valet operator bv

parking lots. All such facilities must meet all applicable Code and Ordinance requirements
of the City of Miami Beach. The Parking Department may lease additional valet spaces for

5. PRIVATE STOR.\GE OF VALET VEHICLES
Valet sen'iec3 operators~ shall store vehicles on private parking lots which are
properly permitted and zoned as parking ~ lots. The valet sen'ie.: operator shall provide
to the Parking Department a copy of the proper City of Miami Beach bU3inc33 occupational
license or certificate of use issued to the storage speee parking facility and satisfactorv
documentation from the parking facility owner or management companv/agent authorizing
the valet operator to use those facilities for the pur:pose of storing valet parked vehicles.
6. EMPLOYEES AND VALET OPERA TORS CODE OF CONDUCT

The valet parking operator~ shall require its employees and independent contractors
to meet the following requirements:
a. All employees \vhich who operate motor vehicles shall have a valid Florida Driver's
License in ~ood standing and shall abide bv folIo""",. all City of Miami Beach and Miami-
Dade County traffic regulations.
b. All employees shall be in similar uniform.

7. OPERA TION OF SERVICE
a. Identification of Rented Spaces
Rented spaces shall 'be .m..designated by the Parking Department as rented parking
areas. The designation shall be by bag!]:ed meters and/or clearly marked signs indicating the

b. Ramping
Ramping shall only be operated in the spaces provided for ramping_ There shall be

possession. Such identification shall be made through a ticket stub affixed to the rear view

mirror of the stored vehicle and shall state the name of the valet parking operator and
identification of the ramp from which the vehicle was picked-up. Ramp identification shall
be made by stating the name of the establishment which the ramp is servicing. Unauthorized
storage of valet vehicles in municipal parking ~ facilities. or at anv public on-
street/curbside parking spaces is strictlv prohibited and shall result in the issuance of a valet
violation to the valet operator in the amount of $250.00. per occurrence.
8. EXCEPTIONS
Valet services operating for a special event may apply for a special event permit from

the City's Special Events Coordinator. Special event parking shall be restricted to A special

ENFORCEMENT. FINE SCHEDULE. AND RIGHT OF APPEAL
a. Enforcement:
The Parking Department shall enforce the provisions of this Oerdinance. The Police
Department and Code Enforcement Department shall also assist the Parking Department in

the enforcement of the Valet Operators Code of Conduct. as set forth herein. This ~ shall
not preclude other law enforcement agencies or requlatorv bodies from any action as
necessary to assure compliance with this Ordinance and all applicable laws. If a parking

in the amount of the civil fine with the Clerk of the Special Master. If the valet
operator is successful in his appeal. the bond shall be returned to the valet operator.
If the valet operator is unsuccessful in his appeal. the Clerk of the Special Master
shall turn the bond over to the Parkin!? Department as pavrnent of the civil fine.
4. If the named violator after notice fails to pay the civil fine or fails to timely

request an administrative hearing before a special master, the special master shall be
informed of such failure by report from the Parking Department. Failure of the
named violator to appeal the decision of the Parking Department within the
prescribed time period shall constitute a waiver of the violator's right to
administrative hearing before the special master. A waiver of the right to an
administrative hearing fl:ftt! shall be treated as an admission of the violation and
penalties may be assessed accordingly.

Any party aggrieved by the decision of a special master may appeal that
decision to a court of competent jurisdiction.
d. Recovery of unpaid fines.

Valet Operator's Responsibility for Vehicles in their Possession
Valet parking operators shall pay all fines and fees, including towing charges, arising
in connection with a patron's vehicle which is in the possession of the valet parking
operator at the time such charge is incurred. This does not preclude the valet parking
operator from also being cited by the Parking Department for violations of this

BACKGROUND:
On July 28, 1994, the Mayor and City Commission amended Miami Beach City Code Chapter 20,
entitled "Business Licenses" amending Section 20-32, entitled "Parking Lot; Exemptions; Valet
Parking by ratifying and establishing the Valet Parking Ordinance (cMB Ordinance No. 94-2935).
The primary goal of the ordinance was to establish regulatory guidelines for valet parking operators
,~. utilizing public right-of-way. Residents and business operators on Ocean Drive, Washington Avenue,
and in other areas of the city expressed their concern over private valet parking operations which use
municipal parking spaces and public streets for operation of their service, The regulatory
requirements included the provision of a business license, insurance requirements, storage spaces,
ramping spaces (drop-off and pick-up ), rental fees, enforcement, fine structure, appellate process
(Special Master), etc,

Subsequently, on April 19, 1995, the Mayor and City Commission revised ,the Valet Parking
Ordinance (GvID Ordinance No, 95-2987) in a continual effort to meet the eVolVing needs and
circumstances surrounding valet parking operations utilizing Public right-of-way,
These revisions included strengthening several provisions in the ordinance including: insurance
requirements, identification of storage spaces, limitation oftbe number of-curbside spaces used for
ramping, and the use of public parking spaces for valet parking storage at municipal parking facilities.

ANAL YSrs:
The implementation and enforcement of the Valet Ordinance has resulted in significant improvements
in valet operations on the public right-of-way. These improvements include: (1) a reduction in
vehicular traffic congestion, particularly during peak times (nights and-weekends); (2) increased levels
of service to the parking public; and (3) the assumption of responsibility and liability by valet parking
operators in the form of increased insurance requirements and City operational guidelines.
Notwithstanding this progress, the Administration identified areas of the Valet Ordinance that are
deficient and need to be addressed. To begin the process of amending the Ordinance, the Parking
Department held two public workshops with valet parking operators on April 4, 1997, and on March
11, 1998. The workshops enabled the Administration: (1) to receive operational input from the valet
parking operators; (2) to discuss changes that would fine-tune the Ordinance for the valet operator,
the City, arf~ the parking public; (3) to develop a more equitable violation fine schedule; (4) to
develop a valet operator/valet employee code of conduct; and (5) to provide for new procedures for
the renting of valet ramp spaces.
This item was brought before the City Commission on May 6, 1998. Commissioner Liebman raised
a concern relative to the circumstances u'rider which "ramping" is acceptable. Commissioner Gottlieb
raised a concern relative to the stealing ofitem(s) from vehicles parked by valet employees. Mayor
Kasdin requested the Administration to investigate increasing the hourly rate charged to valet
operators for the use of parking spaces. Commissioner Cruz requested a survey of the associated
costs, relative to what the City charges the valet operators to get a better understanding of the issue.
The Mayor and Commission opened and continued the Public Hearing at the June 3, 1998 in order
for the Administration to research and respond to the aforementioned concerns. .

The following is in response to the concerns brought forth:
Q. Commissioner Liebman raised a concern relative to the CIrCUmstances under which
"ramping" is acceptable.
A. Ramping is an essential function of valet parking operations, It is the term used for the drop-
off and pick-up of passengers for a particular location. Section 3 (a) of the Vale! Parking
Ordinance provides specific guidelines for ramping operations including; a fifteen (15)
minute time limit for the storage of vehicles in a ramp, The purpose of the ramp is to
provide an accessible area for the valet operator to engage the vehicle without hindering the

flow of traffic. Empirical data has demonstrated that the storage of v.ehicles in the ramp area
for over 15 minutes subsequently leads to the valet operator ramping' vehicles from the
moving lane of traffic. On major thoroughfares, ramping from a moving lane of traffic
severely impedes the fiow of traffic, "I- .
Ramping from a moving lane of traffic is strictly pra'hibited unlesS" it has been determined,
in the sole discretion of the Parking Department, that a special circumstance exists. In order
for a valet operator to utilize a moving lane of traffic for ramping, they must provide the
following: (1) a site plan and traffic maintenance plan approved by both the Police and
Parking Departments and (2) an off-duty police officer monitoring the extended ramp area.
The impetus behind regulating valet parking ramp areas is to maintain the fiow of traffic in
medium to high volume areas. The use ofa mOving lane of traffic on a less traveled road may
not necessarily inhibit the flow of traffic. The Parking Department will consider such
requests on a case by case basis.
Q. Commissioner Gottlieb raised a concern relative to the stealing of item(s) from vehicles
parked by valet employees,
A. There have been a number ofjncident lately, some with notoriety, regarding valet operators
and their employees' conduct while in possession of a patron's vehicle. The revised
Ordinance includes a "Code of Conduct" for the valet operators and their employees. The
Code of Conduct includes: (1) all employees who operate a motor vehicles must possess a
vali~ Florida Driver's License in good standing and shall abide by all City of Miami Beach
and Miami-Dade County traffic regulations, (2) all employees must be in uniform, (3) all
employees must wear on their uniform a name tag identifying the employee's name, (4) the
Parking Department, in its "sole discretion" and judgement, may issue a warning and request
the immediate removal of a valet operator's employee found to be discourteous,
unprofessional, disruptive, and/or dishonest. Failure of the valet operator to comply may
result in a $100.00 fine as set forth Section 20-32 (F) (4 ) (b). Furthermore, valet operators
will be required to submit a roster of personnel employed by the valet operator at each
location, including a photocopy of each employees' valid Florida Driver's License. Additions
and deletions to the employee roster shall be done monthly.
Q.
Mayor Kasdin requested the Administration to investigate increasing the hourly rate ch'arged
to valet operators for the use of parking spaces.

The existing rate for valet parking ramping spaces is S4.00 per space Mondays to Thursdays
and $6,00 per space Fridays, Saturdays, and Sundays. Currently, ramping spaces are rented
from 6 P.M. to 6 A.M. The proposed rate is S6,OO per space, seven days per week. In
addition to the existing rental period, an additional rental period offering a 24 hour rental will
be available at a cost of S 1 0.00 per day.
The proposed rates are formulated utilizing the fol.1owing factors: (1) parking meter hourly
rate, (2) hours of operation, and (3) utilization. The parking meter hourly rate is either SO.50
per hour or S 1. 00 per hour, contingent upon the adjacent land use and demand, The hours
of operation are 9 AM, to 9 P,M, south of Dade Boulevard/23rd Street and 8 A.M, to 6 P.M,

Therefore, revenue is foregone for three hours from 6 P.M. to 9 P.M. (or a maximum of
$3. 90) south of Dade Boulevard/23rd Street and no revenue is foregone north of Dade
Boulevard/23rd Street since meters are not operational (enforced) after 6 P.M.

The proposed 24 hour valet parking ramp rental period would forego 12 hours of operation
(or a maximum of$12.00) south of Dade Boulevard/23rd Street and 10 hours of operation
(or a maximum of$10.00) nosth of Dade Boulevard/23rd Street.
The calculations for the Maximum Revenue Potential column is based on the assumption that the
parking meter space is fully utilized throughout its entire operational period and that there is no
malfunction of the parking meter. From time to time, parking metered spaces experience some down
time due to either mechanical malfunction or lack of demand. Therefore, the proposed rate structure
virtually assures the City of no loss of revenue, and in some cases, increases revenues. Additi<?nally,
the proposed rate structure shall maintain a level playing field in the feasibility of valet parking
operations for large and small operators alike,

Larger valet operators enjoy economies of scale as their fixed costs are spread out over numerous
accounts which provides a greater profit margin. Conversely, the smaller valet operators do not enjoy
this advantage. They must spread the same fixed costs over less accounts, thus, enjoying smaller
profit margins. The proposed valet parking fees were formulated with input from numerous valet
parking operators serving establishments on Miami Beach. The proposed rate structure is intended
to provide a level playing field of costs for large and small valet operators alike.

CONCLUSION;
The amended Valet Ordinance brought before the Commission today represents a consensus
document developed in the City workshops with the valet parking operators. The revisions and

amendments to the Ordinance provide for greater accountability on behalfofthe valet operator, an
equitable violation fine schedule; clearly defined requirements and' responsibilities of-valet operators;
an enforceable valet employee/operator code of conduct; and a level playing field of costs for large

Miami Beach, a Municipal Corporation of the State of Florida (hereinafter called the "City"), and

WITNESSETH
WHEREAS, the Mayor and City Commission on behalf of the City, is vested with jurisdiction over
and control of all City owned property in the City of Miami Beach; and
WHEREAS, the Operator desires to obtain from the City, the exclusive privilege of operating valet
parking concession(s) at various locations on City property in the City of Miami Beach, to provide
services as hereinafter described, and the City desires to enter into an Agreement with the
Concessionaire for operation of said concession(s), and
WHEREAS, the Mayor and City Commission have authorized this Concession Agreement by the
adoption of Resolution No.
NOW THEREFORE, in consideration of the premises and the mutual covenants and conditions
herein contained, it is agreed by the parties hereto as follows:
1. The City hereby grants to the Operator, and the Operator hereby accepts from the City,
exclusive agreement to operate valet parking concession(s) on City property at the following
locations within the City of Miami Beach in conformance with the purpose and for the period
stated herein and subject to all the terms and conditions herein contained and hereinafter set
forth:

Other City Property, as required.
a. TERM. This Agreement shall have an initial term of two (2) years, commencing on the
day of , 199_, and ending on the day of , 200_ .
The City may, at its sole discretion, extend the Agreement term under all the terms and
conditions contained in this Agreement for up to three (3) additional one (1) year terms,
following expiration of the initial two (2) year term. The City must give the Operator written
notice of its intention to extend the Agreement term not less than sixty (60) days prior to the
end of the initial term, or the renewal term (as the case may be) then in effect.
b. USES. The Concessionaire is hereby authorized to conduct the following kinds of
business and to provide the following services, and only such business and services, at the
locations as set forth below:
(1) Operate a valet parking concession at the Jackie Gleason Theater of the
Performing Arts (TOP A); the Miami Beach Convention Center (Convention Center);
and such other locations on City property which the City Manager or his designee
may specifically authorize in writing.
(2) The Operator may use one hundred (100) parking spaces in Municipal Parking
Lot 5C, located on the east north corner of Convention Center Drive and 17th Street,
or at such other locations as the City Manager or his designee may specifically
designate in writing (the parking facilities or the facility). No charge shall be made
to the Operator for the use of the parking facilities referenced above.
(3) At its option, the City shall make available additional parking spaces of up to
thirty (30) parking spaces, at Municipal Parking Lot 5H, located on the north side of
19th Street, between Meridian Avenue and Convention Center Drive, and/or up to
one hundred and fifteen (115) parking spaces in Municipal Parking Lot 5F, located
on the east side of Meridian Avenue between 17th and 18th Street, upon written
request from the Operator, 24 hours in advance.
2. NOTICES. All notices from the City to the Operator shall be deemed duly served if
mailed by registered or certified mail to the Operator at the following addresses:

3. NO PARTNERSHIP. Nothing herein contained shall create or be construed as creating
a co-partnership between the City and the Operator or to constitute the Operator as an agent
of the City.
4. MAINTENANCE. The City agrees to provide the facilities to Operator in their "as is"
condition, except for such maintenance by the City as would normally be carried out in its
day to day maintenance of City facilities, and/or as otherwise deemed appropriate by the City
Administration with regard to maintenance of these particular facilities. Notwithstanding
the foregoing, during the term hereof, Operator, at its sole cost and expense, shall, to the
satisfaction of the City, keep and maintain the facilities, and all improvements thereon, as
well as any portions of the Convention Center and/or Theater utilized by the Operator
incident to this Agreement as applicable, in good and sanitary order. Operator agrees to
return them to the City in the same condition, or better, than they were provided to the
Operator at the commencement of this Agreement.
5. ASSIGNMENT: NO SUBLET. The Operator may not sublet or assign this Agreement, or
any part thereof, under any circumstances, without the prior written consent of the City. In
the event Operator is a corporation, Operator agrees that no shareholder shall sell, assign,
transfer or convey his stock (except by operation of law) nor, shall the corporation issue any
additional shares of stock under any circumstances, without the prior written consent of the
City; provided, however, the shareholders shall have the right to convey between themselves
and their spouses and children, without consent.
6. IMPROVEMENTS. The Operator accepts the parking facilities provided in this Agreement
in their present "as is" condition. The Operator must first obtain the City's approval
in writing for any alterations, additions or improvements to the facilities and then must pay
for such modifications, which become City assets upon completion. Detailed plans for
improvements shall be submitted to the City within sixty (60) days following the execution
of this Agreement.
The Operator must provide, install and maintain, at its own cost and expense a valet parking
stand(s), kiosk(s), and/or booth(s). Equipment supplied under the Agreement shall be new,

and in excellent condition prior to installation and during operation. The height and the color
of the equipment supplied shall be the same at each location. All equipment supplied under
the Agreement must be approved by the City Manager or his designee. Storage of said
equipment is the sole responsibility of the Operator.
The Operator shall have the right to use City equipment, furnishings, and fixtures, if any,
that may be presently used in conjunction with the operations with the prior written consent
of the City Manager or his designee. The Operator shall maintain said equipment,
furnishings, and fixtures, if there are any, during the term of this Agreement at its sole cost
and expense. In the event any of the aforesaid items are lost, stolen, or damaged, they shall
be replaced or repaired at the cost and expense of the Operator, ordinary wear and tear
excepted. Upon the expiration or termination of the Agreement, the Operator shall quietly
and peacefully, redeliver said equipment, furnishings and fixtures to the City.
7. SECURITY. The Operator must provide any security measures which may be required to
protect his area and his equipment, materials and facilities. Said security measures may not
violate other restrictions of this Agreement.
8. PERMITS: LICENSES: TAXES. The Operator agrees to obtain and pay for all permits and
licenses necessary for the conduct of the business and agrees to comply with all laws
governing the responsibility of an employer with respect to persons employed by the
Operator. The Operator shall also be solely responsible for payment of any and all taxes
levied, as a result of its use(s) pursuant to this Agreement, including any and all ad valorem
taxes that may be levied against the facilities as a result of Operator's use of same. In
addition, the Operator shall comply with all rules, regulations and laws of the City of Miami
Beach, Dade County, the State of Florida, or the U.S. Government now in force or hereafter
to be adopted.
The Operator shall pay for any and all occupational licensees) necessary for the conduct of
the business in a given fiscal year, in full, not later than September 30th of the prior fiscal
year.
9. UTILITIES. The Operator agrees to pay for all electricity used within the facilities. The
Operator agrees to supply all other utilities, including but not limited to, water, gas,
telephone and garbage disposal.
10. SIGNAGE. Operator shall provide, at its sole cost, required signs at all public approaches
to the facilities. All advertising, signage and posting shall be approved by the City Manager
or his designee, and must be in accordance with the applicable sign criteria, as required by
the City's Planning and Zoning Department or the City's Zoning Ordinance, as amended.
11. TRASH AND GARBAGE REMOVAL. With respect to trash, rubbish and garbage
removal, the Operator shall provide, at its expense, sufficient trash receptacles. Dumping of

receptacles and removal of trash, rubbish and garbage in connection with the use(s) pursuant
to this Agreement shall be the responsibility ofthe Operator, and shall be coordinated with
the Convention Center and TOP A.
12. PERFORMANCE SECURITY. The Operator will post either a Performance Bond,
Irrevocable Letter of Credit or, a cash deposit, in the amount of five thousand dollars
($5,000) prior to the execution of this Agreement. If a bond is posted, said security will be
in effect upon execution ofthe Agreement. The form and substance of the Performance Bond
is subject to the approval of the City. If the security is in the form of a Letter of Credit, said
Letter of Credit must be valid for the duration of the Agreement. Annual Letters of Credit
which are renewable each year are not acceptable.
13. RENTAL. The Operator shall pay to the City a monthly fixed minimum rental payment of
$ throughout the term ofthe Agreement. The monthly fixed rental payment shall
be made to the City, regardless of gross receipts. The City reserves the right to negotiate the
fixed monthly payments annually, upon renewal, and upon any valet rate increase by the
City.
Said fixed monthly rental payment begins to accrue on the first (1 st) day of the month. It is
also understood that any applicable Florida State Sales and Use Tax on rental payments shall
be added to the Operator's fixed monthly rental payment(s) and forwarded to the City as part
of said payment. It is the intent of the City that it is to receive the amount as net, free and
clear of all costs and that the fee be paid monthly.
The term "gross receipts" is understood to mean all income collected or accrued, derived by
the Operator under the privileges granted by his Agreement or other document entered into
with the City, excluding amounts of any Federal, State, or City sales tax, or other tax,
collected by the Operator from customers and required by law to be remitted to the taxing
authority.
A monthly report of activities shall be submitted to the Parking Director by the 10th of each
month for the preceding month. This report, at a minimum, must contain a chronological
listing of events and their locations, including the following information; date, time, name
of event, exact location(s) (Hall, TOPA, etc.), number of transactions (vehicles), gross
receipts per event/location, and gross receipts totals. This report shall accompany the
monthly statement of gross revenues; shall be submittal for sales tax; and will be subject to
audit.
14. DEFAULT IN PAYMENT. The monthly fixed rental payments and any other fees due must
be submitted to the City, through the Parking Director, to be received no later than the tenth
(10th) day, after the first day of each month. Operator shall submit a statement of "gross
receipts" by the 10th of each month, weekends and holidays included. There shall be a late
charge, per day, of$1 00.00 or two percent (2%) of gross receipts, whichever is greater, for

such late payment, in addition to interest at the highest rate allowable by law, or 18 percent,
whichever is greater. If the payment and accumulated daily penalties are not received within
ten (10) days after the normal monthly payment due date (i.e., the 1st day of the month), then
the City, at its option, and upon seven (7) days notice to the Operator, may terminate the
Agreement without further notice to the Operator recover the facilities, and begin procedures
to collect the Performance Bond, or other security, required in Paragraph 12 above.
15. FORCE MAJEURE. If closure of the facilities or loss of equipment is due to fire
damage, flood, civil disorder, acts of God, etc., to some--but not all--of the facilities and
equipment, the City will allow prorated adjustment of monthly payments up to the time the
damage is repaired.
16. CITY LIEN. It is expressly agreed that the City shall have a continuing lien on all
personal property of the Operator on the facilities, for all sums which may from time to time
become due and unpaid to the City under this Agreement, and upon default of payment by
the Operator and failure to cure after the expiration of the applicable grace period, the City
shall have the right to take possession of and retain the same until the full amount due shall
be paid, or to sell the same at public auction and, after deducting the expense of such sale,
apply the balance of the proceeds to such payment and if there should be any deficiency, to
resort to any other legal remedy available to it.
17. OPERA TOR NOT TO REMOVE PROPERTY. The Operator agrees not to remove
from the facilities any personal property brought thereon or any replacements thereto by the
Operator for the purpose of this Agreement, except such items as may be removed with the
express permission of the City. Upon expiration of the term of the Agreement, if the
Operator has made full payment under this Agreement, and has fully complied with the terms
of this Agreement, he/she may remove personal property including equipment from the City
property, and shall do so within two (2) weeks following the expiration of this Agreement,
provided such personal property and equipment can be removed without damage to the
facilities. On failure to do so, the City may cause same to be removed and stored at the cost
and expense of the Operator, and the City shall have a continuing lien thereon in the amount
of the cost and expense of such removal and storage until paid, and may sell such personal
property and reimburse itself for such cost and expense, plus the expense of the sale.
18. RECORDS: AUDIT. The Operator agrees to establish and maintain such records as
may be prescribed by the City in the future to provide evidence that all terms of this
Agreement have been and are being observed. The Operator grants to the City the right and
authority to audit all records, documents, and books pertaining to its operation herein. Such
audit will be conducted at locations and at a frequency determined by the City and
communicated to the Operator. The Operator agrees to provide materials for the audit at the
designated place within three (3) business days after the City's notice is received. Within
sixty (60) days after each fiscal year, Operator shall deliver to the City a written annual
statement shall be certified as true, accurate and complete by the Operator and by a Certified

Public Accountant. The Operator agrees to use point-of-sale machines or other accounting
control equipment for the proper control of cash payments. All financial records are to be
maintained during the term of this Agreement, and for a period of one year following the
termination of this Agreement.
19. COOPERA TlON. The Operator agrees to cooperate with the City in the conduct of
surveys, to provide reports of visitor contacts, and to respond to department inquiries about
public usage of concession services. Further, the City agrees to pnwide the Operator with
advance notice of any special event and to coordinate with the Operator regarding same. The
City also agrees to provide Operator with notice of the availability of plans for any
remodeling of the facilities.
20. INSPECTION. The Operator agrees that the facilities may be inspected at anytime by
authorized representatives of the City Manager or his designee or by any other state, county,
or municipal officer or agency having responsibilities for inspections of such operations. The
Operator agrees to undertake immediately the correction of any deficiency cited by such
inspectors.
21. WAIVER OF INTERFERENCE. The Operator hereby waives all claims for compensation
for loss or damage sustained by reason of any interference with its operations by any public
agency or official in enforcing their duties or any laws or ordinances any such interference
shall not relieve the Operator from any obligation hereunder.
22. WAIVER OF LOSS FROM HAZARDS. The Concessionaire hereby expressly waives all
claims for loss or damage sustained by the Operator resulting from fire, water, civil
commotion or riot, or acts of God; and the Operator hereby expressly waives all rights,
claims, and demands and forever releases and discharges the people of the City of Miami
Beach, Florida, from all demands, claims, actions and causes of action arising from any of
the aforesaid causes.
23. NO LIENS. Operator agrees that it will not suffer or through its actions or anyone under its
control or supervision, cause to be filed upon the property any lien or encumbrance of any
kind. In the event any lien is filed, Operator agrees to cause such lien to be discharged within
ten (10) days of said filing and in accordance with the applicable law and policy.
24. ORDERL Y OPERATION. ETC. The Operator shall have a neat and orderly operation at
all times and shall be solely responsible for the necessary housekeeping services to properly
maintain the facilities. The Operator shall make available all areas of the facilities under
hislher control for examination at anytime by the City Manager or his designee.
25. EMPLOYEES: MANAGERS: HOURS OF OPERATION. The Operator shall employ
people to work who are literate, neat, clean, well-groomed and courteous. The Operator and
any persons employed by him, shall never have been convicted of any offense involving

moral turpitude or felony. Failure to comply with this provision will be cause for termination
of this Agreement. All employees shall observe all the graces of personal grooming; and shall
serve patrons in a professional and courteous manner at all times.. The Operator and its
employees are considered, "Ambassadors of the City" and must comport themselves as
follows: must greet patrons upon arrival and departure, shall make every attempt to quickly
and courteously expedite the transfer of the patron's vehicle; shall attempt to accommodate
any reasonable request of the patron. All employees shall wear City of Miami Beach
identification badges and/or uniforms supplied by the Operator whenever on City property.
The Operator and/or its employees shall not smoke, drink, and/or eat while actively serving
patrons. The Operator shall have an experienced manager or managers overseeing the
operations at all times. Conduct of the employees of the Operator shall be subject to
reasonable regulation by the City Manager or designee. During the term of the Agreement
the operations shall be open and properly staffed to support scheduled events as designated
by the City Manager or his designee.
26. NO IMPROPER USE. The Operator will not use, nor suffer or permit any person to use in
any manner whatsoever, any City property, including these facilities, for any improper,
immoral or offensive purpose, or for any property for any improper, immoral or offensive
purpose, or for any purpose in violation of any federal, state, county, or municipal ordinance,
rule, order or regulation, or of any governmental rule or regulation now in effect of hereafter
enacted or adopted. The Operator will protect, indemnify, and forever save and keep
harmless the City and individual members thereof and their agents, from and against damage,
penalty, fine, judgment, expense or charge suffered, imposed, assessed or incurred for any
violation, or breach of any law, ordinance, rule, order or regulation occasioned by any act,
neglect or omission of the Operator or any employee, person or occupant.
In the event of any violation by the Operator or if the City or its authorized representative
shall deem any conduct on the part of the Operator to be objectionable or improper, the City
shall have the right to terminate this Agreement, without further notice to the Operator,
should the Operator fail to correct any such violation, conduct, or practice to the satisfaction
of the City within twenty-four (24) hours receipt of notice of the nature and extent of such
violation, conduct, or practice.
27. PRICES. Operator agrees that prices and fees charged for valet parking services shall
not exceed those established by the Mayor and City Commission of the City of Miami
Beach, as same shall be reviewed by the City Commission from time to time.
28. NO DANGEROUS MATERIALS. The Operator agrees not to use or permit in the facilities
the storage of illuminating oils, oil lamps, turpentine, benzine, naphtha, or other similar
substances, or explosives of any kind, or any substance or thing prohibited in the standard
policies of fire insurance companies in the State of Florida.

29. NO CLAIM AGAINST CITY OFFICERS. EMPLOYEES. INDIVIDUALS. It is expressly
understood and agreed by and between the parties hereto that the Mayor and Commission
of the City of Miami Beach, and any and all employees of the City,.and their officers and
agents, are acting in a representative capacity and not for their own benefit; and that neither
the Operator nor any occupant shall have any claim against them as individuals in any event
whatsoever.
30. DEFAULT AND TERMINATION.
(a) Termination for Cause: If the Operator fails to comply with any of the terms and
conditions hereof, except for non-payment of rent, which is separately treated in
Paragraph 14 hereof, and such default is not cured within ten (10) days after written
notice is given to Operator, the City shall have the right to immediately terminate this
Agreement, without further notice to the Operator, and revoke the privilege of the
Operator to come upon the facilities for the purposes for which this concession was
granted, and may oust and remove all parties who may be present upon or occupy any
part of the facilities for the purpose of exercising any rights so revoked. Continued
occupancy of the facilities after termination of the privilege shall constitute trespass
by the Operator, and may be prosecuted as such. The Operator shall pay to the City
one hundred dollars ($100) per day as liquidated damages for such trespass and
holding over and forfeiture of the Performance Bond, Irrevocable Letter of Credit,
or cash deposit in the amount of five thousand dollars ($5,000). In addition, with
regard to termination of the Agreement, the City shall retain the Performance Bond
(or other security), and may pursue and all legal remedies available to it for such
default.
(b) Termination for Convenience: Notwithstanding the provisions in Paragraphs
14 and 30(a), the City may, for its convenience, at its sole discretion and without
cause, terminate this Agreement at any time during the term herein by giving
thirty (30) days written notice to Operator of such termination, which shall
become effective as of the date so specified in said written termination.
(c) Habitual Default: In addition to Paragraphs 14 and 30 (a) and (b), respectively, in the
event that the Operator has defaulted in the performance of, or breached any of the
terms, covenants and conditions required herein to be kept and performed by the
Operator, a total of four (4) times in a twelve (12) month period, in the sole opinion
of the City and at its sole option and discretion, and regardless of whether the
Operator has cured each individual condition of breach or default, as provided in
Paragraphs 14 and 30 (a), the Operator shall be determined by the City to be a
"habitual violator". At the time such determination is made, the City shall issue to
Operator a written notice advising of such determination and citing the circumstances
therefore. Such notice shall also advise the Operator that there shall be no further
notice or grace periods to correct a fifth (5th) breach or default, and that such breach

or default, of whatever nature, taken with the previous four (4) breaches and defaults,
shall be considered cumulative and, collectively, shall constitute a condition of
noncurable default and grounds for immediate termination of this Agreement. In the
event of any such fifth (5th) breach or default within a twelve (12) month period, this
Agreement shall terminate, upon written notice of termination to the Operator, such
termination to be effective upon the tenth (10th) day following the date of receipt
thereof, and all payments due hereunder shall be payable to said date, and the
Operator shall have no further rights hereunder. In such case, the City shall avail
itself of the same remedies set forth in Paragraph 30 (a).
31. PRIVILEGE. It is the intent of the City, concurred in by the Operator, that this Agreement
shall not, as against the City vest any right in the Operator; and shall be deemed only the
grant of a privilege to the Operator to carry out the terms of this Agreement on property of
the City so long as such Agreement or privilege shall be in force.
32. NOT A LEASE. It is expressly understood and agreed that no part, parcel, building,
structure, equipment or space is leased to the Operator; that it is a Operator and not a Lessee;
that the Operator's right to operate the concession shall continue only so long as the
concession operation complies with the undertaking, provisions, agreements, stipulations and
conditions of the Agreement.
33. NO DISCRIMINATION. The Operator agrees that there shall be no discrimination
as to race, sex, color, creed, sexual orientation or national origin in the operations referred
to by this Concession Agreement; and further, there shall be no discrimination regarding any
use, service, maintenance, or operation of the facilities. All facilities shall be made available
to the public, subject to the right of the Operator to establish and enforce rules and
regulations to provide for the safety, orderly operation and security of the facilities.
34. INDEMNIFICATION OF CITY: INSURANCE. The Operator shall indemnify, defend and
hold the City harmless, its officers, agents, and employees, from any and all claims, liability,
losses, and causes of action which may arise out ofthe Concessionaire's operations under
this Agreement and shall pay all claims and losses of any nature whatsoever in connection
therewith and shall defend all suits, in the name of the City when applicable, and shall pay
all cost (including attorney's fees) and judgments which may issue thereon. This
indemnification shall not be limited in any way be the type or amount of insurance carried
by the Operator.
The Operator shall carry and maintain in full force and effect at all times during his operation
on City property the following insurance coverages:
a. Commercial General Liability or garage liability insurance in the minimum amount
of One Million dollars ($1,000,000) per occurrence and per location covering bodily
injury and property damage resulting from the valet parking operator's activities

connected with the handling of vehicles on public property.
b. Garage Keepers legal liability insurance to provide collisio.n and comprehensive
coverage for vehicles under control of the valet parking operation with minimum
limits of $300,000 per location with a maximum Self-Insured Retention (SIR) or
deductible of $1 ,000.
c. The City must be named as an additional insured on the policies required above and
it must be stated on the original certificate with thirty (30) days notice of cancellation
or change.
d. Workers' Compensation and Employers' Liability to meet the statutory requirements
of the State of Florida.
e. All insurance policies shall be issued by companies authorized to do business under
the laws of the State of Florida and must have rating of B+: VI or better per Best's
Rating Guide, latest edition and must provide the City with 30 day written notice of
cancellation.
f. The Operator shall furnish original certificates of insurance, evidencing the required
coverage, and receive approval of same, prior to the commencement of operations.
No valet parking permit shall issued without proof of the insurance outlined herein.
g. Certificates ofInsurance shall be approved by the City's Risk Manager and kept on
file in the Risk Management Division, Third Floor, City Hall, and in the Procurement
Department, Third Floor, City Hall and in the Parking Department, 777-1 7th Street,
Suite 200, Miami Beach, Florida 33139.
35. STORAGE. Operator agrees that there will be no storage on-site or premises of any
kind, of supplies or materials for valet parking operations.
36. JURISDICTIONAL DISPUTES. Any jurisdictional disputes concerning the Operator's
rights under this Agreement versus other Operators rights under other agreements shall be
resolved by the City Manager, and the decision of the City Manager will be final as to same.
37. CITY WITHDRA W AL OF CITY PROPERTY. The City retains the right to withdraw all
or any portion of the facilities from the terms and conditions of the Agreement. The City
shall give the Operator thirty (30) days written notice in the event of such withdrawal. In the
event the City withdraws all of the facilities, the Agreement shall automatically terminate,
without liability to either party herein. In the event the City withdraws less than all of the
facilities, then the remaining property shall continue within the scope of this Agreement and
the City agrees to make a proportionate adjustment in the monthly fixed fee amount due or
amend this Agreement accordingly.

38. FLORIDA LAW. This Agreement shall be governed by and construed in accordance
with the law of the State of Florida.
39. LIMIT A TION OF LIABILITY. The City desires to enter into this Agreement only
if in so doing the City can place a limit on the City's liability for any cause of action for
money damages due to an alleged breach by the City of this Agreement, so that its liability
for any such breach never exceeds the sum of $1 0,000. The Operator hereby expresses its
willingness to enter into this Agreement with the Operator's recovery from the City for any
damage action for breach of contract to be limited to a maximum of $1 0,000 less the amount
of all funds actually paid by the City to the Operator pursuant to this Agreement.
Accordingly, and notwithstanding any other term or condition of this Agreement, the
Operator hereby agrees that the City shall not be liable to the Operator for damages in an
amount in excess of$10,000, which amount shall be reduced by the amount actually paid by
the City to the Operator pursuant to this Agreement, for any action or claim for breach of
contract arising out of the performance or non-performance of any obligations imposed upon
the City by this Agreement. Nothing contained in this paragraph or elsewhere in this
Agreement is in any intended to be a waiver of the limitation placed upon the City's liability
as set forth in Florida Statutes, Section 768.28.
40. VENUE: This Agreement shall be enforceable in Miami-Dade County, Florida, and iflegal
action is necessary by either party with respect to the enforcement of any or all terms or
conditions herein exclusive venue for the enforcement of same shall lie in Miami-Dade
County, Florida.
41. RFP INCORPORATED. Request for Proposals No.60-98/99, together with any and all
amendments thereto, and the Operator's Proposal in response thereto, are hereby
incorporated by reference into this Agreement to the extent that they are not inconsistent with
any terms herein. In the event of any inconsistency, this Agreement shall prevail.
