FLORIDA, AUTHORIZING THE MAYOR AND CITY
CLERK TO EXECUTE AMENDMENT NO. 10 TO THE
AGREEMENT WITH CAMP, DRESSER, AND MCKEE,

WHEREAS, on July 8, 1992, the Mayor and City Commission approved Resolution No.
92-20540, authorizing the Mayor and City Clerk to execute an Agreement between the City and
Camp, Dresser and McKee, Inc., (CDM) to provide engineering services for upgrading sewer
and water pumping stations (Agreement); and
WHEREAS, because of CDM's familiarity and expertise with the City's sanitary sewer
system, the City has, in past years, amended the Agreement to provide additional professional
engineering services to the City; and
WHEREAS, on February 3, 1999, the Mayor and City Commission approved Resolution
No. 99-23061, authorizing the Mayor and City Clerk to execute an Agreement with Felix
Equities, Inc. (FEI), pursuant to Invitation to Bid No. 99-97/98, in the amount of $17,692,568, to
provide construction services for upgrading the City's sewer and water pump stations Project;
and
WHEREAS, an excusable delay of 166 days was granted to FEI, due to the City's
extended negotiation with FEI to change the original pump supplier, the associated delays with
the procurement process, and the prolonged period required to obtain building permits for
upgrading sewer and water pumping stations; and

WHEREAS, during these delays, COM, as the City's consulting engineer on the Project,
continued to provide the required general engineering services (change orders handling, review
of claims, and meetings and administration) under its Agreement; and
WHEREAS, it has become necessary to extend the Agreement by 166-days, to parallel
the 166 day time extension granted to FEI, and, accordingly, amend the Agreement to increase
CDM's compensation, by a lump sum amount of $160,772; and
WHEREAS, considering the age and deteriorating condition of the pump stations to be
upgraded, the City desires to take the opportunity to have other improvements made which were
not in the scope of the Agreement, and which in turn necessitate CDM to perform supplemental
engineering services outside its original scope of work with an upper limit estimate of $38,000;
and
WHEREAS, the Administration now requests that the Mayor and City Commission
approve Amendment No. 10 to the Agreement, extending same by 166-days and adding
provisions for supplemental engineering services, and increasing the compensation therein to
CDM by $160,772, and by $38,000, respectively.
NOW THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission herein approve and authorize the Mayor and City Clerk to execute Amendment No.
10 to the Agreement with Camp, Dresser, and McKee, Inc. (CDM) to provide engineering
services for upgrading sewer and water pumping stations; said Amendment extending CDM's
consulting services to match the additional time provided to Felix Equities, Inc., as the City's
contractor for the Project, and increasing compensation to CDM, in the amount of $160,772;
further approving and appropriating funds, in the amount of $160,772, available in the $59
Million Water and Sewer Bonds Fund No. 426; and further approving and appropriating funds
to amend the existing Agreement with COM for supplemental engineering services, in the
amount of $38,000, also available in the $59 million Water and Sewer Bonds Fund No. 426.

Dear Mr. Chartrand:
Our current contract for General Services During Construction is time based on the 3D-month
construction contract time. According to our records, the original30-month construction
contract completion date was December 17, 2001. The new construction contract completion
date as modified by the 166 day extension in Change Order No.1 is June 1, 2002. This
contract amendment is required for CDM to provide uninterrupted consulting services to
match the +166 day time extension granted to Contractor Felix Equities, Inc. (FEI) by the City
in Change Order No.1.
This proposal will extend the daily, weekly, and monthly construction services tasks from our
existing scope of services for the General Services (GS) During Construction to match the new
total time of the Construction Contract (+166 days). The compensation is based on a pro-rata
extension of the fee over the contract extension as shown below. We are not requesting
compensation for the Resident Project Representative field services. Additionally, we
proposed a credit <$23,311> to the City against the amendment for similar, originally scoped
tasks, for both the Terminal Island water booster and the 25th Street water booster not
awarded under this construction contract. Thus the amendment requested is for a total lump
sum of $160,772 as follows:

In addition, we are proposing to establish a separate upper limit, not-to-exceed (NTE) task for
supplemental engineering services through a contract amendment. The supplemental
services will encompass construction changes and improvements being required by
unforeseen conditions or being requested by City staff. CDM proposes to invoice the City for
costs incurred for supplemental services over the construction period for a not-to-exceed sum
of $38,000. We will invoice monthly on a time and materials basis at our prevailing billing
rate plus other direct costs.

Item Summary/Recommendation:
The original schedule for the Pump Stations Upgrade Project had a start date of June 19, 1999. However,
the contractor, Felix Equities, Inc., experienced difficulties with the intended pump supplier and had to
change the pump and pump supplier. There were associated delays with the procurement process
followed by a related period required to obtain building permits for the project. Based on this, an excusable
delay of 166 days was granted to the contractor. During these delays, the City's consulting engineer, Camp
Dresser and McKee, Inc. (CDM), continued to provide the required general engineering services (change
orders handling, review of claims, and meetings and administration) under this contract. As such, it has
become necessary to extend CDM's contract 166 days to parallel the 166 day time extension granted to the
con~ractor and increase CDM's compensation accordingly, by a lump sum amount of $160,772. In
addition, considering the age and deteriorating condition of the pump stations to be upgraded, the City

ADMINISTRATION RECOMMENDATION:
Adopt the Resolution.
ANALYSIS:
The original schedule for the Water and Wastewater Pump Station project had a projected
start date of June 19, 1999. However, the Contractor experienced difficulties with the
intended pump supplier and had to change the pump and pump supplier. There were
some associated delays with the procurement process followed by a related period
required to obtain building permits for the Project. Based on this, an excusable delay of
166 days was granted to the contractor, Felix Equities, Inc. The number of days was
based on using December 1, 1999 as the date in which the contractor could proceed with
the work. During these delays, the City's consulting engineer of this project, Camp Dresser
and McKee Inc. (COM), continued to provide the required general engineering services
(change orders handling, review of claims, and meetings and administration) under this
contract. As such, it has become necessary to extend COM's contract 166-days to parallel
the 166th day time extension granted to the contractor, and increase COM's compensation
accordingly, by a lump sum amount of $160,772.
The recommended increase in compensation does not include any increase for COM's
Resident Services (inspections) portion of the contract, because such services were
essentially not required during the aforementioned 166-day period. Furthermore, COM's
increase in compensation reflects a credit from COM to the City for scoped tasks relating
to the Terminal Island and the 25th Street Pump Stations, which were not awarded to the
contractor as originally envisioned.
In addition, considering the age and the deteriorating condition of the pump stations to be
upgraded, unforeseen existing conditions, such as abandoned or previously unidentified
underground utilities, may require additional engineering to protect the integrity of the
overall design. Also, the City may desire to take the opportunity to have other
improvements made that were not in the scope of the construction contract. Either
instance would necessitate COM to perform supplemental engineering services outside
their original scope. Accordingly, COM has provided the City with an upper limit estimate
of $38,000, to provide those supplemental services on an as needed basis for any
unforeseen condition or additional work requested.
The Water and Wastewater Pump Stations Upgrade Project is sufficiently funded such that
the additional fees for COM will not affect the other components of the project or other CIP
projects. The original contract amount for the professional services agreement with COM
was $998,411. The amendments mentioned herein will bring the contract balance to
$1,197,183.
The Water and Wastewater Pump Stations Upgrade Project has been identified in the Year
2000 Comprehensive Plan prepared by the City of Miami Beach Planning and Zoning
Department as a necessary project. The current upgrading of the water and wastewater
pump stations is essential to the effective operation of the City's water and sanitary sewer
system and will enhance the City's ability to absorb the anticipated additional flows.

BACKGROUND
The City of Miami Beach (CITY) negotiated Change Order No.1 to the existing
construction contract with Felix Equities, Inc. (FBI) for the Water and Wastewater Pump
Stations Upgrades, providing an additiona1166 days to FEI to complete the work.
Consultant CDM requires an equivalent 166 day extension of contract to continue
General Services During Construction without interruption. CDM is not requesting
additional compensation for the Resident Project Representative portion of the services,
in light of the late mobilization by FBI on the job site. It is noted that two water booster
stations were not ultimately awarded to FBI. Accordingly, allocable CDM fees
associated with anticipated work at these stations are identified as a credit to the OTY.
For these reasons, the CITY has asked CDM to provide a scope and budget (described
below) to continue these services.
SCOPE OF WORK - EXTENDED GENERAL SERVICES DURING CONSTRUCTION
General services during construction will involve continued consulting with and
advising the OTY during the construction phase of this project and those services
associated with performing as the OTY's representative. Such services include:
· continued project and quality management, continued project administration
· continued preparation for and conducting of both the monthly and the bi-weekly
construction progress meetings
· continued review of Contractor submittals
· continued review of laboratory and testing reports on materials and equipment
· continued observation of the progress of construction and quality of the work
performed
· continued issuance of instructions from the CITY to the Contractors
· continued issuing necessary clarifications of the Contract Documents
· continued preparation of required minor change orders
· continued preparation of sketches required to resolve problems due to actual field
conditions
.' continued determination of amounts of progress payments due based upon the
degree of the completion of the work and recommending issuance of such payments
by the CITY
· continued observation and assistance in performance testing and initial operation of
the project
· continued reporting on completion of the project including recommendations on
minor claims and release of withheld retainages.

COMPENSATION AND SCHEDULE
The total fee for this Amendment is a lump sum amount of $160,772 to be invoiced
monthly on a percent of time basis from December 17,2001 to June 1, 2002. The total
amount for General Services as amended is $1,159,183. ($998,411 existing contract +
$184,083 for extension of 166 days - $23,311 credit to the OTY).
Schedule
The contract extension will continue these services through June 1, 2002 which is the
Contractor's current contractual completion of the project. Continued construction
management services (General Services During Construction and Resident Project
Representative Services) beyond this date would be considered additional services and
would require additional compensation.

PROJECT:
Additional Supplementary Services During Construction for Water
and Wastewater Pump Stations Upgrades Project.
PROJECT
DFSCRIPTION:
The processing of changes to the current construction Contract either as
requested by the City or due to unforeseen conditions is included in the
existing scope only to the extent that they do not require additional
design or engineering. The current scope of services states that if
additional design, redesign, or engineering is required through no fault
of the Consultant, additional fees may be required, and if so, will be
negotiated prior to performing any such design, redesign or engineering.
To date, CDM has performed several documented design activities of
this nature or additional investigations at no cost to the City, in the
interest of expediency and continued delivery of a high quality product.
Based on the monthly progress meetings and other communications
with City staff, there is a growing list of changes to the stations which
the City either must, or would like to, introduce, in order to make future
operations and maintenance safer, more efficient, or better. Many of
these design additions or modifications are occurring simply due to the
nature of the retrofit work or have become new priority repairs since the
project was first bid. CDM anticipates that each of the stations will have
a list of additional improvements which are either beyond the
capabilities of City crews to efficiently implement, or must be performed
while the station is being repaired, and thus would have to be
implemented by the current Contractor. Accordingly, CDM would need
to conduct the additional engineering, design work, contract
modifications, assistance in negotiations, pay request reviews,
correspondence reviews, and scheduling. COM understands and
concurs with the City's sense of taking advantage of this "window of
opportunity", however, there does not currently exist a mechanism for
compensating CDM for the additional design work and construction
management involved. As the project progresses, it is anticipated that
several more valid design additions, modifications, or required side-
projects will be asked of COM. Thus, an additional design services

mechanism will be required to continue the current level of service CDM
has offered to Gty staff on this complicated project. Authorization of a
Special Services Service Order now will allow the City to remain within
the Contractor's time window for some of the desired work and, more
importantly, to avoid delays in responses to the City for current
additional analyses or guidance.
PROJECT
REFERENCE: Agreement between the City of Miami Beach and Camp Dresser and
McKee Inc. (CDM) dated July 22, 1992, for consulting services, as
amended June 4, 1997.
SCOPE AND
BUDGET:
CDM will perform additional tasks on an as needed basis during the
remaining duration of this construction project or until funds in this
Upper Limit Service Order are exhausted. Billing rates are provided
below.
COMPENSATION AND SCHEDULE
The Authorized Upper Limit for Additional Supplementary Services is $35,000 for labor
and $3,000 for Reimbursable Expenses for a total Service Order Amount of $38,000.
Invoicing shall be monthly on the basis of actual labor hours spent times billing rates,
plus reimbursable expenses for other direct costs.
