A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF
MIAMI BEACH, FLORIDA, APPROVING AMENDMENT NO. 4, TO
THE ARCHITECTURAL AND ENGINEERING AGREEMENT WITH
ROBERT A. M. STERN ARCHITECTS FOR THE CULTURAL
CAMPUS/REGIONAL LIBRARY PROJECT, FOR ADDITIONAL
SERVICES, IN THE AMOUNT OF $20,798, TO COMPLETE THE
CONCEPTUAL DESIGN OF THE RENOVATION OF THE EXISTING
ROTUNDA BUILDING AT COLLINS PARK UNDER THE TERMS OF
THE APPROVED MASTER PLAN.
WHEREAS, on September 23, 1998, the Mayor and City Commission adopted
Resolution No. 98-22904, authorizing the Mayor and City Clerk to execute an
Agreement with the firm of Robert A. M. Stem Architects (Stern) for the architectural
and engineering design of a Regional Library, a 400-space Parking Garage, and a
Master Plan for Park and Streetscape Improvements in the area surrounding Collins
Park (the Project); and
WHEREAS, the Master Plan included the schematic programming of the
existing Rotunda Building, which was to be retained and renovated after the existing
Library demolition; and
WHEREAS, on November 2, 1999, the voters of Miami Beach approved the
issuance of approximately $92 million in General Obligation (GO) Bonds which included
$1,800,000 for a complete renovation of Collins Park and the Cultural Campus, which
includes the Regional Library, the Bass Museum, the Rotunda Building, and the Miami
City Ballet building; and
WHEREAS, the scope of work did not include the Renovation of the Rotunda
Building and therefore no funds were identified for this portion of the Project; and
WHEREAS, the Administration is now requesting approval of Amendment No. 4,
in the amount of $20,798, to the Agreement with Stern, to develop a design concept for
the renovation of the existing Rotunda Building, as defined in the Master Plan of Collins
Park, as previously approved by the Administration and the City Commission; and
WHEREAS, the scope of work of the additional services includes assistance with
the programming of the facility; the schematic design of the Rotunda Building once the
programming has been defined; attendance by Stern at community workshop(s) with
adjacent property owners and residents and parties interested in the use of the building;
a small charette with City of Miami Beach professional staff; and a presentation of the
design and the recommendations of Stern; and
WHEREAS, the requested fees, in the amount of $20,798, include $715 for
reimbursables; $1,000 for a preliminary cost estimate; and $2,406 for contingency;
once all parties approve the schematic plan, Stem will provide a proposal for the
completion of the design, the construction documents and the construction
administration phase of the Project; and
WHEREAS, the preliminary cost of the renovation and additions to the existing
Rotunda Building were estimated by Stern to be $643,443 at the time the Master Plan
was submitted and an additional ten-percent, or $64,344, must be added to take into
account the fact that the estimate is based on a schematic design with only a
preliminary program and no definite information on the full scope of the Project
construction; and
WHEREAS, a preliminary cost estimate was provided for mostly code
corrections and improvements to the facility with minimal programming considerations
which established construction costs at $365,560 to which a similar ten-percent, or
$36,556, must be added to account for the preliminary nature of the estimate; and
WHEREAS, the range of costs for the Project therefore lies between $402,116
and $707,787, depending on the extent of the modifications to the building; and
WHEREAS, at this time, the cost of full professional services is estimated at
approximately $100,000, which would include the $20,798 for the conceptual design
phase now being requested; and
WHEREAS, funding sources for the construction of the renovation to the
Rotunda Building should be secured for the highest estimated amount, given the
current preliminary status of the building programming and possible unforeseen
conditions, which can be expected in a renovation project, and should include funds for
the complete design and construction administration of the Project.
NOW THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission herein approve Amendment No. 4, to the architectural and
engineering Agreement with Robert A. M. Stern Architects, for the Cultural/Campus
Regional Library Project, for additional services, in the amount of $20,798, to complete
the conceptual design of the renovation of the existing Rotunda Building at Collins
Park, under the terms of the approved Master Plan.

professional services in connection with Collins Park Rotnndn Renovation.
The Project
The Project. as we understand it consist~ of restoration of and renovations to the existing
'rotunda' meeting room at the Miami Beach Regional Library in Collins Park.
Scope of Services
The current proposal is for conceptual design services only. The intent is to develop the
design to tile point where it can be shown to a potential donor. Services are anticipated
to take 3 weeks from the date of the notice to proceed. and will not include the sewices
of engineers or specialty outside consultants including acoustical, theater design, and
lighting cunsultants. A separate proposal for cost estimating services is attached. We
will rely on the City of Miami Beach Rotunda Buildira! Code Analysis dated February
! 0. 1999 previously provided by the City. Our work product is anticipated to include
a !/8"--1'-0" floor plan showing one potential seating configuration, 2 building
elevations at I/8"= 1'-0" indicating new and existing materials, and one building cross-
section at I/8":=! '-0".
Our services will include an initial 'community meeting' with all inlerested parties, as
coordinated by the City of Miami Beach, to receive input ti'om potential users. This
meeting will be artended by Alex l.amis and Sol Pens. We will then develop the design
concept based on the input received, The resulting concept will be presented by Alex
Lamis.
The Project Team
Robert A.M. Stem Architects and Cost Estimators Cumming/McGillivray will be the
sole consultants fhr this phase ofthe work. It is anticipated that other consultants will
be involved in fixture phases of the project..
Budget and Schedule
The budget for the project has not been definitively established but will be in the range
of $500,000.00 construction cost. The construction will not begin until the new Mianri
Beach Regional Library is completed in 2003.
If City of Miami Beach authorizes changes to the scope of the project wl'dch cause
RAMSA m revise drawings and other documents which have been previously approvcd,
if the cost ol' construction increases or the project schedule is extended wi~ City of
Miami Beach's approval, or RAMSA is required to modify drawings orother documents

RAMSA direct control, or due to changes in laws, rules, or regulations which govern the
project, RAMSA will be entitled to an adjustment in its compensation unless such
changes are caused by RAMSA negligent errors or omissions.
Assumptions
In addit/on to the foregoing, this proposal is based on the following assumptiuns which
are material conditions to the agreement to provide the services described herein:
This proposal is based on certain information provided by City of Miami Beach
on which RAMSA is entitled to rely for completeness and accuracy. Additional
information which will be provided by City of Miami Beach will include, but is
not limited to surveys, existing conditions documentation, testing services,
complete approved program information, legal and accounting services r~quired
by the Project and any rules or regulations of winch City of Miami Beach may be
aware that affect RAMSA's performance otits services henunder. RAMSA shah
be entitled to rely on the timeliness, accuracy and completeness of all information
provided by City of Miami Beach or its consultants.
City of Miami Beach has designated .forge E. Chartrand as its Project Manager
for the Project. RAMSA is entitled to rely on the City of Miami Beach Project
Manager tbr timely and complete information and decisions with respect to the
Project.
City of Miami Beach will provide written approval at the conc ltmion of each tbas
phase of RAMSA's services. RAMSA will have no obligation to proceed in the
absence ofsuch vaStten approval or written notice describing the speci~c reasons
such approval has been withheld.
City of Miami Beach acknowledges that public reviews and approvals which may
be required for the Project, except where listed in the Scope of Services section
above, are outside of RAMSA's control and will be provided by RAMSA as an
additional service at the hourly rates described below. RAMSA will use its best
efforts to assist City of Miami Beach to obtain such approvals but cannot he
liable for the Failure to obtain such approvals. Basic services include RAMSA's
services in connection with drawings and other documents required to obtain a
standard as-of-right building permit.
Compensa lion
Compensation lhr the services described here in, based on the foregoing assumptions and
the following terms and conditions will be a stipulated lump stun of Seventeen Thousand
Five Hundred Dollars ($17.500.00), exclusive of reimbursable expenses. Reimbtu'sable
expenses are expected to be in the ratlee of $2,250. A work-sheet showing
assumptions that underlie this Fee basis is attached.

Standard Contract Terms
Fees described do not include surveys, soils testing, verification or documentation of
existing conditions, or any other engineering or consultants or base site information
except as specifieally described above. Drawings zmd specifications are and rema in, the
sole property ofRAM SA and may, when completed, be used for the construction of this
project, provided City of Miami Beach is not in breach of this agreement, but may not
be used on any other project without RAMSA's prior written approval. No public use
of the names of RAM SA or its consultants in connection with this project ~my be made
without RAMSA's prior written approval.
Services in connection with zoning,, subdivision, or other public regulatory approvals,
ifrequirecL will be provided as additional services at our current hourly rates. Publicity
and marketing services, detailed models, additional meetings, and coordination of
additional consultants will be performed as requested as additional services.
Reimbursable expenses, which will be billed at cost plus fifteen percent (15%) will
include other outside consultants. long distance telephone calls, facsimile transmission,
travel and accommodations, printing and photocopying, model supplies, photographic
services and reproductions, CADD plotting services. and express mail or courier
services.
Compensation for services provided by Robert A.M. Stern Architects on art hourly basis
shall be computed as described in the attached schedule of hourly billing rates. Rates
may be adjusted annually no sooner than one year from the date of this letter lbrm of
agreement.
We will invoice for services performed on a tnonthly basis with payments due upon
receipt. For amounts outstanding over thirty (30) days a finance charge of I-I/2% per
month (I 8% annually) will be assessed on the outstanding balance, If payment has not
been made within thirty (30) days, RAMSA may suspend it's services on the project
without fhrther liability until such payment has been received.
City of Miami Beach may suspend services in connection with the Project, orcancel the
Project upon no less than fifteen (15) days prior written notice to RAMSA. RAMSA's
sole obligation shall be to organize and arehive drawings, files and other documents
relating to the Project within seven (7) days of such notice. City of Miami Beach agrees
to compensate RAMSA for all services completed, including organizing and archiving
of files and other documents, and expenses incurred through the date of suspension or
cancellation of the Project.

With your acceptance as indicated below together with your initial paineat we can get
the project started. Terms and conditions of this letter agreement are intended to be

parties interested in the use of the building; a small charette with City of Miami Beach professional
staff; and a presentation of the design and the recommendations of the consultant.
The requested fees, in the amount of $20,798, include $715 for reimbursables, $1,000 for a
preliminary cost estimate and $2,406 for contingency. Once all parties approve the schematic plan,
Stern will provide a proposal for the completion of the design, the construction documents and the
construction administration phase of the project. The Administration will present this proposal at
that time to the Mayor and City Commission for approval and appropriation of funds.
The preliminary cost of the renovation and additions to the existing Rotunda Building were
estimated by Stem to be $643,443 at the time the Master Plan was submitted. An additional ten-
percent, or $64,344, must be added to take into account the fact that the estimate is based on a
schematic design with only a preliminary program and no definite information on the full scope of
the project construction. The estimate, which is neady three years old, included asbestos removal;
code related corrections and improvements, the addition of a space for restrooms and other
amenities and minimal programming improvements.
A preliminary cost estimate was provided for mostly code corrections and improvements to the
fadlity with minimal programming considerations, since these were not firmly established. This cost
was established at $365,560 to which a similar ten-percent, or $36,556, must be added to account
for the preliminary nature of the estimate. The range of costs for the project therefore lies between
$707,787 and $402,116 depending on the extent of the modifications to the building.
Funding sources for the construction of the renovation to the Rotunda should be secured for the
highest amount given the current preliminary status of the building programming and the possible
unforeseen conditions, which can be expected in a renovation project. In addition, funds for the
complete design and construction administration of the project must also be secured. At this time,
the cost of full professional services is estimated at approximately $100,000, which would include
the $20,798 for the conceptual design phase now being requested.
It is recommended that the Mayor and City Commission adopt the Resolution approving
Amendment No. 4, in the amount of $20,798, to the Robert A. M. Stem Agreement, for the
conceptual design of the existing Rotunda Building within Collins Park as proposed in the Master
Plan previously approved. The City Center Redevelopment Agency will provide funds.
