Amendment No. 1 to the Agreement with School Board of Miami-Dade County
AMENDMENT NO. 1 TO THE AGREEMENT BETWEEN THE SCHOOL BOARD OF MIAMI-DADE COUNTY, MIAMI, FLORIDA, THE CITY OF MIAMI BEACH, FLORIDA, AND THE DISTRICT BOARD OF TRUSTEES OF MIAMI DADE COLLEGE, FLORIDA This Amendment No. 1 ("Amendment") to the Agreement, dated January 4, 2017, by and between the City of Miami Beach, Florida, a municipal corporation organized and existing under the laws of the State of Florida, having its principal place of business at 1700 Convention Center Drive, Miami Beach, Florida 33139 ("CMB"), The School Board Of Miami -Dade County, a body corporate and political subdivision of the State of Florida, having its principal place of business at 1450 N.E. 2nd Avenue Miami, Florida ("M-DCPS"), and the District Board of Trustees of Miami Dade College, Florida, a member of the Florida College System and a political subdivision of the State of Florida, having its principal place of business at 300 NE 2nd Avenue, Miami, Florida 33132 ("MDC") ("CMB", "M-DCPS" and "MDC" may be individually referred tp as a Party or collectively as "Parties"), is entered into this 25 day of O&-7o6e2. , 2017 ("Effective Date"): RECITALS WHEREAS, on January 4, 2017, CMB, M-DCPS and MDC executed an agreement (the Agreement) outlining each party's obligations in connection with providing dual enrollment courses at the High School and Middle School, with CMB contributing $13,000.00 annually toward the dual enrollment program; and WHEREAS, the Parties wish to amend the Agreement, in material part, to extend the term to June 30, 2018 and to increase the CMB annual contribution from $13,000.00 to $28,000.00. NOW THEREFORE, in consideration of the mutual promises and conditions contained herein, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the CMB, M-DCPS and MDC hereby agree to amend the Agreement as follows: 1. The above recitals are true and correct and are incorporated as part of this Amendment. 2. The Parties agree to renew the Agreement as provided in Section 2.01 and extend the Agreement through and including June 30, 2018. 3. Section 2.01 of the Agreement is hereby amended by deleting the expiration date of "June 30, 2017" and replacing it with "June 30, 2018": 4. Subsection 2.03 B.2. is hereby amended by deleting it in its entirety and replacing it as follows: 2. M-DCPS shall invoice CMB to reimburse it for the provision of dual enrollment courses at the High School and the Middle School for the students attending MDC's dual enrollment courses. The total amount of reimbursements paid by CMB to M-DCPS under this Agreement 1 ("CMB Contributions") shall be paid within thirty (30) days from receipt of a detailed invoice from M-DCPS, setting forth the breakdown of the charges and the number of registered students for each course. CMB Contributions shall not exceed $28,000.00 or the cost of three -credit courses, whichever is less, in each fiscal year (from October 1 - September 30). Funding for the CMB Contributions shall be subject to budget appropriation and funding approval by the CMB Commission for each fiscal year. 5. Section 2.05 of the Agreement is hereby renumbered as section 2.07. 6. A new Section 2.05 entitled "Policies and Procedures at the High School and Middle School", is hereby added to the Agreement as follows: 2.05 Policies and Procedures at the High School and Middle School. Prior to commencing any class at the High School or Middle School, an Adjunct Instructor shall meet with the principal of the High School or Middle School, as applicable, to discuss and acknowledge any site specific policies and procedures of the High School or Middle School, with which the Adjunct Instructor must comply including, without limitation, the M-DCPS attendance policies and procedures. 7. A new Section 2.06 entitled "Course Selection and Scheduling", is hereby added to the Agreement, as follows: 2.06 Course Selection and Scheduling. The High School or Middle School principal shall select the dual enrollment courses to be taught at the High School or Middle School, as applicable, so long as the selected course is one of the dual enrollment courses identified in the Articulation Agreement. The High School is responsible for ensuring that the student placement variables are provided to Miami Dade College prior to scheduling the dual enrollment course. These variables include identifying qualified students and providing the Adjunct Instructor with the class schedule. The Adjunct Instructor shall strictly adhere to the 2017-2018 M-DCPS School calendar and schedule, a copy of which is attached hereto as Exhibit B. The Adjunct Instructor shall provide instruction every available school day for the fall semester, from August 21, 2017 through January 18, 2018, and for the spring semester, from January 22, 2018 through June 7, 2018. 8. Except as amended herein, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event there is a conflict between the provisions of this Amendment and the Agreement, the provisions of this Amendment shall govern.
