2018-30162 ResolutionRESOLUTION NO. 2018 - 30162 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, APPROVING AMENDMENT NO. 1 TO THE AGREEMENT, DATED JUNE 3, 2016, BETWEEN THE CITY AND LAZ FLORIDA PARKING LLC, TO PROVIDE PARKING METER COLLECTION SERVICES FOR THE CITY OF MIAMI BEACH PARKING SYSTEM; SAID AMENDMENT CHANGING THE RECIPIENT OF THE ANNUAL PUBLIC BENEFIT FUND CONTRIBUTED BY LAZ UNDER THE AGREEMENT, IN THE AMOUNT OF $2,500, TO REFLECT THE CITY'S EDUCATION COMPACT FUND (INSTEAD OF THE CURRENT ANNUAL SCHOLARSHIP FOR THE BENEFIT OF ONE (1) GRADUATING MIAMI BEACH SENIOR HIGH SCHOOL STUDENT), IN ORDER TO PROVIDE GREATER EDUCATIONAL OPPORTUNITIES; AND FURTHER AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE THE AMENDMENT. WHEREAS, on June 3, 2016 The City entered into an agreement (the Agreement) with LAZ Florida Parking, LLC (LAZ), pursuant to Resolution No. 2015 - 29125, for a term of three (3) years with two (2) one -year renewal options; and WHEREAS, Section 2.5 of the Agreement, entitled "Additional Public Benefit ", provides for a yearly scholarship, in the amount of $2,500 (the Fund), to a deserving Miami Beach High School graduating student, nominated by the principal and the faculty of the school as a student who displays high marks for community involvement with the senior citizens of Miami Beach; and WHEREAS, in the alternative, pursuant to the Agreement, LAZ may contribute this Fund to an organization of the Mayor and the City Commission's choice; and WHEREAS, the Fund for the 2016 -17 school year has not been disbursed; and WHEREAS, the City Administration recommends amending the Agreement to change the recipient of the Fund to the City's Education Compact fund, in order to provide the City Administration with greater flexibility and opportunity to support the City's educational goals. NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Commission hereby approve Amendment No.1 to the Agreement, dated June 3, 2016, between the City and LAZ Florida Parking, LLC, to Provide Parking Meter Collection Services for the City of Miami Beach Parking System; said amendment changing the recipient of the annual public benefit fund contributed by LAZ under the Agreement, in the amount of $2,500, to reflect the City's Education Compact fund (instead of the current annual scholarship for the benefit of one (1) graduating Miami Beach Senior High School student), in order to provide greater educational opportunities; and further authorize the Mayor and City Clerk to execute the Amendment. Granado City Clerk APPROVED AS TO FORM & LANGUAGE & FOR EXECUTION City Attorney r� Dote AMENDMENT NO. 1 TO THE AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND LAZ FLORIDA PARKING, LLC TO PROVIDE PARKING METER COLLECTION SERVICES FOR THE CITY OF MIAMI BEACH PARKING SYSTEMS PURSUANT TO REQUEST FOR PROPOSALS 2015 - 135 -WG This Amendment No. 1 (Amendment) to the Agreement, dated June 3, 2016, by and between the City of Miami Beach, Florida, a municipal corporation organized and existing under the laws of the State of Florida, having its principal place of business at 1700 Convention Center Drive, Miami Beach, Florida 33139 (City), and LAZ Florida Parking LLC, a Florida limited liability company, having its principal place of business at 404 Washington Avenue, Suite 720, Miami Beach, Florida 33139 (Contractor), is entered into this day of , 2018 (Effective Date): RECITALS WHEREAS, on September 2nd, 2015, the Mayor and City Commission adopted Resolution Number 2015 - 29125, approving the award of Request for Proposals ( "RFP ") No. 2015 - 135 -WG to provide Parking Meter Collections Services for the City of Miami Beach Parking System (the "Services "); and WHEREAS, on June 3rd, 2016, the City and Contractor executed the agreement with respect to the Services (the Agreement); and WHEREAS, on , 2018, the Mayor and City Commission adopted Resolution No. authorizing the Mayor and City Clerk to execute Amendment No.1 of the Agreement, modifying the recipient of the annual public benefit fund, in the amount of $2,500.00, as more fully set forth herein. NOW THEREFORE, in consideration of the mutual promises and conditions contained herein, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the City and Contractor hereby agree to amend the Agreement as follows: 1. ABOVE RECITALS. The above recitals are true and correct and are incorporated as part of this Amendment. 2. MODIFICATIONS. The Agreement is hereby amended (deleted items £truck through and inserted items underlined) as follows: Section 2.5 of the Agreement, entitled "Additional Public Benefit ", is deleted in its entirety and replaced with the following: 2.5 Additional Public Benefit: During the Term of the Agreement and as indicated in the attached proposal, Contractor shall support Miami Beach Senior High School by donating three (3) Computer Carts which allow for computer storage charging. Additionally, on or before March 1st of each year, during the Term of the Agreement, Contractor shall make a contribution, in the amount of $2,500.00, to the City's Education Compact fund. In the alternative, at the sole and absolute discretion of the Mayor and City Commission, LAZ will make an annual $2,500.00 voluntary contribution to an organization of the Mayor and City Commission's choice. Contractor will also hire a graduating senior from Miami Beach Senior High School for participation in Laz University, a management training program. Contractor will offer summer employment opportunities for students looking for employment. These jobs can be part -time and /or full -time positions at any of the City's valet or self - parking operations managed by the Contractor in the area, which may include cashiers, valet attendants, auditors and housekeeping positions. 3. RATIFICATION. Except as amended herein, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event there is a conflict between the provisions of this Amendment and the Agreement, the provisions of this Amendment shall govern. RECOMMENDATION Approve the Resolution ANALYSIS On September 2, 2015, the City entered into an agreement ( "the Agreement ") with LAZ Florida Parking, LLC ( "LAZ ") per Resolution No. 2015 -29125 for three years. The agreement executed on June 3, 2016, includes Section 2.5 Additional Public Benefit, which provides for a yearly scholarship in the amount of $2,500 to a deserving Miami Beach High graduating student nominated by the principal and faculty of the school who displays high marks for community involvement. Alternatively, LAZ may make an annual $2,500 contribution to an organization of the Mayor and City Commission's choice. In the 2016 -17 school year, no graduating Miami Beach Senior High student received the $2,500 scholarship. Miami Dade County Public Schools has expressed concern regarding facilitating the selection of a student for this scholarship, and releasing the information of any students to an outside entity. As such, City administration recommends the $2,500 be earmarked for programs at Miami Beach Senior High School through the City's Education Compact fund. CONCLUSION Redirection of the funds to the City's Education Fund will support the City's educational enhancements at Miami Beach Senior High School.
