A RESOLUTION OF THE MAYOR AND CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA APPROVING A
SETTLEMENT BETWEEN THE CITY OF MIAMI BEACH
AND PNM CORPORATION AUTHORIZING THE
EXECUTION OF ANY AND ALL NECESSARY
SETTLEMENT DOCUMENTS.
WHEREAS, PNM Corporation ("PNM) filed suit against the City of Miami Beach ("City) in
that certain case pending in the Circuit Court in and for Miami-Dade County, Florida under Circuit
Court Case No. 99-22158 CA 06, entitled PNM Corporation v. City of Miami Beach, wherein the
Plaintiff asserts damages in the amount of$l.3 million dollars in connection with the Sunset Harbour
Drive Street Improvement and the Collins Avenue Beautification Project contracts; and
WHEREAS, PNM and the City (the "Parties") in the above-referenced case desire to settle
the case to avoid further costs and risks oflitigation, with the understanding and agreement of the
Plaintiff that the settlement or this Resolution shall in no event be construed or deemed to be
evidence, or an admission on the part of the City; and
WHEREAS, the Parties consider it desirable that the action be disposed of on the terms and
conditions set forth in the letter from Steven M. Siegfried, Esq. to Robert A. Hinston, Esq. dated
August 13,2002 (the "Letter Agreement") and Plaintiffs Proposal for Settlement referred to therein,
which is attached hereto as Composite Exhibit" A", in order to avoid further expense and to dispose
of protracted litigation; and
WHEREAS, it is in the best interest of the City to resolve this case; and
WHEREAS, the Parties have agreed to the terms and conditions of the settlement as set forth
in the Letter Agreement attached hereto as Exhibit "A".
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA:
Section 1:
That the City Commission approves the terms of the settlement as set forth in
the attached Letter Agreement, which is attached hereto and incorporated
herein by reference as Exhibit "A".
Section 2:
That the Mayor and City Commission hereby authorize the appropriation of
$450,000.00 from the General Fund, Undesignated Fund Balance for the full
and complete settlement and release of all claims and the dismissal with
prejudice ofthis case.
Section 2:
That the City Commission hereby authorizes all necessary City personnel to
execute any and all documents necessary to consummate and effectuate the
terms of the Parties' settlement.

The City Attorney's Office submits the above referenced Resolution for consideration by the
Mayor and City Commission. This Resolution authorizes the appropriation of$450,000.00 from the
General Fund, Undesignated Fund Balance, for the full and complete settlement and release of all
claims and the dismissal with prejudice of the litigation styled PNM Corooration v. City of Miami
Beach, 11 th Judicial Circuit Court Case No. 99-22158 CA 06. The Resolution also authorizes the
Mayor, City Clerk, and other necessary City personnel to execute the negotiated settlement after
further consideration and approval by the City Commission of such negotiated terms.

HEREBY remise, release, acquit, satisfy a.nd forever discharge the said second party, of and
fi-mn all, and all manner of action and actions, cause and causes of action, suits. debts, dues, sums
of money, accOlmts, reckonings, bonds, bills, specialties, covenants, warranties. contracts,
controversies, agreements, promises, variances. trespasses, damages, judgments, executions, claims
and demands whatsoever, in law or in equity, which said first party ever had, now has, or which any
persona.l representative. successor, heir or assign of said first party, hereafter can, shan or may have,
against said second party, for, upon or by reason of any matter, cause or thing whatsoever, from the
beginning of the world to the day of these presents, including all those claims arising out of,
concerning, referring or relating to that matter which is the subject of a lawsuit entitled: PNM
Corporation v. City of Miami Beach. Miami-Dade Circuit Court Case No. 99-22158 CA 06,
including but not limited to all claims relating to the Sunset Harbour Drive Improvemcnt Project,
Contract No.1 0-95/96 and the Collins Avenue Beautification Project. Contract No. 136-94/95, and
all claims which could have been raised therein. By execution of this Release, the Parties
acknowledge that this Release is limited to PNM Corporation ("Second Party"), and that no other
party. including but not limited \0 Bermello, Ajamil & Partners, Inc., and Edward D. Stone, Jr., and
Associates, Inc. C'Third Parties"), are beneficiaries or parties to the Release, and all rights of the City
of Miami Beaeh against Third Parties are reserved.

A RESOLUTION OF THE MA YORAND CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA APPROVING A
SETTLEMENT BETWEEN THE CITY OF MIAMI BEACH
AND PNM CORPORATION AUTHORIZING THE
EXECUTION OF ANY AND ALL NECESSARY
SETTLEMENT DOCUMENTS.
WHEREAS, PNM Corporation ("PNM) filed suit against the City of Miami Beach ("City) in
that certain case pending in the Circuit Court in and for Miami-Dade County, Florida under Circuit
Court Case No. 99-22158 CA 06, entitled PNM Corporation v. City of Miami Beach, wherein the
Plaintiff asserts damages in the amount of$l.3 million dollars in connection with the Sunset Harbour
Drive Street Improvement and the Collins Avenue Beautification Project contracts; and
WHEREAS, PNM and the City (the "Parties") in the above-referenced case desire to settle
the case to avoid further costs and risks oflitigation, with the understanding and agreement ofthe
Plaintiff that the settlement or this Resolution shall in no event be construed or deemed to be
evidence, or an admission on the part ofthe City; and
WHEREAS, the Parties consider it desirable that the action be disposed of on the terms and
conditions set forth in the letter from Steven M. Siegfried, Esq. to Robert A. Hinston, Esq. dated
August 13, 2002 (the "Letter Agreement") and Plaintiff s Proposal for Settlement referred to therein,
which is attached hereto as Composite Exhibit "A", in order to avoid further expense and to dispose
of protracted litigation; and
WHEREAS, it is in the best interest of the City to resolve this case; and
WHEREAS, the Parties have agreed to the terms and conditions ofthe settlement as set forth
in the Letter Agreement attached hereto as Exhibit" A".
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA:
Section 1:
That the City Commission approves the terms ofthe settlement as set forth in
the attached Letter Agreement, which is attached hereto and incorporated
herein by reference as Exhibit "A".
Section 2:
That the Mayor and City Commission hereby authorize the appropriation of
$450,000.00 from the General Fund, Undesignated Fund Balance for the full
and complete settlement and release of all claims and the dismissal with
prejudice of this case.
Section 2:
That the City Commission hereby authorizes all necessary City personnel to
execute any and all documents necessary to consummate and effectuate the
terms ofthe Parties' settlement.

The City Attorney's Office submits the above referenced Resolution for consideration by the
Mayor and City Commission. This Resolution authorizes the appropriation of $450,000.00 from the
General Fund, Undesignated Fund Balance, for the full and complete settlement and release of all
claims and the dismissal with prejudice of the litigation styled PNM Corooration v. City of Miami
Beach, 11th Judicial Circuit Court Case No. 99-22158 CA 06. The Resolution also authorizes the
Mayor, City Clerk, and other necessary City personnel to execute the negotiated settlement after
further consideration and approval by the City Commission of such negotiated terms.
