A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE
CITY OF MIAMI BEACH, FLORIDA, APPROVING, IN SUBSTANTIAL
FORM, AMENDMENT NO. 3 TO THE AGREEMENT BETWEEN THE
CITY AND SKIDATA, INC. FOR THE DESIGN, CONSTRUCTION,
INSTALLATION AND MAINTENANCE OF A PARKING GARAGE
GATED REVENUE CONTROL SYSTEM (ITN 2014- 170 -SW); SAID
AMENDMENT NO. 3 EXPANDING THE SCOPE OF THE AGREEMENT
TO INCLUDE THE NEW CONVENTION CENTER PARKING GARAGE
(THE "ADDITIONAL GARAGE "), INCLUDING THE PURCHASE AND
INSTALLATION OF A GATED REVENUE CONTROL SYSTEM FOR
THE ADDITIONAL GARAGE, IN THE TOTAL AMOUNT OF $770,537,
WITH MAINTENANCE COSTS FOR THE EQUIPMENT AT THE
ADDITIONAL GARAGE IN THE TOTAL AMOUNT OF $815,895 OVER
THE TEN YEAR MAINTENANCE PERIOD FOR THE 'EQUIPMENT;
AND FURTHER AUTHORIZING THE MAYOR AND CITY CLERK TO
EXECUTE AMENDMENT NO. 3 UPON CONCLUSION OF
SUCCESSFUL NEGOTIATIONS BY THE ADMINISTRATION.
WHEREAS, on September 30, 2015, the Mayor and City Commission adopted
Resolution No. 2015- 29149, authorizing the Mayor and City Clerk to execute an Agreement
between the City and Skidata, Inc., pursuant to Invitation to Negotiate (ITN) 2014- 170 -SW, for a
Gated Revenue Control System for the City's parking garages, for an initial term of ten (10)
years, with two (2) five (5) year options, at the City's sole discretion; and
WHEREAS, the City and Contractor entered into an Agreement, dated October 15, 2015
(the "Agreement "), for the design, construction, installation, and maintenance of a parking
garage gated revenue control system, pursuant to ITN 2014- 170 -SW; and
WHEREAS, the City will be completing the construction of the new Convention Center
garage in 2018 (the "Additional Garage "); and
WHEREAS, the Convention Center Garage will be managed and operated by the City;
and
WHEREAS, in order to standardize and centralize all City garage operations, the
Administration recommends utilizing the same gated revenue control equipment that Skidada
provides for other City garages; and
WHEREAS, pursuant to Section 2.5 of the Agreement, additional garages may be added
to Skidada Inc.'s scope via an amendment to the Agreement, subject to the approval of the
Mayor and City Commission; and
WHEREAS, the cost of the purchase and installation of the equipment at the Additional
Garage is $770,537, with maintenance costs for the equipment at the Additional Garage in the
amount of $815, 895, over the ten (10) year maintenance period for the equipment; and
WHEREAS, subject to and contingent upon an appropriation of funds by the City
Commission, Amendment No. 3 to the Agreement, attached as an exhibit to the Commission
Memorandum accompanying this Resolution, memorializes the following:
1. The inclusion of the Additional Garage within the scope of the Agreement, and the
equipment costs related thereto, for the purchase and installation of the gated
system equipment at the Additional Garage, in accordance with the cost structure set
forth in the Agreement.
2. The addition of a revised ten (10) year maintenance schedule for all equipment
provided pursuant to the Agreement, including the maintenance costs for the
equipment at the Additional Garage.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby approve, in substantial form, Amendment No. 3 to the Agreement between
the City and Skidata, Inc. for the Design, Construction, Installation and Maintenance of a
Parking Garage Gated Revenue Control System (ITN 2014- 170 -SW); said Amendment No. 3
expanding the scope of the Agreement to include the new Convention Center parking garage
(the "Additional Garage "), including the purchase and installation of a gated revenue control
system for the Additional Garage, in the total amount of $770,537, and with maintenance costs
for the new equipment at the Additional Garage in the total amount of $815,895 over the ten
(10) year maintenance period for the equipment; and further authorizing the Mayor and City
Clerk to execute Amendment No. 3 upon conclusion of successful negotiations by the

Commission Committee Recommendation
On March 7, 2018 the Mayor and City Commission approved Resolution No. 2018 -30213 accepting
the recommendation of the Finance and Citywide Projects Committee to increase the funding for the
project.
ANALYSIS
On September 30, 2015, the Mayor and City Commission approved Resolution No. 2015 -29149
authorizing the Mayor and City Clerk to execute an Agreement between the City and Skidata, Inc.,
pursuant to Invitation to Negotiate (ITN) 2014- 170 -SW, for a Gated Revenue Control System for the
City's parking garages, for an initial term of ten (10) years, with two (2) five (5) year options, at the
City's sole discretion.
The City and Contractor entered into an Agreement, dated October 15, 2015 (the "Agreement "), for
the design, construction, installation, and maintenance of a parking garage gated revenue control
system, pursuant to ITN 2014 - 170 -SW.
In consideration of the Fee to be paid to Consultant by the City, Consultant is providing the City with

the equipment, work, and services necessary for a state of the art gated parking revenue control
system including real -time centralized processing of data for all of the City's parking garages and a
central monitoring station for intercoms, CCTV at all entrance and exit lanes, and access control for
the garage equipment.
Pursuant to Section 2.5 of the Agreement, additional equipment, services or garage facilities may be
added to the existing Scope of Work. Although this ITN and resultant Agreement identifies specific
equipment, services or garage facilities ("items") within the Services or Scope of Work being provided
by Contractor, it is hereby agreed and understood that the City, through the approval of the City
Manager (for additional items up to $50,000) or the City Commission (for additional items greater
than $50,000), may require additional items to be added to the Agreement, based upon the PARCS
pricing list contained herein. The pricing list contained in the Agreement shall remain in effect from
the Effective Date of the Agreement though Year 3. Thereafter, the pricing list may be adjusted
annually by CPI (Consumer Price Index).
Amendment 1 (dated May 19, 2016) and Amendment 2 (dated May 26, 2017) to the agreement were
for additional items under the City Manager's authority as previously described.
The City will be completing the construction of the new Convention Center garage in 2018 which will
be managed and operated by the City. Therefore, this garage requires the same gated revenue
control equipment in order to centralize and standardize all garage operation.
The cost of the project is $770,537 for equipment and installation. Funding is currently available in
the amount of $650,000 in the capital budget and the additional $121,000 will be requested in a
budget amendment.
Funding for future annual maintenance will also be requested through the City's regular budget
process.
Pursuant to Section 2.5 of the Agreement, additional garages may be added, as an Amendment to
the Agreement, which shall be executed by the parties and shall be further subject to the approval of
the Mayor and City Commission.
Amendment 3 to the Agreement memorializes the following:
1. The addition of Exhibit "A" to the Agreement, entitled "Miami Beach Convention Center Garage
Equipment Cost" for the purchase and installation of the gated equipment at the new
Convention Center garage (additional garage). This cost proposal is in accordance to the costs
included in the agreement.
2. The addition of Exhibit "B" to the Agreement which is a revision to the 10 year maintenance
schedule to include the cost of the additional garage.
3. All other terms and conditions of the Agreement shall remain in full force and effect.
CONCLUSION
The Administration recommends the Mayor and Commission approve and authorize the Mayor and
City Clerk to execute Amendment No. 3, substantially in the form attached, to the Agreement between
the City and Skidata, Inc., pursuant to Invitation to Negotiate (ITN) 2014 - 170 -SW, for a gated
revenue control system for the City's parking garages, for the purchase of the Convention Center
Garage gated revenue control equipment.

This Amendment No. 3 (the "Amendment") to the Agreement dated October 15, 2015

"Agreement') is made and entered into this day of 3017. by and
between the CITY OF MIAMI BEACH, a municipal corporation organized and existing under the
laws of the State of Florida (hereinafter referred to as the "City") and SKIDATA, INC, a Delaware
corporation, authorized to do business in the state of Florida (hereinafter referred to as the
"Contractor").
RECITALS

the ten (10) year maintenance schedule set forth in Exhibit "C" of the Agreement is
hereby deleted in its entirety, and replaced with the revised ten (10) year
maintenance schedule for all equipment, including the Additional Garage, as set forth
in Exhibit B-3, the terms of which are incorporated by reference herein.
4. All other terms and conditions of the Agreement shall remain in full force and effect,
In the event there is a conflict between the provisions of this Amendment and the
Agreement, the provisions of this Amendment shall govern.
