WHEREAS, Miami Beach Hospital, Inc. , has presented to the City
Council of the City of Miami Beach, Florida, an offer to sell the Miami
Beach Clinic property, together with the equipment contained therein,
which said offer of sale reads as follows, to wit:
"Miami Beach, Florida
April let, 1942.
City of Miami Beach,
Miami Beach, Florida.
Gentlemen:
We, the undersigned, Miami Beach Hospital, Inc. , a Florida Corpora-
tion, prior to March 18, 1942, proposed that we would sell to you the
following described property, in Dade County, Florida, to-wit:
Lots 23, 24 and 25, Block 2, of Fleetwood Subdivision,
as per plat thereof recorded in Plat Book 28, at Page 34,
of the Public Records of Dade County, Florida; together
with the hospital building thereon known as the Miami
Beach Hospital ; and together with the furniture, furnish-
ings and equipment set forth in an inventory, a copy of
which inventory is hereto attached. (Inventory is attached to
the original proposal . )
for the sum of $100,000. It is our understanding that on or about
March 18, 1942, the City Council of Miami Beach adopted a resolution
agreeing to purchase said hospital for -100,000.
You have requested that the terms of this deal be set forth in
writing. We, therefore, advise you that the proposition is the follow-
ing:
We agree to sell the above described property for the sum of $100,000.
You may pay any portion of the purchase price you see fit in cash, and
the balance shall be evidenced by a purchase money mortgage from you to
us, payable one-tenth of said balance one year after date, and the re-
maining nine-tenths of said balance in six equal installments two,
three, four, five, six and seven years after date. Said purchase money
mortgage shall secure promissory notes bearing interest from date of
closing at 4% per annum, payable semi-annually.
It is an express and specific condition of this deal, however,
that simultaneously with the closing some purchaser or purchasers shall
be found who will buy said purchase money mortgage and the notes secured
thereby at par, and that we will assign the mortgage to said purchaser
or purchasers without recourse on us, and will endorse said promissory
notes to said purchaser or purchasers without recourse on us; that is
to say, while the City will not be required to pay the purchase price
in cash, we will actually receive the purchase price in cash at the time
of the closing.
Due to the fact that we owe certain obligations, including a first
mortgage, a second mortgage and other obligations, it is absolutely
necessary that we receive the full amount of the purchase price in cash,
subject to prorations, at the time of the closing as above outlined.
The property shall be sold subject to restrictions, limitations
and dedications, if any, appearing of record, to valid zoning ordinances
of the City of Miami Beach, and to taxes for the year 1942 and subsequent
years. Taxes and insurance premiums shall be prorated as of the date of
closing, and said insurance premiums shall be prorated on the same basis

as if said insurance were to remain in full force and effect, that
is to say, we, as sellers, shall not be charged for any short rate
for insurance, if you should decide to cancel the insurance policies.
Light, water, power and other utility charges shall be prorated
as of the date of closing. If the 1942 tax figures are not available
at the time of the closing, taxes shall be prorated on the basis of the
1941 taxes.
We, as sellers, will cause an abstract to the above described
property to be brought to date at our expense and to be delivered to
you, or to your City Attorney, within ten days from the date hereof.
Title to said property shall be marketable subject only to the
matters hereinabove set forth. The deal shall be closed at the earliest
date in which the closing may be had under the Miami Beach city charter,
it being our understanding that there is a forty day period for closing
provided for in the city charter.
Title shall pass by warranty deed in statutory form. Since there
are two mortgages outstanding, it is understood tna t/the deal shall be
closed in a manner whereby satiafactions of these mortgages may be held
in escrow and delivered at the closing upon payment of the amounts
necessary to be paid in order to obtain said satisfactions .
Your attention is called to the fact that there are certain items
of furnishings or chattels in said hospital which do not belong to us
as sellers,, and tnat the furnishings and personal property which we are
agreeing to sell to you are those set forth in the inventory which we
have previously handed to you, a copy of which is hereto attached.
We are under contract with the United States Public Health Service
to furnish hospitalization at the rate of $4.03 per day, plus all extras
such as drugs, surgical and medical supplies, anaesthetics, and such
extras as the contract provides, and this contract expires on July 1,
1942, and is advantageous to us; and by necessity you will be purchasing
the hospital subject to this contract, and you will have the right to
renew it after July 1st if you see fit to do so. We understand that
this item has been previously called to your attention.
While it is our understanding that the City has already passed a
resolution agreeing to purchase said property for 4100,000, it is your
intention to submit the proposition contained in this letter to the City
Council, and obtain a resolution that the deal be closed in the manner
set forth herein.

Miami Beach, Florida, that said offer be and the same is hereby accepted,
subject to the provisions of Section 2b of the Miami Beach City Charter
and subject to the approval of title by the City Attorney.

are hereby authorized and directed to execute such instruments as may
be necessary to carry out the purposes of this Resolution.
