Amendment No. 4 to the PSA with Advanced Data Processing, Inc. d/b/a Intermedix,72O/ 7r , 9/y. AMENDMENT NO. 4 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF MIAMI BEACH AND ADVANCED DATA PROCESSING, INC. D /B /A INTERMEDIX FOR EMERGENCY MEDICAL TRANSPORT BILLING AND COLLECTION SERVICES This Amendment No. 4 ( "Amendment ") to the Professional Services Agreement, dated June 17, 2008 ( "Agreement ") is entered into on this 240 day of JA.Niv,4122 2018, with an effective date of September 16, 2017, between the City Of Miami Beach, Florida, a municipal corporation organized and existing under the laws of the State of Florida, having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida, 33139 ( "City "), and Advanced Data Processing, Inc. d /b /a Intermedix, a Delaware Corporation, having its principal place of business at 6451 North Federal Highway, Suite 1002, Fort Lauderdale, Florida 33308 ( "Contractor "), and hereby amends the Agreement as follows: RECITALS WHEREAS, on June 17, 2008, the City and Contractor executed the Agreement for Emergency Medical Transport Billing and Collection; and WHEREAS, on May 5, 2009, the City and Contractor executed Amendment No. 1 to the Agreement; and WHEREAS, on May 12, 2010, the Mayor and City Commission adopted Resolution Number 2010 - 27386, waiving the competitive bidding requirement and approving an amendment to the existing Agreement with Advanced Data Processing, Inc. d /b /a Intermedix for billing and collection services for emergency medical transport (Amendment No. 2); and WHEREAS, in the Agreement, as amended, the City and Contractor agreed to an initial term of three (3) years, with an automatic renewal for one (1) additional three (3) year term; and WHEREAS, Amendment No. 2 also allowed the City to utilize the Contractor's proprietary mobile electronic patient record collection system to enter patient information and data into and also interact with its main billing and medical records system; and WHEREAS, on January 17, 2017, the City and Contractor executed Amendment No. 3 to the Agreement extending the term of the Agreement, on a month -to -month basis, until no later than September 15, 2017 (the Agreement and Amendments No. 1 through No. 3 shall be collectively referred to herein as the "Agreement "); and WHEREAS, on July 26, 2017, the Mayor and City Commission adopted Resolution Number 2017- 29914, authorizing the City Manager to negotiate and approve the terms of a month -to -month agreement with Advanced Data Processing, Inc. d /b /a Intermedix, for the continuation of current services; and WHEREAS, the extension term of the Agreement, pursuant to Amendment No. 3, expires on September 15, 2017; and WHEREAS, the parties wish to extend the current agreement, on a month -to -month basis, for a term not -to- exceed one (1) year, or until such time as a new agreement is executed pursuant to a new procurement process, whichever is earlier; and WHEREAS, the parties wish to correct the fictitious name of the Contractor to reflect Intermedix, instead of Intermedix -ADP. NOW THEREFORE, in consideration of the mutual promises and conditions contained herein, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the City and Contractor hereby agree to amend the Agreement as follows: 1. The name of the Contractor, as referenced in the Agreement, is hereby corrected to reflect Advanced. Data Processing, Inc, a Delaware corporation, authorized to do business in Florida and doing business as Intermedix. 2. The term of the Agreement, as amended, is hereby extended commencing on September 16, 2017, and continuing thereafter, on a month -to -month basis, until no later than September 15, 2018, or until such time as the City enters into a new agreement for the services, whichever is earlier. 3. Except as specified herein, all terms and conditions of the Agreement, as amended, shall remain unchanged and in full force and effect.
