A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF
THE CITY OF MIAMI BEACH, FLORIDA, APPROVING THE
ADDITION OF DESIGN, BID AND AWARD, AND
CONSTRUCTION ADMINISTRATION PHASE SERVICES, AS
AMENDMENT NO. 2, TO THE SCOPE OF SERVICES OF THE
AGREEMENT, DATED SEPTEMBER 5, 2001, WITH
REYNOLDS, SMITH AND HILLS, NE CONSULTANT FORTHE
LA GORCE RIGHT OF WAY (ROW) IMPROVEMENT
PROJECT, IN THE AMOUNT OF $328,410; AND FURTHER
APPROPRIATING AN AMOUNT NOT TO EXCEED $333,932
FOR SAID SERVICES AS FOLLOWS: $5,522 FROM 1999
GENERAL OBLIGATION BOND FUNDS; $174,217, FROM
SERIES 2000 STORMWATER REVENUE BOND FUNDS; AND
$154,193 FROM SERIES 2000 WATER AND SEWER BOND
FUNDS; ALL AS MORE PARTICULARLY DESCRIBED IN
EXHIBIT A, THE FEE RECOMMENDATION; EXHIBIT B, THE
FEE DETAIL; AND EXHIBIT C, THE GEOGRAPHIC AREA OF
THE ABOVE MENTIONED IMPROVEMENT PROJECT.
WHEREAS, the City has issued 1999 General Obligation (GO) Bonds, Series 2000
Stormwater Revenue Bonds and Series 2000 Water and Sewer Bonds to fund capital
improvement projects to provide better service to the City's residents and visitors; and
WHEREAS, on September 5 2001, the Mayor and City Commission executed a
Professional Services Agreement with Reynolds, Smith and Hills, Inc. (the Consultant),
pursuant to Request for Qualifications (RFQ) No. 10-00/01, for Planning Phase Services for the
La Gorce Right of Way Improvement Project; and
WHEREAS, the purpose of the Planning Phase (Task 1 ) is to establish a consensus
design concept that meets the needs of the community and stays within established
schedule and cost parameters; and
WHEREAS, the intent of the Planning Phase is met through the performance of a
series of Community Design Workshops designed to encourage input from affected
residents and verify and validate previously developed concepts and priorities; and
WHEREAS, on September 9, 2002, the GO Bond Oversight Committee approved all
parts of the La Gorce Basis of Design Report (BODR), with the exception of the improvements
to be made in the La Gorce Park area;
WHEREAS, after a series of Community meetings held by the Administration, the
GO Bond Oversight Committee approved the La Gorce Park area improvements,
essentially approving the BODR in its entirety; and
WHEREAS, these Community meetings were out of the original scope of the
Consultant's agreement, and were approved as additional services; and
WHEREAS, on December 11, 2002, the City Commission accepted the BODR,
finalizing the Planning Phase of this project; and
WHEREAS, on December 18, 2002, the Consultant presented an initial program of
recommended improvements to the public at Community Design Workshop #1; and
WHEREAS, on January 22, 2002, the Consultant presented a revised plan that
incorporated public comment and feedback at Community Design Workshop #2; and
WHEREAS, the results of the Community Design Workshops, technical analysis of
existing conditions, and meetings with City staff and the public are incorporated into a Basis of
Design Report (BODR), which serves as the planning blueprint for the creation of construction
documents; and
WHEREAS, on June 14, 2002, Pappas and Associates, the City's Right of Way
Contract Negotiator, negotiated with the Consultant to cover the balance of services for the
La Gorce Neighborhood Right of Way Improvement Project, which includes Design (Task
2); Bid and Award (Task 3); Construction Administration (Task 4); and Additional Services
(Task 5); to cover traffic analysis, field verification and permit preparation required to
design traffic claming measures; and
WHEREAS, the attached Amendment No. 2 reflects the result of said negotiation and
tasks, which is more particularly described in Exhibit A; a fee recommendation from Pappas
and Associates, Exhibit B; a detail of the recommended fee, and Exhibit C, a map showing
in which geographic area the proposed improvements will be located.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission approve Amendment No. 2, the addition of Design, Bid and Award, and
Construction Administration Phase services, to the Scope of Services of the Agreement, dated
September 5, 2001, with Reynolds, Smith and Hills, NE Consultant for the La Gorce Right of
Way (ROW) Improvement Project, in the amount of $328,410; and further appropriate an
amount not to exceed $333,932, for said services as follows: $5,522 from 1999 General
Obligation Bond Funds; $174,217, from Sedes 2000 Stormwater Revenue Bond Funds; and
$154,193 from Sedes 2000 Water And Sewer Bond Funds; all as more particularly described in
Exhibit A, the fee recommendation; Exhibit B, the fee detail; and Exhibit C, the geographic area
of the above mentioned improvement Project.

On September 5, 2001, the Mayor and City Commission authorized the execution of a contract, pursuant to
Request for Qualifications (RFQ) No. 10-00/01, with Reynolds, Smith & Hills, Inc. for Planning Phase
services for the La Gorce Right of Way Improvement Project, in the amount of $185,291, with $61,702 from
1999 General Obligation Bonds, and $123,589 from Sedes 2000 Stormwater Revenue Bonds.
On June 14, 2002, with the La Gorce Neighborhood Planning Phase substantially complete, the City's Right
of Way Program Contract Negotiator, Pappas and Associates, negotiated an agreement with Reynolds Smith
and Hills, to cover the balance of services for the La Gorce Neighborhood Right of Way Improvement
Project. These services are Design Services (Task 2), Bid and Award Services (Task 3), Construction
Administration Services (Task 4) and Additional Services (Task 5). Additional Services were requested for
traffic analysis, field verification and permit preparation required to design traffic c~ning measures asked for
by the neighborhood. Total man hours for the remaining tasks are projected at 2,736.
The services and associated expenses were developed using the Right of Way Program's accepted program
cost model. Pappas and Associates' official recommendation, dated December 20, 2002, is attached as
Exhibit A.
Advisory Board Recommendation:
On October 7, 2002, the GO Bond Oversight Committee, recommended the approval of the appropriation'
of additional funds for the services described herein.

ANALYSIS
The initial contract agreement between the City and Reynolds, Smith & Hills (the
Consultant) for the La Gorce Neighborhood ROW Improvement Project was for Planning
Phase services only. At the time, the Consultant specifically requested the completion of
planning services prior to negotiating a fee for the Design, Bid and Award, and
Construction Administration Phase services, stating the need to clarify the scope of work to

be designed and also to delineate the needed service levels by collecting field data and
assembling community input. On July 31, 2001, the Consultant provided a man-hour
projection and fee estimate for Planning Phase services and associated reimbursables,
which the City accepted with the understanding that a future amendment, to be negotiated
by the City's ROW Program Contract Negotiator, Pappas and Associates, would then be
required to cover the costs associated with the design, permitting, bidding and construction
administration of the La Gorce Neighborhood Right of Way Improvement Project.
On September 5, 2001, the Mayor and City Commission authorized the execution of a
contract, pursuant to Request for Qualifications (RFQ) No. 10-00/01, with the Consultant
for these Planning Phase services only. The total fee was $185,291, with $61,702 from
1999 General Obligation Bonds and $123,589 from Series 2000 Stormwater Revenue
Bonds.

verification and permit preparation required to design traffic claming measures asked for by
residents in the neighborhood. Total man hours for all services were projected at 2,736.
The services and associated expenses were developed using the ROW Program's
accepted program cost model. Pappas and Associates' official recommendation, dated
December 20, 2002, is attached as Exhibit ^. The total fee agreed uponfor Time and
Materials is an amount not to exceed $328,410. The breakdown of these services is
attached as Exhibit B and a map showing the Project boundary is attached as Exhibit C.
On September 9, 2002, the GO Bond Oversight Committee approved all parts of the La
Gorce Basis of Design Report (BODR), with the exception of the improvements to be made
in the La Gorce Park area. After a series of Community meetings held by the
Administration, the GO Bond Oversight Committee approved the La Gorce Park area
improvements, essentially approving the BODR in its entirety. These Community meetings
were out of the original scope of the Consultant's agreement, and were approved as
additional services, thereby necessitating the appropriation of the additional $5,522 for the
Consultant, bringing the total appropriation to $333,932. On December 11,2002, the City
Commission accepted the BODR, finalizing the Planning Phase of this project.

A/E Fee Revisions Due to FI/Rate Changes
Dear Mr. Hemstreet:
NeEo 'tmtions on the A/IS fee were ini_~i~ny success/~lly concluded in June 2002. At that
time I made a professional recommendation that the City of Miami Beach enter into a
contract w/th the A/E firm of Reynolds, Smith and Hill for TIME AND MATERIALS NOT
TO EXCEED $248,963.00. The costs were based upon FY02 rates and for a limited
scope of work. On October 2, 2002, the City of Miami Beach completed negotiations for
additional work involv/nE North Bay Road Drainage, additional water mairi
replacements and a sanitary sewer replacement. This work was added to the ~cope mid
fees were negotiated calling for an additional amount NOT TO ISXCEED $76,375.00.
As the work will now be done in FY03 rather than FY02, it is fair and reasonable to
amend the contract to reflect the incres~e in fee based upon the CPI adjustment of
1.274% The recommended fee is reasonable, fair and necessary for the level of effort to
successfully complete the tasks. Thus, [ am now recommendin~ that the City of Mi~rnl
Beach enter into an amended contract for professional services within the La Gorce
neighborhood, with the A/E fwm of Reynolds, Smith and Hills, Inc. for a FEE NOT TO
EXCEED $328,410.00, as indicated in the attachment labeled SCHEDULE B-1.

2.1. DELETE Article 12.1 in its entirety and REPLACE it with the following Article 12.1:

employees, from liabilities, damages, losses and costs, including, but not limited to, reasonable
attorneys' fees, to the extent caused by the negligence, recklessness, or intentionally wrongful
conduct of the Consultant and other persons employed or utilized by the Consultant in the
performance of the Agreement."

CONSULTANT shall provide detail design and permitting services for the streetscape,
landscape, storm water, water main and wastewater gravity line replacement as identified on
the enclosed Exhibit A - 1. Seawall rehabilitation / replacement design and permitting for the
Cherokee Avenue street-end shall also be provided by CONSULTANT. Approximately 10,800
linear feet of water main replacement and 560 linear feet of wastewater gravity main
replacement (sanitary sewer segments 2097, 2097A and 2098) are included in
CONSULTANT's compensation. CONSULTANT's compensation provides for televising the
sanitary sewer line segments and reviewing the video tapes to verify the existence of sanitary
sewer laterals along the sewer line segments, if CONSULTANT elects to design the sewer
replacement via the pipe bursting method. Storm water improvements within the priority
drainage basin nos. 103, 117 and 118 and along the entire North Bay Road right-of-way from
Alton Road to La Gorce Drive are included in CONSULTANT's compensation. CONSULTANT's
effort includes the design and permitting to combine the proposed FDOT storm water system
along Alton Road with the La Gorce neighborhood storm water system."
Task 2.7 - Permitting Reviews, second paragraph, ADD the following to the second paragraph:
"CONSULTANT's compensation includes the necessary effort to prepare the required permit
applications with the appropriate support information, such as design calculations,
environmental / benthic / seagrass survey(s), bathymetric survey, etc. to support the seawall
permit application to all applicable agencies for the seawall rehabilitation ! replacement at the
Cherokee Avenue street-end."
Task 5 - Additional Services, first paragraph, DELETE the first paragraph in its entirety and
REPLACE it with the following:
'Additional services to support the design effort to be undertaken under Task 2 are described
herein. It is the intent of these additional services that the CONSULTANT investigate, develop
alternative traffic calming measures I traffic control devices and prepare permit applications to
support its detail design and permitting activities. CONSULTANT's effort to prepare the detail
design and obtain the necessary permit / approval of the approved traffic calming measure /
traffic control devices are included in its effort within Task 2."

County Department of Public Works and the Florida Department of Transportation for proposed
traffic calming counter-measure locations and / or new traffic control devices. These locations
will be determined after consultation with said agencies and the City. CONSULTANT shall meet
with the referenced agencies / City to identify the locations of the proposed traffic calming
locations / traffic control devices. CONSULTANT shall prepare meeting minutes with referenced
agencies and submit to the City. CONSULTANT shall prepare a technical memorandum
identifying the discussions and agreements reached with referenced agencies. The purpose of
the technical memorandum shall be to memorialize the CONSULTANT's work effort for the
subject task.

Department of Public Works. The referenced report shall be the basis for the Miami-Dade

Works and four (4) meetings with the State of Florida Department of Transportation, for a total
of eight (8) meetings. CONSULTANT shall prepare meeting minutes for each meeting and shall
submit to attendees and the CITY.

ADD the following Task 6.6, as follows:
"Task 6.6 - Traffic Counts:
CONSULTANT shall collect eight-hour traffic movement counts at up to 7 locations within the La
Gorce Neighborhood. Specific locations to be identified by CONSULTANT in support of
CONSULTANT's permitting effort for the proposed traffic calming / street closure counter-
measures along 51st Street and the La Gorce Park Area (north of 63rd Street).
Deliverables: ~ Seven (7) traffic movement counts
Schedule: - 30 working days from issuance of the Task 2 Notice to Proceed"
2.2.11 DELETE the la Gorce Neighborhood Proposed Drawing List and REPLACE it with the attached
La Gorce Neighborhood Proposed Drawing List.
2.2.12 Exhibit "A", DELETE Exhibit "A" and REPLACE with the attached "Exhibit A - 1 La Gorce".
2.1.13 ADD the following Schedule B -1 entitled "Consultant Compensation - Amendment No. 2".
All other provisions of the Agreement, as amended, are unchanged, and shall remain in full force and
effect.
