PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE CITY OF MIAMI BEACH
AND
SUNCOAST ELEVATOR SOLUTIONS, INC FOR
ELEVATOR MAINTENANCE, REPAIRS, PARTS AND NEW EQUIPMENT
PURSUANT TO
RFP 2018-008-JC
TFfis Professional Services Agreement (Agreement) is entered into this 34 day of
El H7 , 20 1£5 , between the CITY OF MIAMI BEACH, FLORIDA, a municipal
corporation organized and existing under the laws of the State of Florida, having its principal
offices at 1700 Convention Center Drive, Miami Beach, Florida, 33139 (the City), and
SUNCOAST ELEVATOR SOLUTIONS, INC, a CORPORATION, whose address is 7238 NW
70th STREET, MIAMI, FL 33166 ("Contractor).
SECTION 1
DEFINITIONS
Agreement: This Agreement between the City and Contractor, including any exhibits
and amendments thereto.
City Manager: The chief administrative officer of the City.
City Manager's
Designee: The City staff member who is designated by the City Manager to
administer this Agreement on behalf of the City. The City Manager's
designee shall be the Property Management Department Director.
Contractor: For the purposes of this Agreement, Contractor shall be deemed to be an
independent contractor, and not an agent or employee of the City.
Services: All services, work and actions by the Contractor performed or undertaken
pursuant to the Agreement, including all labor, materials, equipment,
supplies, tools, machinery, utilities, fabrication, transportation, insurance,
bonds, permits and conditions thereof, licenses, tests, quality assurance
and/or quality control inspections and related certifications, surveys,
studies, and other items, work and services that are necessary or
appropriate for the modernization, replacement, reburbishment, total
construction, installation, and functioning of the project or tasks specified
in any Contractor Service Order, together with all additional, collateral and
incidental items, and work and services required for delivery of a
completed, fully functional and functioning project as set forth in the
Contractor Service Order and the Contract Documents.
Fee: Amount paid to the Contractor as compensation for Services.
Contract Documents: Contract Documents shall mean this Professional Services Agreement,
and the City of Miami Beach RFP No. 2018-008-JC for ELEVATOR
MAINTENANCE, REPAIRS, PARTS AND NEW EQUIPMENT, together

with all amendments thereto, issued by the City in contemplation of this
Agreement, RFP, and the Contractor's proposal in response thereto
(Proposal), all of which are hereby incorporated and made a part hereof;
provided, however, that in the event of an express conflict between the
Contract Documents and this Agreement, the following order of precedent
shall prevail: this Agreement; RFP; and the Proposal.

SECTION 2
SCOPE OF SERVICES
2.1 Contractor hereby agrees to furnish ail Services described in the Contract Documents
and any Contractor Service Order issued to Contractor for any Services hereunder, and shall
perform all Services in accordance with the requirements of the Contract Documents.
Although Contractor may be provided with a schedule of the available hours to provide its
services, the City shall not control nor have the right to control the hours of the services
performed by the Contractor; where the services are performed (although the City will provide
Contractor with the appropriate location to perform the services); when the services are
performed, including how many days a week the services are performed; how the services are
performed, or any other aspect of the actual manner and means of accomplishing the services
provided. Notwithstanding the foregoing, all services provided by the Contractor shall be
performed in accordance with the terms and conditions set forth in Exhibit "A" and to the
reasonable satisfaction of the City Manager. If there are any questions regarding the services

2.2 Contractor's Services, and any deliverables incident thereto, shall be completed in
accordance with the timeline and/or schedule in any Contractor Service Order issued to the
Contractor. Contractor shall commence work or Services upon written notice to proceed in the
form of a Purchase Order issued by the City, and a contractor service order signed by either the
City Manager or the Department Director ordering the Services, specifying the specific tasks to
be performed by the Contractor for any Project ("Contractor Service Order"). A separate
Contractor Service Order shall be required prior to commencement of any Services on
any Project. The Purchase Order will not be issued until Contractor's submission to City of all
required documents (including but limited to: Payment and Performance Bonds (if any), and
Insurance Certificate) and after execution of the Contract by both parties. Contractor shall have
no entitlement to perform (or be compensated for) any Services under this Agreement, unless
such Services are authorized, at the City's sole discretion, by a Contractor Service Order. The
receipt of all necessary permits by Contractor and other documents required by the Contract
Documents or by any agencies having jurisdiction over the Project, if applicable, is a condition

precedent to the issuance of a Purchase Order to mobilize on any Project site and commence
any Services.
2.3. Contractor warrants to Owner that all labor, materials and equipment furnished as part of
the Services under this Agreement are of the type and quality required by the Contract
Documents, new (unless otherwise required or permitted by the Contract Documents) and
installed in a good and workmanlike manner and otherwise in accordance with the Contract
Documents. Contractor further warrants that the Services will be free from defects due to
defective materials or workmanship for a period of one (1) year following the City's final
acceptance of the Services. Should any defects develop during the one-year warranty period
due to defective materials or workmanship, Contractor shall repair or replace all defective or
deficient Services at Contractor's sole cost and expense. Should the Contractor fail to correct
any deficiencies within thirty (30) days of written notice by the City to cure, the City may, at its
option, correct the deficiencies and charge Contractor for the cost of such correction.
Contractor agrees to pay such charges upon demand.
SECTION 3
TERM
The term of this Agreement (Term) shall commence upon execution of this Agreement by all
parties hereto, and shall have an initial term of THREE (3) YEARS, with TWO (2), ADDITIONAL
ONE (1) YEAR renewal options, to be exercised at the City Manager's sole option and
discretion, by providing Contractor with written notice of same no less than thirty (30) days prior
to the expiration of the initial term.
Notwithstanding the Term provided herein, Contractor shall adhere to any specific timelines,
schedules, dates, and/or performance milestones for completion and delivery of the Services,
as same is/are set forth in the timeline and/or schedule referenced in Exhibit A hereto.
SECTION 4
FEE
4.1 In consideration of any Services to be provided hereunder, Contractor shall be
compensated on Time and Material basis or as a Lump Sum basis, as specified in the
Contractor Service Order.
4.2 INVOICING
Upon receipt of an acceptable and approved invoice, payment(s) shall be made within forty-five
(45) days for that portion (or those portions) of the Services satisfactorily rendered (and
referenced in the particular invoice). City may withhold, in whole or in part, payment to such
extent as may be necessary to protect itself from loss on account of:
0.0.1 Defective work or Services not remedied.
0.0.2 Claims filed or reasonable evidence indicating probable filing of claims by other
parties against Contractor or City because of Contractor's performance.

0.0.3 Failure of Contractor to make payments properly to Subcontractors or for
material or labor.
0.0.4 Damage to another contractor not remedied.
4.2.5 Failure of Contractor to provide any and all documents required by the Contract
Documents.
When the above grounds are removed or resolved satisfactory to the City Manager or
designee, payment shall be made in whole or in part.
Invoices shall include a detailed description of the Services (or portions thereof) provided, and
shall be submitted to the City at the following address:

SECTION 5
TERMINATION
5.1 TERMINATION FOR CAUSE
If the Contractor shall fail to fulfill in a timely manner, or otherwise violates, any of the
covenants, agreements, or stipulations material to this Agreement, the City, through its City
Manager, shall thereupon have the right to terminate this Agreement for cause. Prior to
exercising its option to terminate for cause, the City shall notify the Contractor of its violation of
the particular term(s) of this Agreement, and shall grant Contractor ten (10) days to cure such
default. If such default remains uncured after ten (10) days, the City may terminate this
Agreement without further notice to Contractor. Upon termination, the City shall be fully
discharged from any and all liabilities, duties, and terms arising out of, or by virtue of, this
Agreement.
Notwithstanding the above, the Contractor shall not be relieved of liability to the City for
damages sustained by the City by any breach of the Agreement by the Contractor. The City, at
its sole option and discretion, shall be entitled to bring any and all legal/equitable actions that it
deems to be in its best interest in order to enforce the City's right and remedies against
Contractor. The City shall be entitled to recover all costs of such actions, including reasonable
attorneys'fees.
5.2 TERMINATION FOR CONVENIENCE OF THE CITY
THE CITY MAY ALSO, THROUGH ITS CITY MANAGER, AND FOR ITS
CONVENIENCE AND WITHOUT CAUSE, TERMINATE THE AGREEMENT AT ANY
TIME DURING THE TERM BY GIVING WRITTEN NOTICE TO CONTRACTOR OF

SUCH TERMINATION; WHICH SHALL BECOME EFFECTIVE WITHIN THIRTY (30)
DAYS FOLLOWING RECEIPT BY THE CONTRACTOR OF SUCH NOTICE.
ADDITIONALLY, IN THE EVENT OF A PUBLIC HEALTH, WELFARE OR SAFETY
CONCERN, AS DETERMINED BY THE CITY MANAGER, IN THE CITY MANAGER'S
SOLE DISCRETION, THE CITY MANAGER, PURSUANT TO A VERBAL OR
WRITTEN NOTIFICATION TO CONTRACTOR, MAY IMMEDIATELY SUSPEND THE
SERVICES UNDER THIS AGREEMENT FOR A TIME CERTAIN, OR IN THE
ALTERNATIVE, TERMINATE THIS AGREEMENT ON A GIVEN DATE. IF THE
AGREEMENT IS TERMINATED FOR CONVENIENCE BY THE CITY, CONTRACTOR
SHALL BE PAID FOR ANY SERVICES SATISFACTORILY PERFORMED UP TO THE
DATE OF TERMINATION; FOLLOWING WHICH THE CITY SHALL BE DISCHARGED
FROM ANY AND ALL LIABILITIES, DUTIES, AND TERMS ARISING OUT OF, OR BY
VIRTUE OF, THIS AGREEMENT.
5.3 TERMINATION FOR INSOLVENCY
The City also reserves the right to terminate the Agreement in the event the Contractor is
placed either in voluntary or involuntary bankruptcy or makes an assignment for the benefit of
creditors. In such event, the right and obligations for the parties shall be the same as provided
for in Section 5.2.
SECTION 6
INDEMNIFICATION AND INSURANCE REQUIREMENTS
6.1 INDEMNIFICATION
Contractor agrees to indemnify and hold harmless the City of Miami Beach and its officers,
employees, agents, and contractors, from and against any and all actions (whether at law or in
equity), claims, liabilities, losses, and expenses, including, but not limited to, attorneys' fees and
costs, for personal, economic or bodily injury, wrongful death, loss of or damage to property,
which may arise or be alleged to have arisen from the negligent acts, errors, omissions or other
wrongful conduct of the Contractor, its officers, employees, agents, contractors, or any other
person or entity acting under Contractor's control or supervision, in connection with, related to,
or as a result of the Contractor's performance of the Services pursuant to this Agreement. To
that extent, the Contractor shall pay all such claims and losses and shall pay all such costs and
judgments which may issue from any lawsuit arising from such claims and losses, and shall pay
all costs and attorneys' fees expended by the City in the defense of such claims and losses,
including appeals. The Contractor expressly understands and agrees that any insurance
protection required by this Agreement or otherwise provided by the Contractor shall in no way
limit the Contractor's responsibility to indemnify, keep and save harmless and defend the City or
its officers, employees, agents and instrumentalities as herein provided.
The parties agree that one percent (1%) of the total compensation to Contractor for
performance of the Services under this Agreement is the specific consideration from the City to
the Contractor for the Contractor's indemnity agreement. The provisions of this Section 6.1 and
of this indemnification shall survive termination or expiration of this Agreement.

6.2 INSURANCE REQUIREMENTS
The Contractor shall maintain and carry in full force during the Term, the following insurance:
1. Contractor General Liability, in the amount of$1,000,000;
2. Contractor Professional Liability, in the amount of$200,000; and
3. Workers Compensation & Employers Liability, as required pursuant to Florida Statutes.
The insurance must be furnished by insurance companies authorized to do business in the
State of Florida. All insurance policies must be issued by companies rated no less than "B+" as
to management and not less than "Class VI" as to strength by the latest edition of Bests
Insurance Guide, published by A.M. Best Company, Oldwick, New Jersey, or its equivalent.
All of Contractor's certificates shall contain endorsements providing that written notice shall be
given to the City at least thirty (30) days prior to termination, cancellation or reduction in
coverage in the policy. The insurance certificates for General Liability shall include the City as
an additional insured and shall contain a waiver of subrogation endorsement.
Original certificates of insurance must be submitted to the City's Risk Manager for approval
(prior to any work and/or services commencing) and will be kept on file in the Office of the Risk
Manager. The City shall have the right to obtain from the Contractor specimen copies of the
insurance policies in the event that submitted certificates of insurance are inadequate to
ascertain compliance with required coverage.
The Contractor is also solely responsible for obtaining and submitting all insurance certificates
for any sub-Contractors.
Compliance with the foregoing requirements shall not relieve the Contractor of the liabilities and
obligations under this Section or under any other portion of this Agreement.
The Contractor shall not commence any work and or services pursuant to this Agreement until
all insurance required under this Section has been obtained and such insurance has been
approved by the City's Risk Manager.
6.3 PERFORMANCE AND PAYMENT BOND
The City will require a performance and payment bond for any project in excess of
$200,000. Within ten (10) calendar days of City execution of the Contractor Service
Order, Contractor shall furnish a Performance Bond and a Payment Bond containing all
the provisions of the Performance Bond and Payment Bond attached hereto as forms
00710 and 00720.
6.3.1 Each Bond shall be in the amount of one hundred percent (100%) of the
Contractor Service Order, guaranteeing to City the completion and performance
of the work covered in such Contract as well as full payment of all suppliers,
laborers, or subcontractors employed pursuant to this Project. The City may
accept a Performance Bond and Payment Bond from a surety company which
has twice the minimum surplus and capital required by the Florida Insurance
Code at the time the invitation to bid is issued, if the surety company is otherwise
in compliance with the provisions of the Florida Insurance Code, and if the surety
company holds a currently valid certificate of authority issued by the United

States Department of the Treasury under Section 9304 to 9308 of Title 31 of the
United States Code, as may be amended from time to time. The Certificate and
Affidavit so certifying (Form 00722) should be submitted with the Bid Bond and
also with the Performance Bond and Payment Bond.
6.3.2 Each Bond shall continue in effect for one year after Final Completion and
acceptance of the work with liability equal to one hundred percent (100%) of the
Contract sum, or an additional bond shall be conditioned that Contractor will,
upon notification by City, correct any defective or faulty work or materials which
appear within one year after Final Completion of the Contract.
6.3.3 Pursuant to the requirements of Section 255.05(1)(a), Florida Statutes, as may
be amended from time to time, Contractor shall ensure that the bond(s)
referenced above shall be recorded in the public records of Miami-Dade County
and provide City with evidence of such recording.
SECTION 7
LITIGATION JURISDICTIONNENUE/JURY TRIAL WAIVER
This Agreement shall be construed in accordance with the laws of the State of Florida. This
Agreement shall be enforceable in Miami-Dade County, Florida, and if legal action is necessary
by either party with respect to the enforcement of any or all of the terms or conditions herein,
exclusive venue for the enforcement of same shall lie in Miami-Dade County, Florida. By
entering into this Agreement, Contractor and the City expressly waive any rights either party
may have to a trial by jury of any civil litigation related to or arising out of this Agreement.
SECTION 8
LIMITATION OF CITY'S LIABILITY
The City desires to enter into this Agreement only if in so doing the City can place a limit on the
City's liability for any cause of action, for money damages due to an alleged breach by the City
of this Agreement, so that its liability for any such breach never exceeds the sum of $10,000.
Contractor hereby expresses its willingness to enter into this Agreement with Contractor's
recovery from the City for any damage action for breach of contract to be limited to a maximum
amount of$10,000.
Accordingly, and notwithstanding any other term or condition of this Agreement, Contractor
hereby agrees that the City shall not be liable to the Contractor for damages in an amount in
excess of $10,000 for any action or claim for breach of contract arising out of the performance
or non-performance of any obligations imposed upon the City by this Agreement.
Nothing contained in this section or elsewhere in this Agreement is in any way intended to be a
waiver of the limitation placed upon the City's liability, as set forth in Section 768.28, Florida
Statutes.

SECTION 9
DUTY OF CARE/COMPLIANCE WITH APPLICABLE LAWS/PATENT RIGHTS; COPYRIGHT'
AND CONFIDENTIAL FINDINGS
9.1 DUTY OF CARE
With respect to the performance of the work and/or service contemplated herein, Contractor
shall exercise that degree of skill, care, efficiency and diligence normally exercised by
reasonable persons and/or recognized professionals with respect to the performance of
comparable work and/or services.
9.2 COMPLIANCE WITH APPLICABLE LAWS
In its performance of the work and/or services, Contractor shall comply with all applicable laws,
ordinances, and regulations of the City, Miami-Dade County, the State of Florida, and the
federal government, as applicable.
9.3 PATENT RIGHTS; COPYRIGHT; CONFIDENTIAL FINDINGS
Any work product arising out of this Agreement, as well as all information specifications,
processes, data and findings, are intended to be the property of the City and shall not otherwise
be made public and/or disseminated by Contractor, without the prior written consent of the City
Manager, excepting any information, records etc. which are required to be disclosed pursuant to
Court Order and/or Florida Public Records Law.
All reports, documents, articles, devices, and/or work produced in whole or in part under this
Agreement are intended to be the sole and exclusive property of the City, and shall not be
subject to any application for copyright or patent by or on behalf of the Contractor or its
employees or sub-Contractors, without the prior written consent of the City Manager.
SECTION 10
GENERAL PROVISIONS
10.1 AUDIT AND INSPECTIONS
Upon reasonable verbal or written notice to Contractor, and at any time during normal
business hours (i.e. 9AM — 5PM, Monday through Fridays, excluding nationally recognized
holidays), and as often as the City Manager may, in his/her reasonable discretion and
judgment, deem necessary, there shall be made available to the City Manager, and/or such
representatives as the City Manager may deem to act on the City's behalf, to audit, examine,
and/ or inspect, any and all other documents and/or records relating to all matters covered by
this Agreement. Contractor shall maintain any and all such records at its place of business at
the address set forth in the "Notices" section of this Agreement.
10.2 CONTRACT DOCUMENTS. This Contract is part of, and incorporated in, the Contract
Documents. Accordingly, all of the documents incorporated by the Contract Documents shall
govern any Contractor Service Order issued under this Contract.

10.3 ASSIGNMENT, TRANSFER OR SUBCONSULTING
Contractor shall not subcontract, assign, or transfer all or any portion of any work and/or
service under this Agreement without the prior written consent of the City Manager, which
consent, if given at all, shall be in the Manager's sole judgment and discretion. Neither this
Agreement, nor any term or provision hereof, or right hereunder, shall be assignable unless as
approved pursuant to this Section, and any attempt to make such assignment (unless
approved) shall be void.
10.4 PUBLIC ENTITY CRIMES
Prior to commencement of the Services, the Contractor shall file a State of Florida Form PUR
7068, Sworn Statement under Section 287.133(3)(a) Florida Statute on Public Entity Crimes
with the City's Procurement Division.
10.5 NO DISCRIMINATION
In connection with the performance of the Services, the Contractor shall not exclude from
participation in, deny the benefits of, or subject to discrimination anyone on the grounds of
race, color, national origin, sex, age, disability, religion, income or family status.
Additionally, Contractor shall comply fully with the City of Miami Beach Human Rights
Ordinance, codified in Chapter 62 of the City Code, as may be amended from time to time,
prohibiting discrimination in employment, housing, public accommodations, and public
services on account of actual or perceived race, color, national origin, religion, sex,
intersexuality, gender identity, sexual orientation, marital and familial status, age, disability,
ancestry, height, weight, domestic partner status, labor organization membership, familial
situation, or political affiliation.
10.6 CONFLICT OF INTEREST
Contractor herein agrees to adhere to and be governed by all applicable Miami-Dade County
Conflict of Interest Ordinances and Ethics provisions, as set forth in the Miami-Dade County
Code, as may be amended from time to time; and by the City of Miami Beach Charter and
Code, as may be amended from time to time; both of which are incorporated by reference as if
fully set forth herein.
Contractor covenants that it presently has no interest and shall not acquire any interest,
directly or indirectly, which could conflict in any manner or degree with the performance of the
Services. Contractor further covenants that in the performance of this Agreement, Contractor
shall not employ any person having any such interest. No member of or delegate to the
Congress of the United States shall be admitted to any share or part of this Agreement or to
any benefits arising therefrom.
10.7 CONTRACTOR'S COMPLIANCE WITH FLORIDA PUBLIC RECORDS LAW
(A) Contractor shall comply with Florida Public Records law under Chapter 119, Florida
Statutes, as may be amended from time to time.
(B) The term "public records" shall have the meaning set forth in Section 119.011(12), which

means all documents, papers, letters, maps, books, tapes, photographs, films, sound
recordings, data processing software, or other material, regardless of the physical form,
characteristics, or means of transmission, made or received pursuant to law or
ordinance or in connection with the transaction of official business of the City.
(C) Pursuant to Section 119.0701 of the Florida Statutes, if the Contractor meets the
definition of"Contractor" as defined in Section 119.0701(1)(a), the Contractor shall:
(1) Keep and maintain public records required by the City to perform the service;
(2) Upon request from the City's custodian of public records, provide the City with a
copy of the requested records or allow the records to be inspected or copied
within a reasonable time at a cost that does not exceed the cost provided in
Chapter 119, Florida Statutes or as otherwise provided by law;
(3) Ensure that public records that are exempt or confidential and exempt from
public records disclosure requirements are not disclosed, except as authorized
by law, for the duration of the contract term and following completion of the
Agreement if the Contractor does not transfer the records to the City;
(4) Upon completion of the Agreement, transfer, at no cost to the City, all public
records in possession of the Contractor or keep and maintain public records
required by the City to perform the service. If the Contractor transfers all public
records to the City upon completion of the Agreement, the Contractor shall
destroy any duplicate public records that are exempt or confidential and exempt
from public records disclosure requirements. If the Contractor keeps and
maintains public records upon completion of the Agreement, the Contractor shall
meet all applicable requirements for retaining public records. All records stored
electronically must be provided to the City, upon request from the City's
custodian of public records, in a format that is compatible with the information
technology systems of the City.
(D) REQUEST FOR RECORDS; NONCOMPLIANCE.
(1) A request to inspect or copy public records relating to the City's contract for
services must be made directly to the City. If the City does not possess the
requested records, the City shall immediately notify the Contractor of the request,
and the Contractor must provide the records to the City or allow the records to be
inspected or copied within a reasonable time.
(2) Contractor's failure to comply with the City's request for records shall constitute a
breach of this Agreement, and the City, at its sole discretion, may: (1) unilaterally
terminate the Agreement; (2) avail itself of the remedies set forth under the
Agreement; and/or(3) avail itself of any available remedies at law or in equity.
(3) A Contractor who fails to provide the public records to the City within a
reasonable time may be subject to penalties under s. 119.10.
(E) CIVIL ACTION.
(1) If a civil action is filed against a Contractor to compel production of public records
relating to the City's contract for services, the court shall assess and award
against the Contractor the reasonable costs of enforcement, including
reasonable attorney fees, if:
a. The court determines that the Contractor unlawfully refused to comply with
the public records request within a reasonable time; and
b. At least 8 business days before filing the action, the plaintiff provided written
notice of the public records request, including a statement that the
Contractor has not complied with the request, to the City and to the

Contractor.
(2) A notice complies with subparagraph (1)(b) if it is sent to the City's custodian of
public records and to the Contractor at the Contractor's address listed on its
contract with the City or to the Contractor's registered agent. Such notices must
be sent by common carrier delivery service or by registered, Global Express
Guaranteed, or certified mail, with postage or shipping paid by the sender and
with evidence of delivery, which may be in an electronic format.
(3) A Contractor who complies with a public records request within 8 business days
after the notice is sent is not liable for the reasonable costs of enforcement.
(F) IF THE CONTRACTOR HAS QUESTIONS REGARDING THE
APPLICATION OF CHAPTER 119, FLORIDA STATUTES, TO THE
CONTRACTOR'S DUTY TO PROVIDE PUBLIC RECORDS

Notice may also be provided to any other address designated by the party to receive notice if such
alternate address is provided via U.S. certified mail, return receipt requested, hand delivered, or by
overnight delivery. In the event an alternate notice address is properly provided, notice shall be
sent to such alternate address in addition to any other address which notice would otherwise be
sent, unless other delivery instruction as specifically provided for by the party entitled to notice.
Notice shall be deemed given on the date of an acknowledged receipt, or, in all other cases, on the
date of receipt or refusal.
SECTION 12
MISCELLANEOUS PROVISIONS
12.1 CHANGES AND ADDITIONS
This Agreement cannot be modified or amended without the express written consent of the
parties. No modification, amendment, or alteration of the terms or conditions contained herein
shall be effective unless contained in a written document executed with the same formality and
of equal dignity herewith.
12.2 SEVERABILITY
If any term or provision of this Agreement is held invalid or unenforceable, the remainder of this
Agreement shall not be affected and every other term and provision of this Agreement shall be
valid and be enforced to the fullest extent permitted by law.
12.3 ENTIRETY OF AGREEMENT
The City and Contractor agree that this is the entire Agreement between the parties. This
Agreement supersedes all prior negotiations, correspondence, conversations, agreements or
understandings applicable to the matters contained herein, and there are no commitments,
agreements or understandings concerning the subject matter of this Agreement that are not
contained in this document. Title and paragraph headings are for convenient reference and are
not intended to confer any rights or obligations upon the parties to this Agreement.
12.4 ROADMAP FOR PROJECTS AWARDED PURSUANT TO POOL OF PRE-QUALIFIED
CONTRACTORS
In lieu of a time and materials order, the project/contract manager may request quotes from
contractors authorized to participate in the Pre-Qualified Contractor Pool for modernization, new
construction, replacement and refurbishment projects. Responsive, responsible bidders
(awarded or not) are eligible to participate in the Pre-Qualified Contractor Pool, at the discretion
of the bidder and as indicated on the Cost Proposal Form at the time of submission. At its own
expense, the contractor shall visit the site and prepare a detailed lump sum bid, based on the
contractor's contract rates for accomplishing the work. Each bid prepared by the contractor
shall include an acceptable description of the nature, extent and character of the work required,

as well as performance and delivery schedules. In this case, projects may be awarded on a
Lump Sum or Time and Material basis as determined by the project/contract manager.
In consideration of the Work to be provided hereunder, Contractor shall be compensated
on Time and Material basis or as a Lump Sum basis, as specified in the Contractor Service
Order.
12.4.1 TIME AND MATERIAL BASIS
The City may award work on a time and materials basis in accordance with hourly rates
and administrative mark-ups offered. The Project Manager shall select the contractor
deemed to be best qualified for the project. In doing so, the criteria specified in Section
2-369 of the City Code may be considered. In the event that the contractor with the
lowest cost is not selected, the reason(s) shall be documented on the purchase
requisition.
12.4.2 For parts and materials ordered under this option, vendors shall provide quotes
or invoice, as determined by the Contract Manager, based on the cost of parts
and materials plus the agreed to mark-up. In determining cost of materials to
which the mark-up may be applied, the contracting officer may require the
vendor to provide actual cost of parts and materials (i.e. contractor's invoice,
MSRP, etc.),
12.5 LUMP SUM BASIS
In lieu of a time and materials order, the project/contract manager may request quotes
from contractors authorized to participate in the Pre-Qualified Bidder Pool. Responsive,
responsible bidders (awarded or not) are eligible to participate in the Pre-Qualified
Bidder Pool, at the discretion of the bidder and as indicated on the Cost Proposal Form
at the time of submission. At its own expense, the contractor shall visit the site and
prepare a lump sum detailed quotation (inclusive of all labor, materials, and all other
costs. Each quote prepared by the contractor shall include an acceptable description of
the nature, extent and character of the work required, as well as performance and
delivery schedules. In the alternative, project managers may require an itemized
breakdown of the lump sum amounts.
12.5.1 For projects with an estimated cost up to the amount specified in City Procedure
PO16.02, Threshold Category 1 (currently $10,000 or as amended), the
project/contract manager may select the contractor deemed to be best
qualified.
12.5.2 For projects with an estimated cost exceeding the amount specified in City
Procedure PO16.02, Threshold Category 1 (currently $10,000 or as amended),
the project/contract manager shall solicit three quotes. Following the
determination of the best quote, in the Department's Director sole discretion, a
Contractor Service Order shall be executed for the project, (see section 5.3),
prior to issuing a Purchase Order. The City Manager's approval, along with a
justification, is also required when the contractor offering the lowest cost is not
selected.

12.5.3 For projects $50,000 or greater, the City Manager's approval is required and a
Contractor Service Order shall be executed for the project. The City Manager's
approval, along with a justification, is also required when the contractor offering
the lowest cost is not selected.
12.5.4 Contractor shall be instructed to commence the Work by written instructions as
further detailed in Section 3.3. Contractor shall commence scheduling
activities, permit applications and other preconstruction work within five (5)
calendar days after receipt of Purchase Order, which date shall establish the
Project Initiation Date.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed
by their appropriate officials, as of the date first entered above.

SCOPE OF SERVICES
1. STATEMENT OF WORK FOR GROUPS 1-4. The elevator contractor(s) shall provide
monthly, quarterly and annually routine examinations, maintenance, as-needed cleaning,
lubrication, adjustment, replacement of parts, non-routine and emergency services, and
performance of applicable code-required safety tests. Elevator contractor(s) shall provide
materials, labor, transportation, supplies, parts, tools, scaffolding, machinery, hoists, employee
safety equipment, equipment, lubricants, supervision, applicable taxes, and all other services
and materials required under this RFP. Additionally, the awarded contractor(s) shall be
responsible for reprogramming the dialers for emergency communications, at no additional cost
to the City of Miami Beach
C3.1 Dedicated Technician.
The City requires the contractor assign at least one (1) dedicated service technician
capable of providing services forty (40) hours per week to City of Miami Beach elevators.
C3.2 Requirements for Monthly Maintenance and Inspections.
Pursuant to the service maintenance contract, contractor(s) shall perform all monthly
inspections and related maintenance of City elevators in accordance with the elevator
manufacturer's recommendations, and per applicable Florida Statutes, 61C-5
(Florida Elevator Safety Code), Florida Building Code, NFPA 70 National Electrical
Code, NFPA 72 National Fire Alarm Code, and ASME A17.1 Safety Code for Elevators
and Escalators.
A written performance record of monthly inspections and maintenance visits will be
logged on a contractor-provided checklist, and will be maintained up-to-date in the
machine room associated with that elevator.
Tasks to be completed shall include, but not limited to, the following:
1) Ride elevator and observe performance.
2) Maintain all safety and fire service key switches in accordance with current
applicable codes.
3) Check door closing force and leveling accuracy.
4) Check car stop switches.
5) Check all emergency communications, lighting, signals, alarms, car and hall buttons
and illumination.
6) Check fire service operation and record on separate contractor(s) supplied fire
service log in accordance with current applicable code.
7) Check, clean and lube all landing door hardware.
8) Check, clean and lube all car doors and door operator hardware.
9) Clean and inspect car top, operating switches, door operator, bearings, cams and
controls, car door hangers, gibs, detector and or photo eyes and safety edge.
10)Maintain all controllers, relays, contacts, coils, timers, circuit boards, microprocessor
boards, controller wiring, travel cable wiring and hoistway wiring.
11)Clean and inspect hoistway door hangers, interlocks, linkage, pick up assembly, door

gibs and hoistway switches.
12)Clean and inspect hoist machine, controller, selector, motor, motor generator/SCR,
governor and break operation.
13)Clean and inspect machine room and pit equipment including illumination.
14)Inspect jack/piston unit, packing, packing gland and oil recovery device.
15)Clean and inspect pump including screens, filters, hoses and connection fittings.
16)Clean and inspect all valves, relief valves, leveling valves, cheek valves, strainers
and gaskets.
17)Controller and selector is in good mechanical condition, fuses proper rating and type,
all connections tight, no heating, cleanliness of electrical equipment and bottom of
cabinets.
18)Check motor generators are clean, run quiet and cool, brushes move free and are in
good condition with proper spring loading, field coils are tight, no armature
discoloration, no sparking at brushes, electrical connections are tight.
19)Replace signal fixture light bulbs. The elevator contractor(s) will be responsible for
the replacement of fixture screws with proper, matching hex head or vandal type
stainless steel screws on all signal fixture devices.
20)Check condition of door operator, belts, chains, cams, wire connections, and all covers
in place.
21)Check safety mechanisms, free of rust, dirt, lubricated, proper safety jaw clearance
22)Hydraulic elevators also require examine hydraulic pistons are smooth without scraps
or gouges allowing damage to packing glands or excessive oil carry on pistons.
23)Check governor is clean and lubricated, linkage condition, bearing condition,
clearance and proper operation.
24)Remove dirt and lint buildups from guide rails, beams, divider beams, car tops and
bottom of platforms, pit and pit equipment and all other areas of the hoistway or
under escalator spaces or wellways.
C3.3 Requirements for Quarterly/Annual Maintenance.
Pursuant to the service maintenance contract, contractor(s) shall perform all quarterly
and/or annual inspections and maintenance of City elevators in accordance with the
elevator manufacturer's recommendations, and per Florida Statutes, 61C-5 (Florida
Elevator Safety Code), NFPA 70 National Electrical Code, NFPA 72 National Fire Alarm
Code, and ASME A17.1 Safety Code for Elevators and Escalators.
A written performance record of quarterly inspections and maintenance visits will be
logged on a contractor-provided checklist, and will be kept up-to-date in the machine
room associated with that elevator.
Tasks to be completed shall include, but not limited to, the following:
1) Inspect rope shackles, car and counter weight guides, frame and hoistway sheaves.
2) Inspect, rotate and equalize hoist cables, lubricate as needed, inspect shackles.
3) Check and adjust break.
4) Inspect traveling cable.
5) Inspect complete safety circuit, including governor rope hitch.
6) Check motor and pump sheave alignment.
7) Clean and adjust controller components including contacts, relays and timers.
8) Inspect and maintain adjustment of roller/slide car guides including bearings.

9) Clean, inspect selector drive and lubricate selector cables and or tapes, lubricate
selector drive worm.
10)Clean and inspect all car and hoistway door contacts and interlocks.
11)Inspect all oil lines and supports.
12)Check condition of both hoist ropes, counter weight frames, and compensation ropes
for proper connections and balance of loads including retaining sheaves, deflector
sheaves, idler sheaves or other guides or guards for wear or damage.
13)Elevator contractor(s) shall lubricate equipment at intervals recommended by
equipment Manufacturer, or as dictated by use of equipment.
14)Elevator contractor(s) shall paint equipment at intervals frequently enough to
maintain a professional appearance, prevent rusting, and preserve the equipment.
15)Verify all rope sheaves for groove wear or condition, sheave keys, brake shoe wear,
brake switches, brakes dragging, proper stopping.
16)Rope shall be re-tensioned, as-needed during quarterly maintenance, and/or no less
than once annually.
17)Check car top for cleanliness, condition of car top lighting, safety rails, fans, rope
condition, condition of rope tension springs, rope tension is not more than 5% equal
within rope set, roller or slide guides, lubrication, no parts storage, and sheave
condition.
C3.4 Requirements for Repairs.
The elevator contractor(s) must be able to provide all repair parts for the elevators within
48 hours. Other parts, considered major replacement parts, must be available within
normal industry standard lead-time. Replacement parts will comply with the following:
1) Where a listed/certified device is replaced, the replacement shall be subject to the
applicable engineering or type test, and the requirements of CAN/CSA 844.1 /ASME
A17.1. The device shall be labeled by the certifying organization.
2) In performing services, elevator contractor(s) agrees to provide parts obtained from
or recommended by Manufacturer(s) of equipment for replacement or repair.
Equivalent parts may be used if approved by the City in writing. Parts requiring
repair or machining shall be rebuilt to "like new" 'condition.
3) Parts or equipment required by services may not be removed from the Property
without written approval of the City. This does not include renewal parts stocked on
the job by elevator contractor(s), which shall remain elevator contractor's sole
property until installed on the equipment.
4) Shutdowns for emergency minor adjustment and minor repair callback service shall
be minimized. Verifiable shutdown frequency shall be maintained at no more than 2
per unit, per year, not including shutdowns due to vandalism, power loss or misuse
of the equipment.
C3.5 Service Hours and Service Calls.
Regular Hours of Service:
Unless otherwise noted under this RFP, regular hours of service shall be performed
between the hours of 7:30 a.m. and 5:30 p.m., Monday through Friday, excluding City
holidays. AH service calls outside these hours and days will be considered non-regular.

Emergency Calls:
Contractor(s) shall provide 24-hour, 365-days-a-year callback service (callback is
defined as any request for service or assistance by the City or the City's s representative
when elevators are not available for beneficial usage due to equipment shutdown or
malfunction). Emergency calls may occur, but not limited to, the following conditions:
1. Passenger entrapments; emergency calls, at any hour, for stranded elevators
carrying passengers shall be responded to immediately but not more than
ONE (1) HOUR from time of call to contractor(s).
2. The elevator contractor(s) is responsible to respond to all emergency
communications initiated from the elevator in-car communication instrument,
24 hours per day, 7 days a Week. The response location may be the office
of the elevator contractor(s) or a licensed telephone answering service. The
response location must be capable of identifying the building location and
the identifying number of the elevator from which the emergency
communication originated. The response location must have the ability to
initiate emergency calls to each elevator as may be required including
proper record keeping of each elevator phone number.
Non-emergency Calls:
Elevator contractor(s) shall respond to callback service within TWO (2) HOURS from the
time of notification for non-emergency calls.
To assure that the City of Miami Beach receives the quality and response necessary to
insure the safety of the passengers of this equipment, and achieve the maximum
designed life cycle of the covered equipment, the City may impose deductions as
liquidated damages. These liquidated damages may be deducted from the monthly
contract amount due, up to and including the full monthly contract price of the affected
equipment, for failure to perform in accordance with the contract. The monthly payment
reduction may be based upon the following schedule:
Late Response to Service Call 10% per Occurrence
No Response to Service Call 25% per Occurrence
Non-Performance 10% per Event
*Non-performance will be inclusive of, but not limited to:
(1) Similar failure of equipment more than two (2) times, during a 60-day period.
(2) Failure to take corrective action on statutory elevator inspection reports authorized
by the City of Miami Beach shall be construed to be non-performance.
(3) Failure to complete repair work in a timely manner as approved.
Removal of elevators from beneficial usage to facilitate services by elevator contractor(s)
shall be coordinated with and approved by the City, in writing. The City agrees to permit
elevator contractor(s) to remove elevators from service for a reasonable time during
hours identified herein, to perform services pursuant to this RFP, and promptly notified of
the anticipated completion timeframe.

C3.6 Services Checklist.
A Services Checklist shall be provided by the contractor(s) to the City, listing items in
accordance with AMSE A17.1 and 61C-5.001, F.A.C., to be observed, cleaned,
lubricated, adjusted and repaired, including the frequency of each activity (e.g., monthly,
quarterly, annually), as indicated below:
1) The Services Checklist is to remain in the elevator machine room as a reference for
the City and elevator contractor(s) of past and current maintenance activities
conducted and performed by the elevator contractor(s).
2) The Services Checklist shall contain a Call back Log, or a Call back Log shall be
provided separately.
3) The Services Checklist shall be thorough, detailed and complete in every respect,
acceptable to the City of Miami Beach and shall be initialed by the servicing
technician at the time of completion of all maintenance routines.
4) At the conclusion of each 12-Month service period, Services Checklists shall be
collected and turned over to the City of Miami Beach Property Management Director,
or designee.
5) Data shall be accessible by City of Miami Beach via copy or electronic printout at all
times.
6) Log or electronic printout shall include all entries for maintenance, repairs, tests,
callbacks and supervisor's surveys.
7) City of Miami Beach shall be allowed to inspect and copy log or electronic printout
and maintenance schedule at any time by electronic means.
8) Entries shall include:
a. Date work is completed;
b. Mechanic's or Supervisors name;
c. Brief description of work completed, including elevator number and number.
2. STATEMENT OF WORK FOR GROUP 5 (POOL OF PREQUALIFIED CONTRACTOR(S):
MODERNIZATION, NEW CONSTRUCTION, REPLACEMENT, REFURBISHMENT PROJECTS)
Contractor shall participate in Group 5, a pool of prequalified elevator contractors for non-routine
engagements that may include (but not be limited to) major refurbishments and modernizations,
and installation of new equipment. All work shall be completed in full accordance with Chapter
399, Florida Statutes, as well as Florida Administrative Code 61C-5 (Florida Elevator Safety
Code), NFPA 70 National Electrical Code, NFPA 72 National Fire Alarm Code and ASME
(American Society of Mechanical Engineers) 17.1 Safety Code for Elevators and Escalators.
This section, as applied to the RFP, refers to improvement of the overall operation of the
equipment, new construction, modernization, replacement and refurbishment project(s), on an
as-needed basis. This may include a full modernization, which could include the replacement of
the drive system, doors, cabs, car frame, and related critical equipment. A minor modernization
may include only the replacement of the door operator, a door, a door re-opening device, a cab
or cabs. Additionally, it is the intent of the City to establish a pool of qualified elevator
contractor(s) from which all future modernization overhaul projects may be solicited, pursuant to
Group 5 of Appendix E, Cost Proposal Form.

3. SERVICES DOCUMENTATION AND RECORDS
3.1 Service Receipts.
The contractor(s) shall submit monthly (with their invoice) to the City, a copy of the
mechanic's service receipt indicating the date, time and nature of service performed.
These service receipts shall be signed by a responsible City of Miami Beach
employee at the time the work is performed, and a copy of this service receipt or
time ticket shall be given to the responsible City of Miami Beach employee signing the
document at the time of signing, for site records. Firms using electronic media for
company internal storage and transmittal of time shall provide a hard copy of the
time ticket to the City Project Manager, or designee, at the completion of each day
or service performed, as applicable. In the event the mechanic cannot get the
signature of a responsible City of Miami Beach employee to give credit for the extra
time expended in an emergency call response and/or repairs, they will leave a copy
of the service receipt in the machine room and/or complete log book provided by the
City of Miami Beach, and so advise the City within 24 hours.
3.2 Survey Reports.
The contractor(s) shall perform a complete survey of the equipment annually to insure
compliance with the contract and determine the condition of equipment. The contractor(s)
shall submit above annual supervisor's inspection report, to the City Project Manager, due
at the completion of each month for those surveys completed in the prior month, during the
contract year. The inspection/survey report must be performed and signed by the
contractor's maintenance supervisor.
3.3 Monthly Logs.
The contractor(s) shall provide the Property Management Director, or designee, with
a monthly log of all callbacks, repairs and minor adjustments made, in addition to the
maintenance work performed. This log shall consist of the time the complaint was
registered, the nature of the complaint, the correction of the problem and the amount
of time required correcting the problem. For Hydraulic elevators, the log book shall
also be used to record all oil usage for each elevator. The record shall reflect all
items required by code to be recorded, and shall include all oil stored on site, all oil
recovered and the re-use or disposal of same, dates of each new transaction of oil
usage (add or dispose) and the name of the technician entering the information.
3.4 Maintenance Records.
Maintenance records shall document compliance with Florida Elevator Safety Code,
ASME A17.1 Safety Code for Elevators and Escalators, including the all current,
applicable Florida Statutes, onsite and shall include records on the following activities. The
records shall be kept in the elevator machine room and shall always be readily available to
the City and/or building administrator and elevator personnel; Description of maintenance
tasks performed, and dates the tasks were performed; Descriptions and dates of
examinations, tests, adjustments, repairs, and replacements; Descriptions and dates of
call backs (trouble calls), or reports that are reported to elevator personnel by any means,

including corrective action taken; and an onsite written record of the findings on
Maintenance of Firefighters' Service Monthly.
3.5 TimeANork Tickets.
Regardless of the reason for the visit to the building, the elevator contractor(s) will leave
an appropriate and legible time ticket indicating the type of work performed and the
amount of time expended.
4. CONTRACTOR'S PERSONNEL
4.1 Employees.
Elevator contractor(s) shall have in its employ at all times a sufficient number of capable
employees to properly, safely, promptly and adequately provide all services. No
employees without a valid State of Florida Elevator Certificate of Competency shall be
allowed to work on any City elevators at any City locations unless directly supervised by a
licensed elevator mechanic within direct line of sight and natural voice communication at
all times. Elevator contractor(s) shall submit a copy of this Certificate to the City prior to
award. No employees without a valid Elevator Certified Elevator Technician (FL CC or
CET) shall be allowed to work on City elevators unless directly supervised by a licensed
elevator mechanic within line of sight at all times. Elevator contractor(s) shall have sole
responsibility for means, methods, techniques, procedures, safety precautions or
employment practices in connection with elevator contractor's performance of services. A
minimum of one (1) registered graduate electrical engineer and one (1) registered
graduate mechanical engineer, each with at least three (3) years elevator experience,
must be maintained as full-time employees of the company to assist in the solution of
electrical and mechanical problems and to advise on matters pertaining to safety.
4.2 Supervision.
Elevator contractor(s) shall be responsible for the supervision and execution of services by
its employees. Each supervisor shall possess a Certified Elevator Technician (CET) or
Certified Elevator Inspector (CEI) before performing work under the contract and shall
renew it continuously. Elevator contractor(s) shall inform the City of name of each
supervisor responsible for services and supervisor. Supervisor shall notify the City of site
inspection and provide the City with written confirmation of findings. A minimum semi-
annual inspection of site conditions shall be conducted by a designated supervisor of
elevator contractor(s) to ensure that all services hereunder are properly performed
including written records of conditions.

MIAMI BEACH, FLORIDA, ACCEPTING THE RECOMMENDATION OF THE
CITY MANAGER, PURSUANT TO REQUEST FOR PROPOSALS (RFP) NO.

EQUIPMENT; AUTHORIZING THE ADMINISTRATION TO ENTER INTO

RANKED PROPOSER, AS THE PRIMARY VENDOR; FURTHER,
AUTHORIZING THE ADMINISTRATION TO ENTER INTO NEGOTIATIONS
WITH SOUTH FLORIDA ELEVATOR SERVICE CORPORATION, THE
SECOND RANKED PROPOSER, AS THE SECONDARY VENDOR; AND
AUTHORIZING THE ADMINISTRATION TO ENTER INTO NEGOTIATIONS •

EXECUTE AGREEMENTS WITH EACH OF THE FOREGOING PROPOSERS
UPON CONCLUSION OF SUCCESSFUL NEGOTIATIONS BY THE
ADMINISTRATION.
WHEREAS, on May 17, 2017 the Mayor and City Commission approved the issuance of
Request for Proposals (RFP) No. 2017-0024C, for Elevator Maintenance, Repairs, Parts and
New Equipment; and
WHEREAS, the Committee convened on July 14, 2017 to review and score the
proposals received; and
WHEREAS, the Committee was instructed to score and rank each proposal pursuant to
the evaluation criteria established in the RFP; and
WHEREAS, on August 24, 2017, pursuant to Resolution No. 2017-29955, after
reviewing all the submissions and the results of the evaluation process; the City Manager
recommended the rejection of all proposals received, and further authorized the reissuance of
the RFP; and
WHEREAS, RFP 2018-008-JC was issued on November 9,2017, with an opening date
of December 14, 2017; and
WHEREAS, a nor,mandatory pre-proposal meeting was held on November 28, 2017;
and
WHEREAS, on December 14, 2017, the City received a total of four(4) proposals; and
WHEREAS, on December 14, 2017, the City Manager, via Letter to Commission (LTC)
No. 601-2017, appointed an Evaluation Committee (the °Committee"); and
WHEREAS, the Committee convened on January 11, 2018 to review and score the
proposals received; and
WHEREAS the Committee a was provided an overview of the project, information relative
to the City's Cone of Silence Ordinance and the Government Sunshine Law, general information
on the scope of services, and a copy of each proposal; and
WHEREAS, the Committee was instructed to score and rank each proposal pu-suant to
__the evaluation criteria established in the RFP;and
WHEREAS, the Committee's ranking was as follows: Suncoast Elevator Solutions, Inc.,
as the top ranked proposer; South Florida Elevator Corporation, as the second ranked proposer;
Eastern Elevator Service, Inc., as the third ranked proposer; Thyssenkrupp Elevator
Corporation, as the fourth ranked proposer; and
• WHEREAS, after reviewing all the submissions and the results of the evaluation
process, the City Manager recommends that the Mayor and City Commission authorize the
Administration to enter into negotiations with Suncoast Elevator Solutions, Inc., as the primary
proposer; further, authorize the Administration to enter into negotiations with South Florida
Elevator Corporation, as the secondary proposer; and pursuant to the terms of the RFP,
authorize the Administration to negotiate an agreement with all proposers to establish a pool of
prequalified contractors for improvements to the overall operation of the equipment, new
construction, modernization, replacement and refurbishment projects, on an as-needed basis.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby accept the recommendation of the City Manager, pursuant to Request For
Proposals (RFP) No. 2018-008-JC, for Elevator Maintenance, Repairs, Parts and New
Equipment; authorize the Administration to enter into negotiations with Suncoast Elevator
Solutions, Inc., the top ranked proposer, as the primary vendor; further, authorize the
Administration to enter into negotiations with South Florida Elevator Corporation, the second
ranked proposer, as the secondary vendor; and authorize the Administration to enter into
negotiations with all the proposers, Suncoast Elevator Solutions, Ina, South Florida Elevator
Corporation, Eastern Elevator Service, Inc., and Thyssenkrupp Elevator Corporation, to
establish a pool of pre-qualified contractors for future modernization projects, new construction,
and refurbishments, on an as-needed basis; and further authorize the Mayor and City Clerk to

SUBJECT A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF
MIAMI BEACH, FLORIDA, ACCEPTING THE RECOMMENDATION OF THE CITY

FOR ELEVATOR MAINTENANCE, REPAIRS, PARTS, AND NEW EQUIPMENT.
RECOMMENDATION
Adopt the Resolution.
ANALYSIS
Elevator maintenance and repair services for City facilities is essential to the Administration's ability
to provide the City's staff, residents and visitors with safe and reliable elevator transport. The City
currently has twenty-four (24) hydraulic elevators, including one (1) chair lift at North Shore Band
Shell, and twenty-tNo (22) traction elevators in operation. These elevators are located at various
properties throughout the City, including parking garages, Bass Art Museum, City of Miami Beach
Fire stations, City of Miami Beach Police Headquarters, City Hall, and Scott Rakow Youth Center,
among other City locations.
On October 3, 2014, the City, pursuant to Miami-Dade Contract No. 1233-5/19, contracted wlth
Thyssenkrupp Elevator Corporation for elevator maintenance services citywide. The current contract
is on a month-to-month extension pending the award of the current RFP. RFP 2018-008-JC was
issued on November 9, 2017 seeking proposals fora replacement contract.
RFP PROCESS
The Procurement Department issued solicitation notices to forty-three (43) firms utilizing
www.publicpurchase.com and fifteen (15) via email notification. Twenty-eight (28) prospective
proposers accessed the advertised solicitation.A non-mandatory pre-proposal meeting was held on
November 28, 2017. On December 14, 2017, the City received a total of four(4) proposals. The City
received proposals from the following proposers: Suncoast Elevator Solutions, Inc., South Florida
Elevator Corporation, Thyssenkrupp Elevator Corporation, and Eastern Elevator Service, Inc.
The Evaluation Committee appointed by the City Manager, pursuant to LTC# 601-2017, convened
on January 11, 2018 to consider the responsive proposals received. The Committee was comprised
of Joey Gan, Chief Elevator Inspector, Public Works Department; Carlos Naumann, Assistant
Building Director, Building Department; Miguel Beingolea, Parking Operations Manager, Parking
Department; Oniel Toledo, Facilities Zone Manager, Property Management Division; and, Mark
Morgan, Facilities Zone Manager, Property Management Division.

The Committee was provided an overview of the project, inforrration relative to the City's Cone of
Silence Ordinance and the Government Sunshine Law. The Committee was also provided with
general information on the scope of services and a copy of each proposal. The Committee was
instructed to score and rank each proposal pursuant to the evaluaton criteria established in the RFP.
The evaluation process resulted in the ranking of proposers, as indicated in Attachment A, in the
following order:
1st- Suncoast Elevator Solutions, Inc.
2nd- South Florida Elevator Corporation
3`d - Eastern Elevator Service, Inc.
4'h - Thyssenkrupp Elevator Corporation
The following is a brief summary of the qualifications of the top ranked proposers:
Suncoast Elevator Solutions. Inc.
According to its proposal, Suncoast Elevator Solutions, Inc. is a local elevator maintenance firm,
capable of maintaining the City cf Miami Beach fleet of elevators with professional attention to the
City's specific and ongoing needs. Suncoast has maintained elevators throughout South Florida for
several years. Most recently, Suncoast holds numerous elevator contracts for various hotels, high-
rise condominiums, and commercial customers within the City of Miami Beach, and surrounding
cities. Also identified in its proposal is a dedicated team of over eleven (11) highly-skilled elevator
technicians and supervisors, fully committed to the daily service needs of the City of Miami Beach, in
addition to a team of customer service personnel and service managers.
South Florida Elevator Corporation
According to its proposal, South Florida Elevator Corporation is a local elevator maintenance firm,
capable of maintaining the City of Miami Beach elevator fleet. South Florida Elevator Corporation
has maintained elevators throughout South Florida for over three (3) years to include modernization
projects and maintenance contract services. Most recently, South Florida Elevator Corporation holds
numerous elevator contracts for several condominiums and commercial customers within the Tri-
County area.Also identified in its proposal is a dedicated team of over nine (9) highly-skllled elevator
technicians and supervisors committed to the daily service needs of the City cf Miami Beach.
Eastern Elevator Service, Inc
According to its proposal, Eastern Elevator Service, Inc. has been providing elevator maintenance,
repair and modernization for over nineteen (19) years. Eastern Elevator Service holds numerous
elevator maintenance contracts for government and commercial clients throughout South Florida.
Some of its clients include, Fort Lauderdale City Hall, Lee County Public Schools, and the City of
Oakland Park. Eastern Elevator Service identified in its proposal three (3) dedicated supervisor-
technicians who would be assigned to the daily service needs of the City of Miami Beach.
Thyssenkrupp Elevator Corporation
According to its proposal, Thyssenkrupp Elevator Corporation is a global elevator maintenance firm,
performing elevator services in South Florida since 1941,According to its proposal, Thyssenkrupp is
the largest elevator service provider in the Miami area. Thyssenkrupp holds numerous elevator
contracts for government agencies and higher education clients including, the City of Miami Beach,
Broward County Sheriffs Office, School District of Palm Beach County, and Nova Southeastern
University. Also identified in its proposal is a dedicated team of over twenty-three (23) certified
elevator mechanics who would be assigned to the daily service needs of the City of Miami Beach.

CONCLUSION
The need to have elevators that function properly is paramount to the safety and comfort of residents
and visitors that visit City-owned facilities. After reviewing all the submissions and the results of the
evaluation process, I find that, when only qualifications are considered, Suncoast Elevator Solutions
has received a unanimous top ranking from the Evaluation Committee. When cost scores are added
to the qualification scores, Suncoast Elevator Solutions retains its top score ranking. However, 1 do
concur-staff-that-believes-that,-when -considering-all--cost-proposals-received;-there-may be -an- -- --
opportunity to negotiate lower contract pricing with Suncoast Elevator Solations,
Therefore, I recommend that the Mayor and City Commission approve the Resolution authorizing the
Administration to enter into negotiations with Suncoast Elevator Solutions, Inc., the top ranked
proposer, as the primary vendor; authorize the Administration to enter into negotiations with South
Florida Elevator Corporation, the second ranked proposer, as the secondary vendor; and further,
establish a pool of pre-qualified contractors for future elevator modernization projects, refurbishments,
and new construction projects that includes all proposers, Suncoast Elevator Solutions, Inc., South
Florida Elevator Corporation, Eastern Elevator Service, Inc., and Thyssenkrupp Elevator
Corporation: and further authorizing the Mayor and City Clerk to execute agreements with each of
the foregoing proposers upon conclusion of successful negotiations by the Administration.

SECTION 0200 INSTRUCTIONS TO RESPONDENTS&GENERAL CONDITIONS
1. GENERAL. This Request for Proposals (RFP) is issued by the City of Miami Beach, Florida (the "City"), as the
means for prospective Proposers to submit their qualifications, proposed scopes of work and cost proposals (the
"proposal") to the City for the City's consideration as an option in achieving the required scope of services and
requirements as noted herein. All documents released in connection with this solicitation, including all appendixes
and addenda, whether included herein or released under separate cover, comprise the solicitation, and are
complementary to one another and together establish the complete terms, conditions and obligations of the
Proposers and, subsequently,the successful Proposer(s)(the"contractor[s]")if this RFP results in an award.
The City utilizes PublicPurchase (www.publicourchase.com) for automatic notification of competitive solicitation
opportunities and document fulfillment, including the issuance of any addendum to this RFP. Any prospective
Proposer who has received this RFP by any means other than through PublicPurchase must register immediately
with PublicPurchase to assure it receives any addendum issued to this RFP. Failure to receive an addendum
may result in disqualification of proposal submitted.
2. PURPOSE.
The City is seeking proposals from qualified elevator maintenance firms to: 1) establish service maintenance
contracts to therein provide the City with various routine maintenance services, and for repairs not covered by
maintenance, to the City's fleet of elevators; and/or 2) participate in a pool of prequalified elevator contractors for
non-routine engagements that may include (but not be limited to) major refurbishments and modernizations, and
installation of new equipment. Interested firms may: submit a proposal response solely for Groups 1-4 (maintenance
and repairs of elevators); or submit a proposal response solely for Group 5 (pool of prequalified contractors); or
submit a proposal response for all Groups.
The requirements and specifications of the work are further detailed herein and,specifically, in Appendix C.

The Proposal title/number shall be referenced on all correspondence. All questions or requests for clarification must
be received no later than ten (10)calendar days prior to the date proposals are due as scheduled in Section 0200-3.
All responses to questions/clarifications will be sent to all prospective Proposers in the form of an addendum.

6. PRE-PROPOSAL INTERPRETATIONS. Oral information or responses to questions received by prospective
Proposers are not binding on the City and will be without legal effect, including any information received at pre-
submittal meeting or site visit(s). The City by means of Addenda will issue interpretations or written addenda
clarifications considered necessary by the City in response to questions. Only questions answered by written
addenda will be binding and may supersede terms noted in this solicitation. Addendum will be released through
PublicPurchase. Any prospective proposer who has received this RFP by any means other than through
PublicPurchace must register immediately with PublicPurchase to assure it receives any addendum issued to this
RFP. Failure to receive an addendum may result in disqualification of proposal. Written questions should be received
no later than the date outlined in the Anticipated RFP Timetable section.
7. CONE OF SILENCE. This RFP is subject to, and all proposers are expected to be or become familiar with, the
City's Cone of Silence Requirements, as codified in Section 2-486 of the City Code. Proposers shall be solely
responsible for ensuring that all applicable provisions of the City's Cone of Silence are complied with, and shall be

9. PUBLIC ENTITY CRIME. A person or affiliate who has been placed on the convicted vendor list following a
conviction for public entity crimes may not submit a bid on a contract to provide any goods or services to a public
entity, may not submit a bid on a contract with a public entity for the construction or repair of a public building or
public work, may not submit bids on leases of real property to public entity, may not be awarded or perform work as
a contractor, supplier, sub-contractor, or consultant under a contract with a public entity, and may not transact
business with any public entity in excess of the threshold amount provided in Sec. 287.017, for CATEGORY TWO
for a period of 36 months from the date of being placed on the convicted vendor list.
10. COMPLAINCE WITH THE CITY'S LOBBYIST LAWS. This RFP is subject to,and all Proposers are expected to
be or become familiar with, all City lobbyist laws. Proposers shall be solely responsible for ensuring that all City
lobbyist laws are complied with, and shall be subject to any and all sanctions, as prescribed therein, including.
without limitation, disqualification of their responses, in the event of such non-compliance.
11. DEBARMENT ORDINANCE: This RFP is subject to, and all proposers are expected to be or become familiar
with,the City's Debarment Ordinance as codified in Sections 2-397 through 2-406 of the City Code.
12. WITH THE CITY'S CAMPAIGN FINANCE REFORM LAWS. This RFP is subject to, and all Proposers are
expected to be or become familiar with, the City's Campaign Finance Reform laws, as codified in Sections 2-487
through 2-490 of the City Code. Proposers shall be solely responsible for ensuring that all applicable provisions of
the City's Campaign Finance Reform laws are complied with, and shall be subject to any and all sanctions, as
prescribed therein, including disqualification of their responses, in the event of such non-compliance.
13. CODE OF BUSINESS ETHICS. Pursuant to City Resolution No.2000-23879,the Proposer shall adopt a Code of
Business Ethics("Code")and submit that Code to the Procurement Division with its response or within five
(5) days upon receipt of request. The Code shall, at a minimum, require the Proposer, to comply with all applicable
governmental rules and regulations including, among others, the conflict of interest, lobbying and ethics provision of
the City of Miami Beach and Miami Dade County.

14. AMERICAN WITH DISABILITIES ACT(ADA). Call 305-673-7490 to request material in accessible format; sign

15. POSTPONEMENT OF DUE DATE FOR RECEIPT OF PROPOSALS. The City reserves the right to postpone
the deadline for submittal of proposals and will make a reasonable effort to give at least three (3) calendar days
written notice of any such postponement to all prospective Proposers through PublicPurchase.
16. PROTESTS. Proposers that are not selected may protest any recommendation for selection of award in
accordance with eh proceedings established pursuant to the City's bid protest procedures,as codified in Sections 2-
370 and 2-371 of the City Code (the City's Bid Protest Ordinance). Protest not timely made pursuant to the
requirements of the City's Bid Protest Ordinance shall be barred.
17. NOT USED.
18. VETERAN BUSINESS ENTERPRISES PREFERENCE. Pursuant to City Code Section 2-374, the City shall give
a preference to a responsive and responsible Proposer which is a small business concern owned and controlled by a
veteran(s) or which is a service-disabled veteran business enterprise, and which is within five percent (5%) of the
lowest responsive, responsible proposer, by providing such proposer an opportunity of providing said goods or
contractual services for the lowest responsive proposal amount (or in this RFP, the highest proposal amount).
Whenever, as a result of the foregoing preference, the adjusted prices of two (2) or more proposers which are a
small business concern owned and controlled by a veteran(s) or a service-disabled veteran business enterprise
constitute the lowest proposal pursuant to an RFP or oral or written request for quotation, and such proposals are
responsive, responsible and otherwise equal with respect to quality and service, then the award shall be made to the
service-disabled veteran business enterprise.
19. DETERMINATION OF AWARD. The final ranking results of Step 1 & 2 outlined in Section 0400, Evaluation of
Proposals, will be considered by the City Manager who may recommend to the City Commission the Proposer(s)
s/he deems to be in the best interest of the City or may recommend rejection of all proposals. The City Manager's
recommendation need not be consistent with the scoring results identified herein and takes into consideration Miami
Beach City Code Section 2-369,including the following considerations:
(1)The ability, capacity and skill of the Proposer to perform the contract.
(2)Whether the Proposer can perform the contract within the time specified, without delay or
interference.
(3)The character, integrity, reputation,judgment, experience and efficiency of the Proposer.
(4)The quality of performance of previous contracts.
(5) The previous and existing compliance by the Proposer with laws and ordinances relating to the
contract.
The City Commission shall consider the City Manager's recommendation and may approve such recommendation.
The City Commission may also, at its option, reject the City Manager's recommendation and select another Proposal
or Proposals which it deems to be in the best interest of the City, or it may also reject all Proposals.

20. NEGOTIATIONS. Following selection, the City reserves the right to enter into further negotiations with the
selected Proposer. Notwithstanding the preceding, the City is in no way obligated to enter into a contract with the
selected Proposer in the event the parties are unable to negotiate a contract. It is also understood and
acknowledged by Proposers that no property, contract or legal rights of any kind shall be created at any time until
and unless an Agreement has been agreed to; approved by the City; and executed by the parties.
21. Postponement/Cancellation/Acceptance/Resection. The City may, at its sole and absolute discretion, reject
any and all, or parts of any and all, responses; re-advertise this RFP; postpone or cancel, at any time, this RFP
process; or waive any irregularities in this RFP, or in any responses received as a result of this RFP. Reasonable
efforts will be made to either award the proposer the contract or reject all proposals within one-hundred twenty(120)
calendar days after proposal opening date. A proposer may withdraw its proposal after expiration of one hundred
twenty (120) calendar days from the date of proposal opening by delivering written notice of withdrawal to the
Department of Procurement Management prior to award of the contract by the City Commission.
22. PROPOSER'S RESPONSIBILITY. Before submitting a response, each Proposer shall be solely responsible for
making any and all investigations, evaluations, and examinations, as it deems necessary, to ascertain all conditions
and requirements affecting the full performance of the contract. Ignorance of such conditions and requirements,
and/or failure to make such evaluations, investigations, and examinations, will not relieve the Proposer from any
obligation to comply with every detail and with all provisions and requirements of the contract. and will not be
accepted as a basis for any subsequent claim whatsoever for any monetary consideration on the part of the
Proposer.
23. COSTS INCURRED BY PROPOSERS.All expenses involved with the preparation and submission of Proposals,
or any work performed in connection therewith, shall be the sole responsibility (and shall be at the sole cost and
expense)of the Proposer, and shall not be reimbursed by the City.
24. RELATIONSHIP TO THE CITY. It is the intent of the City, and Proposers hereby acknowledge and agree, that
the successful Proposer is considered to be an independent contractor, and that neither the Proposer, nor the
Proposes employees, agents, and/or contractors, shall, under any circumstances, be considered employees or
agents of the City.
24. OCCUPATIONAL HEALTH AND SAFETY. In compliance with Chapter 442, Florida Statutes, any toxic
substance listed in Section 38F-41.03 of the Florida Administrative Code delivered as a result of this proposal must
be accompanied by a Material Safety Data Sheet(MSDS)which may be obtained from the manufacturer.
25. ENVIRONMENTAL REGULATIONS. The City reserves the right to consider a proposers history of citations
and/or violations of environmental regulations in investigating a proposer's responsibility, and further reserves the
right to declare a proposer not responsible if the history of violations warrant such determination in the opinion of the
City. Proposer shall submit with its proposal, a complete history of all citations and/or violations, notices and
dispositions thereof. The non-submission of any such documentation shall be deemed to be an affirmation by the
Proposer that there are no citations or violations. Proposer shall notify the City immediately of notice of any dtation
or violation which proposer may receive after the proposal opening date and during the time of performance of any
contract awarded to it.

26. TAXES. The City of Miami Beach is exempt from all Federal Excise and State taxes.
27. MISTAKES. Proposers are expected to examine the terms, conditions, specifications, delivery schedules,
proposed pricing, and all instructions pertaining to the goods and services relative to this RFP. Failure to do so will
be at the Proposer's risk and may result in the Proposal being non-responsive.
28. PAYMENT. Payment will be made by the City after the goods or services have been received, inspected, and
found to comply with contract, specifications, free of damage or defect, and are properly invoiced. Invoices must be
consistent with Purchase Order format.
29. COPYRIGHT, PATENTS & ROYALTIES. Proposer shall indemnify and save harmless the City of.Miami Beach,
Florida, and its officers,employees, contractors, and/or agents, from liability of any nature or kind,including cost and
expenses for, or on account of, any copyrighted, patented, or unpatented invention, process,or article manufactured
or used in the performance of the contract, including its use by the City of Miami Beach, Florida. If the Proposer
uses any design, device or materials covered by letters, patent, or copyright, it is mutually understood and agreed,
without exception, that the proposal prices shall include all royalties or cost arising from the use of such design,
device, or materials in any way involved in the work.
30. DEFAULT: Failure or refusal of the selected Proposer to execute a contract following approval of such contract
by the City Commission, or untimely withdrawal of a response before such award is made and approved, may result
in a claim for damages by the City and may be grounds for removing the Proposer from the City's vendor list.
31. MANNER OF PERFORMANCE. Proposer agrees to perform its duties and obligations in a professional manner
and in accordance with all applicable Local, State, County, and Federal laws, rules, regulations and codes. Lack of
knowledge or ignorance by the Proposer with/of applicable laws will in no way be a cause for relief from
responsibility. Proposer agrees that the services provided shall be provided by employees that are educated,trained,
experienced, certified, and licensed in all areas encompassed within their designated duties. Proposer agrees to
furnish to the City any and all documentation, certification, authorization, license, permit, or registration currently
required by applicable laws, rules, and regulations. Proposer further certifies that it and its employees will keep all
licenses, permits, registrations, authorizations, or certifications required by applicable laws or regulations in full force
and effect during the term of this contract. Failure of Proposer to comply with this paragraph shall constitute a
material breach of this contract.
Where contractor is required to enter or go on to City of Miami Beach property to deliver materials or perform work or
services as a result of any contract resulting from this solicitation, the contractor will assume the full duty, obligation
and expense of obtaining all necessary licenses, permits, and insurance, and assure all work complies with all
applicable laws. The contractor shall be liable for any damages or loss to the City occasioned by negligence of the
Proposer,or its officers,employees, contractors, and/or agents,for failure to comply with applicable laws.
32. SPECIAL CONDITIONS. Any and all Special Conditions that may vary from these General Terms and
Conditions shall have precedence.
33. NON-DISCRIMINATION. The Proposer certifies that it is in compliance with the non-discrimination clause
contained in Section 202, Executive Order 11246, as amended by Executive Order 11375, relative to equal
employment opportunity for all persons without regard to race, color, religion, sex or national origin. In accordance
with the City's Human Rights Ordinance, codified in Chapter 62 of the City Code, Proposer shall prohibit
discrimination by reason of race, color, national origin, religion, sex, intersexuality, gender identity, sexual
orientation, marital and familial status,and age or disability.

34. DEMONSTRATION OF COMPETENCY. The city may consider any evidence available regarding the financial,
technical, and other qualifications and abilities of a Proposer, including past performance (experience) in making an
award that is in the best interest of the City, including:
A. Pre-award inspection of the Proposes facility may be made prior to the award of contract.
B. Proposals will only be considered from firms which are regulady engaged in the business of providing the
goods and/or services as described in this solicitation.
C. Proposers must be able to demonstrate a good record of performance for a reasonable period of time, and
have sufficient financial capacity, equipment, and organization to ensure that they can satisfactorily perform the
services if awarded a contract under the terms and conditions of this solicitation.
D. The terms "equipment and organization', as used herein shall, be construed to mean a fully equipped and
well established company in line with the best business practices in the industry, and as determined by the City
of Miami Beach.
E. The City may consider any evidence available regarding the financial, technical, and other qualifications and
abilities of a Proposer, including past performance(experience), in making an award that is in the best interest of
the City.
F. The City may require Proposer s to show proof that they have been designated as authorized representatives
of a manufacturer or supplier, which is the actual source of supply. In these instances, the City may also require
material information from the source of supply regarding the quality, packaging, and characteristics of the
products to be supply to the City.
35. ASSIGNMENT. The successful Proposer shall not assign, transfer, convey, sublet or otherwise dispose of the
contract, including any or all of its right, title or interest therein, or his/her or its power to execute such contract, to
any person,company or corporation,without the prior written consent of the City.
36. LAWS, PERMITS AND REGULATIONS. The Proposer shall obtain and pay for all licenses, permits, and
inspection fees required to complete the work and shall comply with all applicable laws.
37. OPTIONAL CONTRACT USAGE. When the successful Proposer(s) is in agreement, other units of government
or non-profit agencies may participate in purchases pursuant to the award of this contract at the option of the unit of
government or non-profit agency.
38. VOLUME OF WORK TO BE RECEIVED BY CONTRACTOR. It is the intent of the City to purchase the goods
and services specifically listed in this solicitation from the contractor. However, the City reserves the right to
purchase any goods or services awarded from state or other governmental contract, or on an as-needed basis
through the City's spot market purchase provisions.
39. DISPUTES. In the event of a conflict between the documents,the order of priority of the documents shall be as
follows:
A. Any contract or agreement resulting from the award of this solicitation;then
B. Addendum issued for this solicitation,with the latest Addendum taking precedence;then
C. The solicitation; then
D. The Proposer's proposal in response to the solicitation.

40. INDEMNIFICATION. The Proposer shall indemnify and hold harmless the City and its offcers, employees,
agents and instrumentalities from any and all liability, losses or damages, including attorney's fees and costs of
defense, which the City or its officers, employees, agents or instrumentalities may incur as a result of claims.
demands, suits, causes of actions or proceedings of any kind or nature arising out of, relating to or resulting from the
performance of the agreement by the contractor or its employees, agents, servants, partners, principals or
subcontractors. The contractor shall pay all claims and losses in connection therewith, and shall investigate and
defend all claims, suits or actions of any kind or nature in the name of the City, where applicable, including appellate
proceedings, and shall pay all costs,judgments, and attorneys fees which may be incurred thereon. The Proposer
expressly understands and agrees that any insurance protection required by this Agreement or otherwise provided
by the contractor shall in no way limit the responsibility to indemnify, keep and save harmless and defend the City or
its officers, employees, agents and instrumentalities as herein provided. The above indemnification provisions shall
survive the expiration or termination of this Agreement.
41. CONTRACT EXTENSION. The City reserves the right to require the Contractor to extend contract past the
stated termination date for a period of up to 120 days in the event that a subsequent contract has not yet been
awarded. Additional extensions past the 120 days may occur as needed by the City and as mutually agreed upon by
the City and the contractor.
42. FLORIDA PUBLIC RECORDS LAW. Proposers are hereby notified that all Bid including, without limitation, any
and all information and documentation submitted therewith, are exempt from public records requirements under
Section 119.07(1), Florida Statutes,and s. 24(a),Art. 1 of the State Constitution until such time as the City provides
notice of an intended decision or until thirty (30) days after opening of the proposals, whichever is earlier.
Additionally, Contractor agrees to be in full compliance with Florida Statute 119.0701 including, but not limited to,
agreement to (a) Keep and maintain public records that ordinarily and necessarily would be required by the public
agency in order to perform the services; (b) provide the public with access to public records on the same terms and
conditions that the public agency would provide the records and at a cost that does not exceed the cost provided in
this chapter or as otherwise provided by law; (c) Ensure that public records that are exempt or confidential and
exempt from public records disclosure requirements are not disclosed except as authorized by law; (d) Meet all
requirements for retaining public records and transfer, at no cost, to the public agency all public records in
possession of the contractor upon termination of the contract and destroy any duplicate public records that are
exempt or confidential and exempt from public records disclosure requirements. All records stored electronically
must be provided to the public agency in a format that is compatible with the information technology systems of the
public agency.
43. OBSERVANCE OF LAWS. Proposers are expected to be familiar with, and comply with, all Federal, State,
County, and City laws, ordinances, codes, rules and regulations, and all orders and decrees of bodies or tribunals
having jurisdiction or authority which, in any manner, may affect the scope of services and/or project contemplated
by this RFP (including, without limitation, the Americans with Disabilities Act, Title VII of the Civil Rights Act, the
EEOC Uniform Guidelines, and all EEO regulations and guidelines). Ignorance of the law(s) on the part of the
Proposer will in no way relieve it from responsibility for compliance.
44. CONFLICT OF INTEREST. All Proposers must disclose, in their Proposal, the name(s) of any officer, director,
agent, or immediate family member(spouse, parent, sibling, and child)who is also an employee of the City of Miami
Beach. Further, all Proposers must disclose the name of any City employee who owns, either directly or indirectly,
an interest of ten (10%)percent or more in the Proposer entity or any of its affiliates.

45. MODIFICATION/WITHDRAWALS OF PROPOSALS.A Proposer may submit a modified Proposal to replace all
or any portion of a previously submitted Proposal up until the Proposal due date and time. Modifications received
after the Proposal due date and time will not be considered. Proposals shall be irrevocable until contract award
unless withdrawn in writing prior to the Proposal due date, or after expiration of 120 calendar days from the opening
of Proposals without a contract award. Letters of withdrawal received after the Proposal due date and before said
expiration date, and letters of withdrawal received after contract award will not be considered.
46. EXCEPTIONS TO REP. Proposers must clearly indicate any exceptions they wish to take to any of the
terms in this RFP, and outline what, if any, alternative is being offered. All exceptions and alternatives shall
be included and clearly delineated, in writing, in the Proposal. The City, at its sole and absolute discretion,
may accept or reject any or all exceptions and alternatives. In cases in which exceptions and alternatives
are rejected, the City shall require the Proposer to comply with the particular term and/or condition of the
RFP to which Proposer took exception to (as said term and/or condition was originally set forth on the RFP).
47.ACCEPTANCE OF GIFTS, FAVORS, SERVICES. Proposers shall not offer any gratuities, favors, or anything of
monetary value to any official, employee, or agent of the City, for the purpose of influencing consideration of this
Proposal. Pursuant to Sec. 2-449 of the City Code, no officer or employee of the City shall accept any gift, favor or
service that might reasonably tend improperly to influence him in the discharge of his official duties.
48. SUPPLEMENTAL INFORMATION. City reserves the right to request supplemental information from Proposers
at any time during the RFP solicitation process, unless otherwise noted herein.
49. ADDITIONAL SERVICES. Although this solicitation and resultant contract identifies specific goods, services or
facilities ("items'), it is hereby agreed and understood that the City, through the approval of the Department and
Procurement Directors (for additional items up to $50,000) or the City Manager (for additional items greater than
$50,000), may require additional items to be added to the Contract which are required to complete the work. When
additional items are required to be added to the Contract, awarded vendor(s), as applicable to the item being
requested, under this contract may be invited to submit price quote(s) for these additional requirements. If these
quote(s) are determined to be fair and reasonable, then the additional work will be awarded to the current contract
vendor(s) that offers the lowest acceptable pricing. The additional items shall be added to this contract by through a
Purchase Order(or Change Order if Purchase Order already exists). In some cases, the City may deem it necessary
to add additional items through a formal amendment to the Contract, to be approved by the City Manager.
The City may determine to obtain price quotes for the additional items from other vendors in the event that
fair and reasonable pricing is not obtained from the current contract vendors, or for other reasons at the
City's discretion.

SECTION 0300 PROPOSAL SUBMITTAL INSTRUCTIONS AND FORMAT
1. SEALED RESPONSES. One original Proposal (preferably in 3-ring binder) must be submitted in an opaque,
sealed envelope or container on or before the due date established for the receipt of proposals.Additionally, ten (10)
bound copies and one (1) electronic format (CD or USB format) are to be submitted. The following information
should be clearly marked on the face of the envelope or container in which the proposal is submitted: solicitation
number, solicitation title, Proposer name, Proposer return address. Proposals received electronically, either through
email or facsimile, are not acceptable and will be rejected.
2. LATE BIDS. Proposals are to be received on or before the due date established herein for the receipt of
Proposals. Any Proposal received after the deadline established for receipt of proposals will be considered
late and not be accepted or will be returned to Proposer unopened. The City does not accept responsibility for
any delays, natural or otherwise.
3. PROPOSAL FORMAT. In order to maintain comparability, facilitate the review process and assist the Evaluation

SECTION 0400 PROPOSAL EVALUATION
1. Evaluation Committee. An Evaluation Committee, appointed by the City Manager, shall meet to evaluate each
Proposal in accordance with the requirements set forth in the solicitation. If further information is desired, Proposers
may be requested to make additional written submissions of a clarifying nature or oral presentations to the
Evaluation Committee.The evaluation of proposals will proceed in a two-step process as noted below. It is important
to note that the Evaluation Committee will score the qualitative portions of the proposals only. The Evaluation
Committee does not make an award recommendation to the City Manager. The results of Step 1 & Step 2
Evaluations will be forwarded to the City Manager who will utilize the results to make a recommendation to the City
Commission. In the event that only one responsive proposal is received, the City Manager, after determination that
the sole responsive proposal materially meets the requirements of the RFP, may,without an evaluation committee,
recommend to the City Commission that the Administration enter into negotiations. The City, in its discretion, may
utilize technical or other advisers to assist the evaluation committee in the evaluation of proposals.

7. Living Wage.Pursuant to Section 2-408 of the Miami Beach City Code,as same may be amended from time to time, Proposers shall
be required to pay all employees who provide services pursuant to this Agreement,the hourly living wage rates listed below:
• Commencing with City fiscal year 2012-13(October 1,2012),the hourly living rate will be$11.28/hr with health
benefits,and$12.92/hr without benefits.
The living wage rate and health care benefits rate may, by Resolution of the City Commission be indexed annually for inflation
using the Consumer Price Index for all Urban Consumers(CPI-U)Miami/Ft. Lauderdale, issued by the U.S. Department of Labors
Bureau of Labor Statistics. Notwithstanding the preceding,no annual index shall exceed three percent(3%).The City may also,by
resolution, elect not to index the living wage rate in any particular year,if it determines it would not be fiscally sound to implement
same(in a particular year).
Proposers'failure to comply with this provision shall be deemed a material breach under this proposal, under which the City may,
at its sole option, immediately deem said Proposer as non-responsive, and may further ubject Proposer to additional penalties

Any action taken by the City in response to Proposals made pursuant to this solicitation, or in making any award,or in failing or refusing to
make any award pursuant to such Proposals, or in cancelling awards, or in withdrawing or cancelling this solicitation, either before or after
issuance of an award,shall be without any liability or obligation on the part of the City.
In its sole discretion, the City may withdraw the solicitation either before or after receiving proposals, may accept or reject proposals, and
may accept proposals which deviate from the solicitation,as it deems appropriate and in its best interest. In its sole discretion,the City may
determine the qualifications and acceptability of any party or parties submitting Proposals in response to this solicitation.

Cl. MINIMUM ELIGIBILITY REQUIREMENTS. The Minimum Eligibility Requirements for this
solicitation are listed below. Proposer shall submit, with its Proposal, the required submittal(s)
documenting compliance with each minimum requirement. Proposers that fail to include the
required submittals with its proposal or fail to comply with minimum requirements shall be deemed
non-responsive and shall not have its proposal considered.
1. Proposer shall, at the time proposals are due, be a current Registered Elevator Company
from the State of Florida, Department of Business 8 Professional Regulation (DBPR).
C2. STATEMENT OF WORK. The City is seeking proposals from qualified elevator maintenance
firms to provide the Property Management Division with a full range of routine elevator
maintenance and repair services to the City's elevator fleet, segmented within four (4) distinct
Groups. as follows: 1) Parking, 2) North, 3) South, and 4) RDA; and/or participate in Group 5), a
pool of prequalified elevator contractors for non-routine engagements that may include (but not be
limited to) major refurbishments and modernizations, and installation of new equipment. All work
shall be completed in full accordance with Section 399, Florida Statutes, as well as Florida
Administrative Code 61C-5 (Florida Elevator Safety Code), NFPA 70 National Electrical Code, NFPA
72 National Fire Alarm Code and ASME (American Society of Mechanical Engineers) 17.1 Safety
Code for Elevators and Escalators.
C3. REQUIREMENTS FOR GROUPS 1-4 (ROUTINE MAINTENANCE AND REPAIRS). The
elevator contractor(s) shall provide monthly, quarterly and annually routine examinations,
maintenance, as-needed cleaning, lubrication, adjustment, replacement of parts, non-routine and
emergency services, and performance of applicable code-required safety tests. Elevator
contractor(s) shall provide materials, labor, transportation, supplies, parts, tools, scaffolding,
machinery, hoists, employee safety equipment, equipment, lubricants, supervision, applicable
taxes, and all other services and materials required under this RFP. Additionally, the awarded
contractor(s) shall be responsible for reprogramming the dialers for emergency communications, at
no additional cost to the City of Miami Beach
C3.1 Dedicated Technician.
The City requires the contractor assign at least one (1) dedicated service technician
capable of providing services forty(40)hours per week to City of Miami Beach elevators.
C3.2 Requirements for Monthly Maintenance and Inspections.
Pursuant to the service maintenance contract, contractor(s) shall perform all monthly
inspections and related maintenance of City elevators in accordance with the elevator
manufacturer's recommendations, and per applicable Florida Statutes, 61C-5
(Florida Elevator Safety Code), Florida Building Code, NFPA 70 National Electrical Code,
NFPA 72 National Fire Alarm Code, and ASME A17.1 Safety Code for Elevators and
Escalators.
A written performance record of monthly inspections and maintenance visits will be logged
on a contractor-provided checklist, and will be maintained up-to-date in the machine room

associated with that elevator.
Tasks to be completed shall include, but not limited to, the following:
1) Ride elevator and observe performance.
2) Maintain all safety and fire service key switches in accordance with current applicable
codes.
3) Check door closing force and leveling accuracy.
4) Check car stop switches.
5) Check all emergency communications, lighting, signals, alarms, car and hall buttons
and illumination.
6) Check fire service operation and record on separate contractor(s)supplied fire service
log in accordance with current applicable code.
7) Check, dean and lube all landing door hardware.
8) Check,clean and lube all car doors and door operator hardware.
9) Clean and inspect car top, operating switches, door operator, bearings, cams and
controls, car door hangers,gibs, detector and or photo eyes and safety edge.
10) Maintain all controllers, relays, contacts, coils, timers, circuit boards, microprocessor
boards, controller wiring, travel cable wiring and hoistway wiring.
11) Clean and inspect hoistway door hangers, intedocks, linkage, pick up assembly, door
gibs and hoistway switches.
12) Clean and inspect hoist machine, controller, selector, motor, motor generator'SCR,
governor and break operation.
13) Clean and inspect machine room and pit equipment including illumination.
14) Inspect jack/piston unit, packing. packing gland and oil recovery device.
15) Clean and inspect pump including screens,filters, hoses and connection fittings.
16) Clean and inspect all valves, relief valves, leveling valves, cheek valves, strainers and
gaskets.
17) Controller and selector is in good mechanical condition, fuses proper rating and type, all
connections tight, no heating,cleanliness of electrical equipment and bottom of cabinets.
18) Check motor generators are clean, run quiet and cool, brushes move free and are in
good condition with proper spring loading,field coils are tight, no armature discoloration,
no sparking at brushes,electrical connections are tight.
19) Replace signal fixture light bulbs. The elevator contractor(s) will be responsible for the
replacement of fixture screws with proper, matching hex head or vandal type stainless
steel screws on all signal fixture devices.
20) Check condition of door operator, belts, chains, cams, wire connections, and all covers
in place.
21) Check safety mechanisms,free of rust,dirt, lubricated, proper safety jaw clearance
22) Hydraulic elevators also require examine hydraulic pistons are smooth without scraps or
gouges allowing damage to packing glands or excessive oil carry on pistons.
23) Check governor is clean and lubricated, linkage condition, bearing condition, clearance
and proper operation.
24) Remove dirt and lint buildups from guide rails, beams, divider beams, car tops and
bottom of platforms, pit and pit equipment and all other areas of the hoistway or under
escalator spaces or wellways.

C3.3 Requirements for Quarterly/Annual Maintenance.
Pursuant to the service maintenance contract, contractor(s) shall perform all quarterly
and/or annual inspections and maintenance of City elevators in accordance with the
elevator manufacturer's recommendations, and per Florida Statutes, 61C-5 (Florida
Elevator Safety Code), NFPA 70 National Electrical Code, NFPA 72 National Fire Alarm
Code,and ASME A17.1 Safety Code for Elevators and Escalators.
A written performance record of quarterly inspections and maintenance visits will be

associated with that elevator.

1) Inspect rope shackles, car and counter weight guides,frame and hoistway sheaves.
2) Inspect,rotate and equalize hoist cables, lubricate as needed, inspect shackles.
3) Check and adjust break.
4) Inspect traveling cable.
5) Inspect complete safety circuit, including governor rope hitch.
6) Check motor and pump sheave alignment.
7) Clean and adjust controller components including contacts,relays and timers.
8) Inspect and maintain adjustment of roller/slide car guides including bearings.
9) Clean, inspect selector drive and lubricate selector cables and or tapes, lubricate
selector drive worm.
10) Clean and inspect all car and hoistway door contacts and interlocks.
11) Inspect all oil lines and supports.
12) Check condition of both hoist ropes, counter weight frames, and compensation ropes for
proper connections and balance of loads including retaining sheaves,deflector sheaves,
idler sheaves or other guides or guards for wear or damage.
13) Elevator contractor(s) shall lubricate equipment at intervals recommended by equipment
Manufacturer,or as dictated by use of equipment.
14) Elevator contractor(s) shall paint equipment at intervals frequently enough to maintain
a professional appearance, prevent rusting,and preserve the equipment.
15) Verify all rope sheaves for groove wear or condition, sheave keys, brake shoe wear,
brake switches, brakes dragging, proper stopping.
16) Rope shall be re-tensioned, as-needed during quarterly maintenance, andlcr no less
than once annually.
17) Check car top for cleanliness, condition of car top lighting, safety rails, fans, rope
condition, condition of rope tension springs, rope tension is not more than 5% equal
within rope set, roller or slide guides, lubrication,no parts storage,and sheave condition.
C3.4 Requirements for Repairs.
The elevator contractor(s) must be able to provide all repair parts for the elevators within
48 hours. Other parts, considered major replacement parts, must be available within
normal industry standard lead-time. Replacement parts will comply with the following:

1) Where a listed/certified device is replaced, the replacement shall be subject to the
applicable engineering or type test, and the requirements of CAN/CSA B44.1 /ASME
A17.1. The device shall be labeled by the certifying organization.
2) In performing services, elevator contractor(s) agrees to provide parts obtained from or
recommended by Manufacturer(s) of equipment for replacement or repair. Equivalent
parts may be used if approved by the City in writing. Parts requiring repair or
machining shall be rebuilt to like new"'condition.
3) Parts or equipment required by services may not be removed from the Property
without written approval of the City. This does not include renewal parts stocked on
the job by elevator contractor(s),which shall remain elevator contractor's sole property
until installed on the equipment.
4) Shutdowns for emergency minor adjustment and minor repair callback service shall be
minimized. Verifiable shutdown frequency shall be maintained at no more than 2 per
unit, per year, not including shutdowns due to vandalism, power loss or misuse of the
equipment.
C3.5 Service Hours and Service Calls.
Regular Hours of Service:
Unless otherwise noted under this RFP, regular hours of service shall be performed
between the hours of 7:30 a.m. and 5:30 p.m., Monday through Friday, excluding City
holidays.All service calls outside these hours and days will be considered non-regular.
Emergency Calls:
Contractor(s) shall provide 24-hour, 365-days-a-year callback service (callback is defined
as any request for service or assistance by the City or the City's s representative when
elevators are not available for beneficial usage due to equipment shutdown or
malfunction). Emergency calls may occur, but not limited to, the following conditions:
1. Passenger entrapments; emergency calls, at any hour, for stranded elevators
carrying passengers shall be responded to immediately but not more than
ONE(1) HOUR from time of call to contractor(s).
2. The elevator contractor(s) is responsible to respond to all emergency
communications initiated from the elevator in-car communication instrument,
24 hours per day, 7 days a Week. The response location may be the office
of the elevator contractor(s) or a licensed telephone answering service. The
response location must be capable of identifying the building location and the
identifying number of the elevator from which the emergency communication
originated. The response location must have the ability to initiate emergency
calls to each elevator as may be required including proper record keeping of
each elevator phone number.
Non-emergency Calls:
Elevator contractor(s) shall respond to callback service within TWO (2) HOURS from the
time of notification for non-emergency calls.
To assure that the City of Miami Beach receives the quality and response necessary to

insure the safety of the passengers of this equipment,and achieve the maximum designed
life cycle of the covered equipment, the City may impose deductions as liquidated
damages. These liquidated damages may be deducted from the monthly contract amount
due,up to and including the full monthly contract price of the affected equipment, for failure
to perform in accordance with the contract. The monthly payment reduction may be based
upon the following schedule:
Late Response to Service Call 10%per Occurrence
No Response to Service Call 25%per Occurrence
Non-Performance 10%per Event
*Non-performance will be inclusive of, but not limited to:
(1) Similar failure of equipment more than two(2)times,during a 60-day period.
(2) Failure to take corrective action on statutory elevator inspection reports authorized by
the City of Miami Beach shall be construed to be non-performance.
(3) Failure to complete repair work in a timely manner as approved.
Removal of elevators from beneficial usage to facilitate services by elevator contractor(s)
shall be coordinated with and approved by the City, in writing. The City agrees to permit
elevator contractor(s) to remove elevators from service for a reasonable time during hours
identified herein, to perform services pursuant to this RFP, and promptly notified of the
anticipated completion timeframe.
C3.6 Services Checklist.
A Services Checklist shall be provided by the contractor(s) to the City, listing items in
accordance with AMSE A17.1 and 61C-5.001, F.A.C.,to be observed, cleaned, lubricated,
adjusted and repaired, including the frequency of each activity (e.g., monthly, quarterly,
annually), as indicated below:
1) The Services Checklist is to remain in the elevator machine room as a reference for
the City and elevator contractor(s) of past and current maintenance activities
conducted and performed by the elevator contractor(s).
2) The Services Checklist shall contain a Call back Log, or a Call back Log shall be
provided separately.
3) The Services Checklist shall be thorough, detailed and complete in every respect,
acceptable to the City of Miami Beach and shall be initialed by the servicing technician
at the time of completion of all maintenance routines.
4) At the conclusion of each 12-Month service period, Services Checklists shall be
collected and turned over to the City of Miami Beach Property Management Director,
or designee.
5) Data shall be accessible by City of Miami Beach via copy or electronic printout at all
times.
6) Log or electronic printout shall include all entries for maintenance, repairs, tests,
callbacks and supervisor's surveys.

7) City of Miami Beach shall be allowed to inspect and copy log or electronic printout and
maintenance schedule at any time by electronic means.
8) Entries shall include:
a. Date work is completed;
b. Mechanic's or Supervisor's name;
c. Brief description of work completed, including elevator number and number.
C4. STATEMENT OF WORK FOR GROUP 5 (POOL OF PREQUALIFIED CONTRACTOR(S):
MODERNIZATION, NEW CONSTRUCTION, REPLACEMENT,REFURBISHMENT PROJECTS)
This section, as applied to this RFP, refers to improvement of the overall operation of the
equipment, new construction, modernization, replacement and refurbishment project(s), on an as-
needed basis. This may include a full modernization which could include the replacement of the
controller, machine, drive system, doors, cabs, car frame, and related critical equipment. A minor
modernization may include only the replacement of the door operator, a door, a door re-opening
device, a cab or cabs. Additionally, it is the intent of the City seeks to establish a pool of qualified
elevator contractor(s) from which all future modernization overhaul projects may be solicited,
pursuant to Group 5 of Appendix E, Cost Proposal Form.
C5.SERVICES DOCUMENTATION AND RECORDS
C5.1 Service Receipts.
The contractor(s) shall submit monthly (with their invoice) to the City, a copy of the
mechanic's service receipt indicating the date, time and nature of service performed.
These service receipts shall be signed by a responsible City of Miami Beach employee
at the time the work is performed, and a copy of this service receipt or time ticket shall
be given to the responsible City of Miami Beach employee signing the document at the
time of signing, for site records. Firms using electronic media for company internal
storage and transmittal of time shall provide a hard copy of the time ticket to the City
Project Manager, or designee, at the completion of each day or service performed, as
applicable. In the event the mechanic cannot get the signature of a responsible City of
Miami Beach employee to give credit for the extra time expended in an emergency
call response and/or repairs, they will leave a copy of the service receipt in the
machine room and/or complete log book provided by the City of Miami Beach, and so
advise the City within 24 hours.
C5.2 Survey Reports.
The contractor(s) shall perform a complete survey of the equipment annually to insure
compliance with the contract and determine the condition of equipment. The contractor(s)
shall submit above annual supervisor's inspection report,to the City Project Manager,due at
the completion of each month for those surveys completed in the prior month, during the
contract year. The inspection/survey report must be performed and signed by the
contractors maintenance supervisor.

C5.3 Monthly Logs.
The contractor(s) shall provide the Property Management Director, or designee, with a
monthly log of all callbacks, repairs and minor adjustments made, in addition to the
maintenance work performed. This log shall consist of the time the compla'.nt was
registered, the nature of the complaint, the correction of the problem and the amount
of time required correcting the problem. For Hydraulic elevators, the log book shall
also be used to record all oil usage for each elevator. The record shall reflect all items
required by code to be recorded, and shall include all oil stored on site, all oil
recovered and the re-use or disposal of same, dates of each new transaction of oil
usage (add or dispose) and the name of the technician entering the information.
C5.4 Maintenance Records.
Maintenance records shall document compliance with Florida Elevator Safety Code, ASME
A17.1 Safety Code for Elevators and Escalators, including the all current,applicable Florida
Statutes, onsite and shall include records on the following activities. The records shall be
kept in the elevator machine room and shall always be readily available to the City and/or
building administrator and elevator personnel; Description of maintenance tasks performed,
and dates the tasks were performed; Descriptions and dates of examinations, tests,
adjustments, repairs, and replacements; Descriptions and dates of call backs (trouble calls),
or reports that are reported to elevator personnel by any means, including corrective action
taken: and an onsite written record of the findings on Maintenance of Firefighters' Service
Monthly.
C5.5 Tiimelwork Tickets.
Regardless of the reason for the visit to the building, the elevator contractors) will leave an
appropriate and legible time ticket indicating the type of work performed and the amount of
time expended.
C6. CONTRACTOR'S PERSONNEL
C6.1 Employees.
Elevator contractor(s) shall have in its employ at all times a sufficient number of capable
employees to properly, safely, pmmptiy and adequately provide all services. No employees
without a valid State of Florida Elevator Certificate of Competency shall be allowed to work
on any City elevators at any City locations unless directly supervised by a licensed elevator
mechanic within direct line of sight and natural voice communication at all times. Elevator
contractor(s) shall submit a copy of this Certificate to the City prior to award. No employees
without a valid Elevator Certified Elevator Technician (FL CC or CET) shall be allowed to
work on City elevators unless directly supervised by a licensed elevator mechanic within line
of sight at all times. Elevator contractor(s)shall have sole responsibility for means,methods,
techniques, procedures, safety precautions or employment practices in connection with
elevator contractor's performance of services. A minimum of one (1) registered graduate
electrical engineer and one (1) registered graduate mechanical engineer, each with at least
three (3) years elevator experience, must be maintained as full-time employees of the
company to assist in the solution of electrical and mechanical problems and to advise on

matters pertaining to safety.
C6.2 Supervision.
Elevator contractor(s) shall be responsible for the supervision and execution of services by

it continuously. Elevator contractor(s) shall inform the City of name of each supervisor
responsible for services and supervisor.Supervisor shall notify the City of site inspection and
provide the City with written confirmation of findings. A minimum semi-annual inspection of
site conditions shall be conducted by a designated supervisor of elevator contractor(s) to
ensure that all services hereunder are propedy performed including written records of

1. TERM OF CONTRACT. Three(3) years.
2. OPTIONS TO RENEW. Option to renew is at the discretion of the City for two (2) additional one (1)
year periods.
3. PERFORMANCE BOND AND PAYMENT BOND.
Within three(3)calendar days of contract award, Contractor shall furnish a Performance Bond
and a Payment Bond from an A-rated Financial Class V Surety Company.
3.1. Each Bond shall be in the amount of one hundred percent (100%) of the Contract Price
guaranteeing to City the completion and performance of the work covered in such Contract as
well as full payment of all suppliers, laborers, or subcontractors employed pursuant to this
Project.
3.2. Each Bond shall continue in effect for one year after Final Completion and acceptance of the
work with liability equal to one hundred percent (100%) of the Contract sum, or an additional
bond shall be conditioned tat Contractor will, upon notification by City, correct any defective
or faulty work or materials which appear within one year after Final Completion of the Contract.
3.3. Bond(s) shall be recorded in the public records of Miami-Dade County and provide City with
evidence of such recording.
4. ADDITIONAL LOCATIONS. The Vendor(s) shall be responsible for providing monthly, quarterly,
and annual maintenance and repair services to all future elevator(s) added to the Citys inventory, and
at a cost consistent with that submitted in their cost proposal,in response to this RFP.

SECTION C3. REQUIREMENTS FOR GROUPS 1-4 (ROUTINE MAINTENANCE AND

The elevator contractor(s) shall provide monthly, quarterly and annually routine examinations,

maintenance, as-needed cleaning, lubrication, adjustment, replacement of parts, non-routine
and emergency services, and performance of applicable code-required safety tests. Elevator
contractor(s) shall provide materials, labor, transportation, supplies, parts, tools, scaffolding,
machinery, hoists, employee safety equipment, equipment, lubricants, supervision, applicable
taxes, and all other services and materials required under this RFP. Additionally, the awarded
contractor(s) shall be responsible for reprogramming the dialers, and provide ongoing
monitoring for emergency communications, at no additional cost to the City of Miami Beach.

I would like to start by saying thank you very much for the invitation to Suncoast Elevator
Solutions, Inc. and privilege of maintaining and being responsible for your elevator needs.We are
very excited and hopeful to be chosen to be a part of such a world class municipality and
enthusiastic staff.
We would like you to know that to us,you would be our most important and prestigious
customer to date,even though we have maintained many beautiful hi-rise buildings and landmark
accounts; a chance to be associated with the City of Miami Beach would truly be a cornerstone
moment for us. We understand after years of dealing with the big four that it is imperative you
choose the right Independent elevator company for your needs; that is why Suncoast Elevator
Solutions proposes that the fust year of the agreement be open to any feedback form the City of
Miami Beach, including and up to cancellation if necessary without the inconvenience of regal
blowback. In our opinion one year would provide the City of Miami Beach a clear picture of the
company that truly fits it's needs.
At Suncoast,we pride ourselves in our preventive maintenance program,it is even our
slogan 'Excellence through Service': Our plan for the city is to provide a consistent maintenance
program to eliminate emergency repairs and calls that frustrate passengers and destroys budgets.
Every month we will provide a checklist for all 48 units.We will expand the checklist once we have
accomplished the basics i.e. (lights,bells, housekeeping,certificates, door operation&ride quality.)
All emergency and service calls will be analyzed and a plan of correction will be given detailing
• correction and plan of action.Also,we will be looking forward to any changes or suggestions that
you may have to always serve you more efficiently and effectively.

Suncoast Elevator Solutions,Inc.("Suncoast")agrees to maintain your equipment as outlined in this Agreement.We
will provide a full maintenance program to maximize the performance,life span and safety of the equipment.
Pieventadve Maintenance
Suncoast will examine, maintain, adjust and lubricate the above referenced elevator equipment on a scheduled
monthly basis.
Fullage Parts Under ThisAAmeam
In addition, unless specifically excluded elsewhere,Suncoast will repair or replace the following components if the
repair or replacement is,in Suncoast's reasonable judgment,necessitated by normal wear and tear.
• Control System relays,resistors and fuses
• Landing Position System switches
• Signal lamps and positron indication equipment lamps
•
Pump motors and Packing
• Car and Hoistway door operator pulley,belts and cams
• Repaix/replace car and Hoistway door operating devices
• Door protection devices
• Repair/replace roller guide rollers and guide shoe gibs as necessary
• Furnish special lubricants
• Re-lamp all signals as required during maintenance visit,buzzers and gongs.
• Stone motor generator communicators,motor stater contacts and valve solenoids only
Hours olService
All work covered under this Agreement is to be performed during the regular working hours of regular days of the
elevator trade,unless otherwise indicated herein(See Special Provisions section below).Re-lamping of signal fixtures
and position indicating equipment is included only during Suncoast's scheduled periodic examinations.
Service requests are defined as minor adjustments or emergency entrapments.Service requests related to re-Tamping
of signal fixtures and position indicating equipment outside of these scheduled periodic examinations will be
considered billable. Service requests outside of regular working hours and regain working days will be billed at
standard overtime bill rates.
Safety Tests
Suncoast will perform an annual no load test and annual pressure relief valve test for hydraulic elevators. Suncoast
will perform at each fifth year a full load test for traction elevators.
Should your equipment require any code required safety tests on the Commencement Date,as defined below,of this
Agreement,Suncoast assumes no responsibility for the day to day operation of the governor or safeties on traction
elevators, or the hydraulic elevators under the terms of this Agreement until the test has been completed and the
equipment passes.
Should the respective system fail any of these tests,it shall be Purchaser's sole responsibility to make the necessary
repairs and place the equipment in a condition that Suncoast deems acceptable for further coverage under the terms
of this Agreement. Suncoast shall not be liable for any damage to the building structure or the elevator resulting
from the performance of any safety tests Suncoast performs at any time under this Agreement unless arising from
the negligence or carelessness of Suncoast, its employees, agents, contractors Of affiliates. If during the initial
firefighter's service test,that feature is found to be inoperable,Purchaser shall be responsible for all costs associated
with necessary repait(s) to bring the elevator(s) into compliance with the applicable elevator codes in your local
jurisdiction.
Purchaser agrees to pay for any costs of the inspector and/or inspection fees.
If the elevator equipment has firefighter's service, the Purchaser assumes responsibility for performing and keeping
a record of any Code required tests and for the maintenance and functioning of the smoke and/or heat detectors.
Purchaser agrees to engage a qualified electrician to service at least once annually the elevator mainline disconnects
located in the elevator machine room.

Wiring Diag
Suncoast shall obtain current as built wiring diagrams reflecting all previously made changes to the Elevator
Equipment and shall maintain the wiring diagrams so that they properly reflect any changes made by Suncoast the
wiring diagrams will remain the property of the Purchaser
Software
Purchaser agrees to authorize Suncoast to produce single copies of any programmable device(s) used in the
equipment for archival back-up of the software embodied therein. These items will remain the property of the
Purchaser.
Exclusions
Suncoast does nor cover cosmetic, construction or ancillary components of the elevator system, including the
finishing, repairing of replacement of the elevator cab enclosure, ceiling frames,panels and/or fixtures, Hoistwav
door panels, door frames, swing door hinges and closing devices, sills, car flooring, subfiooring floor covering
lighting fixtures, ceiling light bulbs and tubes, main line power switches, breaker(s), feeders to controller, below
ground or unexposed hydraulic elevator system, including but not limited to jack cylinder, piston, PVC or other
protective material; below ground or unexposed piping, alignment of elevator guide rails, smoke and tie sensors,
Erre sen-ice reports,all communication and entertainment devices, security systems,batteries for emergency lighting
and emergency lowering, air conditioners,heaters,ventilation fans,pit pumps and all other items as set forth and
excluded in this Agreement.
Suncoast is not obligated to: (1) perform any work required by new or retroactive code changes; (2) perform tests
required or correct outstanding violations or deficiencies identified prior o the Commencement Date;(3)install new
artachmenta or parts upon the equipment as recommended or directed by insurance companies; (4) provide
replacements of make repairs directed by insurance companies;(5) provide replacements or repairs necessitated by
fluctuations in the building power systems, rust, fire, explosion, acts of God, misuse, water damage, prior water
exposure, vandalism, theft, war or civil strife, terrorism, acts or mandates of government, labor disputes, strikes,
lockouts,or tampering with the equipment by any person other than a Suncoast representative;(5)perform any work
resulting from the negligent acts or omissions of the Purchaser or any third party
Obsolescence
Obsolete or discontinued components of the elevator equipment are not covered under this Agreement. Suncoast
will provide Purchaser with a separate quotation for the price to replace obsolete components. Obsolescence is
defined as a component of the elevator system that is no longer available from the original manufacturer.
Other
Purchaser shall fully indemnify,defend,and hold Suncoast,its employees,officers,agents,affiliates,and subsidiaries
harmless from and against all actions,costs,claims,losses,expenses and/or damages or other liabilities caused by or
due to the recklessness, carelessness or negligence of Purchaser or any of its employees,officers, agents, affiliates
and subsidiaries from any cause, including, without limitation by specification, property damage and/or injury or
death to any person or persons, or any breach of the duties or obligations of Purchaser hereunder.
Suncoast shall folly defend, indemnify and hold Purchaser and owner of the property and their respective officers,
directors,employees,agents and affiliates harmless from and against any and all actions,costsclaims,losses,expenses
and/or damages or other liabilities caused by or due to the recklessness,carelessness or negligence of Suncoast or any of
its agents,servants,or employees from any cause,including,without limitation by specification,property damage and/or
injury or death to any person or persons,or any breach of the duties or obligations of Suncoast hereunder.
In the event a third party is retained to enforce,construe or defend any of the terms and conditions of tits Agreement
or to collect any monies due hereunder, either with or without litigation, the prevailing party shall be entitled to
recover all costs and reasonable attorney's fees.
Notwithstanding any other agreement or provision to the contrary,under no circumstances will either party be liable
for any indirect,special or consequential damages of any kind including,but not limited to, fines or penalties,loss of
profits,loss of rents,loss of good will,loss of business opportunity,additional financing costs,or loss of use of any
equipment or property,whether in contract,tort,warranty or otherwise.
The parties hereby waive trial by jury. Purchaser agrees that this Agreement and the tight and duties of the parties
hereunder shall be construed and enforced in accordance with,and governed by, the laws of the State of Florida.

Purchaser further agrees that venue for any action, whether at law or equity, arising out of this Agreement shall
properly be Miami,Dade County,Florida. Purchaser consents to the jurisdiction of the courts,both state and federal,
of Miami,Dade County,Florida for any actions arising out of this Agreement.
In the event, any portion of this Agreement is deemed invalid of unenforceable by a court of law,pubic policy or
stature, such finding shall not affect the validity or enforceability of any other portion of this Agreement.
The parties'rights under this Agreement shall be cumulative and failure to exercise any tights given hereunder shall
not operate to forfeit or waive any of said rights.
Safety
Purchaser agrees to immediately report any condition that may indicate the need for correction before the next
regular examination. Purchaser agrees to immediately shut down the equipment upon manifestation of any
irregularities in either the operation or the appearance of the equipment,to immediately notify Suncoast,and to keep
the equipment shut down until completion of any repairs.Purchaser agrees to provide written notice within ten(10)
days after any occurrence or accident in or about the elevator.Purchaser agrees to
provide Suncoast personnel with a safe place to work.Purchaser agrees to provide a suitable elevator machine room,
including secured doors,waterproofing, lighting,ventilation, and appropriate air temperature control to maintain
that room at temperature between 50 degrees Fahrenheit and 90 degrees Fahrenheit. Purchaser also agrees to
maintain the eleva:or pit in a dry condition always. Should water or other liquids become present, Purchaser will
contract with others for removal and the proper handling of such liquids. Purchaser also agrees that if Suncoast's
inspection of a piece of equipment serviced under this Agreement reveals an operation problem which,in Suncoast's
reasonable judgment,jeopardizes the safety of the riding public,Suncoast may shut down the equipment until the
operational problem is resolved. In that event,Suncoast will immediately advise Purchaser in writing of such action,
the reason for such action, and whether any proposed solution is covered by the terms of this Agreement.

Purchaser agrees to not permit others to make theta tions,ad'ustmene ,repairs or replacement of any component or
part of the equipment during the term of this Agreement.

The contract pnce shall be subject to review and adjustment one year from the Commencement Date and yearly
thereafter.
Term
This Agreement is effective for three (3) years starting ("Commencement Date) and is non-cancelable.
This Agreement will be automatically renewed for successive five(5)years periods,unless either party timely serves
written notice upon the other party of its intention to cancel at least thirty(30) days before the end of the initial Eve
(i) years period, or at least thirty(30) days before any subsequent five (5)years renewal period. Notice shall be sent
by certified mail,return receipt requested to the address set forth on page 1 of this Agreement.Time is of the essence.
Annual Price Adjustments
As the cost,Suncoast incurs for providing elevator service may increase,Suncoast may,on each anniversary date of
this Agreement, adjust the Monthly Contract Puce, subject to the cap set forth in the Special Provisions section
below,Suncoast may adjust the monthly contract price based on the percentage of operational costs such as increases
to average wage of elevator examiners, fuel costs,insurance costs(liability and group health) and metals index.
Payment Terms
Payment is due net thirty(30)days from the date of the invoice.A late charge of one and one-half percent(I 1/2%)
will be applied to the unpaid balance.

Insurance
Suncoast shall carry liability insurance in such amounts as shown below,shall pay all premiums thereon when due,
and shall cause such insurance to name and the owner of the property as additional insured
thereunder:
Commercial General Liability $2,000,000 combined single limits each occurrence($3,000,000
Aggregate) For bodily injury and property damage.
Workers'Compensation Coverage A-Statutory
Coverage R-$300,000
Any losses not covered by the above insurance shall constitute expenses of Suncoast. Suncoast shall provide a
Certificate of Insurance to coverage required herein prior to
commencement of the Agreement

Suspension ofService
If Purchaser fails to pay an invoice within the specified time or if the Purchaser breaches any material provision of
this Agreement, Suncoast may stop work or suspend its services until all invoices are current or Purchaser cures the
breach.
Assign' meat
Either party may assign the Agreement to a third party upon thirty(30) days prior written notice to the other patty
subject to the terms of this provision.Purchaser will promptly provide Suncoast with notice of such assignment.
Acceptance
Purchaser's acceptance of this Agreement and its approval by a Corporate Officer of Suncoast will constitute
exclusively and entirely the Agreement for services herein described.All prior representations or agreements,whether
written or verbal,will be deemed to be merged herein and no other changes in or additions to this Agreement will
be recognized unless made in writing and properly executed by both parties.
This proposal is submitted for acceptance within ninety (90) days from the date submitted by the Suncoast
representative indicated below.
No agent or employee shall have the authority to waive or modify any of the terms of this Agreement without the
prior written approval of a Corporate Officer of Suncoast.
Special Provisions
o This Agreement is contingent upon completion of a final supervisor survey by Suncoast Elevator Solutions,Inc.
o The annual increase shall not exceed 3%in any given year,
o This contract can be cancelled for Non-Performance or Non-Timely Performance. Non-performance
& Non-Timely is defining as the inability of Suncoast to correct an elevator deficiency covered under
this Agreement within thirty (30) business days after receipt of such written notice, except if a part is
not available of for a major repair.

INSURANCE REQUIREMENTS
This document sets forth the minimum levels of insurance that the contractor is required to
maintain throughout the term of the contract and any renewal periods.
XXX 1. Workers' Compensation and Employer's Liability per the Statutory limits of the state of Florida.
XXX 2. Comprehensive General Liability (occurrence form), limits of liability $ 1.000,000.00 per occurrence for bodily
injury property damage to include Premises/ Operations: Products, Completed Operations and
Contractual Liability. Contractual Liability and Contractual Indemnity (Hold harmless endorsement
exactly as written in"insurance requirements"of specifications).
XXX 3. Automobile Liability-$1,000,000 each occurrence-owned/non-owned/hired automobiles included.
