MEMORANDUM OF UNDERSTANDING
BETWEEN
THE CITY OF MIAMI BEACH, FLORIDA,
AND
AUGMENTED INTELLIGENCE ACADEMY, INC
This Memorandum of Understanding (MOU) is made and executed on this 2.9 day of
-3,,Nr t‘s,aS'7 , 2018 (Effective Date), between the City of Miami Beach, a
municipal corporation of the State of Florida, whose address is 1700 Convention Center
Drive, Miami Beach, Florida 33139 (City), and Augmented Intelligence Academy, Inc., a
Florida for profit organization, whose address is 2521 NE 209th Terrace, Miami, FL
33180 (Contractor) (collectively, the "Parties").
RECITALS
WHEREAS, on January 17, 2018, the Mayor and City Commission adopted
Resolution No. 2018-30131, authorizing the City to submit a grant application to The
Children's Trust (the "Funder") Grades 6-12 Youth Development grant program for the
Miami Beach All Stars Program (the "Program") for funding in the approximate amount of
$500,000; and
WHEREAS, the Funder's Grades 6-12 Youth Development program provides
funding to support structured programs that provide youth enrichment opportunities that
strengthen life skills and increase academic attainment for at-risk populations in Miami-
Dade County; and
WHEREAS, the Program is a best practice program that promotes academic
success and personal development for 100 sixth, seventh, and eighth grade
economically- and educationally-disadvantaged students who attend Nautilus Middle
School; and
WHEREAS, the Program includes a structured design of activities and outcomes
grounded by the evidence-based All Stars life skills curriculum and provides highly
interactive, skill building activities such as: art/theater, sports, civic engagement and
STEM (Science, Technology, Engineering and Math); and
WHEREAS, Program activities reduce risk factors and build protective factors by
offering at-risk youth the opportunity to develop life-long interests and acquire social,
emotional and cognitive skills that will help them make healthy life choices; and
WHEREAS, members of this comprehensive program share the common vision of
equipping our youth with social, emotional, and cognitive skills that promote academic
success, healthy youth development, healthy successful families, and a healthy
community; and

WHEREAS, members of the Program agree that their collective mission is to work
collaboratively to effectively deliver comprehensive, culturally-competent, outcomes-
based services that ensure the success of our community's youth and families; and
NOW, THEREFORE, in consideration of the conditions and covenants hereinafter
contained, the receipt and sufficiency of which are hereby acknowledged, the Parties
hereto agree as follows:
1. Recitals. The foregoing recitals are hereby acknowledged as true and correct,
and are incorporated herein by reference.
2. Purpose. The purpose of this MOU is to legally delineate the relationship
between the City and Contractor.
3. Term. The term of this MOU shall commence upon its execution by all Parties,
and shall terminate on 07/31/2023.
4. Scope of Work (Services).
a. In consideration of the Fee to be paid to Contractor by the City, Contractor
shall provide up to sixty (60) STEM curriculum group sessions during each
school year and eighteen (18) sessions during each summer included
within the term of this MOU, including providing STEM materials for
participants, as further described in Exhibit "A" hereto (the Services).
b. Contractor's Services, and any deliverables incident thereto, shall be
completed in accordance with the timeline and/or schedule in Exhibit "A,"
entitled "Scope of Services." hereto.
c. Contractor agrees to be bound by and shall fully comply with the terms of
the Funder's RFP 2018-02 Youth Development - Youth Development: 6-12,
for high quality youth enrichment activities ("The Children's Trust RFP"),
which is incorporated herein and attached hereto as Exhibit "B."
5. Fee. In consideration of the Services to be provided, Contractor shall be
compensated for the Services, as set forth in Exhibit "A," as follows:
a. The City shall compensate Contractor for sixty (60) STEM Curriculum
group sessions during the 2018-2019 School Year at the cost of Three
Hundred and Eighty-four Dollars and Seventy-five Cents ($384.75) per
session, and eighteen (18) summer STEM curriculum group sessions
during the summer of 2019, at the cost of One Thousand Five Hundred and
Twenty Dollars ($1,520) per session, for a total Fee not to exceed Fifty
Thousand Four Hundred and Forty-five Dollars ($50,445) for the 2018-
2019 School Year and the summer of 2019.

b. Fees are subject to change each year following the summer of 2019 and
may only be modified or amended by an instrument in writing, signed by an
authorized representative of each Party, which shall be the City Manager
(on behalf of the City), and the Contractor Director (on behalf of the
Contractor) if such fees are reasonable, justifiable, and align with market
value as determined by the City.
Contractor's compensation shall be further subject to and conditioned upon all or any
portion of the Services to be provided herein being allowable and within the Scope of
Services delineated in Exhibit "A."
c. All payments shall be made after delivery of services and in response to a
received end of service invoice. Payments shall be made within thirty (30)
days of the date of the City's receipt of each invoice, in a manner
satisfactory to, and as approved and received by, the City Manager and/or
the City Manager's designee.
6. Track and Report Monthly Expenditures and In-Kind Contributions Made in
Support of the Program. The Contractor will report monthly expenditures, any in-kind
contributions made in support of the Program, and its direct service activities on a
monthly basis using the Monthly Reimbursement Report(Exhibit "C").
7. Participation in Meetings.
a. The Contractor is encouraged to have representation at each calendared
Miami Beach Service Partnership meeting. In the event Contractor's agent
cannot attend in person, arrangements can be made for a telephonic
connection. The City will provide written notice of all such meetings to
Contractor within ten (10) business days of execution of this MOU. In the
event that meetings are cancelled, the City will notify Contractor by e-mail
or phone as soon as the information is known.
8. Adherence to Standards of Excellence.
a. The Contractor agrees to comply with all applicable local, state, and federal
privacy laws in the discussion of client cases and the processing of all
referrals and direct services.
b. The Contractor will ensure that all personnel engaged in providing services
or support funded by the Program have successfully completed legally
mandated criminal background checks. Contractor agrees to maintain the
results of such background checks in Contractor's personnel files. In doing
so, Contractor shall comply with the legal standards and requirements
within Sections 943.0542, 984.01, 39.001 and 1012.465, and Chapters
430, 435 and 402, of the Florida Statutes.

c. The Contractor will ensure that all personnel engaged in providing direct
services on behalf of the Program funded activities shall be trained and
certified in STEM Curricula outlined in the Services.
9. Promotion of the Program. The Contractor will promote the Program by:
1. Displaying marketing materials provided by the Program staff.
2. Creating a web link between the Contractor's website and the Program
webpage administered by the City.
3. Promoting the program on Contractor's social media websites.
4. Creating multimedia content regarding participants and programming for
promotion, provided that written Authorization for Photography/Video is on
file with the City.
10. Notices. All notices and communications in writing required or permitted
hereunder must be delivered personally to the representatives of the Program and the
City listed below or must be mailed by U.S. registered mail, postage prepaid (or
airmailed if addressed to an address outside of the city of dispatch) to the addresses set
forth below.
Until changed by notice in writing, all such notices and communications shall be

Notices hereunder shall be effective:
If delivered personally, on delivery; if mailed to an address in the city of dispatch, on the
day following the date mailed; and if mailed to an address outside the city of dispatch on
the seventh calendar day following the date mailed.
11. Compliance with Federal, State, and Local Law. All Parties hereby agree to
comply with all applicable Federal, State, Miami-Dade County, and City laws, ordinances
and codes, including, without limitation, the Americans with Disabilities Act, as they apply
to this MOU and its accompanying Grant Agreement.

12. Amendments to MOU. Neither this MOU, nor any of its terms, may be changed,
modified, or otherwise amended except by an instrument in writing, signed by an
authorized representative, which shall be the City Manager (on behalf of the City), and
the Contractor Director (on behalf of Contractor).
13. Entire Agreement. This MOU and its Exhibits represent the entire agreement
between the Parties.

STEM (Science, Technology, Engineering and Mathematics) curriculum sessions -
The STEM Program will consist of a LEGO MINDSTORM EV3 Curriculum, that will
enable our participants to understand force and motion, graph and interpret rotation
sensor data, develop robots of complex thinking, and design, build and program a fully-
functioning robotic system. In addition, Contractor utilizes other coding, programming,
engineering and robotic curricula, such as: Raspberry Pi-Microcontroller, CAD Design
and IFTTT technology. These curricula enable participants to build skills in computational
and critical thinking, problem solving, creativity and teamwork through project based
learning that allows youth to have an experiential learning environment. These STEM
project based activities enable problem solving of real world challenges that allow

students to understand and appreciate the relevancy of their work to their own lives and
the world around them.
Student Attitude Toward STEM — Student Attitude Toward STEM is an instrument to
measure the current level of attitude that students' exhibit toward STEM education. A
Pre-test is administered to each participant on the first session the student attended and
a Post-test is administered within the last two sessions the participant attends.
