A RESOLUTION APPROVING A SETTLEMENT REGARDING
LIENS ON REAL PROPERTY AT 320-330 86TH STREET OWNED
BY MACLAUD CORPORATION PROVIDING THAT LIENS IN THE
AMOUNTS OF $235,416.80 BE SETTLED FOR THE AMOUNT OF
$23,541.60.
WHEREAS, the property at 320-330 86TH Street have accumulated as a result of
property maintenance violations, failure to have a certificate of use and painting without a
permit in the amount of $235,416.80; and
WHEREAS, the principal of MacLaud Corporation, Guillermo Marin, was
incarcerated for ten years in the federal penal system; and
WHEREAS, Guillermo Marin's sister, Claudia Marin, was the registered agent of
the corporation and had the responsibility of managing the property; and
WHEREAS, Claudia Marin did not correct the violations and allowed fines to
accrue and also allowed the mortgage held by Private Funding Group to go into default;
and
WHEREAS, Guillermo Marin was released in October 2002 and has since
resumed his duties as landlord of the property and began settlement negotiations with the
Administration and also began negotiating terms to refinance the property; and
NOW, THEREFORE BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA that a settlement for
outstanding City liens at the property of 320-330 86th Street in the amount of $235,416.80
is hereby approved (Special Master cases JC01000064, JC01000266, JC01000422, and
JC991 071) upon payment of the sum of $23,541.60 and all outstanding utility and city
bills totaling $16,205.53 (Account Number 515329 and City Bills CB68413, CB68279,
CB68267, CB68265, CB59590, CB59671) by MacLaud Corporation to the City of Miami
Beach; and further that the City Manager shall be authorized to execute any and all
necessary documents to complete such lien release and settlement subject to the
approval of the Special Master.

Item SummarY/Recommendation:
Since 1999 liens on the property at 320-330 86' H Street have accumulated as a result of property
maintenance violations, failure to have a certificate of use and painting without a permit in the amount of
$235,416.80. The liens were levied against the owner Maclaud Corporation. The principal of MacLaud
Corporation, Guillermo Marin, was incarcerated for ten years in the federal penal system. During this time,
Guillermo Marin's sister, Claudia Marin, was the registered agent ofthe corporation and had the responsibility
of managing the property. Over the period of time the fines were being assessed to the property in question,
Claudia Marin did not correct the violations and allowed fines to accrue. Ms. Marin also allowed the
mortgage held by Private Funding Group to go into default.
Guillermo Marin was released in October 2002 and has since assumed responsibility of operations for the
corporation. In November 2002 he began settlement discussions with the Administration regarding the
reduction of the lien associated with the property. Mr. Marin also began negotiating terms to refinance the
property rather than allow the pending foreclosure action to proceed. The total pay-off on the current
mortgage is $1,003,447.26 plus two years of taxes due which amount to $46,001.16 totaling 1,049,448.42.
The property was assessed in 2002 by Miami-Dade County and valued at $933,536.00. Private Funding
Corporation has agreed to lend MacLaud Corporation the sum of $1,100,000.00 with the borrower coming up
with $10, 936.18 at closing.
The Administration recently concluded settlement discussions and agreed in the amount of $23,541.60 for
the outstanding City liens totaling $235,416.80. MacLaud Corporation further agrees to pay all outstanding
utilitv and citv bills, which total $16,205.53.

Administration regarding the reduction of the lien associated with the property. Mr. Marin
also began negotiating terms to refinance the property rather than allow the pending
foreclosure action to proceed. The total pay-off on the current mortgage is $1 ,003,447.26
(attachment 1), plus two years of taxes due which amount to $46,001.16 (attachment 2)
totaling 1,049,448.42. The property was assessed in 2002 by Miami-Dade County and
valued at $933,536.00. Private Funding Corporation has agreed to lend MacLaud
Corporation the sum of $1,100,000.00 at 10% interest amortized over 25 years with a 5
year balloon with the borrower paying $10,936.18 at closing (attachment 3).
The Administration recently concluded settlement discussions with an agreement between
the Administration and MacLaud Corporation in the amount of $23,541.60 (ten percent
10%) for the outstanding City liens totaling $235,416.80. MacLaud Corporation further
agrees to pay all outstanding utility and city bills, which total $16,205.53.

Furthermore, Private Funding Group filed their lis-pendens August 7, 2000, which predates
all, except one (JC991 071) of the City's pending liens. If the property is allowed to go into
foreclosure, Mr. Marin will lose the property and the City would only be able to collect on
the lien predating their lis-pendens valued at $14,694.90.
The Administration believes that this is a fair and equitable settlement given the nature of
the violations (non-life safety) and the equity of the property in question.

Dear Mr. Sklar:
The purpos~, oi'this letter is s~t forth the valuation or the real property set forth
above. As you may know, when this loan was uriginally approved in 2000 we had an
appraisal done. At Ulat time, the value estimated by a licensed and certified appraiser
wao; $960.000.00. Since that lime is our opinion that the property wa... poorly managed
ercating the existing derault in the mortgage and the problems with thc code violation.
Since Mr. Marin has managed the property we have seen and experienced substantial
differenced in the udministration of the property. Unfortunately, due to the prior

failure. Mortgagee shall have the option of applying the insurance
proceeds for restoration of the property or to reduce the debt
secured by the note and mortgage.
V. ~OND~MNATION. If all o~~~aterial part (which shall be
determined at the sole discretion of the mortgagee) of the
Mortgaged property shall be taken through condemnation/eminent
domain proceedings, either temporarily or permanently, the entire
indebtedness and other sums secured-hereby shall, at the option of
the Mortgagee, shall immediately become due and payable. Mortgagee
shall be entitled to all compensation awards, damages, claims,
rights of action and proceeds of, or on account of any damage or
taking through condemnation and is hereby authorized, at its
option, to commence, appear in and prosecute, in its own or in the
Mortgagor's name, any action or proceeding relating to any
condemnation, and to settle or compromise any claim in connection
therewith. Mortgagor agrees to execute such further assignments of
any compensations, awards, damages, claims, rights of action and
proceeds as Mortgagee may require. Mortgagor shall be responsible
for all of Mortgagee's attorney's fees and costs regardless of the
particular nature of the proceeding and whether incurred with or
without suit.
VI. PROPER USE. CARE AN!) IMPROVEMENTS/ADDITIONS. Mortgagor
shall preserve and maintain the mortgaged property in good
condition and repair. Mortgagor shall not remove, demolish,
materially alter or change the use of any building or structure or
other improvements presently or her~after on the subject property
without the prior written consent of the Mortgagee. The Mortgagee
may enter upon and inspect at all reasonable times, the mortgaged
property during the life of the mortgage.
VII . AFTER ACOUIRED PROPERTY. The lien of this mortgage will
automatically attach, without further act, to all after acquired
property located in or on, or attached to, or used or intended to
be used in connection with or with the operation of the Mortgaged
property in whole or in part.
VIII. EXPENSES. Mortgagor shall payor shall reimburse
Mortgagee for all costs, charges and expenses, including reasonable
attorney's fees, disbursements and costs incurred or paid by the
Mortgagee in any threatened,. pending or completed action,
proceeding or dispute in which the Mortgagee is or may be a party
or appears as a party plaintiff or party defendant and which
affects or may affect the Mortgage Deed, Mortgage Note and any
other loan document, or the mortgaged property. All these sums
shall be immediately due and payable whether or not notice is given
and demand made. The amount so incurred or paid by the Mortgagee,
together with interest thereon at the highest rate allowable by law
from the date incurred until paid by the Mortgagor, may be added to
the indebtedness and secured by the lien of this Mortgage Deed.
IX. MORTGAGEE' S PERFORMANCE UPON DEFAULT OF MORTGAGOR. If
the Mortgagor defaults in the payment of any tax, assessment, other
mortgage, encumbrance or other imposition, obligation to obtain
insurance as required by the Mortgagee cr in the performance or
observance of any other covenant, conditicn or term of this
Mortgage Deed, Mortgage Note or a::y other loan document, the
Mortgagee at its option ~ay perfc=m ?~ b~half of the Mortgagor and

XI. REMEDIES. If an event of default have occurred,
Mortgagee May declare the outstanding principal balance of the
Mortgage Note and interest accrued
thereon, and all other aums secured hereby, immediately due and
payable without demand or notice. Mortgagee may proceed to file
suit or by other appropriate proceeding to enforce the terms of the
Mortgage Note, Mortgage Deed and any other Loan Documents in order
to secure full payment plus all costs of collection including
attorney's fees. Upon any sale of the subject property at
foreclosure sale, Mortgagee may bid for and purchase the subject
property, retain and possess and dispose of such property in its
absolute right without further accountability and effect upon its
rights to a deficiency judgment. If an event of default shall have
occurred, Mortgagee to the extent .permitted by law, and without
regard to the value or occupancy of the security, shall be entitled
as a matter of right to the appointment of a Receiver without
notice to the Mortgagor ~o enter upon and take posaession of the
Mortgaged Property and to collect all rents, revenues, profits and
income thereof and apply ths aame as the court may direct.
Mortgagor further consents to the appointment of the Mortgagee or
any officer or employee of the Mortgagee as receiver.
XII. DELAY OR OMISSION NO WAIVER. No delay or omission of the
Mortgagee or of any holder of the Note to exercise any right, power
or remedy hereunder or remedy accruing upon any event of defaul t
.ahall exhaust or impair any such right, power or remedy or shall be
conatrued to waive any suoh event of default or to constitute
acquiescence therein. Election by the Mortgagee to waive or fail
to exercise its rights shall not affect or extend to any subsequent
event of default, or failure to exercise its rights, powers or
remedies.
