97-22414 RESO RESOLUTION NO. 97-22414 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH AUTHORIZING THE ADMINISTRATION T'O PROCEED WITH BIDDING THE BASS MUSEUM OF ART'S RENOVATION AND CONSTRUCTION PROJECT. WHEREAS, the Expansion and Renovation Project for the Bass Museum of Art (Pro.llec:) has been adopted by the Board of Trustees, the Board of the Friends of the Bass Museum, Inc., ar d the Mayor and the City Commission; and WHEREAS, the City has appropriated $3,600,000 to the Project by Resolution No 9,- 20726, for $1,265,560, and Resolution No. 94-21319, for $2,334,440; and WHEREAS, the Mayor and the City Commission previously appropriated four Sta.:e I If Florida Cultural Facilities Matching Grants totalling $1,606,251, of which the remaining two gran :s totalling $1,000,000, to be applied toward renovation and construction, cannot be extended and w II be jeopardized if construction does not commence in a timely way; and WHEREAS, the Friends of the Bass Museum, Inc. have committed to raise $2,294,6~'8 0 complete this Project, of which more than $1,000,000 of this total has been pledged, and the Frien ls will raise the remainder of private funds during the period of new construction, as adopted b:' tl .e Mayor and City Commission pursuant to Resolution No. 94-21319; and WHEREAS, the actual cost of new construction has been estimated at $4,818,419, anI I tl ,e City has been advised by the Project Architect, Spillis Candela & Partners, Inc., that the Pmje)t should be bid as soon as possible to avoid any escalation in the bid results; and WHEREAS, the funds needed for the new construction are in hand or can be obtainc d immediately, because the City has on account $4,541,652 (the City's commitment of$3,541,65:. atd the State grants of $1,000,000), and the Friends of the Bass Museum, Inc. have pledged to previcle the remaining $276,767 needed for new construction. Camber SUBJECT: Bass Museum Expansion and Renovation Project: Need to Go To Bid Is Urg(:nt As you may know the architectural work for the Bass Museum of Art renovation and expar:si( In project has been completed. The actual cost for new construction has been estimated by professor al cost estimators at $4.818.419. The City has been advised by Spillis Candela & Partners, Inc., he project architect, that the project should be bid as soon as possible to avoid escalation in tht: bd results. The money to pay for the cost of new construction is in hand now: (1) The City has appropriated a total of $3.600.000 to the Project by Resolution No. 91- 20726, for $1,265,560, and Resolution No. 94-21319, for $2,334,440. The Friends will continue to raise the remainder of private funds throughout the cornil.g months and after the period of new construction has begun, as adopted by the May)r and City Commission pursuant to Resolution No. 94-21319. Friends: $276.767 With the full cost of new construction in hand -- $4,818,419 -- the City can go to bid nm'~. If the City goes to bid now, the Commission can award a construction contract at the filst commission meeting following the August recess - September 10th -- and construction CHn begin according to the project's time line. This will avoid jeopardizing $1,000,000 in State grant funds, prevent any escalation in bid results, and encourage additional private fundraising by demonstrating the project is going forward. As you know, there have been recent obstacles placed before the Museum that were unexpe~te.:l. Despite a Commission resolution stating that the Friends could continue fundraising upc,n completion of the architectural drawings and after the period of new construction had begun, a bo .It a year ago the Museum was suddenly advised it had to have all the private money up front. Tl: is change occurred about the same time the siting of the library issue came up, with accounts ill the media suggesting that the library be attached to the Museum or even replace the Museum in its present facility. The Friends were told they would have to pay an additional $10,000 for my renderings of our project, a standard part of any architectural contract. Only last week we have beln told that $10,000 had been allocated all along for renderings in the architect's budget, and that the:e would be forthcoming soon. The resulting ill-will and confusion that these separate events la"e created has seriously hampered the Museum's ability to attract substantial private fundraising. Now is the time to take decisive action by instructing the City to go to bid now. Friends of the Bass Museum Board Meeting: May 21, 1997 Fund-Raising Council Report: Hank Lione Two Prospect Evaulation Meetings were held, hosted by Fiduciary Trust International, with ninll~: members of the Board in attendance. The entire museum expansion program was reviewed and lists were distributed comprising individuals and corporations who are currently supporting the Museum and/or have attended or sponsored exhibits. The prospects were rated concerning the possible level of contribution support and a total of 166 prospects were assigned. These prospects will now be contacted and hopefully visited by the members of the board in ccd .~r to secure a contribution toward the campaign. A Case Statement has been prepared as well a) a Pledge Form for the Board members to use during their visit. In addition, a list of helpful suggestions were distributed to assist in the actual visitation. The Board Members who are currently participating are Peter Houghton, Margarita Cano, Richard Rosen, Susan Best, Cecily Silberman, David Nixon, Teofilo Victoria, Joyce Kaiser and Jeff Weiner. It is hoped that oth~:r members of the Board will assist in this endeavor to personally contact major gift prospects. This is the only way we will be able to raise the necessary funds in the short period of time remaining. To date we have raised/pledged $1,448,000. This includes the Lesieur Trust Gift and Seven (7) commitments from members of the board as well as a request to the Adams Foundation. ADMINISTRATION RECOMMENDATION: Do not adopt the Resolution. BACKGROUND: The expansion project for the Bass Museum, which requires an expenditure of $8 million, idenlifi, ~d the following sources of funding (in round numbers): $3,600,000 from the City, an amount which has been allocated and is in pla~e; 1,600,000 in grants from the State of Florida, of which approximately $60C, 0110 has been expended in architectural fees; 2,300,000 in funds that the Friends of the Bass Museum (Friends), his committed to raise; 500.000 $8,000,000 in future grants, to be applied for. To date, the Friends report that they have received pledges totalling $1,463,000; the main ph:d~e, for $1,000,000, is payable over a period often years, To date, no cash has been received. E\"en if all of the pledges were convertible into cash, and even if the cash were received after constru~til III has begun (this month June, 1997, per the attached Project Schedule submitted by the 8a ss Museum), there remains a shortfall of approximately $800,000 to be raised. AGENDA ITEM F\ '1J:J_ ~- t - - I ... '--j- DATE 1 ANALYSIS: The Bass Museum is requesting that the City proceed with the bidding process for the constm.~tion phase of the project. Two reasons are advanced in support of the request: (1) the remaining :ll million in State grants will be jeopardized or lost if $500,000 of construction dollars are not !.:pent by April, 1998, and the remaining $500,000 by April, 1999; and (2) the cost of construction m lY rise in the future. The Administration believes that it would be imprudent and unfair to proceed with the birding process for construction until the funding from the Friends is fully in place. The imprudence ster IS from the possibility, if not the likelihood, that any funding shortfall would legally or practica ly become the responsibility of the City. The unfairness results from the commencement of a proCf ss under circumstances, which may not lead to an award ofa contract. Moreover, the reasons advanc .~d by the Bass Museum for the present request are unpersuasive: the failure to expend constm:til m dollars timely would only be attributed to the failure to raise the private monies, since the pub ic monies are already in place; and the inflation is at historically low levels, 2.5% CPI increasl~ Ie st year . CONCLUSION: Having received no cash and a relatively small amount in pledges other than the ten year, $ 1 milli, m pledge, the viability of the financing of this project without substantial additional public funds is questionable at this point in time. Hence, to go out to bid now would be an impruden1 a Id financially risky step, which we do not recommend that the City take.
