A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE
CITY OF MIAMI BEACH, FLORIDA, AUTHORIZING THE MAYOR AND
CITY CLERK TO EXECUTE AMENDMENT NO.8 TO THE AGREEMENT
BETWEEN THE CITY AND CAMP DRESSER & McKEE, INC., DATED

WHEREAS, on July 8, 1992, the Mayor and City Commission approved Resolution No. 92-20540, authOl izir g
the Mayor and City Clerk to execute an Agreement, dated July 21, 1992, by and between the City of Miami Beach ar d
Camp Dresser & McKee Inc., (Consultant) providing for engineering services for upgrading sewer and water purnpir g
stations and the design of a new water pumping station on MacArthur Causeway (Agreement); and
WHEREAS, the scope of the Agreement provided for Phase 1- Preliminary Design, Phase II - Final D~sil n
and Phase III - Services During Construction.; and
WHEREAS, Phase II, Final Design for the upgrade of sewer and water pumping stations and for a new '\fat .:r
booster station on MacArthur Causeway, has been completed and;
WHEREAS, the City desires to proceed with bidding and construction of the improvements for the pun p
stations; and
WHEREAS, the City desires to continue to utilize the Consultant to provide bidding and construction ser lict s,

BACKGROUND
In 1995, following the preparation of a Water System Master PIal
and a water and sewer rate study, a $59 million water and sewe.~
revenue bond issue was authorized by the City Commission. The bond:;
would be used to implement a program to upgrade the City IS wate.~
and sewer systems which is anticipated to take 5 years to comple':e.
Because of the magnitude of the program and the long lead time ::0.:-
the planning and design of the improvements, the agreements witl
CDM provide for the on-going evaluation and control of the te::-m3
and conditions of the required work, through the approval 0:
amendments authorizing work already included in the scope of th:
agreement.
I. Pump Stations
Agreement between the City of Miami Beach and Camp Dresser & McKe.~
Inc. for Professional Services for the Upgrade of Sewer & Wa1:e.:-
Pumping Stations and a New Water Pumping Station on the MacArthu:-
Causeway
On July 8, 1992, the City Commission authorized execution of t:h~
above agreement. This agreement includes the scope of work fo:-
Phase I - Preliminary Design, Phase II - Final Design and Phase ::1:
- Services During Construction. The agreement further provides fo.~
subsequent phases of work to be authorized by amendment. PhasE~
and Phase I have now been completed under the terms of th.~
contract. Expenditures to date, including amendments one throug:l
seven, total $1 million under this contract. Phase III, bidding ani
construction phase, must now proceed so that progress i:l
implementing the planned improvements can continue in a timel:'
manner.
II. Program Management

Citywide Infrastructure Improvements
On December 1, 1993, the City Commission approved Resolution No.
20981 authorizing execution of the above agreement. The scope of
work contained in the agreement provides for Part I - Water Sys':e n
Improvements and Part 2 Program Management of Infrastructl.lr~
proj ects. To date, expenditures under this contract, includ.Lnj
amendments one through six, total $2.8 million. These expenditu:~e3
include $500,000 for program management services. Pursuant to 1:h~
scope of work defined in the agreement, program management servi,::e3
include the coordination of water, waste water and storm wa1:e.~
system improvement projects with future State, County and City 0:
Miami Beach roadway improvements.
At this time, this effort must be extended, in order to maintail
the proper support of the overall infrastructure improvement 3
program.
ANALYSIS
I. Pump Stations
This project includes upgrades to 5 water pump stations and 25
wastewater pump stations and construction of a new water booste.~
pump station on Terminal Island. The schedule to complete thi:3
project is estimated to be 30 months
The attached Amendment No.8 is for a lump sum amount of $1,514,~141
and generally provide for the following services:

Funding for this amendment is available from the water and se\lre:.-
bond funds and was contemplated in the bond fund budget for tbi::
project.
II. Program Management
Amendment No. 7 to this agreement is for an amount not to excE~ed
$798,804 for continuation of program management services for an 11:
month period. These services include coordination of proj ects
bidding and construction schedules, review of construction bids
cash draw proj ections, monitoring monthly expenditures c.n<:l
coordination of active construction projects. An intense public
information effort is being provided as part of the service c.nd
includes community meetings in affected neighborhoods, newsletters
quarterly broadcasts on the government channel and a citi2eu
information telephone service. This amendment is based on a montbl:'
budget and the level of service to be provided will be determined
mutually by the City and CDM. A subsequent extension of thE~sl~
services for the final 18 months to complete the bond ft.nd
infrastructure program will be presented to the City Commission fo:"
approval.
Funding for this amendment is available from the water and se,,~:'
bond funds and provides for the continuation of program managemE~n1,
services for this effort.
CONCLUSION
Approval of the attached resolutions is needed in order to procE~ed
with the bidding and construction of the pump station upgrades c.nd
the continuation of program management services for infrastruct1..rE~
im~vements and related projects.

This Eight Amendment, dated as of June 4 , 1997, to that certain Agreement, d att d

Inc. (Consultant), as amended (Agreement).
RECITALS
WHEREAS, Phase II, Final Design for the upgrade of sewer and water pumping statiom. at d
for a new water booster station on MacArthur Causeway, has been completed and;
WHEREAS, the scope of the Agreement includes Phase III Services (Services Duil g
Construction) for the upgrade of sewer and water pumping stations and for a new water boost .:r
station on MacArthur Causeway, and;
WHEREAS, the City desires to proceed with bidding and construction of the improverren:s
for the pump stations; and
WHEREAS, the City desires to utilize the Consultant to provide construction ser"ic, ~:s
pursuant to the Agreement.
NOW, THEREFORE, in exchange for the mutual promises contained herein, and other gOld
and valuable consideration, the receipt and adequacy of which is hereby conclusively acknowlecige 1,
the parties agree as follows:
1. ABOVE RECITALS.
The above recitals are true and correct and are incorporated as a part of this I:ig It
Amendment.
2. MODIFICATIONS
The Agreement, as amended, is changed as follows:
a. Schedule A (Scope of Services, Compensation and Schedule),
Section A.1.2 (Final Design), Subsection A.1.2.1 (Document
Production): Add the following new sentence at the end of subsection
A.1.2.1: The Consultant will provide services for Phase III. Services
during Construction. associated with the pump station upgrades and
the new water booster station. pursuant to Attachment 8-A. attached
hereto and incorporated herein.
b. Schedule A, Section A4 (Compensation ): Add the following new
sentence at the end of Section A4: Compensation for Phase III.
Services during Construction. Bidding. Services. associated with the
pump station upgrades and the new water booster pump station.
pursuant to Attachment 8-A. Exhibit A-I. attached hereto and
inc01:porated herein. shall be a lump sum amount of sixty nine
thousand one hundred and one dollars ($69.101.00). Compensation
for Phase III. Services during Construction. General Services during
Construction. associated with the pump station upgrades and the new
water booster pump station. pursuant to Attachment "8-A". Exhibit
B-1. shall be a lump sum amount of nine hundred and ninety eight
thousand four hundred and eleven dollars ($998.411.00).
Compensation for Phase III. Services during Construction. Resident
Services during Construction. associated with the pump station
upgrades and the new water booster pump station. pursuant to
Attachment "8-A". Exhibit C-I. shall be a lump sum amount of four
hundred and thirty seven thousand four hundred and thirty two dollars
($437.432.00). Compensation for Phase III. Services during
Construction. Visits for Factory Acceptance Tests. associated with
the pump station upgrades and the new water booster pump station.
pursuant to Attachment "8-A". Exhibit D-1. shall be an amount not
to exceed ten thousand dollars ($10.000.00). Invoices shall be
submitted monthly. Total compensation for services under this Eighth
Amendment shall be an amount not to exceed one million. five
hundred and fourteen thousand. nine hundred and forty-four dollars
($1.514.944.00).
c. Schedule A, Section A (Schedule): Add the following new sentence
at the end of Section A5: Phase III. Services during Construction.
Bidding Services. pursuant to Attachment "8-A". Exhibit A-I.
attached hereto and incorporated herein. shall begin upon Consultant's
receipt of written authorization to proceed and shall be completed
upon issuance of Notice to Proceed from the City to the contractor(s).
Completion of Phase III. Services during Construction. General
Services during Construction. pursuant to Attachment "8-A". Exhibit
B-1. attached hereto and incorporated herein. shall begin upon
Consultant's receipt of written authorization to proceed and shall
conclude upon Consultant's certification of work completed by the
contractor( s). pursuant to the contract documents and final acceptance
by the City. delivery of record drawings. and approval of the final
pay request from the contractor(s). whichever is later. Completion of
Phase III. Services during Construction. Resident Services during
Construction. pursuant to Attachment "8-A". Exhibit C-l. attached
hereto and incot:Porated herein. shall begin upon Consultant's receipt
of written authorization to proceed and shall conclude upon
Consultant's certification of work completed by the contractor(s).
pursuant to the contract documents and final acceptance by the City.
Completion of Phase III. Services during Bidding and Construction.
Visits for Factory Acceptance Tests. associated with the pump
station upgrades and the new water booster pump station. pursuant to
Attachment "8-A". Exhibit D-l. shall be within 30 months of
Consultant's receipt of written authorization to proceed.
3. OTHER PROVISIONS.
The other provisions of the Agreement, as amended, are unchanged.
4. RATIFICATION.
The City and Consultant ratify the terms of the Agreement, as amended, as modified by tt is
Eighth Amendment.
5. GOVERNING LAW.
The Eighth Amendment shall be governed by and construed in accordance with the laws. If
the State of Florida, without reference to principles of conflict of laws.
6. HEADINGS
Headings in this Eight Amendment are only for convenience, are not a substantive part )f
this Eighth Amendment or the Agreement, as amended, and do not affect the meaning of my
provision of this Eight Amendment or the Agreement, as amended.

CONSULTANT shall provide General Engineering Services during the proposed contract
construction period of 913 days (30 months) to Final Acceptance (FA). General Engineering

Consult with and advise the CITY and act as its representative as
provided in the General Conditions of the Construction Contract.
1.3
Provide project and quality management comprised of periodic project
status reporting meetings and submittal of monthly status reports, projec1
administration activities including project records and information on the
contract.
1.4
Conduct the preconstruction conference and Bi-Weekly progress meeti1g.
during construction, generate and distribute copies of minutes of these
meetings.
1.5
Issue instructions of the CITY to the Contractor; issue necessary sketchl~s,
interpretations and clarifications of the Contract Documents; have
authority, as the CITY's representative, to require special inspection or
testing of the work; and act as initial interpreter of the requirements of :hE
Contract Documents pertaining to the execution and progress of the
work.
1.6
Review and approval of shop drawings and samples, the results of test:;
and inspections and other data which the Contractor is required to
submit. The costs of reviewing substitute products as submitted by thE
Contractor, shall be separately billed to the CITY and payment made tc
Consultant. Reimbursement to the CITY, by the Contractor, shall be as
defined within the construction Contract Documents.

Review Contractor and vendor-provided operation and maintenance
manuals. Assemble contractor - provided O&M information into sepa:'at~
manuals for wastewater and water pump stations.
1.8
Make periodic visits to the site at intervals appropriate to the various
stages of construction to observe as an experienced and qualified design
professional the progress of the executed work of the Contractor and to
determine in general if such work is proceeding in accordance with the
Contract Documents. During such visits and on the basis of on-site
observations, the Engineer shall keep the CITY informed of the progre:is

Conduct site visit(s) to determine if the project or portions thereof are
substantially complete in accordance with the Contract Documents;
prepare and issue the punchlist and certificate of substantial completion.
Monitor the completion/ correction of punchlist items through site visits
as necessary. Conduct final site visit(s) to determine if the work has belm
completed in accordance with the Contract Drawings.
1.12
Provide services in connection with preparing final certifications of
completion of construction to regulatory agencies at the time of final
completion of construction.
1.13
Provide services in connection with preparing change orders to reflect
adjustments to the construction project. This task does not include any
legal assistance, nor evaluation of major claims (over $50, 000) submitted
by the contract. Processing of changes requested by the City are includ,~d
to the extent that they do not require additional design or engineering.
If additional design, redesign or engineering is required, through no fault
of the Consultant, additional fees may required, and if so, will be
negotiated prior to performing any such design, redesign, or engineerir g.

Perform factory visits, as required, for the purpose of witnessing specifiec
factory testing of pumps and instrumentation system. Labor costs
associated with this task are included in the General Services Lump Sum.
However, other direct costs associated with such trips are budgeted as a
upper limit allowance under Exhibit D.
1.15
Perform in depth review of the contractor's initial schedule and review of
the contractor's monthly updates; keep City informed of any perceived
problems with the schedule; advise contractor of any noted errors in logic
and/ or inconsistences with the contract requirements. This item does not
include analysis of any major claims for delay (over 60 days) made by
contractor.
1.16
Coordinate any changes required to implement this submersible pump
option (base bid No.2).
1.17
Incorporate as-built information provided by the contractor into a set 0::
Record Drawings. Within 60 days of final completion of the construction
contract deliver one complete set of reproducible drawings and Autoca:l
files of the Record Drawings.
1.18
Provide start up assistance on an as-needed basis.
1.19
Odor Control visits and design for pump station No. 28 as requested by
City.
TIME OF COMPLETION
The Time of completion is not within the control of the Consultant. The Consultant's schedull~
and provision of the various services is dependent upon the construction period defined withn
the Contract Construction Documents.
Bidding Services will commence upon a notice to proceed from the City and will run until
issuance of the Notice of Award for the Contractor. General Services will commence upon
issuance of the Notice of Award to the Contractor. Resident Services will commence upon
issuance of a Notice to Proceed to the Contractor. General and Resident Services are based on
the 30 month construction contract duration, however, contract close out activities are
anticipated to be completed within 120 days of the project substantial completion date.

PHASE 3 RESIDENT PROJECT REPRESENTATIVE
Revised May 23,1996
Camp Dresser and McKee Inc. (Engineer) will furnish one full-time resident project
representative and other field staff as necessary to assist the Engineer in observing performance
of the work of the Contractor. The duration estimated for this project is over a 3D-month
construction period. Should this period be exceeded, CDM reserves the right to request
additional compensation. The resident project representative is the Engineer's agent and will ac
as directed by and under the supervision of the Engineer, and will confer with the Engineer
regarding their actions. The Duties and Responsibilities of the resident project representative
are listed below. The resident project representative's dealings in matters pertaining to the Oll
site work shall in general be only with the Engineer and Contractor, and dealings with
subcontractors shall only be through or with the full knowledge of the Contractor. Written
communication with the City will be only through or as directed by the Engineer. This phase of
the work runs concurrently with the construction contract's time period of construction.
DUTIES AND RESPONSIBILITIES
The resident project representative will:
1. Schedules: Review the progress schedule, schedule of Shop Drawing submissions, and
schedule of values prepared by the Contractor and consult with Engineer concerning th~ir
acceptability.
2. Conferences: Arrange a schedule of progress meetings and other job conferences as
required in consultation with Engineer and notify those expected to attend in advance.
Attend meetings, and maintain and circulate copies of minutes thereof.
3. Liaison:
a. Serve as Engineer's liaison with Contractor, working principally through Contract!)r':
superintendent and assist him in understanding the intent of the Contract
Documents. Assist Engineer in serving as the City's liaison with Contractor when
Contractor's operations affect the City's on-site operations.
b. As requested by Engineer, assist in obtaining from the City additional details or
information, when required at the job site for proper execution of the Work.

4. Shop Drawings and Samples:
a. Receive and record date of receipt of Shop Drawings and samples, receive samples
which are furnished at the site by Contractor, and notify Engineer of their availabiLty
for examination.
b. Advise Engineer and Contractor or its superintendent immediately of the
commencement of any Work requiring a Shop Drawing or sample submission if th~
submission has not been approved by Engineer.
5. Review of Work, Rejection of Defective Work, Inspections and Tests:
a. Conduct on-site observations of the Work in progress to assist Engineer in
determining if the Work is proceeding in accordance with the Contract Documents
and that completed Work will conform to the Contract Documents.
b. Report to Engineer whenever he believes that any Work is unsatisfactory, faulty, 0:'
defective or does not conform to the Contract Documents, or does not meet the
requirements of any inspections, tests, or approval required to be made or has been
damaged prior to final payment; and advise Engineer when he believes Work shOlJd
be corrected or rejected or should be uncovered for observation, or requires special
testing, inspection, or approval.
c. Verify that tests, equipment, and system's start-ups, and operating and maintenance
instructions are conducted as required by the Contract Documents and in presence of
the required personnel, and that Contractor maintains adequate records thereof;
observe, record, and report to Engineer appropriate details relative to the test
procedures and start-ups.
d. Accompany visiting inspectors representing public or other agencies having
jurisdiction over the Project, record the outcome of these inspections and report to
Engineer.
6. Interpretation of Contract Documents: Transmit to Contractor Engineer's clarifications and
interpretations of the Contract Documents.
7. Modifications: Consider and evaluate Contractor's suggestions for modifications in
Drawings or Specifications and report them with recommendations to Engineer.
8. Records:
a. Maintain at the job site orderly files for correspondence, reports of job conferences,
Shop Drawings and sample submissions, reproductions of original Contract
Documents including all addenda, change orders, field orders, additional Drawings
issued subsequent to the execution of the Contract, Engineer's clarifications and
interpretations of the Contract Documents, progress reports, and other
Project-related documents.
b. Keep diary or log book, recording hours on the job site, weather conditions, data
relative to questions of extras or deductions, list of visiting officials and
representatives of manufacturers, fabricators, suppliers and distributors, daily
activities, decisions, observations in general, and specific observations in more detail
as the case of observing test procedures. Send copies to Engineer.
c. Record names, addresses, and telephone numbers of all Contractors, subcontractOl s,
and major suppliers of materials and equipment.

9. Reports:
a. Furnish Engineer periodic reports, as required, of progress of the Work and
Contractor's compliance with the approved progress schedule and schedule of Shcp
Drawings submissions.
b. Consult with Engineer in advance of scheduled major tests, inspections, or start of
important phases of the work.
c. Report immediately to Engineer upon the occurrence of any accident.
10. Payment Requisitions: Review applications for payment with Contractor for compliance
with the established procedure for their submission and forward them with
recommendations to Engineer, noting particularly their relation to the schedule of value:;,
Work completed and materials and equipment delivered at the site but not incorporated in
the Work.
11. Completion:
a. Before Engineer issues a Certificate of Substantial Completion, submit to Contractor 3.
list of observed items requiring completion or correction.
b. Conduct final inspection in the company of Engineer, the City, and Contractor and
prepare a final list of items to be completed or corrected.
c. Verify that all items on final list have been completed or corrected and make
recommendations to Engineer concerning acceptance.
LIMIT A TraNS OF AUTHORITY
Except upon written instructions of Engineer, Resident Project Representative:
1. Shall not authorize any deviation from the Contract Documents or approve any substitute
materials or equipment.
2. Shall not exceed limitations on Engineer's authority as set forth in the Contract Document~.
3. Shall not undertake any of the responsibilities of Contractor, subcontractors or Contractor's
superintendent, or expedite the Work.
4. Shall not advise on or issue directions relative to any aspect of the means, methods,
techniques, sequences, or procedures of construction unless such is specifically called for h
the Contract Documents.
5. Shall not advise on or issue directions as to safety precautions and programs in connection
with the Work.
6. Shall not authorize the City to occupy the Project in whole or in part.
7. Shall not participate in specialized field or laboratory tests.

CONSULTANT visits to the factory to witness the acceptance tests for the pumps. An upper limit of
$10,000 has been budgeted. Invoices will be based on reimbursable travel expenses (without markup).
City will reimburse CONSULTANT from an allowance account to be set up with the City by the
construction contractor for this purpose, or via an alternate means mutually acceptable to City and
CONSULTANT.
