MEMORANDUM OF UNDERSTANDING
BETWEEN
CITY OF MIAMI BEACH, FLORIDA
AND
FLORIDA FISH AND WILDLIFE CONSERVATION COMMISSION — FLORIDA YOUTH
CONSERVATION CENTERS NETWORK
This Memorandum of Understanding (MOU) is entered into this 2,( day of 0ci ,
2018, by and between the CITY OF MIAMI BEACH, FLORIDA, a municipal corporation located
at 1700 Convention Center Drive, Miami Beach, Florida 33139 (City), and the FLORIDA FISH
AND WILDLIFE CONSERVATION COMMISSION FLORIDA YOUTH CONSERVATION
CENTERS NETWORK (Partner), an agency of the State of Florida, whose principal address is
2082 Summit Lake Drive Second Floor Tallahassee, FL 32317.
RECITALS:
WHEREAS, the mission of the City's Parks and Recreation Department is to provide fun
and safe facilities and programming for those who live and play in our beautiful, vibrant
community; and
WHEREAS, in 2010 the Florida Fish and Wildlife Conservation Commission introduced a
groundbreaking public-private partnership initiative called the Florida Youth Conservation Centers
Network (FYCCN), which is a statewide network that provides opportunities for youth and their
families to participate in traditional outdoor activities and safely share experiences that inspire
• lifelong stewardship for fish and wildlife conservation; and
WHEREAS,on July 25, 2018,the City Commission approved Resolution No. 2018-30385,
approving and authorizing the City Manager, or his designee, to apply for and to execute any and
all documents or agreements in connection with FYCCN technical support and assistance; and
WHEREAS, through this MOU the City will expand upon and improve the quality of
outdoor programming currently available to the public.
NOW THEREFORE, in consideration of the mutual promises contained herein, and for
other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the City and Partner hereby agree as follows:
1. The above Recitals are hereby made a part of this MOU and expressly incorporated by
reference herein.
2. The term of this MOU ("Term") shall commence upon execution of this MOU by all parties
hereto, and end on September 30, 2019, with the understanding that at, the end of the
Term, the parties may renew the MOU.

3. Equipment Loans. For the duration of the Term of this MOU, the Partner will loan to the
City, at no cost to the City, recreational equipment(including outdoor sporting supplies)to
be used by the City during youth programming under the supervision of City staff at the
Scott Rakow Youth Center (2700 Sheridan Avenue, Miami Beach, FL 33140). The City
will be held responsible for the replacement of any broken or lost equipment.
4. Training. The Partner will provide training and certification opportunities free of cost or at
a reduced rate to City staff, in order to increase staff knowledge of outdoor instructional
activities, enabling City staff to implement new programming for the benefit of the public.
5. Events. The Partner will, at no cost to the City, organize at least one environmental
volunteer outing each calendar year to increase the number of available volunteer
opportunities within the City. The City will coordinate and/or provide facility access as
necessary.
6. Notices.
All notices and communications in writing required or permitted hereunder may be
delivered personally to the representatives of the Partner and the City listed below, may
be mailed by registered mail, postage prepaid (or airmailed if addressed to an address
outside of the city of dispatch), or may be sent via email.
Until changed by notice in writing, all such notices and communications shall be addressed
as follows:

Notices hereunder shall be effective:
If delivered personally, on delivery; if mailed to an address in the city of dispatch, on the
day following the date mailed; and if mailed to an address outside the city of dispatch on
the seventh day following the date mailed; if emailed, on the day of delivery.
7. This MOU may be terminated at any time by either,party, without cause and for
convenience, upon thirty (30) days prior written notice.

8. Neither party may assign this MOU. Neither this MOU, nor any of its terms, may be
changed, modified or otherwise amended except by an instrument in writing, signed by an
authorized representative, which shall be the City Manager(on behalf of the City), and the
Partner Executive Director (on behalf of the Partner).
9. The City and Partner acknowledge and agree that they are not joint venturers, partners,
or joint owners with respect to this MOU. Nothing contained herein shall be construed as
creating a partnership, joint venture or similar relationship between the City and the
Partner.
