AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICES AGREEMENT
BETWEEN
THE CITY OF MIAMI BEACH, FLORIDA
AND
HULETT ENVIRONMENTAL SERVICES INC.
This Amendment No. 1 to the Professional Services Agreement, dated May 15,
2017, by and between the CITY OF MIAMI BEACH, FLORIDA a municipal corporation
organized and existing under the laws of the State of Florida, having its principal offices
at 1700 Convention Center Drive, Miami Beach, Florida 33139 (the "City"), and
HULETT ENVIRONMENTAL SERVICES INC., whose address is 7670
•
Okeechobee Blvd., West Palm Beach, FL 33411 ("Primary Vendor"), is entered into
this 27 day of December, 2018.
RECITALS
WHEREAS, on May 15, 2017, the Mayor and City Commission approved the
award of Invitation to Bid ("ITB") 2017-095- AK for routine interior and exterior pest
control services City-wide, and other specialty services as necessary, in an
environmentally friendly manner, (the "ITB") to Hulett Environmental Services Inc.
("Primary Vendor") in an annual amount of$18,954.00, and
WHEREAS, on May 15, 2017, the City and the Primary Vendor executed the City
Certification of Contract for Pest Control Services (the "Agreement"), which incorporated
the ITB and Primary Vendor bid, for an initial term of three (3) years, with two (2), one (1)
" year renewal options, at the City Manager's discretion; and
WHEREAS, the City's Property Management Department issued three (3)
separate Invitation to Quotes ("ITQ"), ITQ 2017-054-MT on October 31, 2017, ITQ 2018-
004-MT on July,14,2018, and ITQ 2018-027-MT on March 23, 2018, pursuant to the
Agreement, for services required at additional City-wide locations not included in the
Agreement, for a term of one (1) year; and
WHEREAS, the ITQ 2017-054-MT, ITQ 2018-004-MT and ITQ 2018-027-MT were
awarded to the lowest, most responsible bidder, Primary Vendor, for a total additional
annual amount of not-to-exceed $51,286.44; and
WHEREAS, the Administration recommended entering into this Amendment No. 1
for Primary Vendor to continue providing the services in ITQ 2017-054-MT, ITQ 2018-
004-MT and ITQ 2018-027-MT for the entire duration of the term, as set forth in the
Agreement, in order to enhance and capture the additional City-wide locations not
included in the original Agreement; and
NOW THEREFORE, in consideration of the mutual promises and conditions
contained herein, and other good and valuable consideration, the sufficiency of which is
hereby acknowledged, the City and Contractor hereby agree to amend the Agreement
as follows:

1. ABOVE RECITALS.
The above recitals are true and correct and are incorporated as part of this
Amendment.
2. MODIFICATIONS.
The Agreementis hereby modified (deleted items struck thro,,gh and inserted
items underlined) as follows:
(a) Section 73 "ADDITIONAL SERVICES" of Section 0200 "INSTRUCTIONS TO
BIDDERS", of the ITB is hereby deleted in its entirety and replaced, as
follows:
49. ADDITIONAL SERVICES
ADDITION OF SITES AND/OR SERVICES BY THE CITY: The City
Manager may request additional services including routine interior and
exterior pest control services including rodent stations City wide for
these or for other locations ("Additional Services"). Any proposals for
Additional Services must be approved by the City Manager, in writing,
prior to being implemented, and memorialized by an amendment to
the Agreement, executed by the City Manager and Consultant. The
total amount of the Additional Services may not exceed $50,000, or
such greater amount as may be approved by the City Commission for
each contract year.
(b) The total contract amount for shall not exceed $70,240.00.
(c) The amount and time set forth herein are the maximum agreed to by both
the City and Vendor for all work associated with this Amendment No. 1.
Vendor attests that the Contract adjustment provided herein is
reasonable, and constitutes compensation in full for all costs, claims,
markup, and expenses direct or indirect, attributable to this Amendment,
including but not limited to compensation in full for any delays,
acceleration, or loss of efficiency encountered by Vendor in the
performance of the Work through the date of this Amendment No. 1__In
consideration of the compensation and time, if any, in this Amendment
No. 1, the Vendor hereby releases the City from all Claims, demands, or
causes of action arising out of the transactions, events and occurrences
giving rise to this Amendment No. 1. This written Amendment No. 1 is
the entire agreement between the City and Vendor with respect to this
Amendment. No other agreements or modifications shall apply to this
contract amendment unless expressly provided herein.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged and remain
in full force and effect.
4. RATIFICATION.
Except as amended herein, all other terms and conditions of the Agreement shall
remain unchanged and in full force and effect. In the event there is a conflict
between the provisions of this Amendment and the Agreement, the provisions of
this Amendment shall govern.

IN WITNESS WHEREOF, the parties hereto have caused this Amendment to be
executed by their appropriate officials, as of the date first entered above.
