Amendment No. 8 to the Agreement with Tyler Technologies, Inc. 20 -z870-7 AMENDMENT NO. 8 TO THE AGREEMENT, DATED OCTOBER 10, 2014, BETWEEN THE CITY SOF MIAMI BEACH, FLORIDA AND TYLER TECHNOLOGIES, INC. FOR THE IMPLEMENTATION OF THE MUNIS AND ENERGOV SYSTEMS This amendment ("Amendment") is made effective on the date of Client signature below ("Effective Date") by and between Tyler Technologies, Inc., a Delaware corporation with offices at One Tyler Drive, Yarmouth, ME 04096 ("Tyler") and the Client identified in the signature block below("Client"). WHEREAS, on October 10, 2014, the Mayor and City Commission approved an agreement with Tyler Technologies, Inc., to replace the City's current enterprise resource planning ("ERP")system, known as Eden,with the Munis system, and to replace the City's current permitting system, known as Permits Plus, with the EnerGov system (the "Agreement"); and WHEREAS, the parties have now determined that an additional Amendment is required to change the timing of invoicing for the Transparency Portal and Tyler Notify modules; and NOW THEREFORE, in consideration of the mutual promises hereinafter contained, Tyler and the City agree as follows: 1. ABOVE RECITALS. To the knowledge of each party hereto, the above recitals are true and correct and are incorporated as part of this Amendment. 2. MODIFICATIONS. The Agreement, as modified by Amendments Nos. 1-7, is further modified as follows: a. The Tyler Software Transparency Portal is hereby removed from the Agreement. As of such date, Tyler's maintenance, support and update obligations with respect to such software are terminated. Should the City wish to again use such software, the City shall first pay to Tyler the then-current subscription fee for the software. b. Section 1.2 of Exhibit B to the Agreement, entitled "Invoicing and Payment Policy," is hereby deleted and replaced with the following term: 1.2 Subscription Fees: Year one subscription fees for Tyler Notify will be invoiced on January 1, 2020. Subsequent annual subscription fees for Tyler Notify shall be due on January 1st of each year, at Tyler's then-current rates, unless the City's license to Tyler Notify is otherwise terminated, in which the City shall no longer be liable to Tyler for annual subscription fees for Tyler Notify. 3. CREDITS a. Tyler hereby issues the City a credit of $42,000, which corresponds with the subscription fees paid by the City to Tyler for year one of the Tyler Notify module, pursuant to Invoice No. 045-158269. Such credit shall be applied, at the City's discretion, to any fees owed by the City to Tyler pursuant to the Agreement, with any unused credit or portion thereof to expire twenty-four (24) months from the Effective Date of this Amendment. b. Tyler hereby also issues the City a credit of $44,100, which corresponds with annual subscription fees for year two of the Tyler Notify module. Such credit shall be applied, in full, towards Invoice 045-186872, which remains unpaid as of the Effective Date of this Amendment. 4. RATIFICATION. Except as amended herein, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event there is a conflict between the provisions of this Amendment and the Agreement, the provisions of this Amendment shall govern. IN WITNESS WHEREOF, the parties hereto have caused this Amendment to be executed by their appropriate officials, as of the date first entered above.
