A RESOLUTION AUTHORIZING EXECUTION OF AGREEMENT
WITH MOUNT SINAI MEDICAL CENTER FOR PROJECT
SINAI EXPANSION AND DENTAL PROJECT EXPANSION TO
SERVE RESIDENTS OF LOW AND MODERATE INCOME IN
TARGET AREA FOR A PERIOD OF ONE YEAR.
WHEREAS, the City of Miami Beach and Mount Sinai Medical
Center mutually desire to enter into an agreement for the purpose of
funding with Community Development Block Grant Funds, additional
services to be provided through Project Sinai, a hospital operated
primary health service program and to expand the Dental Health Ser-
vices treatment program for low and moderate income residents, and
WHEREAS, said Project Sinai Expansion has been allocated
$25, 000 from Community Development Block Grant Funds and the Dental
Project Expansion has been allocated $35, 000 from said Community
Development Block Grant Funds, and
WHEREAS, an appropriate agreement has been prepared and
has been approved as to legal form and sufficiency by the City
Attorney, which agreement sets forth the terms and conditions of
said Projects, with which the City Commission is familiar, and
WHEREAS, the City Manager has recommended to the City
Commission that said agreement be entered into, and
WHEREAS, the City Commission deems it to be in the best
interests of the City and its residents and citizens that said
agreement be entered into;
NOW, THEREFORE, BE IT DULY RESOLVED BY THE CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Clerk
be and they are hereby authorized and directed to execute with agree-
ment with Mount Sinai Medical Center, in the name of and on behalf of
the City, and the disbursing officers of the City are hereby authorized
and directed to disburse the monies required by the terms of said
agreement from the Community Development Block Grant Funds heretofore
allocated for said purpose.

AGREEMENT
This Agreement entered into this ,^:1.," 17,4 day of .4-3414,fn: , 1978,
by and between the City of Miami Beach, a Florida Municipal Corporation,
hereinafter referred to as the "City" and Mount Sinai Medical Center,
a non-profit Florida Corporation, hereinafter referred to as the "Provider"
WITNESSET H:
Whereas, the parties desire to enter into an agreement for the
purpose of funding with Community Development Block Grant funds, additional
services to be provided through Project Sinai, a hospital operated primary
health service program and to expand the Dental Health Services treatment
program for low and moderate income residents .
Now therefore, the parties hereto agree as follows :
I. Scope of Services
1. Project Sinai Expansion will provide prevention oriented
community health education, increased social service
personnel and introduce a pharamaceutical education and
counseling component. The purposes, goals and outline of
the project are more particularly described in Exhibit .A
which is attached hereto and incorporated herein as if set
forth in haec verba.
2. Dental Project Expansion will expand the treatment ,program
to low and moderate income residents and will staff an
expanded dental facility at the hospital. The purposes ,
goals and outline of the project are more particularly
described in Exhibit B which is attached hereto and
incorporated herein as if set forth in haec verba.
II. Conditions of Services
1. The programs shall serve principally those persons living
within the target area (i.e. , that area of Miami Beach lying
south of Dade Boulevard, excluding Palm Island, Hibiscus
Island, Star Island, Terminal Island and the islandson the
Venetian Causeway) .
2. Records of patient treatment shall be kept in such manner
acceptable to' both parties as shall make it possible to compile
such quarterly reports as may be necessary in order to fully
evaluate program as to eligibility of persons served, number
and basic data of persons served, and nature of treatment
and/or service provided.
3. In staffing the program, the Provider agrees that to the
extent that it staffs the program with personnel i
not presently employed by said party, it will
take affirmative action in attempting to staff
the program with persons of low income, residing in
the City of Miami Beach, provided that the costs of
advertising to secure applications from such persons
shall be borne by the party 6f the second part. The
party of the first part further agrees that it will
not discriminate on the basis of race, creed, color
or national origin in staffing the program.
III. Term of Agreement
This Agreement shall be deemed effective upon
approval by the Department of Housing and Urban
Development area office of the use of these funds
for public services, and shall continue for a period
of one (1) year thereafter unless terminated prior
to that time under the termination provision hereafter
set forth.
IV. Termination
Both parties agree that this Agreement may be terminated
by either party hereto by written notice to the other
party of such intent to terminate at least sixty
(60) days prior to effective date of such termination. .
The City may suspend payment of the project in whole
or in part for cause. Cause shall include the following:
(1) failure to comply with either the terms or conditons
of this Agreement; (2) submission to the City of reports
which are incorrect or incomplete in any material
respect or (3) if for any reason the implementation
of this Agreement is rendered impossible or infeasible.
V. Subsequent Changes
Any alterations, variation, modifications or waivers
of provisions of this Agreement shall only be valid
when they have been reduced to writing and duly
signed by both parties.
VI. Method of Payment
1. Project Sinai Expansion:
The City agrees to fund the Project Sinai Expansion
program to the extent of the sum of Twenty Five
Thousand Dollars ($25,000) payable as follows:
a. The City agrees to reimburse the Provider for

expenditures incurred under this contract
for this program on a monthly basis in accordance
with the attached budget (page 4 of Exhibit A ) .
Line item transfers not to exceed 15% of that
line item may be made without prior written
approval of the City.
b. Provider will submit requests for payment no
later than the fifth working day of the succeeding
month and the City will provide reimbursement upon
approval within ten (10) working days after receipt
of the same. •
2. Dental Project Expansion:
The City agrees to fund the Dental Project Expansion
program to the extent of the sum of Thirty Five
Thousand Dollars ($35,000) payable as follows:
a. The City agrees to reimburse the Provider for
expenditures incurred under this contract for this
program on a monthly basis in accordance with the
attached budget (page 2 of Exhibit B) . Line item
transfers not to exceed 15% of that line item may be
made without prior written approval of the City. a.
b. Provider will submit requests for payment no later
than the fifth working day of the succeeding
month and the- City will provide reimbursement upon
approval within ten (10) working days after receipt
of the same.
VII. Indemnification
The Provider shall idemnify and hold harmless the
City, from any and all claims, liability, losses and
causes of action whichmmay arise out of this agreement.
The Provider directly or through its insurance carrier
shall pay all claims and losses -of any nature whatsoever
in connection therewith and shall defend all suits, in
the name of the City when applicable and shall pay all
costs and judgements which may issue thereon.
VIII. Conflict of Interest
The Provider convenants that no person, under its °-. ;.,1oy
who presently exercises any functions or responsibilities
in connection with Community Development funded activities,
, • has any personal financial interests, direct or indirect,
in. this Agreement. The Provider further convenants
that, in the performance of this Agreement, no person

having such conflicting interest shall be employed.
Any such interest, on the part of the Provider or its
employee shall be disclosed, in writing, to the City.
IX. Reporting Requirements
Maintaining credibility for the Community Development
effort rests heavily on the ability to produce an impact
in every target area through progress in accomplishing
scheduled activities. An effective method for maintaining
project progress against a previously established schedule
is through frequent project reporting. Project reporting
will consist of both written reports and staff discussions
on a regular basis.
Contents of the quarterly reports for operational
activities shall include, but are not limited to, the
following items :
a. A general progress report- including comparisons
of planned versus actual progress and any output
measures.

b. Problems or difficulties encountered in carrying ..
out the activity and any recommendations or
remedial actions undertaken to solve the problem.
•
c. Basic data of persons served.
Quarterly reports for each of the two funded projects shall
be submitted to the City no later than ten (10) working
days after the end of the quarter. Status reports on
activities will be discussed by the Provider and the City
Administration as deemed necessary.
X. Audit and Inspections
At any time during normal business hours and as often
as the City Administration and/or the Comptroller of the
United States may deem necessary, there shall be made
available to the City Administration and/or representatives
of the Comptroller to audit, examine and make audits of all
contracts, invoices , materials, payrolls, records of
personnel, conditions of employment and other .Oata relating
to all matters covered by •this Agreement.

' XI.` Compliance with Local, State and Federal Regulations.

As the City of Miami Beach is providing this. funding through
Federal Community Development Block Grant funds, all parties agree to
comply with the following Federal regulations as they apply. The
regulations are incorporated herein by reference.

XII. Additional Conditions of Compensation.

It is expressly understood and agreed by the parties hereto
that monies contemplated by this Agreement to be used for the

compensation, originate from grants of Federal Community Development
Block Grant funds.
It is expressly understood and agreed that in the event of
Curtailment or nonproduction of said Federal grant funds, that the
financial sources necessary to continue to pay MbPL compensation
will not be available and that this Agreement will thereby terminate
effective. as of the time that it is determined that said funds are
no longer available. In the event of such determination, MDPL
•
agrees that it will not look to nor seek to hold liable the City of
Miami Beach as an entity or any individual employed by the City of
Miami Beach or :any individual member of the City Commission thereof
personally for the performance of this Agreement and all of the parties
hereto shall be released from further liability each to the other
under the terms of this Agreement. •

Miami Beach has a population that is especially skewed in the
direction of the upper age group: about 65.9% of the Miami Beach
population is over 55 years of age, a figure which is overwhelming
particularly in light of the lesser Dadc County total of 24% and
the nationwide estimate of 19.4% . South Miami Beach, in particular,
has a disproportionately large number of elderly, reporting 72% of
the population over age 60 . In fact, this area has often been
described as "God' s Waiting Room". In this area alone, 27% of the
population falls below the government set poverty line. This situation,
compounded by inadequate and overcrowded housing, indicates a
deficient environmental milieu which often promotes and/or further
accentuates the social and medical care problems confronting the
elderly.
Mount Sinai Medical Center has because of its location and because of
its position as a voluntary not-for-profit institution, been
particularly involved with the problems of this aged poor population.
In response to this need, Mount Sinai developed an outreach program
called Project Sinai . The purpose of Project Sinai is to provide the
elderly population of South Miami Beach with comprehensive Medical
Care. The Outpatient Department at Mount Sinai in coordination with
the . South Beach Activities Center, The Jewish Vocational Service and
Rebecca Towers (through community care) , supplies to residents of the
South Beach area the opportunity to receive total medical care by
Project Sinai physicians, nurse practitioners and nurses. This is
accomplished through a free transportation system which transports the

aged from congregate meal sites , activity centers and housing
developments for hospital care. Mount Sinai has outreach nurses
at these sites who screen, counsel , coordinate the medical care of
the patients and develop strong health education programs for the
community.
The program has experienced tremendous growth since its inception
just over two years ago. Project Sinai has become a model program
in the Miami Beach Community and the network of agencies all working
together to coordinate the medical care and social needs of aged
individuals on South Miami Beach has made this outreach program truly
successful.
Mount Sinai Medical Center would like to further expand its program
of serving our aged population on South Miami Beach. This could be
accomplished by hiring another nurse who would be assigned to the
remaining congregate meal sites . This nurse would screen' patients,;'
follow-up on any medical orders and develop health education and
counseling programs for the elderly.
At 'the present time, there is only one social worker assigned to the
outpatient department. The hospital needs more social workers whose
main responsibility is the ambulatory patient . In terms of cost
containment, so often a social worker can prevent a person from being
institutionalized by keeping him/her functioning with the gamut of
community services that support independent living.

Mount Sinai would like to have a social worker assigned specifically
to the outpatient department to handle the problems of the elderly.
This social worker would be used by the Project •Sinai team.
The job would involve evaluating patients as to social service needs
and mental health needs, aiding patients in securing appropriate
services and social assistance. Most importantly, this individual
would be handling the emotional component to the physical and social
treatment of the elderly. He or she would act as a liaison consultant
to community agencies involved with the Project Sinai in coordinating
the network of community services.
We recognize that drugs and pharmaceuticals are a great concern of
the elderly. Emergency room and clinic records constantly- note the
fact that patients who cote for care are often over, under and/or
inappropriately medicated. Many aged individuals present shoe boxes full
of medications to take. Very often these medications present some
sort of security to the aged patients--a security which may end up
being detrimental to their health. Mount Sinai Medical Center would
like to therefore employ a fulitime pharmacist specifically for the
outpatient clinic whose main responsibility would be drug evaluation
and counseling. This person would be a member of the Project Sinai
team and would act as an outreach workerto the various agencies
serving the elderly on Miami Beach (e.g. South Beach Activities Center,
J.V.S. nutrition program, Rebecca Towers, among others) . The pharmacist
would consel patients as to medications and would aid the social

workers and nurses at the sites in terms of drug counseling. This •
person would be responsible for developing a strong drug education
program for the outpatient department as well as for community.

activities of Mount Sinai with those efforts of the City of Miami
Beach. This individual would not have a dispensing role but rather
limit his/her functions to the consultative and educational functions
as delineated above. •

Dental Program
Dental care is a service often neglected for elderly patients. Medicare
does not reimburse for dental services nor do most of the supplemental
insurance plans that many elderly carry. Many medical problems of the
elderly can be attributed to dental problems. Medical diagnoses
such as malnutrition and gastritis have been known to be connected
with poor oral health. Many aged individuals have ill fitting dentures
(or in some cases no dentures at all) and are unable to eat the
correct foods or digest them appropriately. The dental department is
concerned with the oral health needs of the elderly. Mount Sinai
has recognized the unmet need for dental care and in response to this,
the hospital is expanding the physical facilities of the dental
department to accomodate a larger treatment program for the community.
This clinic at.Mount Sinai is the only dental facility • on Miami Beach
that treats people regardless of ability to pay. The wait list for.
care in the dental clinic now is at. least three- months. This alone
documents a great need for these services.
Now that space is available for additional residents_ in general
dentistry, we are requesting funding to equip our dental program •
to treat these indigent patients by hiring an additional dental resident,
a dental assistant and a dental technician. Since so many of the oral
health problems of the aged involve total and partial dentures, the need
for a dental technician and supplies is paramount.

The Robert Wood Johnson Foundation is concerned about the lack of
dental care for indigent persons and is therefore looking to fund
selected general dentistry programs in teaching hospitals. We
are planning to apply for such funding when it becomes available.
This interim funding that is requested will enable Mount Sinai Medical
Center to expand its treatment program for indigent patients. We
hope to further expand this program with the Robert Wood Johnson Grant.

SECTION 3 CLAUSE
A. The work to Inc• performed under this contract is on ,e project assisted
• under a program providing direct Federal financial assistance from •
the Department of Housing and Urban Development and is subject to the
requirements of Section 3 of the Housing and Urban Development Act of
1968, as amended, 12 U.S.C:. 17Ou. Section 3 requires that to the •
greatest extent feasible.opportunities for training and employment be
given lower income residents of the project area and contracts for
work in connection with the project be awarded to business concerns
which are located in, or owned in substantial part by persons residing
in the area of the project.
B. The parties to this contract will comply with the provisions of said
Section 3 and the regulations issued pursuant thereto by the Secretary
of Housing and Urban Development set forth in 24 CFR, and all appli-
cable rules and orders of the Department issued thereunder prior to
the execution of this contract. The parties to this contract certify
and agree that they are under no contractual or other disability which
would prevent them from complying with these requirements.
C. The contractor will send to each labor organization or representative
of workers with which he has a collective bargaining agreement or
other contract or understanding, if any, a notice advising the said
labor organization of workers' representative of his commitments under •
this Section 3 Clause and shall post copies of the notice in conspic-
uous places available to employees and applicants for employment or
training.
D. The contractor will include this Section 3 Clause in every subcontract
for work in connection with the project and will, at the direction
of the applicant for or recipient of Fedeial financial assistance,"
take appropriate action pursuant to the subcontract upon a finding
that the subcontractor is in violation of regulations issued by the
Secretary of Housing and Urban Development, 24 CFR. The contractor
will not subcontract with any subcontractor where it has notice or
' .'knowledge that the latter has been found in violation of regulations
• under 24 CFR, and will not let any subcontract unless the subcontractor
has first provided it with a preliminary statement of ability to
comply with the requirements of these regulations.
E. Compliance with the provisions of Section 3, the regulations set forth
in 24 CFR, and all applicable rules and orders of the Department issued .
thereunder prior to the execution of the contract, shall be a condition
of the Federal financial assistance provided to the project, binding
upon the applicant or recipient for such assistance, its successors, and
assigns. Failure to fulfill these requirements shall subject the appli •

cant or recipient, its contractors and subcontractors, it successors,
•
and assigns to those sanctions specified by the grantor loan agreement or
•
contract through which Federal assistance is provided, and to such sanctions
as are specified by 24 CFR 135.

In carrying out the contract, the contractor shall not discriminate
against any employee or applicant for employment because of race,
color, religion, sex, or national origin. The contractor shall
take affirmative action to insure that applicants for employment are
employed, and that employees are treated during employment, without

Such action shall include, but not be limited to, the following:
